A Special Meeting of the Councilmen of the Village of Tequesta, Florida was held Friday, March I, 1968, at 10:05 A.M, at the Bank of Palm Beach and Trust Company, 40 Coconut How, Palm Beach, Florida. Coun- cilmen present were Messrs: Bowden, Sylvester, Valier and Cornelius. Also present was Robert Harp, Village Manager and Clerk and William A. Lord, Vi1la,ge Attorney. The Village Clerk advised that all Councilmen had signed a Waiver of Notice of Special Meeting, which is attached to and a part of these minutes. Mayor Bowden advised that the Special Meeting had been called as suggested by the Village Attorney at the February 20, 1968, Council Meeting to consider and act upon any remaining matters necessary and re- quired in connection with the closing of the purchase a.nd sa 1e of the Tequesta, Water Company, Inc, by the Village of Tequesta.. The Mayor asked the Village Clerk to read a resolution ratifying and confirming the actions of the Mayor and Clerk and the execution of a Purchase and Sales Agreement dated August 14, 196?, with Tequesta Water Co., Inc. in and by which the Village agreed to purchase the assets of the company; authorization for Mayor and Clerk to consumate the purchase in accordance with the agreement on March 1, 1968, or as soon thereafter as may be practicable; authorizing the Ma.yvr and Clerk to pay the costs • of closing, deliver the cash and Water Revenue Certificates to the selling company and to do all other things necessary to affect the closing and authorizing the Mayor and Clerk to do all things necessary to commence the operation of the Village of Tequesta 6Jater Department immediately upon the closing of the purchase. Valier moved, second by Cornelius and passed that the resolution be adopted. Resolution No. 8-67 was thereby passed and adopted. Mayor Bowden advised that the Villages Fiscal Agent had recom- mended a special checking account be set up in the Bank of Palm Beach and Trust Company to be called the Village of Tequesta, Bond Proceeds Account in which the cash proceeds received from the sale of $200,000. Water Revenue Certificates and checks for accrued interest, etc. be deposited and distributed to pay the necessary closing costs. Cornelius moved, second by Sylvester and passed that the account be set up and the authorized signatures be the Village Clerk and Vil]age Treasurer.
