PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Stotutes, CONTRACTOR must keep
and maintain this Agreement and any other records associated therewith and that are associated
with the performance of the work described in the Proposal or Bid. Upon request from the
Village's custodian of public records, CONTRACTOR must provide the Village with copies of
requested records, or allow such records to be inspected or copied, within a reasonable time in
accordance with access and cost requirements of Chapter 119,Florida Statutes. A CONTRACTOR
who fails to provide the public records to the Village, or fails to make them available for
inspection or copying, within a reasonable time may be subject to attorney's fees and costs
pursuant to Sec. 119.0701, Florida Stotutes, and other penalties under Sec. 119.10, Florido
Statutes. Further,CONTRACTOR shall ensure that any exempt or confidential records associated
with this Agreement or associated with the performance of the work described in the Proposal
or Bid are not disclosed except as authorized by law for the duration of the Agreement term, and
following completion of the Agreement if the CONTRACTOR does not transfer the records to the
Village. Finally, upon completion of the Agreement, CONTRACTOR shal) transfer, at no cost to
the Village, all public records in possession of the CONTRACTOR, or keep and maintain public
records required by the Village. If the CONTRACTOR transfers all public records to the Village
upon completion of the Agreement,the CONTRACTOR shall destroy any duplicate public records
that are exempt or confidential and exempt from public records disclosure requirements. If the
CONTRACTOR keeps and maintains public records upon completion of the Agreement, the
CONTRACTOR shall meet all applicable requirements for retaining public records. Records that
are stored electronically must be provided to the VILLAGE, upon request from the Village's
custodian of public records, in a format that is compatible with the Village's information
technology systems.

Pricing is based on the following items
• No upfront capital
• Material, installation, maintenance and energy costs are included in our maintenance contract
• All lights will be equipped with SMART NODES that auto generate light outage notifications
directly to FPL
• Conversion fee of.99 per fixture
• Based on the type of fixture selected
• Maintenance Fee(based on existing contract, however will be a lower fee based on LED's)
• Any existing damage to our existing posts or brackets will be replaced at no cost

That,for and in consideration of the covenanis set forth herein,ihe parties hereto covenant and agree as fdlows:
FPL AGREES:
1. To instaG or modify the figh6ng faciiities described and identified above(hereinafter called the L'ghting System),fumish to the Custaner
the electric energy necessary for the operation of the Lighting System, and fumish such dher services as are speafied 'm this
Agreement,aB in accordance with the tertns of FPL's currently effective lighting rate sc�iedule on file at the Fbrida PubGc Service
Commission(FPSC)or any successive lighting rate schedule approved by the FPSC.
THE CUSTOMER AGREES:
2. To pay a contribution in the amount of$0_00 prior to FPL's initiating the requested installation or modfication.
3. To purchase from FPL all of the electric energy used for the operadon of the Lighting System.
4. To be responsible for paying,when due,aY bills rendered by FPL pursuant to FPL's currentty effective lighting rate schedule on file at
the FPSC or any successive IighHng rate schedule approved by the FPSC,for facilities and service provided in accordance with this
agreement
5. To provide access,final grading and,when requested,good and sufficient easements,suitable construction drawings showing the
location of ebsting and proposed structures,idenGfication of aA non-FPL underground facilities within or near pole or trench locations,
and appropriate plats necessary for planning the design and completing the consUuction of FPL facili6es associated with the Lighting
System.
6. To perform a�y clearing,compacting,removal of stumps or other obstructions that conflict with construction,and drainage of rightsof-
way or easements required by FPL to accommodate the lighting facilities.
ff IS MUTUALLY AGREED THAT:
7. Modfications to the facili�es provided by FPL under this agreement, other than for maintenance, may only be made through the
execution of an additional lighting agreement delineating the modfications to be accomplished. Mod�cation of FPL lighting facilities is
defined as the fdlowing:
a. the addition of Gghting facili5es:
b. the removal of 6ghting facilities;and
c. the removal of Gghting facilities and the replacement of such fadlities with new facilities and/or additional faalities.
Modifications will be subject to the costs identified in FPL's currently effec6ve lighting rate schedule on file at the FPSC, or any
successive schedule approved by the FPSC.
S. lighting faalities will only be installed in bcafans that meet all applicable dear zone right-0f-way setback requirements.
9. FPL will,at the request of the Customer, relocate the lightlng facilities covered by this agreement,if provided sufficient right-of-ways or
easements to do so and locations requested are consistent with dear zone right-of-way setback requirements.The Customer shaU be
responsible for the payment of all costs associated with any such Customer-requested relocation of FPL lighting facilities. Payment
shall be made by the Customer in advance of any relocation.
10. FPL may, at any time,substitute for any luminaire installed hereunder another luminaire which shall be of at least equal illuminating
capacity and e�ciency.
11. This Agreement shall be for a tertn of ten(10)years from the date of initiation of service,a�d,except as provided below,shall extend
thereafter for further successive periods of five(5)years from the expiration of the initial ten(10)year tertn or from the expiration of any
e�dension thereof. The date of initiafan of service shaN be defined as the date the first lights are energized and billing begins,not the
date of this Agreement This Agreement shall be extended automatically beyond fhe initial the(10)year tertn or any extension thereof,
unless either party shall have given written notice to the other of its desire to tertninate this Agreement. The written notice shall be by
certified mail and shall be given not less ttian ninety(90)days before the e�iraHon of the initial ten (10)year term,or any extension
thereof.
12. In the event lighting facilities covered by this agreement are removed, either at the request of the Customer or through tertnination or
breach of this Agreement, the Customer shall be respwisible for paying to FPL an amount equal to the fixture, pole, and conductor
charges for the period remaining on the currently active term of service plus the cost to remove the facilities.

13. Should the Customer fail to pay any bills due and rendered pursuant to this agreement or otherwise fail to perform the obligations
contained in this Agreement, said obligations being material and going to the essence of this Agreement, FPL may cease to supply
electric energy or service until the Customer has paid the bills due and rendered or has fully cured such other breach of this Agreement.
Any failure of FPL to exercise ks rights hereunder shall not be a waiver of its rights.It is understood,however,that such discontinuance
of the supplying of electric energy or service shall not cons6tute a breach of this Agreement by FPL,nor shall it relieve the Customer of
the obligation to perfortn any of the terms and conditions of this Agreement.
14. The obligatan to fumish or purchase service shali be excused at any time that either party is prevented from complying with this
Agreement by strikes,lockouts,fires,riots,acts of God,the public enemy,or by cause or causes not under the co�trol of the party thus
prevented from compliance,and FPL shall not have the obligation to fumish service if it is prevented from complying with this Agreement
by reason of any partial,temporary or entire shut-down of service which,in the sole opinan of FPL,is reasonably necessary for the
purpose of repairing or making more efficient all or any paR of its generating or other elecVical equipment.
15. This l�qreement supersedea all previous Agreements or representations,either written,oral,or othenvise between the Customer and
FPL,with respect to the facilities referenced herein and constitutes the entire Agreement between the parties.This Agreement does not
create any rights or provide any remedies to third parties or create any addiHonal duty,obiigation or undertakings by FPL to third parties.
16. In the event of the sale of the real property upon which the facilities are installed,upon the written consent of FPL,this Agreement may
be assigned by the Customer to the Purchaser. No assignment shall relieve the Customer from its obligafions hereunder untll such
obligations have been assumed by the assignee and agreed to by FPL.
17. This Agreement shall inure to the benefit of,and be binding upon the successors and assigns of the Customer and FPL.
18. The lighting facilities shall remain the property of FPL in perpetuity.
19. This Agreement is subject to FPL's Electric Tariff,inGuding,but not limited to,the General Rules and Regulations for ElecUic Service and
the Rules of the FPSC,as they are now written,or as they may be hereafter revised,amended or supplemented.In the event of any
conflict belween the tertns of this Agreement and ttie provisions of the FPL Electric Tariff or the FPSC Rules,the provisions of the
Electric Tariff and FPSC Rules shall control,as they are now written,or as they may be hereafter revised,amended or supplemented.
IN WITNESS WHEREOF, the parties hereby caused Uiis Agreement to be executed in triplicate by their duly authorized
representa8ves to be effective as of the day and year first written above.

That,for and in consideratlon oi the covenants set forth herein,the parties hereto covenant and agree as follows:
FPL AGREES:
1. To instafl or modify the lightirg facilities described and identified above(hereinafter called the Lighting System),fumish to the Customer
the electric energy necessary for the operation of the Lighting System, and fumish such other services as are specified in this
Agreement, all in accordance with the terms of FPL's currently effective ligh6ng rate schedule on file at the Fbrida PubGc Service
Commission(FPSC)or any successive lighting rate schedule approved by the FPSC.
THE CUSTOMER AGREES:
2. To pay a contribuUon in the amount of$0.00 prior to FPL's initiating the requested installation or modification.
3. To purchase from FPL all of the electric energy used fw the operation of the Lightlng System.
4. To be responsible for paying,when due,all biNs rendered by FPL pursuant to FPL's currenUy effective lighting rate schedule on file at
the FPSC or any successive lighting rate schedule approved by the FPSC,for facilities and service provided in accordance with this
agreemen�
5. To provide access,final grading and,when requested,good and sufficient easements,suitable construction drawings showing the
loca6on of exisdng and proposed structixes,identification of all non-FPL underground faaNties within or near pole or trench loca6ons,
and appropriate plats necessary for planning the design and completing lhe constructan of FPL facilities associated with the Lighting
System.
6. To perfortn any clearing,compacting,removal of stumps or other obsVuctions that conflid with construction,and drainage of rights-0f-
way w easements required by FPL to accommodate the 6gh6ng facilities.
ff IS MUTUALLY AGREED THAT:
7. Nbdfications to the facilides provided by FPL under this agreement, other than for maintenance, may only be made through the
execution of an additional lighting agreement del�eating the modifications to be accomplished. Modification of FPL lighting facilities is
defined as the folbwing:
a. the addition of lighting facilities:
b. the removal of lighting facilities;and
c. the removat of lighting facilities and the replacement of such facilides with new facilities and/or additional facilities.
Modfications wid be subject to the costs identified in FPL's curtenUy effective ligh6ng rate schedule on file at the FPSC, or any
successive schedule approved by the FPSC.
8. LighGng facilities will only be installed in locations that meet all applicable dear zone right-of-way setback requirements.
9. FPL will,at the request of the Customer,rebcate the lighting faciNfies covered by this agreement,if provided sufficient right-of-ways or
easements to do so and IocaUons requested are consistent with dear zone right-0f-way setbadc requirements.The Customer shall be
responsible for the payment of all cosls associated with any such Customer-requested relocation of FPL lighting facilities. Payment
shall be made by the Customer in advance of any relocation.
10. FPL may,at any Gme, substitute for any luminaire installed hereunder another luminaire which shall be of at least equal illuminating
capaciry and etficiency.
11. This Agreement shall be for a term of ten(10)years from the date of initiafion of service,and,except as provided bebw,shall extend
thereafter for further successive periods of five(5)years from the expiration of the initial ten(10)year term or from the expira6on of any
exlension thereof. The date of initiation of service shall be defined as the date the first lights are energized and billing begins,not the
date of this Agreement. This Agreement shaA be extended automadcally beyond the initial the(10)year tertn or any extension thereof,
unless either party shall have given written notice to the other of its desire to termi�ate this Agreement. The written notice shaA be by
w�<a ora
ceAified mail and shall be given not less than ninety(90)days before the expiration of the initial ten(10)year term,or a�y extension
thereof.
12. In the event Ighting facilities covered by this agreement are removed,either at the request of the Customer or through termination or
breach of this Agreement, the Customer shall be responsible for paying to FPL an amount equal to the fixlure, pole, and conductor
chart�es for the period remaining on the currently active tertn of service plus the cost to remove the faalities.
13. Should the Customer fail to pay any bills due and rendered pursuant to this agreement or othervvise fail to perfortn the obligations
contained in this Agreement, said obligafions being material and going to the essence of this A�eement, FPL may cease to supply
electric energy or service until the Customer has paid the bills due and rendered or has fuNy cured such other breach of this Agreement.
Any failure of FPL to exercise its rights hereunder shall not be a waiver of its rights.It is understood,however,that such disconGnuance
of the supplying of electric energy or service shaA not constitute a breach of this Agre.ement by FP�,nor shall it relieve the Customer of
Uie obligation to perfortn any of the tertns and conditions of this AgreemenL
14. The obligation to fumish or purchase service shall be excused at any time that either party is prevented from complying witli this
Agreement by strikes,lockouts,fires,riots,acts of God,the public enemy,or by cause or causes not under the control of the party thus
prevented from compliance,and FPL shall not have the obligation to fumish service if it is prevented from complying with this Agreement
by reason of any partial,temporary or endre shut-down of service which,in the sole opinion of FPL,is reasonably necessary for the
purpose of repairing or making more efficient all or any paR of its generaGng or other electrical equipment
15. This Agreement supersedes all previous Agreements or representations,either written,oral,or othenvise belween the Customer and
FPL,with respect to the faciliGes referenced herein and consdtutes the e�tire Agreement belween the parties.This Agreement does not
create any rights or provide any remedies to third parties or create any additional duty,obligadon or undertakings by FPL to third parties.
16. In the event of the sale of the real property upon which the facilities are installed,upon the wrilte�consent of FPL,fhis Agreement may
be assigned by the Customer to the Purchaser. No assignment shafl relieve the Customer from its obligations hereunder until such
obligations have been assumed by the assignee and agreed to by FPL.
17. This Agreement shall inure to the benefit of,and be binding upon the successors and assigns of the Customer and FPL.
18. The IighGng facilities shatl remain the property of FPL in perpetuity.
19. This Agreement is subject to FPL's Electric Tariff,induding,but not limited to,the General Rules and Regulations for Electric Service and
the Rules of the FPSC,as they are now written,or as they may be hereafter revised,amended or supplemented. In the eve�t of any
conflict between the terms of this Agreement and the provisions of the FPL Electric Tariff or the FPSC Rules,the provisions of the
Electric Tariif and FPSC Rules shall control,as they are now written,or as they may be hereafter revised,amended or supplemented.
IN WITNESS WHEREOF, the parties hereby caused this Agreement to be executed in triplicate by their duly authorized
representatives to be effective as of the day and year first written above.

� PUBLIC RECORDS. In accordance with Sec. 119.0701, F/orida Statutes, CONTRACTOR must keep
and maintain this Agreement and any other records associated therewith and that are associated
with the performance of the work described in the Proposal or Bid. Upon request from the
Village's custodian of public records, CONTRACTOR must provide the Village with copies of
requested records, or allow such records to be inspected or copied, within a reasonable time in
accordance with access and cost requirements of Chapter 119,Florida Statutes. A CONTRACTOR
who fails to provide the public records to the Village, or fails to make them available for
inspection or copying, within a reasonable time may be subject to attorne�s fees and costs
pursuant to Sec. 119.0701, Florida Statutes, and other penalties under Sec. 119.10, Florida
Statutes. Further,CONTRACTOR shall ensure that any exempt or confidential records associated
with this Agreement o�associated with the performance of the work described in the Proposal
or Bid are not disclosed except as authorized by law for the duration of the Agreement term, and
following completion of the Agreement if the CONTRACTOR does not transfer the records to the
Village. Finally, upon completion of the Agreement, CONTRACTOR shall transfer, at no cost to
the Village, all public records in possession of the CONTRACTOR, or keep and maintain public
records required by the Village. If the CONTRACTOR transfers all public records to the Village
upon completion of the Agreement,the CONTRACTOR shall destroy any duplicate public records
that are exempt or confidential and exempt from public records disclosure requirements. If the
CONTRACTOR keeps and maintains public records upon completion of the Agreement, the
CONTRACTOR shall meet all applicable requirements for retaining public records. Records that
are stored electronically must be provided to the VILLAGE, upon request from the Village's
custodian of public records, in a format that is compatible with the Village's information
technology systems.

Pursuant to Article XII of the Palm Beach County Charter,the Office of the Inspector General

The attached agenda item is a Professional Services Agreement between the Village of
Tequesta and Thomas G. Bradford for a Construction Contract Administrator. As the
Construction Contract Administ�ator Mr. Bradford will provide contract oversight and
ensure the two contracts entered into by the Village of Tequesta to complete the Water
Treatment Plant Upgrades are performed timely, effectively and in full transparency.
My decision to select Mr. Bradford for the Water Treatment Plant Upgrades Project was
due to Mr. Bradford's extensive knowledge and experience with the Water Treatment
Plant itself and his extensive knowledge of government contract administration.
The total compensation amount for this contract shall not exceed $20,000.00; $2,000.00
per month for a 10-month term beginning January 1, 2019 and ending November 1, 2019.
Funding for this item was not anticipated; however, sufficient funds are available in
Engineering Services Account 401-411-531.302 and will be move to Other Contractual
Services Account 401-241-534.300 to accommodate this expenditure.

The attached agenda item is a Professional Services Agreement between the Village of
Tequesta and TRB Management, Inc. for the purpose of providing private building
inspection seroices. Private services shall include building inspections by licensed
officials at the Water Treatrnent Plant as part of the Village's ongoing upgrade.
TRB Management, Inc. was selected as the qualfied independent contractor to provide
these services.
The purpose of hiring this private inspection service is soley to save on building permit
fee expenses; it's not intended to diminish the qualificafions of our Building Official. By
hiring an independent private qualified inspector, we were able to reduce the building
permit fees by$28,500.00.
The total compensation under this agreement shall not exceed $5,000.00, with expected
services to confinue until November 1, 2019.
Funding for this item was not anticipated; however, sufficient funds are available in
Miscellaneous Renewal 8� Replacement Account 401-411-549.671.

Private Provider for Building Inspection Services
This Professionat Services Agreement (the`�`A,/ag�rcement") for Private Building [nspection
Services is made and entered into this•29 day of&eb�2019, by and between the Village of
Tequesta (the "Village"), Florida, a municipal corporation with offices located at 345 Tequesta
Drive, Florida 33469, and TRB Management, Inc. (the "Private Provider"), a Florida Profit
Corporation with offices located at 19005 Talon Way, lupiter. Florida 33458, both of whom
understand and agree as follows:
WHEREAS,the Village requires private buildina inspection services as contemplated ad
authorized by Section 553.791,Florida Statutes for the Village's Water Treatment Plant upgrade
project;and
WHEREAS, the Private Provider is willing and able to enter into this Professional
Services Agreement to provide such services during the plant upgrade project;and
WHEREAS, the purpose of this Agreement is to set forth certain terms and conditions
for the provision of services to be provided by Private Provider in providing Private Building
tnspection Services for the Village.
NOW, TAEREFORE, in consideration of the mutual covenants herein contained, the
parties hereto agree as follows:
SECTION 1.INCORPORATION OF RECITALS
The foregoing recitals are incorporated in[o this A�reement as true and correct statemenEs.
SECTION 2. SCOPE OF SERVICES
Private Provider shall provide private building inspection services at the Water Treatment Plant
as part of the Village's ongoing upgrade project. All building inspection services shall be
performed by appropriately licensed officials in accordance with the Florida Building Code and,
Florida Statutes,as applicable, including but not limited to Section »3.791.
SECTION 3.INDEPENDEIVT PRIVATE PROti'IDER
It is specifically understood that Private Provider is an independent contractor and not an
employee of the Village of Tequesta. Both the Village and Private Provider agree that this

SECTION 4. TERM

Subject: Verizon Wireless and Village of Tequesta Revocable License Agreement-
Merger notification and required consent to effect a change to the named
responsible licensee
The attached agenda item is formal notification and consent request to change the
existing Revocable License Agreement between Verizon Wireless and the Village of
Tequesta.
Following a December 31, 2018 merger with Cel�o Partnership d/b/a Verizon Wireless,
Cellco Partnership is now the responsible party for all obligations as licensee under the
Agreement. This transaction solely amends the name of the responsible licensee and
does not have any effect upon the operation of Verizon Wireless at the site.
The attached notice has been reviewed by the Village Attorney for legal sufficiency,
approved for execution and return to Verizon Wireless.
There are no financial impacts associated with this change.

In an effort to enhance operating efficiencies,we will be streamlining our corporate structure by
reducing the number of operating subsidiaries.Verizon Wireless Personal Communications LP d/b/a
Verizon wreless is the licensee under the above-referenced Agreement. We are writing to inform you
that,effective December 3i,2oi8,we intend to merge Veriaon Wireless Personal Communications LP and
into Cellco Partriership d/b/a Verizon Wimless,the parent or other affiliate entity of Verizon wreless
Peisonal Communications LP. Following the merger,Cellco Partnership will be responsible for all
obligations as licensee under the Agreement.
Even though this transaction will merely result in another Verizon Witeless affiliate company
becoming responsible fnr the obligations of the licensee under the Agreement,the Agreement can be
interpreted as requiring that Verizon Wireless obtain the written consent of Licensor to the above-
described transaction. The tr-ansaction will not have any effect upon the operation of Verizon Wireless at
this site.

PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Statutes, CONTRACTOR must keep
and maintain this Agreement and any other records associated therewith and that are associated
with the performance of the work described in the Proposal or Bid. Upon request from the
Village's custodian of public records, CONTRACTOR must provide the Village with copies of
�equested records, or allow such records to be inspected or copied, within a reasonable time in
accordance with access and cost requirement5 of Chapter 119,Florida Statuies. A CONTRACTOR .
who fails to provide the public records to the Village, or fails to make them available for
inspection or copying, within a reasonable time may be subject to attorney's fees and costs
pursuant to Sec. 119.0701, Florida Stotutes, and other penalties unde� Sec. 119.10, Florida
Statutes. Further,CONTRACTOR shall ensure that any exempt or confidential records associated
with this Agreement or associated with the performance of the work described in the Proposal
or Bid are not disclosed except as authorized by law for the duration of the Agreement term,and
following completion of the Agreement if the CONTRACTOR does not t�ansfer the records to the
Village. Finally, upon completion of the Agreement, CONTRACTOR shall transfer, at no cost to
the Village, all public records in possession of the CONTRAGTOR, or keep and maintain public
records required by the Village. If the CONTRACTOR trensfers all public records to the Village
upon completion of the Agreement,the CONTRACTOR shall destroy any duplicate public records
that are exempt or confidential and exempt from public records disclosure requirements. If the
CONTRACTOR keeps and maintains public reco�ds upon completion of the Agreement, the
CONTRACTOR shall meet all applicable requirements for retaining public records. Records that
are stored electronically must be provided to the VILLAGE, upon request from the Village's
custodian of public records, in a format that is compatible with the Village's information
technology systems.
