The Village of Tequesta has a piggyback contract with Shenandoah Construction through the Village of Wellington's Storm Water Repair Contract. It is my recommendation to move forward with Shenandoah Construction on this project. My recommendation is based on past experience with the company and the price they gave. Funding for this item was not anticipated. Funds for this project will be drawn from the Storm Water Department in the line item account number 403-250 546.308, Drainage Maintenance, having a balance of$21,625.00. Your approval will authorize the Village Manager to execute any agreements and authorize the purchase of this item. �'ice-�Iapor Tom Patemo �fa�•or�16by Brennan Council�fember Vince�rena Council�4ember Laurie Brandon Council�fember I<risu Johnson VILLAGE OF TEQUESTA CONTRACT FOR STORMWATER PIPING REPAIR SERVICES THIS CONTRACT FOR STORMWATER PIPING REPAIR SERVICES is entered into and effective this day of March 2019, by and between the V I L L A G E O F TEQUESTA, a Florida municipal corporation with offices located at 345 Tequesta Drive, Tequesta,Florida 33469-0273, organized and existing in accordance with the laws of the State of Florida, hereinafter "the Village"; and SHENANDOAH GENERAL CONSTRUCTION COMPANY, a Florida corporation with offices located at 1888 NW 22°d Street, Pompano Beach, Florida 33069, hereinafter"the Contractor" and collectively with the Village, "the Parties". WITNESSETH The Village and the Contractor, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by both Parties, hereby agree as follows: 1. SCOPE OF SERVICES: The Parties hereby agree to enter into this Contract whereby the Contractor shall provide stormwater piping repair services in the following areas:Key West Village Right-of-Way at and near 112 Intracoastal Circle, as more particularly described on the Contractor's Proposal #P13336 dated March 1, 2019, attached hereto as Exhibit "A". The Parties agree to enter into this Agreement and piggyback for the stormwater piping repair services at the prices described in the Contractors March 24, 2015 Public Works Annual Drainage Infrastructure Inspection, Cleaning and Repair Contract with the Village of Wellington awarded through Bid No. #003-15/DZ, which was extended by the Village of Wellington through March 24, 2019. Said contract, including the contract extension, is hereby fully incorporated into this Agreement and is attached hereto as Exhibit"B". Authorization to piggyback on the contract and extension is hereby fully incorporated into this Agreement and is attached hereto as Exhibit"C". 2. COMPENSATION: Pursuant to the Exhibits A,B and C,and in consideration for the above Scope of Services,pricing is as follows: • 107 Supervisor/Foreman @ $50.00 per hour for 70 hours = $3,500.00 • 108 Skilled Labor @ $35.00 per hour for 140 hours = $4,900.00 • 109 Air Compressor @ $25.00 per hour for 30 hours = $750.00 • 106 Dump Truck @ $40.00 per hour for 40 hours = $1,600.00 • 104 Silt Screen InstalURemove @ $100.00 each for 2 =$200.00 • 102 Wheel Loader @$50.00 per hour for 70 hours = $3,500.00 • 101 Track Excavator @ $125.00 per hour for 60 hours=$7,500.00 • 100 Dive Crew @$450.00 per hour for 22 hours=$9,900.00 TOTAL: _$31,850.00 3. INSURANCE AND INDEMNIFICATION: The Contractor shall provide proof of workman's compensation insurance and liability insurance in such amounts as are specified in Eachibit A and shall name the Village as an"additional insured"on the liability portion of the insurance policy. The Contractor shall at all times indemnify,defend and hold hannless the Village,its agents,servants,and employees,from and against any claim,demand or cause of action of whatsoever kind or nature, arising out of error, omission, negligent act, conduct, or misconduct of the Contractor, its agents, servants, or employees in the performance of services under this Contract. 4. PUBLIC ENTITIES CRIMES ACT: As provided in Sections 287.132-133, Florida Statutes, by entering into this Contract or performing any work in furtherance hereof, the Contractor certifies that it,its affiliates,suppliers,subcontractors and consultants who will perform hereunder, have not been placed on the convicted vendor list maintained by the State of Florida Department of Management Services within thirty-six(36)months immediately preceding the date hereof. This notice is required by Section 287.133(3)(a),Florida Statutes. 5. TERM; TERMINATION; NOTICE: Pursuant to the Village of Wellington Contract, the original contract term expired on March 24, 2018. The Village of Wellington has renewed the Contract, extending the term until March 24, 2019. This Contract may be terminated by either party upon thirty (30) days written notice to the other party. INDEPENDENT CONTRACTOR: It is specifically understood that the Contractor is an independent contractor and not an employee of the Village. Both the Village and the Contractor agrees that this Contract is not a contract for employment and that no relationship of employee— employer or principal—agent is or shall be created hereby,nor shall hereafter exist by reason of the performance of the services herein provided. 7. ATTORNEY'S FEES: In the event a dispute arises concerning this Contract, the prevailing party shall be awarded attorney's fees, including fees on appeal. 8. CHOICE OF LAW; VENUE: This Contract shall be govemed and construed in accordance with the laws of the State of Florida, and venue shall be in Palm Beach County should any dispute arise with regard to this Contract. 9. AMENDMENTS & ASSIGNMENTS: This Contract, all Exhibits attached hereto, and required insurance certificates constitute the entire Contract between both parties;no modifications shall be made to this Contract unless in writing, agreed to by both parties, and attached hereto as an addendum to this Contract. The Contractor shall not transfer or assign the provision of goods called for in this Contract without prior written consent of the Village. 10. INSPECTOR GENERAL: Pursuant to Article XII of the Palm Beach County Charter, the Office of the Inspector General has jurisdiction to investigate municipal matters, review and audit municipal contracts and other transactions, and make reports and recommendations to municipal governing bodies based on such audits, reviews, or investigations. All parties doing business with the Village shall fully cooperate with the inspector general in the exercise of the inspector general's functions, authority, and power. The inspector general has the power to take sworn statements,require the production of records, and to audit,monitor, investigate and inspect the activities of the Village, as well as contractors and lobbyists of the Village in order to detect, deter, prevent,and eradicate fraud, waste,mismanagement, misconduct, and abuses. 11. PUBLIC RECORDS: In accordance with Sec. 119.0701, Florida Statutes, the Page 3 of 5 Contractor must keep and maintain this Agreement and any other records associated therewith and that are associated with the performance of the work described in the Proposal or Bid. Upon request from the Village's custodian of public records, the Contractor must provide the Village with copies of requested records, or allow such records to be inspected or copied, within a reasonable time in accordance with access and cost requirements of Chapter 119, Florida Statutes. A Contractor who fails to provide the public records to the Village,or fails to make them available for inspection or copying,within a reasonable time may be subject to attorney's fees and costs pursuant to Sec. 119.0701,Florida Statutes, and other penalties under Sec. 119.10,Florida Statutes. Further, the Contractor shall ensure that any exempt or confidential records associated with this Agreement or associated with the performance of the work described in the Proposal or Bid are not disclosed except as authorized by law for the duration of the Agreement term, and following completion of the Agreement if the Contractor does not transfer the records to the Village. Finally, upon completion of the Agreement, the Contractor shall transfer, at no cost to the Village,all public records in possession of the Contractor,or keep and maintain public records required by the Village. If the Contractor transfers all public records to the Village upon completion of the Agreement, the Contractor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the Contractor keeps and maintains public records upon completion of the Agreement, the Contractor shall meet all applicable requirements for retaining public records. Records that are stored electronically must be provided to the Village, upon request from the Village's custodian of public records, in a format that is compatible with the Village's information technology systems. The original contract will expire on March 24, 2018. The contract provided for two (2) one-year renewal options. 1(Vellington would like to exercise the first renewal option to renew for a period of one (1) year effective March 24, 2018 through March 24, 2019. under the same terms and conditions. Upon the anniversary date of each renewal period, the awarded vendor may submit a requested price increase per individual item unit cost to the Purchasing Division in writing 90 days prior to the renewal period. Wellington will consider such price increase based on the most recent Consumer Price Index and/or proof of a manufacturer's price increase. If the most recent CPI or market reflects a de-escalation of prices, the successful bidder will extend such prices. The Village requested their Consultant, Kimley-Horn and Associates, Inc., to complete an analysis of the existing stormwater system and make recommendations for improvements that will minimize erosion currently affecting the Key West Village site. Based on the results obtained from this analysis, the recommended improvements to the existing stormwater system are likely to reduce erosion that exists in the current conditions by mitigating the volume of stormwater that currently discharges over the existing bubble up structure. A general description of the analysis and summary of results follows; To determine the current conditions affecting the site, Kimley-Horn prepared an existing condition model using permit plan sets available for the Tequesta Shoppes and Key West Village sites, topographic data available from Palm Beach County (LiDAR format), and soils data (from the Natural Resources Conservation Services—NRCS).The SFWMD 25-year 72-hour rainfall event was used as the design storm for this analysis to simulate the discharge through the bubble up structure during a major rainfall event. The existing condition model includes the existing Type E inlet control structure (bubbler structure) discharging to the Intracoastal Waterway. This structure includes one horizontal grate. The proposed conditions model was prepared by adding a pipe link representing a 24-inch HDPE (5 LF at 0% slope) from the existing bubbler structure to the Intracoastal (traversing the existing seawall), directly connecting the upstream pipe to the Intracoastal and bypassing the grate. The grate elevation remained unchanged for this proposed model run (Scenario 1). In addition, the Village indicated a plan to raise the structure's grate from elevation 6.0-feet (NGVD 29) to 7.0-feet (NGVD 29}. A model run was completed that includes this proposed structure modification in combination with the proposed 24-inch HDPE for the Village's reference(Scenario 2). Please refer to Exhibit 1 for a graphical representation of the existing and proposed conditions model components overlaid on an aerial image. The existing c�nditions model shows that the Key West Village site currently discharges 23.9 cfs aUnear the area experiencing erosion problems (the bubble-up structure), while the proposed conditions models show a discharge of 0 cfs at the same location for Scenarios 1 and 2. The proposed condition models also reflect that the proposed 24-inch outfall pipe discharges 25.8 cfs in Scenarios 1 and 2; which indicates that the flow will be conveyed via the proposed 24-in pipe. By comparing the existing versus the proposed conditions found at the site and considering that the discharge is directly proportional to the velocity, a reduction to the erosion is anticipated for both proposed scenarios. Table 1 contains a summary of the results obtained for the area subjected to erosion, for the proposed 24-inch outfall pipe, and the effects on the lake served by this outfall.
