A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
TEQUESTA, PALM BEACH COUNTY, FLORIDA, APPROVING A
BUILDING INSPECTION SERVICES AGREEMENT BETWEEN HY-BYRD
INC. INSPECTION SERVICES OF LANTANA, FLORIDA AND THE
VILLAGE OF TEQUESTA PROVIDING, ON A REGULAR BASIS, FOR
CONSTRUCTION INSPECTIONS (BUILDING, ELECTRICAL.
MECHANICAL & PLUMBING) FOR THE VILLAGE OF TEQUESTA FOR A
TERM NOT TO EXCEED THIlZTY SIX (36) MONTHS, IN THE AMOUNT OF
$46,800.00 PER TWELVE MONTH CONTRACT PERIOD AND PROVIDING
FOR BACK-UP PLAN REVIEW AND BUILDING OFFICIAL SERVICES ON
AN AS NEEDED BASIS FOR A TERM NOT TO EXCEED THIRTY SIX (36)
MONTHS, IN AN AMOUNT NOT TO EXCEED $65.00 PER HOUR; WITH
SAID FUNDS BEING APPROPRIATED FROM THE COMMUNITY
DEVELOPMENT FUND HAVING A CODE COMpLIANCE/INSPECTIONS
DIVISION, AND AUTHORIZING THE VILLAGE MANAGER TO EXECUTE
THE SAME ON BEHALF OF THE VILLAGE
Whereas, the Village of Tequesta requires high quality professional
building inspection services on a regular basis sensitive to community needs and
back-up plan review and building official services on an as needed basis and;
Whereas, Hy-Byrd Inc. Inspection services, a Corporation, proposed to
provide inspection services for the Village of Tequesta including inspectors
certified to meet the Municipality's needs for such services;
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL
OF THE VILLAGE OF TEQUESTA, PALM BEACH COUNTY,
FLORIDA, AS FOLLOWS:
Section 1. The Building Inspection Service Agreement between Hy-Byrd Inc.
Inspection Services of Lantana, Florida and the Village of Tequesta providing for
Construction Inspections (Building, Electrical, Mechanical & Plumbing) for the
Village of Tequesta, Florida, Attached Hereto as Exhibit "A" and Incorporated by
Reference as Part of the Resolution is Hereby Approved and the Village Manager
is Authorized to Execute the Applicable Agreement on Behalf of the Village.
THE FOREGOING RESOLUTION WAS OFFERED by Councilmember
_von Frank, who moved its adoption. The motion was seconded by
Councilmember Dalack, and upon being put to a vote, the vote was as followed:

AGREEMENT
VILLAGE OF TEQUESTA
BUILDING INSPECTION SERVICES
This agreement entered into this 14~' day March 2002, by and between HY-BYRD, INC., a Florida
Corporation with offices bated at 2521 Donnelly Drive, Lantana, Florida 33462, hereinafter referred to as
"Inspector" and the Village of Tequesta, a Municipal Corporation, with offices located at 250 Tequesta Drive,
Suite 300, Tequesta, Florida 33469, hereinafter referred to as "Village".

Village and Inspector, in consideration of the mutual covenants contained herein and other good and valuable
consideration, the receipt and value of which is hereby acknowledged by both parties, hereby agree as follows:
1) Inspector will perform field inspections for Building, Electrical, Plumbing and Mechanical categories
of construction projects as set forth in the Proposal signed by President, Joseph A. Crisafulle on
February 18, 2000 and attached hereto. This Agreement will commence on March 14, 2002 and end
on March 14, 20(}5.
2) The terms and conditions of this Agreement shall incorporate the terms and conditions as specifically
set forth by the Village of Tequesta's Requests fox Proposal (attached hereto as Exhibit A) and the
Inspector's fully executed Proposal thereto submitted to the Village on February 18, 2000- (attached as
Exhibit B). Both parties hereby agree and acknowledge that this Agreement, together with all
insurance documents, all required licenses/certifications and other documents required by the
proposal documents shalt constitute the entire Agreement.
3} The Vittage Manager, or his/her designee, shalt have discretionary approval over utilization of
• Inspector's employees who assist in performing field inspections for the Village. Each employee of
• the Inspector who performs field inspections is required to inform the Village of any conflicts of
interest which may exist or could hinder proper performance in accordance with the terms of this
Agreement.
4) Inspector shall save, defend, and hold harmless the Village, its officers, employees, and representatives
from any and all claims, causes of acrions, or suits arising from the activities of the Inspector on be

5) For all inspections, which are deemed "emergency inspections" by the Village Manager or his/her
designee, Inspector will be compensated at the rate of sixty-five dollars ($65.00) per inspection.
6) This Agreement, including Exhibits referenced in Paragraph 2 above, constitutes the entire agreement
between the parties. No modification shall be made to this Agreement unless such modification is in
writing, agreed by both parties, and attached hereto as an addendum to this Agreement.
7) Either party may terrrunate this Agreement upon ninety (90) days in written notice.
8) Termination Notice as required in the Agreement shall be sufficient when sent via Certified Mail or
hand delivered to the parties at the following address:
