HomeMy WebLinkAboutAgreement_General_10/10/2019_Odyssey Manufacuting VILLAGE OF TEQUESTA CONTRACT FOR PURCHASE OF CHEMICALS THIS CONTRACT is entered into, and effective, this 10 day of October, 2019, by and between the VILLAGE OF TEQUESTA,FLORIDA,a municipal corporation with offices located at 345 Tequesta Drive, Tequesta, Florida 33469, organized and existing in accordance with the laws of the State of Florida, hereinafter "Village"; and ODYSSEY MANUFACTURING COMPANY, a Florida corporation with offices located at 1484 Massaro Blvd., Tampa, Florida 33619, hereinafter "Contractor". WITNESSETH The Village and the Contractor, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by both parties,hereby agree as follows: 1. SCOPE OF SERVICES: The Village and the Contractor both hereby agree to enter into this Contract for Purchase of Chemicals, whereby the Contractor shall provide Ultra Chlor 12.5% sodium hypochlorite (the "Product") for the Village's utility department. Pursuant to the Contractor's August 11, 2019 correspondence, attached hereto as Exhibit A, the Village is authorized to piggyback through November 7, 2020, on the Contractor's current contract with the Clay County Utility Authority, Contract No. 14/15-A13, as amended, which was originally procured by the Clay County Utility Authority in accordance with procedures that comply with the Village's procurement requirements, and as extended by the Clay County Utility Authority through November 7,2020. Clay County Utility Authority, Contract No. 14/15-A13, as extended through November 7, 2020 is attached hereto as Exhibit B and is hereby incorporated into this Contract as if fully set forth herein. 2. COMPENSATION: Pursuant to Exhibit B, and in consideration for the above Scope of Services,pricing is as follows: Sodium Hypochlorite — Bulk tanker loads, minimum 400 gallons per delivery - $.69 per gallon including transportation and delivery. The Village shall pay the Contractor after receipt of the Product, and within thirty (30) days of receipt of an invoice documenting the amount due, in accordance with Exhibit B. Page 1 of 5 3. INSURANCE AND INDEMNIFICATION: The Contractor shall provide proof of workman's compensation insurance and liability insurance in such amounts as are specified on Exhibit B,shall name the Village as an"additional insured"on the liability portion of the insurance policy. The Contractor shall at all times indemnify, defend and hold harmless the Village, its agents, servants, and employees, from and against any claim, demand or cause of action of whatsoever kind or nature, arising out of error, omission,negligent act, conduct, or misconduct of the Contractor, his/her agents, servants, or employees in the performance of services under this Contract. 4. PUBLIC ENTITIES CRIMES ACT: As provided in Sec. 287.132-133,Florida Statues,by entering into this Contract or performing any work in furtherance hereof,the Contractor certifies that it,its affiliates,suppliers, subcontractors and consultants who will perform hereunder, have not been placed on the convicted vendor list maintained by the State of Florida Department of Management Services within thirty-six (36) months immediately preceding the date hereof. This notice is required by Sec. 287.133(3)(a),Florida Statutes. 5. TERMINATION; NOTICE: This Contract may be terminated by either party in accordance with Exhibit B. INDEPENDENT CONTRACTOR: It is specifically understood that the Contractor is an independent contractor and not an employee of the Village. Both the Village and the Contractor agree that this Contract is not a contract for employment and that no relationship of Employee/Employer or Principal/Agent is or shall be created hereby nor shall hereafter exist by reason of the performance of the services herein provided. 7. ATTORNEY'S FEES: In the event a dispute arises concerning this Contract, the prevailing party shall be awarded attorney's fees, including fees on appeal. Page 2 of 5 8. CHOICE OF LAW; VENUE: This Contract shall be governed and construed in accordance with the laws of the State of Florida, and venue shall be in Palm Beach County should any dispute arise with regard to same. 9. AMENDMENTS AND ASSIGNMENTS: This Contract, all Exhibits attached hereto, and required insurance certificates constitute the entire Contract between both parties; no modifications shall be made to this Contract unless in writing, agreed to by both parties, and attached hereto as an addendum to this Contract. The Contractor shall not transfer or assign the performance of services called for in the Contract without prior written consent of the Village. 10. INSPECTOR GENERAL: Pursuant to Article XII of the Palm Beach County Charter, the Office of the Inspector General has jurisdiction to investigate municipal matters, review and audit municipal contracts and other transactions, and make reports and recommendations to municipal governing bodies based on such audits, reviews or investigations. All parties doing business with the Village shall fully cooperate with the inspector general in the exercise of the inspector general's functions, authority and power. The inspector general has the power to take sworn statements,require the production of records and to audit,monitor,investigate and inspect the activities of the Village, as well as contractors and lobbyists of the Village in order to detect, deter,prevent and eradicate fraud,waste, mismanagement, misconduct and abuses. 11. PUBLIC RECORDS: In accordance with Sec. 119.0701, Florida Statutes, the Contractor must keep and maintain this Agreement and any other records associated therewith and that are associated with the performance of the work described in the Proposal or Bid. Upon request from the Village's custodian of public records, the Contractor must provide the Village with copies of requested records, or allow such records to be inspected or copied, within a reasonable time in accordance with access and cost requirements of Chapter 119,Florida Statutes. A Contractor who fails to provide the public records to the Village,or fails to make them available for inspection or copying, within a reasonable time may be subject to attorney's fees and costs pursuant to Sec. 119.0701, Florida Statutes, and other penalties under Sec. 119.10, Florida Statutes. Further, the Contractor shall ensure that any exempt or confidential records associated with this Agreement or associated with the performance of the work described in the Proposal or Bid are not disclosed except as authorized by law for the duration of the Agreement term, and Page 3 of 5 following completion of the Agreement if the Contractor does not transfer the records to the Village. Finally, upon completion of the Agreement, the Contractor shall transfer, at no cost to the Village, all public records in possession of the Contractor,or keep and maintain public records required by the Village. If the Contractor transfers all public records to the Village upon completion of the Agreement, the Contractor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the Contractor keeps and maintains public records upon completion of the Agreement, the Contractor shall meet all applicable requirements for retaining public records. Records that are stored electronically must be provided to the Village, upon request from the Village's custodian of public records, in a format that is compatible with the Village's information technology systems. As you know, our current contract has expired. As such,Odyssey is pleased to offer the Village of Tequesta Utilities Department its Ultrachlor 12.5 Trade Percent sodium hypochlorite for the firm lump sum price of$.69 per gallon effective immediately through November 8,2020 to your"bulk" tanks at the Village of Tequesta Water Treatment Plant through a"piggyback"arrangement from the Clay County Utility Authority. This price is fixed and not subject to any escalation or fuel or other surcharges during this period. I have attached a copy of the bid package, bid, minutes of meeting showing award, bid tab and renewal letters. Amy Palmeri is the point of contact with the Clay County Utility Authority @ 904-213-2435. Odyssey guarantees deliveries on 48 hours notice. However, in no event,will Odyssey Manufacturing ever let you run out of bleach for any reason and will make emergency deliveries on a much shorter notice with no minimum delivery required at no additional charge. Additionally,Odyssey would agree to meet the attached"Product Guarantees"that was incorporated into our proposal to Clay County Utility Authority. Odyssey Manufacturing is the largest sodium hypochlorite manufacturer in the southeast and our sodium hypochlorite currently serves the majority of the water and wastewater plants that use bulk bleach in Florida. We have also done a significant number of"turn-key" installations and have also installed storage tanks at many locations and assisted customers with their conversions. As part of its chemical supply contract,Odyssey agrees to provide unlimited technical assistance at your plants at no charge including operator training for CEU's. As you are aware,we have provided the Village of Tequesta with a variety of technical assistance in the past fifteen years including leasing sodium hypochlorite tanks to Tequesta for one year during a construction project and re-piping most of your chemical systems. ii As we discussed previously,we manufacture only one product, sodium hypochlorite, utilizing a Kvaerner Chemetics chlor-alkali plant integrated with a Powell Continuous Bleach Plant. We are also the exclusive distributor for Olin Chemical's"low salt"sodium hypochlorite in Florida. As such,we offer a unique combination of high quality combined with a very competitive cost structure. In addition to the guaranteed pricing,the Village of Tequesta will achieve additional cost savings in two areas with the Odyssey Ultrachlor. First,Odyssey Ultra Chlor contains virtually no metal impurities. This lack of metal impurities (primarily nickel and cobalt)means less gassing of the bleach which is a form of decomposition and translates to a significantly longer half-life(e.g., lower decomposition rate)on the order of magnitude of 10%to 100%. This factor by itself should decrease total consumption by approximately 10%or so depending on how long the product is stored prior to being used thus resulting in cost savings. Additional cost savings will also result from reduced O&M expenses since you will not have any feeder system pluggages caused by high suspended solids(e.g., the black goo on the inside of sodium hypochlorite tanks) or gassing(from metal impurities). Other benefits include reduced bromate levels(a known carcinogen which is regulated in drinking water) and reduced perchlorate and chlorate levels(Also considered a carcinogen and the EPA has issued proposed rulemaking to regulate these substances in drinking water). Another advantage is that Odyssey never misses a delivery and has made numerous same day emergency deliveries to your facility to ensure regulatory compliance in the past! Mr. Allman has over thirty three years of experience in manufacturing and industrial environments including the past sixteen years as the General Manager of a chemical manufacturer and distributor. Mr. Allman is an acknowledged expert on chemical systems and has overseen the design and installation of over 2,500 chemical systems in Florida at water and wastewater treatment plants. Mr. Rakes has over thirty two years of operational and managerial experience working for three different chemical manufacturing and distribution companies including over ten years as the Operations Manager of the Iargest chlorine re-packager on the East Coast in Virginia before coming to Odyssey Manufacturing Co. To document just some of these capabilities,I have listed some of the emergency service call information to assess Odyssey's ability to respond to customer emergencies: 1) 8/14/2015—Pinellas County, South Cross Bayou WRF(Bill Washington, Plant Superintendent,727-582-7012)Plant called their existing sodium hypochlorite supplier who was unwilling to help them and then called Odyssey for assistance for a leaking sodium hypochlorite double-walled tank. Odyssey immediately dispatched a service technician who pumped out 6,000 gallons of sodium hypochlorite from leaking tank to another empty tank. Odyssey's fast response prevented a reportable spill. 2) 7/22/2015—Pinellas County, South Cross Bayou WRF(Bill Washington, Plant Superintendent, 727-582-7012) Plant called Odyssey after their sodium hypochlorite supplier kept refusing to deliver sodium hypochlorite and made five same day deliveries during this week averting a major FDEP violation or the WRF. 3) 01/06/2012—St.Johns County(Joe Burch, Purchasing Manager, 904-209-0150) Sent service technician up on an emergency basis the same day of the call to the St.Johns County 16-95 WWTP with 3,050-gallon Assmann double-walled tank and replaced badly leaking tank. 4) 8/10/2011 —Hillsborough County(Glenn Yaney, Operations Manager, 813-448-4090). Customer called at 1400 and stated that the River Oaks WWTP surge tank was within Page 2 of 7 two feet of overflowing and that the plant was at its maximum capacity and flows continued to run into plant from the excessive rains. They stated they had contacted the FDEP about the situation and the FDEP gave them permission to discharge to the creek if the wastewater was chlorinated and de-chlorinated. Setup emergency hypochlorite and bisulfate systems including delivery of the chemicals to a 3,000-gallon tank and was pumping hypochlorite by midnight. 5) 7/22/2011 —Pasco County(Cathy Borden, Chief Operator, 727-991-5613) Lead Operator at Wesley Center WWTP called Odyssey on Friday night that their clarifier hypochlorite tank was full and leaking bleach out the bottom. Had tanker and crew out early on the following Saturday morning and pumped out tank and took hypochlorite to another plant. Replaced the tank the following Wednesday. 6) 04/06/2011 —Bay County test(Larry Moyer, WWTP Superintendent, 850-286-3509) Sent service technician up on an emergency basis the same day of the call to the North Bay WWTP with 1,100-gallon Snyder captor loaner tank. The existing 4,400-gallon Poly Processing SAFE Tank began leaking alum out the bottom fitting after being filled. Odyssey pumped out the alum to our loaner tank and hooked it up. The tank and gasket were fine but the interior of the tank was all wavy. We installed second gasket. We filled the alum tank with water and bleach(it was filled with alga)and it passed this test. 7) 9/3/2010—Pasco County(Gerald Runge, Chief Operator, 813-991-5613) Odyssey driver reported on Friday night that one of the main hypochlorite tanks at Wesley Center WWTP split upon being filled and was leaking hypochlorite outside containment. Dispatched engineer(myself)and crew immediately and pumped out tank thereby preventing a reportable spill. Later, changed out both tanks and redid piping at this location. 8) 4/4/2010--Severn Trent Services,Lehigh Acres WWTP(Bob Dick, ST Environmental Area.Manager,239-707-4275)Odyssey got a phone call at midnight on Sunday night stating that the hypochlorite tank had begun to leak and the containment was leaking as well. Odyssey dispatched an empty tanker immediately and had it on-site within four hours and pumped out the remaining hypochlorite in the failed tank and delivered it to ST Environmental Poinciana WWTP. Subsequently,Odyssey redesigned and implemented solution to replace sodium hypochlorite tanks. 9) 1/8/2010—JEA(Mike Richardson, Utility Supervisor, 904-665-68I5)Customer called Odyssey on Friday morning that their sodium hypochlorite tank at the Norwood WTP was leaking badly into the containment. Odyssey dispatched a tanker and crew with temporary tank and pumped out the hypochlorite from the bad tank to the tanker. Additionally,Odyssey setup the temporary tank to allow the water plant to maintain continuous disinfection and remain in service. Subsequently,Odyssey designed and implemented long term solution to replace the storage tank. 10) 12/24/2009—Sarasota County Carlton WTP(Jim Conley,Water Production Manager, 352-861-1510)Got a phone call in the morning that their Peace River chlorination line installed several years earlier had broken and they had no way to disinfect the water they were sending out to their system from Peace River. Odyssey immediately dispatched a crew and had located and repaired the leak by that evening. 11) 10/18/2009—Town of Lantana(Clyde Ali,WTP Superintendent,561-540-5751) Odyssey received a phone call on Sunday morning requesting an immediate emergency delivery to the Town of Lantana Water Plant to keep them from issuing a boiled water notice because their regular supplier had failed to make a delivery for over a week. Odyssey provided a delivery to the plant on three hours notice. 12) 1/23/2009—City of Eustis WWTP(Rick Hoeben, WWTP Superintendent,352-357- 3777)Got a phone call that new sodium hypochlorite tank installed by Contractor was filled and leaking badly. Immediately dispatched tanker and crew with temporary tank Page 3 of 7 and pumped out their tank to a temporary tank thereby avoiding a reportable spill. Came back and troubleshot problem and found that the contractor had cross-threaded the bolts on the bottom flange fitting and made confined space entry and did repair for the City of Eustis. 13) 8/1/2009—City of Ormond Beach (Sam Butler,City of Ormond Beach Chief Operator, 386-676-3592)Odyssey had to make an emergency same day delivery to the City of Ormond Beach WWT plant when their current supplier refused to come and the customer ran out of bleach and were having to manually feed HTH. Odyssey responded with a delivery in less than three hours. 14) 12/5/2008—Village of Wellington(Sean McFarland, WTP Superintendent, 561-753- 2465) WTP Superintendent called Odyssey for emergency same day delivery to keep from running out of sodium hypochlorite after their current supplier said they were unable to come for three days. 15) I0/9/2008—Peace River Manasota WTP(Kevin Morris,Facilities Director, 941-316- 1776)Odyssey received phone call in the morning that customer had spilled 10,000 gallons in the containment. Odyssey assessed situation and recommended dechlorinating spilled hypochlorite and had a pallet of sodium sulfite to dechlorinate delivered to the water plant within three hours of the initial phone call. 16) 8/23/2008—City of Port Orange(Steve Miller, City of Port Orange WT Chief Operator, 386-756-5380). Odyssey had to make an emergency same day delivery one weekend on 8/23/08 to the City of Port Orange WTP because their supplier refused to come and previously we had to do the same thing in the past for this customer for the same reason back on 7/22/06. In both instances, had we not come the City of Port Orange would have run out of bleach and had to issue a boiled water notice. 17) 5/11/2008—Orange County Econ WTP(Carlos Torres, Orange County, Production Section Water Superintendent,407-254-9500/5505) Odyssey received a phone call on Sunday morning that they would have to issue a boiled water notice if they could not get a sodium hypochlorite deliver because their regular supplier had failed to make a delivery for a week and they were unable to get them to come despite repeated phone calls. 18) 9/3/2004—Collier County(Dale Waller,North WWTP Superintendent,239-253-9214) Odyssey was called the day before Hurricane Charlie hit and was told their current sodium hypochlorite supplier had run them out of sodium hypochlorite and would not come. Odyssey delivered 10,000 gallons of sodium hypochlorite 12 hours later in the early morning hours before Hurricane Charlie passed by and prevented a major FDEP fine for Collier County. • We will use no subcontractors or affiliates in the performance of any work under this proposal. • Safety is extremely important and should be a major consideration in the Clay County's "informed decision process". Odyssey Manufacturing has had no"Safety Incidents" in the past five(5)years for any chemical that it sells(defined as all chemical accidents, incidents, releases,spills,and National Response Center Notifications("safety incidents"). Additionally,we would direct Clay County to the National Response Center website (www.nrc.uscg.mil/download.html)where one can download all of the safety incidents of the various.bidders. You will see that Odyssey does not have any but our competitors have numerous incidents. • Odyssey Manufacturing has no "Terminations"as defined in your Solicitation in the past five years or for its history for that matter for any chemical that it sells. This is in sharp contrast to other chemical suppliers. Please do a website search or call our reference list to ascertain not only our record but those of other suppliers. Page 4 of 7 • • Enclosure(10) is a copy of Odyssey's OSHA 300A/300 Logs for the past three years • Enclosure(1I) is a Safety Data Sheet(SDS)on its sodium hypochlorite. • Enclosure(12)is a Product Specification on its sodium hypochlorite. • Odyssey has one regulatory action which includes fines, regulatory actions and consent orders relating to the operation of ALL of its manufacturing and distribution facilities since it began operations in March of 2000. This incident was a disagreement with the EPA on whether Odyssey had to file a"Manufacturer's Form R"for the production of chlorine gas under the public's Right to Know laws. Even though we don't manufacture chlorine gas as an end product, Odyssey agreed to pay a fine and file an"EPA Form A"going forward listing zero chlorine releases and emissions from manufacturing sodium hypochlorite from a brine solution. Enclosure(13) is a copy of the final settlement letter from the EPA dated August 6, 2008 is attached. This is a minor administrative matter relating to not filling out a form admitting that we don't have any chlorine gas releases or emissions. Note that the RFP did not require reporting of any FDOT fines(i.e.,overweight tickets)since this has nothing to do with operation of its manufacturing and distribution facilities. This is in sharp contrast to other suppliers who have had significant numbers of fines, regulatory actions and consent orders relating to the operation of all of their facilities caused by actual pollution,chemical releases and spills,serious injuries and other significant safety violations. • Company Brochure is Attached (see enclosure(14)) • Company Manufacturing Process Flow Chart is Attached demonstrating the superiority of Odyssey's manufacturing process with regard to quality and reliability(see enclosure(15)) • Odyssey takes no exceptions to the RFP solicitation • Odyssey Manufacturing Co. is a Drug Free Workplace and has an active program in-place to randomly test its employees Over the past thirteen years,Odyssey Manufacturing Co. has provided superior service to Clay County including never missing a delivery, providing emergency support on several occasions and providing a significant amount of technical assistance including three emergency tank repairs, numerous training sessions and various chemical system service work. As you know,we are the only chemical manufacturer/distributor that is open for manufacturing and deliveries 24 hours per day and 7 days per week(including holidays)and can be reached @800-ODYSSEY or facsimile(813)630- 2589. Additionally, Odyssey Manufacturing also agrees to provide unlimited technical assistance to the Clay County assist it with its operations at no charge as part of the sodium hypochlorite supply. Such assistance includes, but is not limited to,operator training sessions,startup services,and site inspections on behalf of the owner,drawing review,engineering and design. Odyssey has performed over twenty five hundred chemical system installations in the State of Florida and assisted with numerous others. Sodium hypochlorite is the only product that you purchase that has a very short shelf life. The shelf life is greatly impacted by the quality of the sodium hypochlorite. Product impurities such as metals and sludge are a significant source of this decomposition. In fact,one could easily feed twice as much product with poorer quality bleach and a 10%savings in unit cost could be overshadowed by a 50% increase in usage. Thus, differences between manufacturers in their manufacturing and delivery processes can have a dramatic difference on actual consumption. Additionally,the initial delivered strength can also impact the level of consumption. This means cost savings to the customer! Odyssey's unique manufacturing process results in significantly higher quality sodium hypochlorite that does not breakdown and decompose like other sodium hypochlorite manufacturers. As an example, in FY 2001,the Charlotte County EastPort WWT plant used 101,970 gallons of Odyssey Manufacturing sodium hypochlorite. The previous fiscal year, the facility used about 204,196 gallons with another supplier,despite lower plant flows(Reference: Verne Hall,currently City of Sarasota Page 5 of 7 Operations Manager @941-365-2200). In FY 2009, all of their facilities used 234,450 gallons with Odyssey Ultrachlor sodium hypochlorite. The previous fiscal year, the facilities used 428,000 gallons despite lower flows with another sodium hypochlorite supplier(Reference: Steve Bozman, Operations Manager @941-764-4595). Thus,Charlotte County is actually spending more money by not using Odyssey this fiscal year! The City of Jacksonville pools has averaged 355,000 gallons of usage the past two years with Odyssey Ultrachlor. Prior to that,they used 430,000 gal Ions using another supplier(Reference: Rick Sawyer,904-630-5401). Several years ago,the City of Edgewater and Port Orange switched suppliers because of quality issues and is using a lot less bleach. Both of these entities documented a 30%to 35% reduction in hypochlorite usage during FY 2009 when adjusted for flows after switching to Odyssey Manufacturing Co. (Reference: Steve Miller, City of Port Orange, WT Chief Operator,386-756-5380 and Bob Polizzi,City of Edgewater, WT Chief Operator, 386-424-2490). In the last twelve month period from February 2009—January 2010,the City of Tampa used 226,477 gallons of Odyssey Ultrachlor. The previous 12 months they used 700,000 gallons per year with their sodium hypochlorite supplier(Reference: John Peckett, Utility Operations, 813-247-3451). Sodium hypochlorite is the most important chemical you purchase. Its use is mandated by an assortment of regulatory agencies and its failure can lead to severe consequences for the utility including system wide boiled water notices and hefty FDEP and EPA fines. Hypochlorite is very unique because of its essential use in water treatment, short shelf life;"just in time"delivery requirements and rapid degradation if fouled by impurities in the manufacturing process. Sodium hypochlorite is the only chemical Clay County purchases that if you leave it in a drum for one year will be completely gone. For example,a drum of 50%caustic will still be a drum of 50%caustic after one year. A drum of 12.5%sodium hypochlorite will be salt water after one year with no disinfection capability. A drum of 50%caustic laden with 2 ppm iron and other metals will still be a drum of 50%caustic after one week(or even after one year). A drum of 12.5% sodium hypochlorite • containing 2 ppm iron and other metal impurities will be a drum of 5%—6% sodium hypochlorite after one week and thus have half the disinfection power and require twice as much to be fed. As you know,Odyssey provides a superior product for two reasons: (1) We have a superior process; and(2) We care about quality(we just don't pay lip service to it and tell you we are"improved"or just as good as Odyssey). Frankly, if 95%of our business was pool stores to which we delivered 8% -9% bleach laden with iron,metals, sludge and other impurities to them because they don't care about quality why would we bother to spend an extra$.20 per gallon to make the correct strength bleach and another$.05 per gallon to properly filter the bleach? Instead,I would probably target the 4%of the municipal market which buys on"price per gallon"and not the total cost when usage and maintenance is factored in and sell them the same slop. This same group doesn't care when their bleach comes late or doesn't come at all either because they continue to put up with it as long as they perceive they are paying less per gallon. It is not what a company says they will do it is what they have consistently done in the past is what you will get! Please call our customers to compare Odyssey Ultrachlor with other suppliers! Because of its short shelf life, buying a superior quality sodium hypochlorite will result in significant savings. We have examined your specifications and can comply with all the requirements. The CCUA has 146 employees and is supervised by seven appointed members known as The Board of Supervisors. 1.2 Proposal Due Date- Complete proposals are due in triplicate no later than 10:00 A.M., on September 2,2015. It is possible that the CCUA, in its judgment, may consider a proposal unacceptable solely because one of these key items is unsatisfactory. For example,a proposal may be considered unacceptable solely on the basis of unsatisfactory cost,or unacceptable solely on the basis of unsatisfactory safety record, etc. 2. BIDDER QUALIFICATION/SUBMITTALS 2.1 Definition: For purposes of this Bid,the term"Bidder"shall be defined as the company submitting a bid to CCUA and shall include all subsidiaries,affiliates, and subcontractors. As such,any requested documentation shall apply to all subsidiaries and affiliated companies as well as any subcontractors. In the event that a company is using a subcontractor to either manufacture or deliver the product,the requested items (e.g., references,terminations, and safety incidents)shall apply to the subcontractor as well. 2.2 Sodium Hypochlorite Bid Sample: Because of its relatively short shelf life and propensity to foul chemical feed equipment,each prospective Bidder shall submit a 1500 ml "chilled"sample of their sodium hypochlorite representative of their manufacturing process from Bidder's manufacturing facility which would serve the customer to one of the approved testing laboratories listed in this Specification for analysis within the past ninety(90)days. The laboratory shall ascertain whether the Bidder's product is in compliance with this Specification for available chlorine,%sodium hypochlorite,excess caustic, iron,copper,nickel,chlorate, bromate and suspended solids(based on Filter Test time). The cost of the analysis shall be borne by Bidder. The results of the analysis shall be submitted with the Bidder's proposal. Failure to submit a sample or meet the requirements of the Specification shall result in Bidder being disqualified. 2.3 Other Samples: Further, the CCUA reserves the right to take samples from Bidder's other customers to ensure that the Bidder's product and delivery equipment is in compliance with all the requirements of this Specification and such a sample shall be judged representative of the Bidder's quality. The Bidder shall provide a customer contact and phone number in Clay,Duval or St. John's Counties whereby the CCUA may obtain sample of Bidder's product(s)to check it for compliance with the Specification. The CCUA may choose to obtain a sample from this customer or from any of Bidder's customers to ensure compliance with the Specification. In such event,the CCUA shall bear the cost of any analysis. Based on this compliance check, failure to meet the requirements of this Specification shall result in Bidder being disqualified. 2.4 References: Each prospective Bidder shall submit a list of at least twenty(20)references to include phone numbers that use or have used its products at both water and wastewater treatment plants in the past two years. For a bidder bidding multiple products,at least ten of these references must be listed for each specific product that the Bidder is bidding upon. The Reference List shall list actual users at the water and wastewater plants and not purchasing agents. Additionally,each Bidder shall provide the names of any customers where its contract was terminated early(e.g.,debarred)for safety,quality, or service issues for any product it supplies over the past five years. The Bidder shall also provide a detailed listing of all accidents, incidents, releases, spills, vehicle accidents involving death or injury and National Response Center Notifications("safety incidents")for all chemicals it delivers or manufacturers for the past five(5)years. Failure to disclose references,terminations,or safety incidents will result in Bidder being disqualified from bidding on this product. 4f Page CCUA BID No. 14/15-A13 Chemical Supplier 2.5 Emergency Plans: As part of its Emergency Preparedness Planning and Spill Response Plan, each prospective Bidder shall submit a list with 24-hour access phone numbers of at least two degreed engineers (preferably Chemical Engineers)listing their degree,college or university and year of graduation, experienced in chemical operations to provide emergency support services on a 24/7 basis in the event of a spill, equipment failure or other emergency. Failure to submit this list including its specific requirement will result in Bidder being disqualified. 2.6 Safety and Reliability: As part of assessing the Bidder's reliability and safety record,the prospective Bidder shall include all regulatory actions including but not limited to, copies of any fines, correspondence and consent orders relating to the operation of ALL of its manufacturing and distribution facilities that serve the Florida market. Additionally, the Bidder shall submit a copy of its OSHA Form 300A/300 logs for the past three years(with the names blacked out for privacy reasons) for ALL of the facilities that serve the Florida market(if the Bidder utilizes a third party driving company or affiliated company,then they shall submit the OSHA 300 logs for that company as well). The CCUA may require a site visit to the Bidder's manufacturing and/or distribution facilities to assess their safety and reliability as part of the bid evaluation process. 3. COMMERCIAL CONDITIONS 3.1 Term: The initial term of the contract for each of the chemicals shall be for one (1)year("Initial Term") with up to four(1)one year renewal periods. Each of the renewal periods is subject to mutual agreement and approval by both the CCUA and the Contractor. 3.2 Pricing: All pricing shall be in terms of a price per gallon,price per pound, or price per container as indicated for each of the chemicals (freight prepaid FOB to each CCUA facility). The price of the chemical shall be fixed for the Initial Term of this agreement and shall not be subject to any price escalation or fuel surcharges(the"Base Price"). If the parties agree to renew the agreement, CCUA may consider a price increase in either of the renewal years based on verifiable changes in the marketplace. 3.3 Payment Terms: NET 30 days. 4. DELIVERY REQUIREMENTS The sodium hypochlorite Contractor shall make"normal"deliveries within three(3)calendar(i.e.,not "working"days)days after receipt of order and must make"emergency"deliveries within 24 hours. An emergency delivery is defined as a delivery which is necessary in order to prevent CCUA from running out of that particular chemical in less than 24 hours. CCUA shall endeavor to minimize the number of "emergency"deliveries. Emergency deliveries shall be made at no additional charge. Other than sodium hypochlorite,the Contractor shall make "normal"deliveries within five(5)working days after receipt of order and must make"emergency"deliveries of some quantity within 48 hours. An emergency delivery is defined as a delivery which is necessary in order to prevent CCUA from running out of that particular chemical in less than 48 hours. CCUA shall endeavor to minimize the number of "emergency"deliveries. Emergency deliveries shall be made at no additional charge. 5 I Page CCUA BID No, 14/15-A13 Chemical Supplier All deliveries of chemicals shall be freight prepaid,F.O.B. to each CCUA facility. Delivery time of day shall be arranged upon placement of order and shall be Monday through Friday, between the hours of 7:00 a.m. and 3:30 p,m. Requests to deviate from this schedule must be confirmed with CCUA 48 hours prior to the scheduled delivery and must conform to the delivery conditions set forth in these specifications. Deliveries made to unmanned facilities must be coordinated with the CCUA so driver can gain access to the facility. All bulk deliveries shall be made by properly cleaned carrier tank truck to the locations specified in paragraph 5 below. Packaging and shipment of all chemicals shall conform to all current regulations of the State ofFlorida, the United States Department of Transportation and all other applicable regulatory agencies. All delivery personnel must have company cell phones to facilitate deliveries to unmanned and maimed facilities. The CCUA reserves the right to change quantities and delivery dates at its discretion with a 24-hour notice. The Contractor shall be responsible for pumping all bulk deliveries into the storage tanks at the delivery sites and shall provide all necessary hoses,fittings, air-padding, pumps,etc. required to safely and efficiently"offload"the chemicals into designated storage tanks. Contractor shall be responsible for ascertaining the correct storage tanks and fill point locations to prevent accidental discharge of the product into the wrong storage tank(s). The Contractor shall be responsible for any spills resulting from the failure of its or its subcontractor's delivery equipment or from failure of attendant delivery personnel in the proper performance of their duties. Proper performance shall require attendant delivery,personnel's constant inspection and observation of unloading operations,and knowledgeable response to problems or emergencies,which would most commonly be expected to occur. The CCUA reserves the right to refuse any and all deliveries made with equipment that is poorly maintained and/or leaking. The tanks or trailers shall be clean and free of residue that may contaminate the Contractor's product or impede the unloading process. It is the Contractor's responsibility to verify the cleanliness of the transporting equipment before loading. All appurtenant valves,pumps, and discharge hoses used for the delivery of chemicals shall be supplied by the Contractor and shall be clean and free from contaminating material. The CCUA may reject a load if the equipment is not properly cleaned. Contractor shall furnish the CCUA an approved, leak-free connection device between its trailer or tanks and the CCUA's intake receptacle. The Contractor shall observe the entire filling operation at each delivery site and shall immediately report any spills caused during the filling operations. The Contractor shall take immediate and appropriate actions to clean up any spilled chemical. If the spill is not cleaned up,the CCUA will hire a certified hazardous material handling company to clean up the spill,and the cost of such service will be charged to the Contractor and deducted from the amount due to the Contractor. If the CCUA's unloading equipment such as pipe,valves or level indication and alarms should fail and the spillage is not the fault of the Contractor or its subcontractor,the Contractor shall be relieved of cleanup of the spill. 6IFage CCUA BID No. 14/15-A13 Chemical Supplier For deliveries requiring a forklift, Contractor shall ensure that its equipment is in good working shape with no oil Ieaks and that its driver is properly trained in accordance with all applicable OSHA regulations on the safe operation of the forklift. Because of escalated security and safety concerns, all delivery vehicle drivers shall be U.S. citizens and have a proper commercial driver's license with a Hazardous Material endorsement. Contractor's drivers shall display their drivers' licenses,whenever requested by the CCUA during the delivery. In addition, Contractor shall supply the CCUA with a"CD"of digital photographs of all of its delivery drivers including names, social security numbers,and birthdates. Contractor shall send out an updated CD within 24 hours of any changes to its drivers and also notify CCUA 24 hours in advance of who will be delivering the chemicals. The CCUA shall use the CD to verify whether driver is actually an employee of the Contractor. Failure to show proper license or failure of driver to be listed on the CD provided to the CCUA shall result in possible rejection of delivery and subsequent termination of the Contractor's supply agreement. Delivery shipments which fail to meet any of the requirements of the Specification will be rejected. In the event that a delivery shipment is rejected,upon notification to the Contractor that the shipment is rejected, Contractor shall be required to ship a replacement delivery to the affected location within four (4)hours from time of notification. Failure to provide replacement product that meets the Specification within the specified time period will constitute failure to comply with the delivery requirements set forth in this document. 5. DELIVERY LOCATIONS Delivery sites and quantities are subject to deletions or additions as necessary to meet the water and wastewater treatment demands of the CCUA. Split deliveries to multiple locations will be coordinated and accepted by the CCUA, when possible,to encourage economical delivery of product via bulk tankers dependent on storage capacities at time of delivery. However, Bidder should note the minimum delivery requirement for each item and be prepared to deliver this quantity when required,at no additional cost. The annual chemical usages are estimates only and the CCUA shall not be bound by these amounts in its contract with Contractor. Delivery Locations: See Appendix A 6. The CCUA will supply the sample container and the driver shall collect the sample from the tank truck and turn it over to the CCUA. The sample shall be considered representative of the lot. The CCUA reserves the right to subject samples of the chemical to quick analyses to ensure that it meets basic conditions of the Specification with respect to specific gravity and for sodium hypochlorite(weight percent, impurities, sodium hydroxide and suspended solids). Any lot tested by the CCUA that fails to comply with the Specification shall constitute grounds for rejection of that lot. No payment shall be made for any chemical that is rejected. The Contractor or its subcontractors shall allow 60 minutes for this testing to be completed. If testing can not be completed within the 60-minute period,the CCUA shall allow the Contractor to unload the shipment. In the event that the load is rejected,the Contractor shall have four(4)hours to supply another shipment. In the event that the Contractor is unable or unwilling to supply another shipment within this time period,the CCUA has the right to procure a shipment from another source. Three rejections of a lot or shipment during any period of this contract shall constitute automatic termination of the Contractor's supply contract with the CCUA. 6.3 Sampling and Testing of Shipment after Unloading. The CCUA reserves the right to subject samples of any delivered chemical to complete analyses to ensure that it meets the Specification. Three failures during any period of this contract shall constitute automatic termination of the Contractor's supply contract with the CCUA. 6.4 Certified Analysis. Contractor shall supply an affidavit,signed by a corporate designated official, certifying that the chemical furnished by the Contractor, complies with all applicable requirements of this Specification. 6.5 Manufacturer's Laboratory Delivery Reports 6.5.1 A certified report from the manufacturer shall be submitted for each chemical delivery to the CCUA. Additionally,the sodium hypochlorite report shall contain the following data: Date and Time of Manufacture Percent by Weight Sodium Hypochlorite Percent by Weight Excess Sodium Hydroxide Specific Gravity(Referenced to a temperature) 8I Page CCUA BID No. 14/15-A13 Chemical Supplier Suspended Solids Test Time No deliveries will be accepted by the CCUA unless accompanied by said certified laboratory report for the specific batch of chemical delivered showing the above data and that it conforms to the Specification. Regardless of whether at different delivery sites,failure to comply with this provision three (3)times during the contract period shall constitute sufficient grounds for termination of the contract between the CCUA and the Contractor. 6.6 Quarterly Reports for Sodium Hypochlorite-At the start of the contract and thereafter.each quarter,the CCUA shall utilize one of the approved testing agencies listed in this Specification to analyze a sample of the liquid sodium hypochlorite delivered to the CCUA. The Contractor shall supply the sample container and the driver shall collect the sample from the tank truck. This sample will be given to the CCUA at the time of the sample and the CCUA shall "chill the sample"and then forward it to the approved authorized testing agency. Any failure to comply with the Specification shall constitute grounds for cancellation of the contract between the CCUA and the Contractor. The cost of such testing shall be paid by the Contractor and this cost should be included in the Contractor's bid price. 6.7 Sodium Hypochlorite Tank Cleanings-At any time during the performance of this Agreement, if the CCUA has any sort of sludge or other impurity buildup in any of its sodium hypochlorite tanks, the Contractor shall cleanout the tank at no charge to the CCUA within seven(7)days,unless such timeframe is extended by the CCUA. The cleanout should be done in such a manner so that it is done safely with no loss of disinfection to the affected plant, and the contents disposed of in accordance with current regulations on disposal of hazardous wastes. The Contractor shall submit a procedure to the CCUA for approval prior to this work being completed. The determination of whether there is any such sludge or impurity buildup in the tanks will be at the sole discretion of the CCUA. When the tank has been properly cleaned,the Contractor shall refill the tank with clean, fresh sodium hypochlorite at no cost to the CCUA. Failure of the Contractor to cleanout the tank and replace the sodium hypochlorite within seven(7)days after being served notice(or within any extension of this timeframe specified by the CCUA)shall be cause for immediate termination of the sodium hypochlorite supply agreement between the CCUA and the Contractor. 91Page CCUA BID No. 14/15-A13 Chemical Supplier 7. OCCUPATIONAL HEALTH AND SAFETY 7.1 Contractor Safety Requirements-Contractor must ensure delivery personnel's compliance with all OSHA requirements, including personal protective equipment for Contractor delivery personnel, including without limitation chemical goggles,transparent face shield and hard hat, rubber gloves, rubber boots,and rubber or plastic-coated fabric apron or slicker suit. Contractor delivery personnel must wear at minimum, chemical goggles and rubber gloves when handling hoses and valves. Contractor delivery personnel must remain within a safe proximity while the transfer is in progress and continuously monitor for leaking hoses, connections,or other problems. It is the responsibility of Contractor delivery personnel to contain leaks and to report any and all spills. 7.2 Material Safety Data Sheets - In compliance with Chapter 442 Florida Statutes, any chemical delivered from a Contractor,must be accompanied by a Material Safety Data Sheet(MSDS). The MSDS must be maintained by the user agency and must include the following information: The Chemical Name and the common name of the toxic substance The hazards and other risks in the use of the toxic substance, including: The potential for fire,explosion,corrosivity and reactivity; The known acute and chronic health effects of risks from exposure, including the medical conditions which are generally recognized as being aggravated by exposure to the toxic substance; The primary routes of entry and symptoms of overexposure. The proper precautions,handling practices,necessary personal protective equipment, and other safety precautions in the use of,or exposure to,the toxic substances, including appropriate emergency treatment in the case of overexposure. The emergency procedure for spills,fire,disposal and first aid. A description,in lay terms,of the known specific potential health risks posed by the toxic substance intended to alert any person reading this information. The year and month, if available,that the information was complied and the name, address, and emergency telephone number of the manufacturer responsible for preparing the information. The Contractor shall supply in writing, an emergency spill response plan with appropriate emergency response personnel names(to include at least two degreed engineers) and telephone contact numbers(24-hour contact numbers) within 30 days of award and acceptance of the contract to supply any chemical listed hereunder. In addition,the proper spill response notification procedure, along with any forms required by all local,state or federal regulatory agencies,shall be supplied by the Contractor. 10 ' Page CCUA BID No. 14/15-A13 Chemical Supplier This section in no way relieves the Contractor of his responsibility to notify the proper regulatory agencies in the event of a spill incident. In the event of a spill or leak,the Contractor shall supply the necessary personnel (including one degreed engineer)to immediately respond to such an event, to work with the local Hazardous Materials Response Team and to manage and oversee"after event" cleanup efforts. Should a spill or leak occur, caused by Contractor's personnel, equipment or method of delivery,Contractor shall immediately comply with all applicable terms and conditions of the current version of Title III, Superfund Amendments and Reauthorization Act of 1986,42 U.S.C.S. 11001,et seq. (SARA) and the Florida Hazardous Materials Emergency Response and Community Right to Know Act of 1988,Chapter 252,Part II, Florida Statutes. The responsibility for compliance with Federal and State rules and regulations regarding Contractor caused spills or releases shall be the sole responsibility of the Contractor. The Contractor shall indemnify and hold the CCUA harmless for any failure to properly report and/or comply with this provision. In addition,the Contractor shall bear all expenses of spills, unless caused by the sole negligence of the CCUA. 7.4 Safe Handling Training. The Contractor shall provide an appropriate safe handling training course for any chemical that it supplies within the first month of the contract,to all current CCUA operations personnel and shall be available to conduct"refresher"courses or new employee training at six(6)month intervals during the contract period. The Contractor shall provide this assistance at no charge to the CCUA. 7.5 Technical Assistance. The Contractor shall provide technical assistance, as needed, regarding the application of its product and disposal and handling of residues and sludge's produced by the application of its chemical in the water treatment or wastewater treatment process. The Contractor shall provide this assistance at no charge to the CCUA. 8. TERMINATION In addition to the various statements in this Specification stating the grounds for automatic termination of the Contractor's contract to a specified chemical,and in addition to any other remedies,including the right to obtain cover and charge Contractor for the costs of cover. "Cover" is defined as the right of the CCUA to obtain a replacement product from another source in the event that the Contractor is unable to supply product in accordance with the Specification and the Contractor pays the cost difference, if any, between its contracted price and the price the CCUA paid for the replacement product. Contractor's failure to comply with this Specification three(3)times over the duration of this contract shall constitute sufficient grounds for termination of the contract by the CCUA.
