I hope this letter finds you well. I am writing to inform you of our decision to cancel the
contract between the Village of Tequesta and Public Affairs Consultants.
According to the terms and conditions outlined in the contract, I am providing a 60-day notice
period for cancellation, as per the stipulated cancellation clause. Therefore, this letter serves as
an official notice of cancellation.
I kindly request you to acknowledge the cancellation and take the necessary steps to halt any
ongoing services or arrangements mentioned in the contract outside of the 60 days.
Additionally, please confirm in writing of any associated fees or obligations resulting from the
cancellation.
I would appreciate receiving a written acknowledgment of this cancellation notice within five
business days to ensure a smooth transition. If you have any questions or require further
information regarding this cancellation, please do not hesitate to contact me at (561) 768-0465

I genuinely regret any inconvenience caused by this decision, but circumstances have
necessitated the cancellation. I genuinely value the business relationship we have had and hope

AUTHORITY TO REPRESENT, FEE AND COST AGREEMENT
THIS AGREEMENT is made this 15t day of December 2019, by and between PUBLIC AFFAIRS
CONSULTANTS, INC., a Florida corporation, hereinafter referred to as "Contractor," and the Village of
Tequesta, a Florida municipal corporation, hereinafter referred to as "Village." In consideration of the
mutual covenants hereafter set forth, the Village agrees to retain the Contractor and the Contractor
agrees to use his/her best efforts to perform the following services mutually determined to be necessary
to conduct a public affairs program for the benefit of the Village. This public affairs program includes but
is not limited to representation before the Florida Legislature, its committees, and staff as well as
appropriate state agencies. Subject to the terms and conditions hereinafter set forth, the Contractor shall
determine the specific elements of each category of services.
SCOPE OF SERVICES: The Contractor shall consult and advise, as requested, on all proposed or pending
legislation before the Florida Senate and House of Representatives in regular session, special session or
committee of the Florida House and Senate, and regulatory or funding matters before the Governor,
Cabinet, State agencies, or other public bodies of the State on an "as needed" basis, including but not
limited to:
a. Assisting the development of strategies to deal with the governmental agencies that
regulate and fund municipal programs such as infrastructure, transportation, land use,
environmental, annexations, and housing programs;
b. Advocating Village interests during the Florida legislative or regulatory process;
c. Conferring with the appropriate Palm Beach County staff and Commissioners in the
development of annexation and/or other legislative issues at the County level on behalf
of the Village of Tequesta.
REPORTS: The Village is entitled to be advised as often as the Village sees fit, of the status of work which
the Contractor is performing and in such detail as the Village may specify. All reports prepared or obtained
under this Agreement shall be considered works for hire and shall become the property of the Village
without restriction or limitation on their use. At the termination of this Agreement, the Contractor shall
deliverto the Village all papers, surveys, reports and other material to which the Village has exclusive rights
by virtue of this Agreement, or of any business done by the Contractor on behalf of the Village. The
Contractor shall submit at a minimum a monthly written report during the regular session and special
session, and a summary of all legislative changes at the end of the regular session and any special session
to the Village with respect to actions taken on behalf of the Village.

TERMS AND CONDITIONS
FEES: Fees for these services shall be $2,000.00 per month ("base fee"), payable in advance, on or before
the first day of each month. This agreement shall continue in full force and effect without the right of
cancellation until September 30, 2020. Thereafter, this agreement shall renew automatically for
successive annual terms each October 1, unless and until either party gives a minimum of 60 days' notice
(no later than July 31) of its intent to not renew the agreement.
EXPENSES: The Village agrees to reimburse the Consultant for reasonable costs incurred and
expenditures made on behalf of the Village, including, but not limited to, travel and costs of
entertainment in conjunction with representation of the Village in an amount not to exceed Two
Thousand Dollars ($2,000.00) per annual agreement term. Expenses in excess of this amount must be
approved by the Village Manager in advance of being incurred, and if not approved in advance shall not
be reimbursed by the Village. Statements reflecting such expenditures will be rendered at such intervals
as the consultant shall deem appropriate and such statements for expenditures shall be due and payable
in accordance with the Florida Local Government Prompt Payment Act, Ch. 218, Part VII, F.S. No part of
the Consultant fee forservices shall include the expenses described herein. The Village shall not request,
and the Consultant shall not provide any written statement of names of people entertained.
BILLING PROCEDURES: The Consultant agrees to bill the Village monthly except as otherwise described
in this agreement. All statements are due and payable in accordance with the Florida Local Government
Prompt Payment Act, Ch. 218, Part VII, F.S. at the address of the Consultant at 730 East Park Avenue,
Tallahassee, FL 32301.
DEFAULT: In the event that either party shall breach any of the provisions of this agreement, and either
party shall bring legal action to remedy such breach, each party shall be responsible for its own fees and
costs, including attorney's fees.
GOVERNING LAW: This agreement shall be governed by the laws of the State of Florida.
VENUE: The parties agree that Leon County, Florida, shall be the venue for any legal action required to
enforce the terms of this agreement.
The parties acknowledge and agree that the Consultant will use its best efforts to expedite the solution
to the' above matters; however, it does not guarantee any result or agree to undertake any
representation involving any illegal acts of any type or kind.
