Regular Council STAFF MEMO ' t .0 Meeting: Regular Council -Apr 08 2021 Staff Contact: Matthew Hammond, Utilities Department: Utilities Director [EDIT I Approve Contract Award - Degasifier and Scrubber Maintenance Services —Membrane Treatment Services LLC The Utilities Department has a need to perform extensive maintenance and repairs to Degasifier and Scrubber Systems No. 1 and No. 2 at the water treatment plant (WTP). The degasifier and scrubber systems are an integral part of the membrane treatment process that remove dissolved gasses such as hydrogen sulfide from the treated water. Degasifier and Scrubber System No. 1 was installed in 1999 with the first phase of membrane process and System No. 2 was installed in 2011 when the membrane process was further expanded. Neither system has had substantial maintenance services since they were commissioned. As a result, a project was budgeted during the current fiscal year to complete extensive maintenance System No. 1 and No. 2, including replacement of the original internal media, to ensure the systems continue to operate as designed. To ensure the lowest possible price for this work, the Village issued a Request for Quotes (RFQ) on March 9th, 2021 for the maintenance services to Degasifier and Scrubber Systems No. 1 and No. 2. This process was completed by the Village through a competitive selection process — Degasifier and Scrubber Maintenance Services — RFQ No. UTIL 02-21. The RFQ was advertised through Demandstar and broadcast to 246 industry specific vendors. As a result of the Village's RFQ, the following two quotes were received: Vendor Total Bid JAM Environmental & Vacuum Services, LLC $139,772.00 Membrane Treatment Services, LLC $675317-51 After review of the two quotes received staff is requesting Council to approve an agreement in the amount of $67,317.51 to with Membrane Treatment Services, LLC to complete the needed degasifier and scrubber maintenance. If approved, it is estimated that the proposed Degasifier Media Replacement and Scrubber Cleaning project is expected to be completed in Summer 2021. VILLAGE OF TEQUESTA AGREEMENT FOR DEGASIFIER AND SCRUBBER MAINTENANCE SERVICES THIS AGREEMENT FOR DEGASIFIER AND SCRUBBER MAINTENANCE SERVICES ("Agreement") is entered into and effective this day of , 2021 (the "Effective Date"), by and between the VILLAGE OF TEQUESTA, a Florida municipal corporation with offices located at 345 Tequesta Drive, Tequesta, Florida 33469, organized and existing in accordance with the laws of the State of Florida, hereinafter the "Village"; and MEMBRANE TREATMENT SERVICES, LLC a Florida Limited Liability Company with offices located at 1024 Grandview Boulevard, Fort Pierce, Florida 34982, hereinafter the "Contractor" and collectively with the Village, the "Parties". WITNESSETH The Village and the Contractor, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by both Parties, hereby agree as follows: 1. SCOPE OF SERVICES: The Parties hereby agree to enter into this Agreement whereby the Contractor shall provide services which include, but are not limited to, the removal and disposal of degasifier packing media, interior cleaning, providing new packing media, and disinfection of two forced draft product water degasifier systems as well as providing labor, materials and support equipment to clean -in -place two, two -stage scrubbers. The Contractor shall provide the above -described services pursuant to all applicable statutory, licensing and Village code requirements. The Parties agree to enter into this Agreement pursuant to the Village's RFQ # UTIL 02-21 and supporting Summary of Work, which are hereby fully incorporated into this Agreement and attached hereto as Exhibit "A". 2. COMPENSATION: In consideration for the above Scope of Services, pricing shall be pursuant to the prices provided in the Contractor's Quote No. QC200801.4, which is fully incorporated into this Agreement and attached hereto as Exhibit "B". 3. TERM; TERMINATION; NOTICE: This Agreement shall commence upon the Effective Date or when the Village issues a Notice to Proceed, whichever is later. Upon this Agreement's commencement date, and pursuant to Exhibit "A", the Contractor shall have ninety (90) days to substantially complete all services pursuant to this Agreement ("Substantial Page 1 of 7 Page 327 of 406 Agenda Item #16. Completion"), and one hundred and five days (105) to finally complete all services pursuant to this Agreement ("Final Completion"). The Contractor shall pay the Village fifty dollars ($50.00) per day for each and every calendar day of unexcused delay in achieving Substantial Completion or Final Completion of the services pursuant to this Agreement. This Agreement may be terminated for convenience by either party upon thirty (30) days' written notice to the other party. INSURANCE: The Contractor shall provide proof of workman's compensation insurance and liability insurance in such amounts as deemed sufficient by the Village within Exhibit "A" and shall name the Village as an "additional insured" on the liability portion of the insurance policy. 5. INDEMNIFICATION: The Contractor shall at all times indemnify, defend and hold harmless the Village, its agents, servants, and employees, from and against any claim, demand or cause of action of whatsoever kind or nature, arising out of error, omission, negligent act, conduct, or misconduct of the Contractor, its agents, servants, or employees in the performance of services under this Agreement. Nothing contained in this provision shall be construed or interpreted as consent by the Village to be sued, nor as a waiver of sovereign immunity beyond the waiver provided in Section 768.28, Florida Statutes. 6. PUBLIC ENTITIES CRIMES ACT: As provided in Sections 287.132-133, Florida Statutes, by entering into this Agreement or performing any work in furtherance hereof, the Contractor certifies that it, its affiliates, suppliers, subcontractors and consultants who will perform hereunder, have not been placed on the convicted vendor list maintained by the State of Florida Department of Management Services within thirty-six (36) months immediately preceding the date hereof. This notice is required by Section 287.133(3)(a), Florida Statutes. Page 2 of 7 Page 328 of 406 Agenda Item #16. 7. INDEPENDENT CONTRACTOR: It is specifically understood that the Contractor is an independent contractor and not an employee of the Village. Both the Village and the Contractor agree that this Agreement is not a contract for employment and that no relationship of employee —employer or principal —agent is or shall be created hereby, nor shall hereafter exist by reason of the performance of the services herein provided. 8. INSPECTOR GENERAL: Pursuant to Sections 2-421 2-432 of the Palm Beach County Code of Ordinances, the Office of the Inspector General has jurisdiction to investigate municipal matters, review and audit municipal contracts and other transactions, and make reports and recommendations to municipal governing bodies based on such audits, reviews, or investigations. All parties doing business with the Village shall fully cooperate with the inspector general in the exercise of the inspector general's functions, authority, and power. The inspector general has the power to take sworn statements, require the production of records, and to audit, monitor, investigate and inspect the activities of the Village, as well as contractors and lobbyists of the Village in order to detect, deter, prevent, and eradicate fraud, waste, mismanagement, misconduct, and abuses. 9. E-VERIFY ELIGIBILITY: The Contractor warrants and represents that it is in compliance with Section 448.095, Florida Statutes, as may be amended. No later than January 1, 2021, the Contractor shall: (1) register with and use the E-Verify System (E-Verify.gov) to electronically verify the employment eligibility of all newly hired workers; and (2) verify that all of the Contractor's subconsultants performing the duties and obligations of this Agreement are registered with and use the E-Verify System to electronically verify the employment eligibility of all newly hired workers. The Contractor shall obtain from each of its subconsultants an affidavit stating that the subconsultant does not employ, contract with, or subcontract with an Unauthorized Alien, as that term is defined in Section 448.095 (1)(k), Florida Statutes, as may be amended. The Contractor shall maintain a copy of any such affidavit from a subconsultant for, at a minimum, the duration of the subcontract and any extension thereof. This provision shall not supersede any provision of this Agreement which requires a longer retention period. The Village shall terminate this Agreement if it has a good faith belief that the Contractor has knowingly violated Section 448.09(1), Florida Statutes, as may be amended. If the Contractor has a good faith belief that the Contractor's subconsultant has knowingly violated Section 448.09(1), Florida Statutes, as may be amended, the Village shall notify the Contractor to terminate its contract with the subconsultant Page 3 of 7 Page 329 of 406 Agenda Item #16. and the Contractor shall immediately terminate its contract with the subconsultant. In the event of such contract termination, the Contractor shall be liable for any additional costs incurred by the Village as a result of the termination. 10. SCRUTINIZED COMPANIES: For Contracts under $1M, the Contractor certifies that it is not on the Scrutinized Companies that Boycott Israel List created pursuant to Section 215.4725, Florida Statutes, and that it is not engaged in a boycott of Israel. The Village may terminate this Agreement at the Village's option if the Contractor is found to have submitted a false certification as provided under Section 287.135(5), Florida Statutes, if the Contractor has been placed on the Scrutinized Companies that Boycott Israel List created pursuant to Section 215.4725, Florida Statutes, or if Contractor is engaged in a boycott of Israel. For Contracts over $1 M, the Contractor certifies that it is not on the Scrutinized Companies with Activities in Sudan List, the Scrutinized Companies with Activities in the Iran Petroleum Energy Sector List, or the Scrutinized Companies that Boycott Israel List created pursuant to Section 215.4725, Florida Statutes. The Contractor further certifies that it is not engaged in a boycott of Israel, and that it does not have business operations in Cuba or Syria, as similarly provided in Section 287.135, Florida Statutes. The Village may terminate this Agreement at the Village's option if the Contractor is found to have submitted a false certification as provided under Section 287.135(5), Florida Statutes or if the Contractor has been placed on one of the aforementioned lists created pursuant to Section 215.4725, Florida Statutes. Additionally, the Village may terminate this Agreement at the Village's option if the Contractor is engaged in a boycott of Israel or has been engaged in business operations in Cuba or Syria, as defined in Section 287.135, Florida Statutes. 11. ATTORNEY'S FEES: In the event a dispute arises concerning this Agreement, the prevailing party shall be awarded attorney's fees, including fees on appeal. 12. FORCE MAJEURE: The Contractor shall not be considered in default by reason of any failure in performance under this Agreement if such failure arises out of causes reasonably beyond the control of the Contractor or its subcontractors and without their fault or negligence. Such causes include, but are not limited to: acts of God; acts of war; natural or public health emergencies; labor disputes; freight embargoes; and abnormally severe and unusual weather conditions. 13. CHOICE OF LAW; VENUE: This Agreement shall be governed and construed Page 4 of 7 Page 330 of 406 Agenda Item #16. in accordance with the laws of the State of Florida, and venue shall be in Palm Beach County should any dispute arise with regard to this Agreement. 14. AMENDMENTS AND ASSIGNMENTS: This Agreement, all Exhibits attached hereto, and required insurance certificates constitute the entire Agreement between both Parties; no modifications shall be made to this Agreement unless in writing, agreed to by both Parties, and attached hereto as an addendum to this Agreement. The Contractor shall not transfer or assign the provision of services called for in this Agreement without prior written consent of the Village. 15. PUBLIC RECORDS: In accordance with Section 119.0701, Florida Statutes, the Contractor must keep and maintain this Agreement and any other records associated therewith and that are associated with the performance of the work described in Scope of Services. Upon request from the Village's custodian of public records, the Contractor must provide the Village with copies of requested records, or allow such records to be inspected or copied, within a reasonable time in accordance with access and cost requirements of Chapter 119, Florida Statutes. A Contractor who fails to provide the public records to the Village, or fails to make them available for inspection or copying, within a reasonable time may be subject to attorney's fees and costs pursuant to Section 119.0701, Florida Statutes, and other penalties under Section 119.10, Florida Statutes. Further, the Contractor shall ensure that any exempt or confidential records associated with this Agreement or associated with the provision of services contemplated herein are not disclosed except as authorized by law for the duration of the Agreement term, and following completion of the Agreement if the Contractor does not transfer the records to the Village. Finally, upon completion of the Agreement, the Contractor shall transfer, at no cost to the Village, all public records in possession of the Contractor, or keep and maintain public records required by the Village. If the Contractor transfers all public records to the Village upon completion of the Agreement, the Contractor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the Contractor keeps and maintains public records upon completion of the Agreement, the Contractor shall meet all applicable requirements for retaining public records. Records that are stored electronically must be provided to the Village, upon request from the Village's custodian of public records, in a format that is compatible with the Village's information technology systems. HEADINGS: The headings contained in this Agreement are provided for convenience only and shall not be considered in construing, interpreting or enforcing this Agreement. 17. SEVERABILITY: The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability or any other provision of this Agreement and this Agreement shall be construed and enforced in all respects as if the invalid or unenforceable provision is not contained herein. 18. WAIVER: No waiver by the Village of any provision of this Agreement shall be deemed to be a waiver of any other provisions hereof or of any subsequent breach by the Contractor of the same, or any other provision or the enforcement hereof. The Village's consent to or approval of any act requiring the Village's consent or approval of any act by the Contractor shall not be deemed to render unnecessary the obtaining of the Village's consent to or approval of any subsequent consent or approval of, whether or not similar to the act so consented or approved. 19. ENTIRE AGREEMENT: This seven (7) page Agreement constitutes the entire agreement between the parties; no modification shall be made to this Agreement unless such modification is in writing, agreed to by both parties and attached hereto as an addendum to this Agreement. SUMMARY OF WORK PART 1 GENERAL 1.01 SUMMARY A. Section includes: Detailed description of the Work. 1.02 THE WORK A. Work includes, but is not limited to, removal and disposal of degasifier packing media, interior cleaning, providing new packing media, and disinfection of two forced draft product water degasifier systems as well as providing labor, materials and support equipment to clean -in -place two, two -stage scrubber. The degasifier system provides for the removal of carbon dioxide and hydrogen sulfide from membrane permeate from the 3.6 mgd existing membrane treatment system. B. The work to be performed under this Contact shall consist of furnishing all tools, equipment, materials, supplies, and manufactured articles and for furnishing all transportation and services, including fuel, power, water, and essential communications, and for the performance of all labor, work, or other operations required for the fulfillment of the Contract in strict accordance with the Contract Documents. The Work shall be complete, and all work, materials, and services not expressly shown or called for the Contract Documents which may be necessary for the complete and proper construction of the Work in good faith shall be performed, furnished, and installed by the Contractor as though originally so specified or shown, at no increase in cost to the Owner. C. Except as specifically noted otherwise, provide and pay for: a. Insurance b. Labor, materials, and equipment. c. Tools, equipment, and machinery required for construction. d. Temporary facilities including sheeting and shoring. e. Traffic control and dust control measures. f. Other facilities and services necessary for proper execution and completion of the Work. D. Secure and pay for all permits (if required). E. Comply with codes, ordinances, regulations, orders, and other legal requirements of public authorities having bearing on the performance of the Work. F. In the event the Work of this Contract is not completed within the time set forth in the Contract or within the time to which such completion may have been extended in accordance with the Contract Documents, the additional Engineering or inspection charges incurred by the Owner may be charged to the Contractor and deducted from the monies due him. 1.03 PROJECT LOCATION A. All work shall be substantially complete within 90 calendar days and finally complete within 105 calendar days from the Notice to Proceed. B. Maintain overall coordination of the Work. B. Obtain construction schedules from each subcontractor, and require each subcontractor to maintain schedules and coordinate modifications. C. Normal working hours shall be between the hours of 7:00 am and 5:00 pm on weekdays (excluding Owner observed holidays). If it shall become imperative to perform work outside these normal work hours, the Contractor shall submit a written request to the Owner a minimum of ten (10) days in advance of the request to begin such work. Temporary fencing and all other necessary facilities for performing the work shall be provided and maintained by the Contractor. The Contractor shall pay for additional expenses, inspections and charges that may include Engineering or City employee charges on account of overtime or additional work that may be authorized. Such additional expenses and charges shall be a subsidiary obligation of Contractor and no extra payment shall be made by the Owner on account of such expenses and/or charges for overtime work or work outside the normal work hours. Quantity: Approximately 135 — 10 c.f boxes Page 337 of 406 Agenda Item #16. PART 3 EXECUTION 3.01 INSTALLATION A. The interior of the degasifier towers are confined spaces. During all inspection and construction activities, comply with all requirements of OSHA 29 CFR, Part 1926, including providing proper ventilation and air quality testing. B. Existing packing media removal. The existing packing media, including demister media, is to be removed and disposed. Shop drawings and pictures of the existing degasifier and scrubber systems and packing conditions are included in Appendix B to this section. C. Once the packing media is removed, the vessel and interior components shall be thoroughly cleaned in accordance with the Manufacturer's recommendations. D. Dispose of old packing and furnish and install new packing. E. Packing media shall be loaded to result in random dumped internal packing. Loading shall be performed in strict accordance with the degasifier manufacturer and packing media manufacturer's strict instructions. F. Following successful loading of the packing and demister media, Contractor shall flush and disinfect the interior of the degasifiers Paragraph 3.02 - Disinfection. G. PREPARATION OF CLEANING SOLUTIONS Prepare a volume of cleaning solution to fill the recycle tank or a cleam'ng tank to its norm-ial liquid level. Dilute acid will remove scale or sludge caused by elements that form insoluble carbonates, I sulfates, or hydroxides. Where cyanide or sulfide salts may be present, be sure that dissolution of the scale will not cause hydrogen cyanide or hydrogen sulfide to be released. A '2 % solution of sulfaic acid (HSoH2) ' r ' I in wate is prepared by dissolv'ng 18 pounds of dry sulfainic acid per 100 gallons of solution. Hydrochloric (Mul-latic) and suffinic acids are prepared by adding 2 gallons of 30% acid per 100 gallons of solution that is required_ A chlorine solution will remove deposits caused by growth of microorganisms (slime). Chlorine gas may be released if the pH of this solution is not kept above 8-9 units. A 2% solution of hypochlorite is prepared by adding 13 gallons of 15% conunercial. solution per 100 gallons of water. Other cases than those n-lentioned above will require individual analysis. It will be necessary to select a cleaning or agent that is compatible with the materials of construction, that is effective for ZID the particular foulant, and that is safe to use. The chemicals being added to the cleaning solution may (especially in their concentrated form) irritate or bum skin, eyes, and mucous membranes and may stain or destroy clothing. PACK CLEANING PROCEDURE The procedure for cleaning the packing in place is as follows: 1. Take the unit off-line. 2. Open the sump drain and discharge the entire contents of the suinp to a suitable wastewater treatment or disposal system. 3. Close the sump dra-In valve and fill the sump with the cleardng solution. The solution may be prepared separately or in the vessel unip. 4. Start the cleaning pump. Recirculate the solution through the vessel for at least 3 to 4 t:> hours, although 8 to 10 hours is preferred for best efficiency. 5. Stop the cleanm*g pump, dra-in the sump, and inspect the packing. If the packing still needs cleaning, repeat the procedure. 6. If the Packing is clean, refill the sump with fresh water and rw-1 the cleaning pump for 0 - a few minutes in order to rinse the unit. Drain the sump and repeat with fresh water. Finally, drain the sump again. 7. Inspect the unit sump and remove any foreign matter that may have accumulated. The unit is then ready for start-up. If the packing must be removed for cleaning, proceed as follows: 1. Take the must off-line. Open the swnp drain and discharge the entire contents of the suinp to a suitable wastewater treatixient or disposal system. 3. Remove the packing and dump into a cleaning tank. Flood the tank with cleaning solution and let stand for at least 3 to 4 hours, although 8 to 10 hours is preferred for best efficiency. During this time, maintain concentration in the solution by additioll of chemical as needed. Agitation of the solution is helpful. 4. When the packing is clean, drain the cleaning tank and refill with fresh water in order to iinse the packing material. Reheat with fresh water. Finally, drain the cleanirio tank- agall-1. CLEANING MIST ELIMINATORS Mist eliminators are manufactured with a variety of media elements. Chevron blades, random - dumped packing, and mesh pads are all used. If the unit has a washdown nozzle for the mist eliminator section, or if a. cleaning nozzle can be inserted through the spray header access port, the procedure for cleaning is as follows- 1.7 1. Turn fa D and pump motors off. Drain the vessel sump. Use only fresh water, wash down the pad for about five to ten minutes, or until the water from the drain is clean. 3. With inspection doors open., allow the media to drain for several hours. The filter must be dry before it is placed back into service. 4. Proceed with normal start-up. 5. Check the outlet stack. Some misting may occur for a short period of time. If it lasts for more than fifteen or twenty minutes, turn unit off and limnediately contact the factory. 6. If this procedure does not work, the m-edia elemeius must be removed in order to provide adequate washing and drying. If the mist eliminator must be removed, or if there is no way to use a washdown nozzle,, the procedure for cleaning is as follows: 1. Turn fan and pump motors off. Drain the surrip. 2. Open access doors and remove inist eliminator media., placing the elements into a cleaning tank. If there are no access doors, it will be necessary to remove the elements flu-ough the exhaust outlet of the vessel, or to constract an access port from which to rernove the elements.
