Authorize Addendum No 2 and Purchase Order with Shrieve Chemical for Purchase of Bulk 93%
Sulfuric Acid
The Utilities Department, throughout the year, has a need purchase sulfuric acid for use at the water
treatment plant. Sulfuric acid is is a critical part of the water treatment process used to adjust the pH of
water through the reverse osmosis process. To ensure the lowest possible price, the Village
piggybacked the current Town of Jupiter contract with Shrieve Chemical in November 2021. This
selection by the Town of Jupiter was completed through a competitive selection process — W2206Ba —
May 2021. The term of this contract is one (1) year expires on September 30, 2022. Due to the
unforeseen and unprecedented market conditions, Shrieve Chemical has requested a midyear price
increase to cover the supply increases in lieu of exercising the termination clause in the agreement.
The requesting rate through the remainder of the agreement is $273.94 per ton (23.5% increase).
Proposed Addendum No. 2 modifies the agreement to accommodate this request. Staff has vetted this
requested price increase and found it to be consistent with the increase requested of the Town of
Jupiter and less than the pricing with the Southeast Florida Governmental Purchasing Group Co-op,
which the Village is now a member of. The new rate will result in an increase of $2,500 for the purchase
of sulfuric acid in Fiscal Year22. As a result, an amendment increasing the existing purchase requisition
with Shrieve Chemical by $2,500 is requested based on the pricing in proposed Addendum No. 2.

SECOND ADDENDUM TO THE AGREEMENT
FOR PURCHASE OF SULFURIC ACID
BY AND BETWEEN
THE VILLAGE OF TEQUESTA
AND
SHRIEVE CHEMICAL COMPANY
THIS SECOND ADDENDUM, made and entered into this day of August 2022, by
and between the Village of Tequesta, Florida, a municipal corporation organized and existing in
accordance with the laws of the State of Florida with offices located at 345 Tequesta Drive,
Tequesta, Florida 33469, hereinafter referred to as the "Village", and Shrieve Chemical
Company LLC, a foreign limited liability company authorized to do business in Florida with
principal offices located at 1442 Lake Front Circle, Suite 500, The Woodlands, Texas 77380
hereinafter referred to as the "Contractor" (and collectively with the Village the "Parties"), both
of whom agree that the current Agreement for Purchase of Sulfuric Acid, which is a piggyback
agreement for the unit prices described in Contractor's Contract with the Town of Jupiter,
Florida pursuant to ITB No. W2206Ba, (hereinafter the "Agreement"), made and entered into
by the Village and the Contractor on the 15th day of November, 2021, and previously amended
by a First Addendum in July 2022 in conformance with Town of Jupiter ITB W2206Ba Change
Order No. 1, is now further amended to conform with Town of Jupiter ITB No. W2206Ba
Change Order No. 2 in the following manner:
Section l: Section 2 of the Agreement entitled `Compensation', previously amended
pursuant to Town of Jupiter ITB No. W2206Ba Change Order No. 1, is now further amended as
follows:
Pursuant to the unit prices and additional back up supporting the requested increase as contained
in Town of Jupiter ITB No. W2206Ba Change Order No. 2, attached to this Second Addendum
as Exhibit C �vX,;�.;0 "R", and in consideration for the above Scope of Services, pricing shall be
as follows:
Sulfuric Acid 93% (F.O.B.) - $217.19 per ton
Freight (F.O.B.) - $56.75 per ton
Total Price (F.O.B.) - $273.94 224,75 per ton
The Parties hereby agree to the Village's purchase of supplies and/or services in greater or lesser
amounts than those estimated in the Town of Jupiter Contract, as also referenced in Exhibit "A".
Following any delivery of the Product by the Contractor and subsequent acceptance by the
Village, the Contractor shall invoice the Village. The Village shall pay the Contractor within

forty-five (45) days after receipt and approval of any such invoice from the Contractor
documenting the amount due.
Section 2: All other Sections and recitals of the above -referenced Agreement shall
remain in full force and effect.
Section 3: This Second Addendum shall be attached to the current Agreement as
previously amended by the First Addendum thereto and shall become a part thereof.
IN WITNESS WHEREOF, the Contractor and the Village have signed and executed
this First Addendum with an effective date as noted above.

Thank you for your time on the phone this week. Per our discussion we are in unchartered waters and have seen
unprecedented cost increases since the inception of our supply contract. Sulfur which is the raw material that is used to make
the sulfuric acid that we supply you settled up $199.00 on 4/1/22 (from $282.00). This is the 2nd highest posting on record.
Sulfur is the byproduct of the oil refining process. |n/t\eUy prices began to spike due to Covid. The less people travel, the less oil
needs to be refined therefore less sulfur in the market. This cost increase was reflected in our bid response last May.
The most recent unforeseen event that we've faced is the conflict in Ukraine. Russia has historically exported approximately 3-
4m tons of sulfur. Due to sanctions and the lack of access to ports, this has tremendously tightened the market and driven up
prices to the 2'd highest posting on record. Per the attachment Green Markets explains the increase by saying: Players

Soviet Union (FS0countries, due either tosonctions, production cutbacks, or port closures, were described bymonyaso�ver.,
pushing up prices in a number of international markets. When we submitted our bid end of May 2021 the Green Markets
Tampa sulfur contract posting was at $192.00 (all postings are attached).
Per our discussion we would like to add a 'sulfur surcharge that would be adjusted on a quarterly basis (sulfur set|es
quarterly, and we can share this information with you). Sulfur settles each January, April, July, and October. This means that
we would adjust our price up QR down the first of February, May, August, and November.
The price change we are requesting May Vt is $95.37/ton. For each ton of sulfur you get 3 tons of sulfuric acid. It is figured-

$289.00 x .33 — $95.37 (sulfuric acid price change)
We have also see anincrease infuel surcharge since the inception ofour contract. Fuel surcharge has move upto 42% today vs.
23%inMay of'22when we submitted our bid. This isacost increase of $6.75/ton.
$215,00 + $95.37 + $6.75 = $317.12 (New proposed price effective SZIZ22).

Thank you for your time today, I wanted to follow up on our notes and discussion with a final ask based on your feedback on
other municipalities in the marketplace. After looking at total height to all of the municipalities you listed (with the exception
of Port 5t Lucie — | don't think they are under contract) it appears the average F[A or pickup price is $261.00/ton. Ironically our
ln\Ja| ask fora price increase to $317.12 is also �$261.00/ton FCA or pickup at origin (this includes the $675/ on freight
adiusiment).\fyou donot include the freight adjustment of$6.75/1onvvewould beat$254.00F[A.
With that being said we would like to revise our ask, and include a discount of $10.00/ton for an updated price of $307.12 per
ton delivered. Based on the municipalities prices you presented this would actually put you under the market by $10.00/ton on
an FCA basis. This represents an increase of 38.5% over our current price of $221.75/ton after the freight increase allowance.

Good afternoon. Thank you for taking myphone call today. Asdiscussed, the letter from Mosaic isnot sufficient for approval
asitsimply re -states the information already provided referencing the sulfur index. Being that Shhevescontract tosupply
sulfuric acid does not include a provision for increase of chemical referencing an index or similar, the Town will require
justification that the price increase is a "pass -through" cost. To satisfy this requirement, we will require copies ofinvoices that
reflect Shrieve's costs for acid or raw materials at the time of bid submission in 2021 compared with most recent costs.
Additionally, we have reviewed multiple recent municipal, bid prices for acid, and do not see that Shrieve's requested increase
is the most competitive and does not appear to demonstrate fairness especially to those above myself that would review and
approve the increase. Prices range from $250/ton to $344/ton where the increase for Jupiter is 3rd highest on this list. In
summary, the magnitude of increase warrants additional review as it relates to Shrieve's current contract, the Town's
purchasing policy (i.e., values $50K and greater require Council approval), and duration of time remaining in the current
contract.

with Contract Terms, the effective date for this rate change will take effect 60 days from the request, which is June 13,2022.
Toallow our staff to further evaluate the sulfur surcharge request, please provide information from Shrieve's suppliers'
demonstrating the that cost escalation is consistent with the market index you have provided. Similar information has been
requested and provided from other bulk chemical suppliers requesting temporary relief. As mentioned, the magnitude of

TheTampa molten sulfur market'stwo largest buyersannounced updated
contracts with suppliers during the week, moving the second-quarter
Tampa index to $192/lt CFR, doubling the first-quarter $96/lt CFR price.
The $96/It increase represented the Tampa market's la r9est single-quar-
te r hike since Q3 2008, when agreements jumped $165/it to a historic
high of $615.50-$618.50/1t.
A historic supply shock caused by the ongoing COVID-19 pandemic
was cited as a key driver of the higher prices, as worldwide refinery
shutdowns and curtailments have left production at uncomfortably low
levels. It took the worldwide sulfur markets nearly a year to fully react
to the tightening supply landscape, players said, pointing to smaller
increases recorded through the prior 12 months.
First-quarter 2021 proved the breaking point, however, with prices in
a number of international markets, including key indicators China and
Brazil nearly doubling from early -January levels, leaving the Tampa
index at a conspicuous discount to the rest of the world. d. "The [Tampa]
price needed to go up to international levels,- one market player said.
Sources often bemoaned the shoftage of spot availability in the U.S-
marketthroughoutthe first quarter. Some pinned second-quarter hopes
on Canadian suppliers, but a slate of planned turnarounds announced
for Q2 turned up the heat instead.
A steady recovery in the phosphate markets, an effect of Mosaic's suc-
cessful bid for countervailing duties against imports of Moroccan and
Russian phosphates, also contributed support at Tampa.
Sources noted the unusual eventof Tampa now operating at premium
to offshore markets at Vancouver a n d the U.S. Gulf, both of which were
seen topping out in the $180s/mt FOB for the week.
"The recent changes in U.S. and Canadian supply/demand would seem
to indicate that North America is running at a deficit to its needs, and
the indexes are just starting to reflect that," said one source.

A 40,000 barrel/d CDU at Valero's Corpus Christi West refinery was
taken offline on July 10. Multiple units at the plant's East section were
reported going offline on July 14, including a 105,000 barrel/d CDU, a
70,000 barrel/d VDU, and a 17,000 barrel/d coking unit.
Flint Hills restarted operations on a 96,000 barrel/d FCC at the com-
pany's Corpus Christi West plant on July 13, Genscape noted. The unit
had been offline since June 20 due to a mechanical failure.
Mild softening in international values combined with rising freights
to pressure U.S. Gulf price ideas lower, players indicated, with most
quoting the market in the $190-$195/mt FOB range, down from the last
reported $190-$200/st FOB.

With the market's major players in agreement, fourth-quarter Tampa
contracts moved to $183/lt CFR. Tons defivered to NOLA. moved to
$172/ItCFR from $184/It CFR in the prior quarter, while Houston -delivered
material softened to $168/It CFR from $180/it CFR.
Most market predictions centered on a $10-SI5/It decline to start the
week, softening from previous speculation of a possible rollover from the
prior quarter. The market's I i ke ly $12/it price reduction was. highlighted
by Hurricane Ida, which knocked two Louisiana phosphate production
facilities offl I ne for an estimated 8-9 weeks, and the burgeoning "sloppy„
supply conditions in the U.S. Gulf.
Sources noted a possible decou pl i n g of the U S. and international markets
in the weeks ahead, with some predicting firming international prices
contrasted with falling values in the domestic U.S. market.
U.S. refinery utilization was seen lifting for the week, according to Energy
Information Administration (EIA) data released on Sept, 22. Nationwide
capacity usage was noted at a combined 87.5 percent for the week
ending Sept. 17, rising 5.4 percentage points from 82.1 percent noted
previously. The rate pulled ahead of both the year-ago 74.8 percent
and the 85.1 percent five-year average.
Daily crude inputswerealso higher, firming to an average 15.347million
barrels/d, a 960,000 barrel/d increase from 14.387 million barrels/d
reported previously.
U.S. Gulf:
Genscape reported a Sept. 18 shutdown of the 85,000 barrel/d VPS-2
crude section at Motiva's refinery in Port Arthur, Texas. A hydrotreater
taken offs ine one day earlier, on Sept. 17, preceded the Sept. 19 shutdown
of an associated 88,000 barre I/d fluidic catalytic cracking unit (FCC) at
the facility. The crude section was noted returning to service ice on Sept.
19, followed by the FCC on Sept. 20.
A 67,000 barrel/d hydrocracker taken offline on Sept- 16 at the Royal
Dutch Shell Plc plant in Deer Park, Texas, was successfully restarted
on Sept. 23.
Logistics limitations and sharp demand reductions stemming from
Hurricane Ida combined to produce a "sloppy" Gulf spot export mar-
ket, sources said, Last -done continued to fall in the $1734181/rnt FOB
range, with the market's most recent business heard landing in the
low-$180s/mt FOB.
Players warned of a potential looming "decoupling" of the Gulf from
other international -facing markets, predicting a general logistical
inability on the, part of some Gulf producers to capitalize on expected
price increases at Brazil.

Tampa:
The Tampa molten sulfur market kicked off the year on an upward
trajectory, with the market's largest buyer announcing concluded
first-quarter contracts with suppliers at $282/It CFR, a $99/It increase
over the prior quarter's $183/It CFR.
Both the quick settlement and the roughly 54 percent price jump took
some players by surprise. Others saw the agreement more as a natural
correction from the fourth-quarter price, which some viewed as out of
step with the broader market at the time. "The large increase further
substantiates that the price should have never gone down last quarter,"
said one trader.
Othersdescribed the increase as a likely indicatorof theforward market.
"(Sulfur consumers] really want to keep the tons [onshore]," a source
said. -They think international [values] will keep climbing, and maybe
$282/It CFR will end up looking like a good price by the end of the
quarter."'
International sulfur market values have climbed steadily since October,
with large import markets China and Brazil posting prices firmly above
the S300/mt CFR level in recent trading, increasing competition for
material produced in the U.S.
The market's second largest buyer remained in negotiations on Jan. 6,
although market players expected an eventual settlement at a similar
level to the reported $99/It increase.
Genscape reported multiple unit restarts at the Holt Frontier Tulsa
East, Okla., refinery during the week, including the Dec. 31 restarts of a
76,000 barrel/d crude distillation un1t(CDU)and a 16,000 barrel/dfluldic
catalytic cracking unit (FCC). The restarted units had been offline since
Dec. 15. A 91,000 barrel/d coking unit shut on Dec. 28 at the co pa ny's
Tulsa West facility was also restarted on Dec. 31.
Refinery utilization ticked upward in the U.S. Energy Information
Administration's (EIA) most recent report. Capacity was noted at
89.8 percent for the week ending Dec.31, up0.1 points from 89.7percent
reported previously. The rate topped the year-ago 8,0.7 percent rate,
while tracking below the 91-8 percent five-year average.

U.S. Gulf:
PBF restarted a 68,000 barrel/d FCC at its Chalmette, La., refinery
on Dec. 31, Genscape reported. The unit was noted shutting down at
approximately 5:00 p.m. on Dec. 27. Planned FCC and reformer turn-
arounds are scheduled at the plant through the first quarter.
Units successfully restarted on Dec. 30 at the Motiva refinery in Port
Arthur, Texas, included a 210,000 barrel/d CDU, 85,000 barreled CIDU,
and a 100,000 barre/d vacuum distillation unit (VDU), Genscape said.
Marathon on Dec, 30 restarted a 78,000 barrel/d catalytic reformer
at the company's Galveston Bay, Texas, plant, shut since Dec. 25. A
55,000 barreled hydro treater also taken off11 ne on Dec. 25 resumed
operation on Dec. 26.

Tampa molten sulfur values took a big step up during the week, with the
market's largest corsu me rs and suppliers agreeing g to a second-quarter
contract price of $481/lt CFR, a 71 percent increase on the first-quarter
$282/lt CFR contract.
The updated settlement represented Tarn pa's second -highest price on
record, behind the $615.50-$618.50/lt set in the third quarter of 2008,
and easily outpaced week -ago speculation centered on a possible
$130-S15011t increase from the first-quarter level.
Players generally tied the price push to instability stem rning from Rus-
sia's invasion of Ukraine. Reduced experts available from former Soviet
Union (FSU) countries, due either to sanctions, production cutbacks, or
port closures, were described by many as a driver, pushing up prices
in a number of intemational markets.
Players specifir-allypointedto uncertainty surrounding OCP'sphosphate
production schedule as casting a shadow over global sulfur supply
estimates. Spiking logistics costs, owing to the international rise in oil
prices, were also cited as a factor, as was ongoing strength in the U.S.
phosphate markets.
Most downplayed talk of sulfu r supply uncertai nti e5 in the U.S.,how ver,
and instead attributed the Tampa increase to recent price surges in
major international markets like Nofth Africa, Brazil, and China. Others
similarly framed the updated Tampa contract as an effort to keep as
many sulfur tons onshore as possible.
Some hinted that the quarterly length of the updated contract may
have played a factor in the price's final landing spot. "Suppliers dug in
because it was the price for the whole quarter," said one player. Market
watchers previously questioned whether Tampa contracts might tem -
porarily shift to a monthly term due to current international volatility.
"Like last quarter, (buyers) will overpay fora few weeks," said another
market player. "Then (buyers will) be even, then look like geniuses (at
the end of the quarter) with low sulfur prices.
I think the big concern is what goes up, must come down eventually,"
the source added.
FollowirgTampa higher, Houston sulfurprices were indicated at$466/lt
CFR, rising from $267/ItCFR in Q1, while NOLA sulfur indications jumped
to S470At CFR, up from $271/1t CFR in the first quarter.
U.S. refinery utilization moved higher for the week, according to the
Energy Information Administration (EIA). Refiners ran at 92.1 percent
of capacity for the week ending March 25, up 1.0 point from the prior
week's 91.1 percent rate. The current rate remained ahead of both the
year-ago 83.9, percent and the 87.4 percent five-year average.
