Consider Approval to Enter into a Vehicle Lease Agreement with Enterprise Holdings for the Tequesta
Police Department's DEA Task Force Agent

This agreement would be a vehicle lease agreement for the Tequesta Police Department's DEA Task
Force Agent. When necessary, it would allow the Task Force Agent to exchange vehicles to avoid
compromise, or after being compromised during an investigation. It would also allow the Task Force
Agent to exchange vehicles due to a vehicle's malfunction. The lease payment would be taken from
seizure funds.

11. MODIFICATION AND WITHDRAWAL OF PROPOSALS

Enterprise understands that vehicles might be rented tor less than one moat b and will provide
rates accordingly.
*Maintenance of Vehicies
Please describe howroatin e service checks should be handled for all agencies -
Enterprise holids strict standards for the quality and safety of our vehicles in every country in
which we operate. Through our Preventative Maintenance (PM) program, vehicle mileage,
registration status, and service history are monitored on a central computer system that flags
vehicles for regular service. These 'Inspections at rnanufacturer-specified intervals ensure the
safety and reliability of every vehicle. Our service program adjusts or replaces any component
failing to conform to. manufacturer specifications, including brakes, tires, tune-ups, and
lubrication.
As part of our long-term rental Frog rarn (Month -Or -More), maintenance is provided free of charge.
Travelers are required to contact the rental location every 30 days to report the miles that have,
been driver. At that time, we will communicate any required maintenance to the traveler. The
branch will advise the traveler where to take the vehicle for maintenance.

needs for undercover vehicles. Due to the sensitive nature and national security
cord derationsr specift detail and reference to these programs must be protected. Details of
these programs and contacts for references can be made available provided we obtain the
proper approvals from each agency.
We have the ability to offer a number of solutions that will allow vehicles to be obtained with
no tie to law enforcement agencies.

SECTION 5. SCRUTINIZED COMPANIES
CONTRACTOR understands that pursuant to Section 287.135, a company is ineligible to, and
may not, bid on, submit a proposal for, or enter into or renew a contract with. the CITY if the
CONTRACTOR is on the Scrutinized Companies that Boycott Israel List, created pursuant to
Section 215.4725, Florida Statutes, as amended, or is engaged in a boycott of Israel.
Additionally, CONTRACTOR understands that if the consideration for this Agreement exceeds
one million dollars at the time of bidding on, submitting a proposal for, or entering into or
reneging such contract, and CONTRACTOR is on the Scrutinized Companies with Activities in
Sudan List or the Scrutinized Companies with Activities in the Iran Petroleum Energy Sector
List, created pursuant to Section 21.5.73, Florida Statutes, as amended, or is engaged in business
operations in Syria, that CONTRACTOR. is ineligible to, and may not bid on, submit a proposal
for, or eater into or renew a contract with the CITY.
By entering into this Agreement, CONTRACTOR certifies that CONTRACTOR and its
principals and/or owners are not listed on the Scrutinized Companies that Boycott Israel List,
Scrutinized Companies with Activities in Sudan List, Scrutinized Companies with Activities in
the Iran Petroleum Energy Sector List, or is engaged in business operations with Syria.

In the event that CONTRACTOR is placed on the Scrutinized Companies that Boycott Israel
List, engaged in a boycott of Israel, Scrutinized Companies with Activities in the Sudan fist,
Scrutinized Companies with Activities in the Iran Petroleum Energy Sector mist, or is engaged in
business operations with Syria, the CITY may immediately terminate this Agreement without
any liability to CONTRACTOR notwithstanding any other provision in this Agreement to the
contrary.
SECTION 6. RENTAL DATES
Enterprise agrees that there will be no increase in the Base Rental Charges (Rate Set A) for all
classes of vehicles quoted in the Preferred Rate Agreement, attached hereto and incorporated
herein as Exhibit "A." In addition, Base Rental Charges with Damage waiver (Rate Set B) and
Base Rental Charges for Commercial vehicles (Rate Sex Q are included in the Preferred Rate.
Agreement for agencies included in this Contract to use if they choose. CITY will have a choice
in selection of rates. Date Set A, refers to the current Co-op gates and will not have any damage
waiver included. Rate Set B will have the damage waiver included in the rate structure. If CITY
desires to use Rate Set B, a written letter must be sent to Enterprise by August 301` stating its
desire to use said rate. The default rate structure for each participating city is .Rate Set A.
SECTION 7. Participating Agencies included in this Amendment are listed in Exhibit "I3,"
attached hereto and incorporated herein.
SECTION 8. In all other respects, the terms and conditions of the Agreement not specifically
amended herein remain in full force and effect. In the event of any conflict, this Amendment
will supersede all other terms. In the event of ambiguity, the most conservative interpretation
consistent with the public interest is intended.
SECTION 9. This Amendment shall be effective upon approval of the City Commission.

WHEREAS, on July 19, 2017, C,ITY entered into an Agreement with ENTERPRISE for
undercover vehicle rental services for the Southeast Florida Governmental Purchasing
Cooperative Group; and
WHEREAS, on August 8, 2019, the parties exercised its first option to renew the
Agreement for an additional two year period; and
WHEREAS, the current Agreement expires on August 31, 2021 with the option to me
for one 1 additional to year periods under the same terms and conditions; and
WHEREAS, both parties concur with amending the Agreement to extend the term of the
Agreement through August 31, 2023.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, and other good and valuable consideration, the receipt and adequacy of which are
,acknowledged, the parties agree as follows:
SECTION 1. RECITALS
The foregoing recitals are true and correct and are hereby incorporated into this Agreement.

The term of this Agreement shall be extended through August 31, 2023.

Exhibit "A," preferred Rate Agreement, shall be replaced with Exhibit "A I," attached hereto and
incorporated herein. Base Rental Charges for Commercial no insurance) 'Rate Set C' as set
forth on the original Exhibit "'A"' remain in effect.
SECTION 4. Participating Agencies included in this Second Amendment are listed in Exhibit
64E I " attached hereto and incorporated herein.
SECTION 5. FORCE MAJEURE
In no event shall the CITY he responsible or liable for any failure or delay in the performance of
its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its
control, including, without limitation: epidemic p ndemie/viral or communicable disease
outbreak; quarantines; accidents; acts of war or terrorism; civil or military disturbances; nuclear
or natural catastrophes (including floods, fires, earthquakes, tornadoes, tropical storms, and
hurricanes) or other acts of God; any National, State, County or Focal State of Emergency or any
act, order, or requirement of any governmental authority; interruptions, loss or malfunctions of
utilities, communications or computer (software and hardware) services; or any other similar
causes beyond the control of the CITY; it being understood that the CITY shall use reasonable
efforts to resume performance as soon as practicable under the circumstances.
SECTION . -VERIFY
In accordance with Section. 448.095, Florida Statutes, ENTERPRISE agrees as follows:
(a) ENTERPRISE agrees to utilize the E-'verify system to verify work authorization stags of
all newly hired employees. ENTERPRISE shall provide sufficient evidence that it is registered
with the E-Verify system before commencement f performance under this Agreement. CITY
may immediately terminate this Agreement for a breach of this subparagraph.
(b) ENTERPRISE shall require an affidavit from each subcontractor providing that the
subcontractor does not employ, contract with, or subcontract with an unauthorized alien.
ENTERPRISE shall retain a copy of the affidavit for the term of this Agreement and all renewals
thereafter, and in accordance with all other Sections of this Agreement. CITY may immediately
terminate an Agreement for a breach of this subparagraph.
(c) CITY shall terminate this Agreement if CITY has a good faith belief that ENTERPRISE
E
is in violation of Section 4 8.09 1 , Florida Statutes.
(d) ENTERPRISE shall terminate any agreement with any subcontractor if the
ENTERPRISE RPRISE has a good faith belief that the subcontractor is in violation of Section 44 . 9 I ,
Florida Statutes. CITY may immediately terminate this Agreement for a breach of this
subparagraph.

(e) CITY shall notify and order ENTERPRISE to immediately terminate a contract with a
subcontractor if CITY has a. good faith belief that ENTERPRISE subcontractor knowingly
violated this Section, but ENTERPRISE have otherwise complied with this Section. CITY may
immediately terminate this Agreement for a breach of this subparagraph.
(f) A contract terminated pursuant to this Section is not a breach of contract and shall not be
considered as such.
(g) ENTERPRISE shall be liable for any and all additional costs incurred by CITY as a result
of a termination for this Section.
SECTION . In all other respects, the terms and conditions of the Agreement, as amended, not
specifically amended herein remain in full force and effect. In the event of any conflict, this
Second Amendment will supersede all other terms. In the event of ambiguity, the most
conservative interpretation consistent with the public Interest is intended.
SECTION T . This Second Amendment shall be effective upon approval of the City
Commission.

1. The "Customer" will have a choice in selection of rates. Rate Set A is the current Co -Op rates and will not
have any Damage Waiver included. Rate Set B will have the Damage Waiver included into the rate
structure.
a. For Enterprise brand rentals to Eligible Renters in South Florida for Business Use only, Rates include
full DW (may be described as LDW or CDW in the applicable Rental Contract), with no retained
responsibility, upon the terms and subject to the limitations set forth in the applicable Rental Contract
and original agreement (Coral Springs 17-C-053). Customer will advise Eligible Renters that DW
applies to their Business Use rentals only. Customer will verify that a rental was a Business Use
rental in the event of an accident or in the event the vehicle suffers loss or damage. If the Customer
cannot provide such verification, the applicable Affiliate is not obligated to provide DW and may void
DW.
2. Enterprise Commercial Truck "Rate Set C" will only be valid at Enterprise Commercial Truck locations.
