UNITY OF TITLE AGREEMENT
AGREEMENT made this i7 day of June, 1988, between TEQUESTA ASSOCIATES, a
Florida general partnership, hereinafter referred to as "OWNER" and VILLAGE OF
TEQUESTA, a municipal corporation, organized and existing under the laws of the
State of Florida, hereinafter referred to as "VILLAGE".
WHEREAS, the OWNER is the owner of the following parcels of real property
located within the Village of Tequesta more fully described and set forth in
Exhibit "A" attached hereto. The foregoing real property is hereinafter
collectively referred to as the "PARCELS"; and
WHEREAS, said PARCELS are owned by the OWNER and are adjacent pieces of
property; and
WHEREAS, the OWNER desires that a shopping center be constructed on a
portion of the above described Parcels and to utilize other portions of the
above described Parcels for parking, landscaping and access for said shopping
center; and
WHEREAS, the VILLAGE requires that all the above described PARCELS be
considered as one parcel of land; and
WHEREAS, the parties agree that said requirement of the VILLAGE is in the
best interests of all the parties and serves to promote the general welfare,
safety, and convenience of the public.
NOW, THEREFORE, in consideration of the mutual covenants contained herein,
the parties agree as follows:
1. In order to construct and utilize certain buildings and improvements as
a shopping center on a portion the PARCELS, together with certain parking areas,
accessways and landscaped areas on other portions of the PARCELS under and
pursuant to the zoning ordinances of Village of Tequesta, Florida in compliance
with the parking and landscaping and other requirements of said ordinance, all
of the PARCELS shall be considered as one plot and parcel of land. Accordingly,
no portion of the PARCELS shall be sold, transferred, devised, or assigned
separately, except in its entirety as one plot or parcel of land, or as
undivided interests in the common elements of the shopping center to be
constructed thereon.

2. It is expressly understood and agreed that the terms, covenants and
conditions of this Agreement shall be and constitute covenants running with the
land, binding upon subsequent purchasers of the PARCELS and shall constitute an
obligation upon the PARCELS, regardless of transfer of title or ownership.
3. It is the intention of the parties that this Agreement shall be recorded
in the Public Records of Palm Beach County, Florida. The recording fee shall be
paid by OWNER.
IN WITNESS WHEREOF, the parties have hereunto set their hands and seals the

"B"+ 1. Statement of Intended Use. The proposed Project is a shopping
center consisting of 200 ,381 square feet. The major tenants are
a department store of 86,479 square feet with patio area of 6,120
square feet, a supermarket of 35,922 square feet, and a drugstore
of. 7,475 square feet.
The center is intended to be "Mediterranean" in style with beige
stucco walls and sloped "Spanish S" tile roofs.
16,315 square feet of the gross area is devoted to four (4)
land-lease buildings whose occupancy and therefore final form has
yet to be determined.
"C" 2 . Statement of Compliance Intent/Comprehensive Plan: Site is
currently zoned C-2, General Commercial Use. The Shopping Center
has been submitted for Special Exception as required by the
Village of Tequesta Zoning Code.
"D" 3. Statement of Concurrent Permitting/Other Agencies: At present

Plaza dated Revised 6/1/88: This latest site plan, which is
presently being reviewed by the Village, shows a building area of
200,381 Square Feet of Gross Floor Area (GFA) .
The purpose of this letter is to provide a comparison of the
trip generation potential of the current facility with that
analyzed in the "Traffic Impact Analysis for the Plaza at
Tequesta" dated October 15, 1986. The shopping center analyzed in
the October 1986 report contained 193,200 Square Feet of GFA.
This is approximately 7,200 Square Feet less than the center
currently proposed. In order to provide this comparison of trip
generation between the two facilities the same trip generation
rate data source will be utilized.
The October 1986 traffic report utilized the Institute of
Transportation Engineers' , Trim Generation An Informational
Rftnr_t„ Third Edition as the source for daily and peak hour trip
generation rates. Based on the ITE report the trip generation
rates and resultant trip generation comparisons are summarized on
the,following page.

Center. Sanitary wastewater can be conveyed via gravity sewer
system to existing Loxahatchee River Environmental Control
District (ENCON) facilities. We have designed a sanitary sewer
system to convey wastewater from this site to the north to an
existing manhole along the west side of US Highway 1. A
Developer's Agreement has been executed by Pantlin & Associates
for sanitary sewer service from sewer utility. ENCON has
approved the design and a permit has been issued by Palm Beach
County Health Department (DER) for the construction of the .
facilities.

has been reviewed and approved by Tom Hall of the Village of
Tequesta Water Utilities Department as well as Palm Beach County
Fire Authorities and Palm Beach County Health Department. The
Palm Beach County Health Department has issued a permit to
construct these facilities.

Pursuant to the request of Mr. Mark Pantlin of Pantlin Associates in his letter
of August 25, 1988, received on the same date, we have reviewed the above noted
plans and herewith submit the following comments for your review and con-
sideration as part of the Village's response to the proposed development. These
comments are based on Appendix "B" of the Village's Code of Ordinances.
OFF-SITE (NEW ROAD) CONSTRUCTION PLANS
1. Sheet 2 of 7:
A. The intersection of New Road (ROAD) and Old Dixie Highway does not.
indicate the angle of intersection.
I presume that it is 90°, but it should be noted.
The curb return curve data is missing; needs to be added.
B. On Baseline Curve Data, the direction of the "delta" angle should be
shown, either left on right.
C. At the P.T. of Curve #3 (P.I. Sta. 17 + 18.22), the curvature of the
roadway and the straight line of property line of the westernmost
access to the Shopping Center has created a "sliver hiatus" expanding
westward. Does the Dorner Trust own this? This would prevent the
Plaza project legal access to a dedicated right-of-way.
D. At Sta. 19 + 10, an existing water valve is shown, but no water mains
connected to same. Architectural drawing number C-3 shows a new
line to be constructed along the north right-of-way line of ROAD.
Please clarify.

tes a slope of (-)0.14%. Standard design criteria for roadway swales
is (-)0.50%. How is the swale treatment to be handled on such a flat
slope?
It appears a inlet (and percolation field) will be required at Sta.
15 + 28+I- to handle storm drainage coming down the hill from the
plaza.
F. Provide a T.B.M. #5 somewhere at the intersection of ROAD and Old
Dixie Highway.
G. Article IV, Section 3(12)(c) of Appendix "B" states that "a tangent
at least 100 feet long shall be provided between reverse curves on
collector streets...". Is the ROAD considered a collector street?
In lieu that the ultimate typical section is a four (4) lane divided
roadway on a 100-foot right-of-way width, we consider the ROAD as a
major collector in designation.
H. Indicate "Begin Project" stationing.
2. Sheet 3 of 7:
A. The intersection of ROAD with U.S. Highway One does not indicate the
angle of intersection. I presume that it is 9Q°, but again, it
should be so noted.

B. See Comment 1(B) above.
C. Since the street is offset from the Baseline, veering left
(north-east) from the last curve to meet U.S. Hwy One, curve data for
a "centerline of construction" should be provided, and "centerline of
construction" stationing should be provided to facilitate the
construction and connection to U.S. Hwy One.
D. Article IV, Section 3(13)(d) states "Property lines at street inter-
sections shall be rounded with a radius of twenty-five (25) feet....
The Village Manager (Engineer) may permit comparable cut-offs or
chords in place of rounded corners".
Since the intersection of the ROAD with Old Dixie Highway is con-
nected with chords, the same treatment applies at the other intersec-
tion (ROAD with U.S. Hwy One). Provide chord right-of-way segments
at this intersection.
E. Indicate "End Project" Stationing.
F. Plan indicates construct inlet, type "C". Please identify station
location and offset.

A. The right-of-way connection of the ROAD with Old Dixie Highway still
has not been resolved. These construction plans reflect a 65-foot
east half right-of-way for Old Dixie Highway, yet no documentation
has been received verifying same. I refer you to our April 25, 1988
memorandum (copy attached) regarding this subject.
B. If the Dorner Tract (Parcel 2) is contemplating a development between
County Line Plaza and Old Dixie Highway and connections are con-
templated on the ROAD, these should be shown on this set of plans as
future connections. This would allow for a better review of this
project.
C. Special Condition #7(c) of the February 8, 1988 site plan approval
letter calls for floratam sod in all unpaved areas. Typical
section(s) do not reflect this condition.

at the U.S. Hwy One intersection.
C. S.C. #3 & #4 - FDOT approval of the design plans has not been sub-
mitted. Refer to our comments above on the "offsite Roadway" plans.
D. S.C. #5 - Only the hedges and trees as shown on the Landscape Plan
(Sheet L-1) address this condition.
E. S.C. #6 - The Landscape Plan (Sheet L-1) does address this condition,
however no queen palms are shown at the southeast corner of the pro-
ject (northwest quadrant of the U.S. Hwy One intersection with the
ROAD). Landscape Plan should reflect a cluster of queen palms in
this ara to balance the spacing along U.S. Hwy One.
F. S.C. #7 - This has been commented upon in Section 1, Paragraph 7(C)
and 7(D) above.
G. S.C. #8 - The ROAD street lighting is not shown.

We received the April 7th Mock. Roos & Associates, Inc., response on Apr+.l 18th
regarding our questioning of the "New Road" road easement reference. Please oe
advised that we can accept this correlation providing it is used in the con-
tinuation of the New Road right-of-way through the Dorner tract (Parcel 2)..
In reviewing the ,proposed "Parcel 2" alignment to be granted by Mr. Dorner, we
find that it terminates 50 feet east of the existing right-of-way line for Old
Dixie Highway (at the projected ultimate right-of-way line for Old Dixie
Highway). This, I find unacceptable for the Village if you are requiring
Tequesta Associates (County Line Plaza.' to construct. New Road between U.S.
Highway One and Old Dixie Highway. Mr. Darner will have to extend the "Parcel
2" legal description to meet the existing right-of-way of Old Dixie Highway to
complete the roadway connect`.on.
We assume that Mr. Dorne has preliminary development plans for the tracts
located between Cour.v line Plaza any'. old Dixie H;gnway (as reason for the
curving alignment of New Road). Perhaps the Village should consider securing
the additional. 50-foot right-of-way required for Old Dixie Highway at this time.
The sketch drawing, showing "Parcel 2" definitely reflects the 50-foot right-of-
way as the north half of the ultimate 100-foot required right-of-way for New
Road. • The Village should also consider obtaining the total 100-foot right-of-
. _ way from Mr. Darner at this time in order to secure the total right-of-way that
will ultimately be required.
We will verify this data after receipt of "Parcel 2" for the completion of New
Road.
