CivicPlus initially proposed a 22% increase in our website and VOTBot services beginning on 10/1/2023. 1
was able to get the price increase down to 7%. Thereafter, our contract will auto -renew with an annual
increase of 5% each renewal term.
BREAKDOWN:
• Website Hosting and Support $5,592.87
• VOTBot — AI Chatbot $2,727.89
• SSL Certificate $ 82.92
Comparing the current negotiated price with the previous contract cost in 2020:
Previous contract cost in 2019: $7,260.80 negotiated down to $5,000 in 2020
Negotiated price (2023): $5,829.71— a 7% increase negotiated down from 22%
The current negotiated price remains lower than what we paid under the 2019 contract. The negotiation
has resulted in a cost -savings to the village. However, it is important to keep in mind that costs will
increase annually due to the 5% auto -renewal increase.

1. This renewal Statement of Work ("SOW') is between Village of Tequesta ('Customer") and CivicPlus.. LLC and shall be subject to the
terms and conditions of the Master Services Agreement ("MSA") and the applicable Solutions and Products terms found at:
v_✓vrw.clvicplus.help/hcip/legal-stuff (collectively, the "Terms and Conditions"). By signing this SOW, Customer expressly agrees to the
Terms and Conditions throughout the Term of this SOW. The Terms and Conditions form the entire agreement between Customer and
CivicPlus (collectively, referred to as the "Agreement"). The Parties agree the Agreement shall supersede and replace all prior
agreements between the Parties with respect to the services provided by CivicPlus herein (the 'Services").
2. This SOW shall remain in effect for an initial term starting at the Customer's next renewal date of 10/1/2023 and running for twelve
months ("Initial Term"). In the event that neither party gives 60 days' notice to terminate prior to the end of the Initial Term, or any
subsequent Renewal Term, this SOW will automatically renew for additional 1-year renewal terms ("Renewal Term"). The Initial Term
and all Renewal Terms are collectively referred to as the "Term".
3. Unless terminated, Customer shall be invoiced for the Annual Recurring Services on each Renewal Date of each calendar year subjet;t
to an annual increase of 5% each Renewal Term.
PUBLIC RECORDS: In accordance with Section 119.0701, Florida Statutes, the Contractor must keep and maintain this Agreement
and any other records associated therewith and that are associated with the performance of the work described in the Scope of
Services. Upon request from the Village's custodian of public records, the Contractor must provide the Village with copies of
requested records, or allow such records to be inspected or copied, within a reasonable time in accordance with access and cost
requirements of Chapter 119, Florida Statutes. A Contractor who fails to provide the public records to the Village, or fails to make
them available for inspection or copying, within a reasonable time may be subject to attorney's fees and costs pursuant to Section
119.0701, Florida Statutes, and other penalties under Section 119.10, Florida Statutes. Further, the Contractor shall ensure that any
exempt or confidential records associated with this Agreement or associated with the performance of the work described in Scope of
Services are not disclosed except as authorized by law for the duration of the Agreement term, and following completion of the
Agreement if the Contractor does not transfer the records to the Village. Finally, upon completion of the Agreement, the Contractor
shall transfer, at no cost to the Village, all public records in possession of the Contractor, or keep and maintain public records
required by the Village. If the Contractor transfers all public records to the Village upon completion of the Agreement, the Contractor
shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. 1''
the Contractor keeps and maintains public records upon completion of the Agreement, the Contractor shall meet all applicable
requirements for retaining public records. Records that are stored electronically must be provided to the Village, upon request from
the Village's custodian of public records, in a format that is compatible with the Village's information technology systems.

6. INSPECTOR GENERAL: Pursuant to Sections 2-421-2-432 of the Palm Beach County Code of Ordinances, the Office of the
Inspector General has jurisdiction to investigate municipal matters, review and audit municipal contracts and other transactions, and
make reports and recommendations to municipal goveming bodies based on such audits, reviews, or investigations. All parties doing
business with the Village shall fully cooperate with the inspector general in the exercise of the inspector general's functions, authority,
and power. The inspector general has the power to take sworn statements, require the production of records, and to audit, monitor,
investigate and Inspect the activities of the Village, as well as contractors and lobbyists of the Village in order to detect, deter,
prevent, and eradicate fraud, waste, mismanagement, misconduct, and abuses.
7. PUBLIC ENTITIES CRIMES ACT: As provided in Sections 287.132-133, Florida Statutes, by entering into this Agreement or
performing any work in furtherance hereof, the Contractor certifies that it, its affiliates, suppliers, subcontractors and consultants who
will perform hereunder, have not been placed on the convicted vendor list maintained by the State of Florida Department of
Management Services within thirty-six (36) months immediately preceding the date hereof. This notice is required by Section
287.133(3)(a), Florida Statutes.
E-VERIFY ELIGIBILITY: The Contractor warrants and represents that it is in compliance with Section 448.095, Florida Statutes, as
may be amended. No later than January 1, 2023, the Contractor shall: (1) register with and use the E-Verify System (E-Verify.gov) to
electronically verify the employment eligibility of all newly hired workers; and (2) verify that all of the Contractor's subconsultants
performing the duties and obligations of this Agreement are registered with and use the E Verily System to electronically verify the
employment eligibility of all newly hired workers. The Contractor shall obtain from each of its subconsultants an affidavit stating that
the subconsultarit does not employ, contract with, or subcontract with an Unauthorized Alien, as that term is defined in Section
448.095(1)(k), Florida Statutes, as may be amended. The Contractor shall maintain a copy of any such affidavit from a subconsultant
for, at a minimum, the duration of the subcontract and any extension thereof. This provision shall not supersede any provision of this
Agreement which requires a longer retention period. The Village shall terminate this Agreement if it has a good faith belief that the
Contractor has knowingly violated Section 448.09(1), Florida Statutes, as may be amended. If the Contractor has a good faith belief
that the Contractor's subconsultant has knowingly violated Section 448.09(1), Florida Statutes, as may be amended, the Village shall
notify the Contractor to terminate its contract with the subconsultant and the Contractor shall immediately terminate its contract with
the subconsultant. In the event of such contract termination, the Contractor shall be liable for any additional costs incurred by the
Village as a result of the termination.
10.SCRUTINIZED COMPANIES: For Contracts under $1 M, the Contractor certifies that it is not on the Scrutinized Companies that
Boycott Israel List created pursuant to Section 215.4725, Florida Statutes, and that it is not engaged in a boycott of Israel. The
Village may terminate this Agreement at the Village's option if the Contractor is found to have submitted a false certification as
provided under Section 287.135(5), Florida Statutes, if the Contractor has been placed on the Scrutinized Companies that Boycott
Israel List created pursuant to Section 215.4725, Florida Statutes, or if Contractor is engaged in a boycott of Israel. For Contracts
over $1 M, the Contractor certifies that it is not on the Scrutinized Companies with Activities in Sudan List, the Scrutinized Companies
with Activities in the Iran Petroleum Energy Sector List, or the Scrutinized Companies that Boycott Israel List created pursuant to
Section 215,4725, Florida Statutes. The Contractor further certifies that it is not engaged in a boycott of Israel, and that it does not
have business operations in Cuba or Syria, as similarly provided in Section 287.135, Florida Statutes. The Village may terminate this
Agreement at the Village's option if the Contractor is found to have submitted a false certification as provided under Section
287.135(5), Florida Statutes or if the Contractor has been placed on one of the aforementioned lists created pursuant to Section
215.4725, Florida Statutes. Additionally, the Village may terminate this Agreement at the Village's option if the Contractor is engaged
in a boycott of Israel or has been engaged in business operations in Cuba or Syria, as defined in Section 287.135, Florida Statutes.

Village's custodian of public records, CONTRACTOR must provide the Village with copies of

accordance with access and cost requirements of Chapter 119, Florida Statutes. A CONTRACTOR
who fails to provide the public records to the Village, or fails to make them available for
inspection or copying, within a reasonable time may be subject to attorney's fees and costs
pursuant to Sec. 119.0701, Florida Statutes, and other penalties under Sec. 119.10, Florida
Statutes. Further, CONTRACTOR shall ensure that any exempt or confidential records associated
with this Agreement or associated with the performance of the work described in the Proposal

Please find attached Host Agreements between Dive Rescue International and
Tequesta Fire Rescue for Flood Water Skills Sessions to be held on October 3rd 4th
and 5th, 2023. The preferred class size is 20 participants. Both parties agree to abide by
the terms and conditions of the agreement. The final date when the class may be
canceled with no financial obligation to Dive Rescue International is September 13,
2023. The associated fees are as follows:
• Tuition per student per course: $185
• Upon the registration of 15 paid participants, the hosting agency may enroll up
to 5 participants at no charge.
• A minimum of 10 paid tuitions will be required for this course to proceed as
scheduled.

HOST AGREEMENT
This is an agreement made on July 27, 2023 between Dive Rescue International and Tequesta Fire Rescue.
We agree, and our agencies agree, to be the host for the training course entitled Flood Water Skills
Sessions to be held in Tequesta, FL on October 3, 4 & 5, 2023.
I understand Dive Rescue International will provide the following:
Qualified Instructor or instructors.
Registration of students and collection of tuition.
t• Instructor fees, travel, and expenses.
Custom training materials and/or textbooks.
Specialized training equipment as required for the course.
v Customized brochure, marketing material and support.
Screening of participants to ensure membership with a public safety agency.
Certificate of Completion awarded to students performing at an acceptable level.
A one-time 10% discount for equipment purchased from Dive Rescue International. This
purchase must be made within 90 days of the class and applies to current retail prices.
Host responsibilities:
v Complete and return ail paperwork.
Act as a contact for inquiries concerning local information.
Promote and publicize the course to other public safety agencies.
Arrange for all instructional facilities which include classroom, audio/visual equipment, and training
sites, as outlined in the Program Information Guide.
I understand that the preferred class size for the Flood Water Skills Session course is 20 participants. The
tuition for this course is $185 (US Funds) per student, per class.
I understand that if I cancel the scheduled courses by September 13, 2023 , I will have no financial obligation
to Dive Rescue International. However, if cancellation is made after this date, I agree to compensate Dive
Rescue International for any non-refundable preparation, shipping or travel expenses.

The Utilities Department (UD or Utilities) recommends approval of a work authorization to Kimley Horn
and Associates (KH) for preparation of bid documents for cleaning, preparation, and coating of the two
ground storage (water) tanks located at the water treatment plant for a lump sum cost of $8,500.
The complexity of the project requires engineering services due to the prescriptive and specialized
nature of tank preparation and coating required for the reinforced concrete steel Crom brand water
tanks. The tanks require a specialized type of paint which require a specific preparation before the
coating can be applied. The scope of the project provides for KH to produce bid specifications that UD
staff will post on Demand Star to bid out the project.
Funding for the work authorization will come from the Water Fund in the Admin Division, as needed
Engineering Services, from account 401-241-531.302.

ENGINEERING SERVICES WORK AUTHORIZATION
BID DOCUMENTS FOR CLEANING PREP AND COATING GROUND STORAGE TANKS
This Work Authorization authorizes Kimley-Horn and Associates, Inc. to perform work set forth
herein and is issued pursuant to The Professional Engineering Services Agreement, between
the Village of Tequesta ("Client" or "Village") and Kimley-Horn and Associates, Inc. ("Kimley-
Horn" or "Consultant"), dated May 12, 2016 ("Agreement"). All terms and conditions of said
Agreement are hereby incorporated and made part of this Work Authorization.
PROJECT UNDERSTANDING
The Village's Water Treatment Plant has two (2) existing ground storage tanks (GST) that
require cleaning and preparation prior to painting, painting, and minor exterior wall rehabilitation.
The Village has requested Consultant's assistance in preparing a public Invitation to Bid (ITB)
for the painting and rehabilitation of the two (2) existing GST's.
TASK No. 1 SCOPE
Consultant will attend one (1) kickoff meeting with the Village. The kickoff meeting will be held
in person and will include a site visit of the two ground storage tanks.
Consultant will prepare technical specifications to be included with the bid package.
Specifications will consist of the following sections:
• Summary of Work
• Measurement and Payment
• Application for Payment
• Submittals
• Contract Close-out
• Warranties and Bonds
• Cleaning and Prep Work
• Painting (Coating)
Consultant will prepare an exhibit for each GST with pictures to reflect recommended
improvements and repairs. The recommendations will be limited to cleaning and prep work,
painting/ coating, and minor aesthetic repairs.
Consultant will prepare draft invitation to bid (ITB) for Village review. Consultant will coordinate
with Village staff and the Utilities Director as needed to prepare the ITB.
Consultant will attend one (1) meeting with Village staff to review the bid documents. Consultant
will address comments from Village staff and finalize the ITB.
Consultant will respond to bidders request for information.

ADDITIONAL SERVICES
Any services not specifically provided for in the above scope, as well as any changes in the
scope requested by the Village, will be considered additional services to this Work Authorization
and will be performed based on subsequent Work Authorizations approved prior to performance

Structural evaluations of the GSTs, bid opening attendance, bid evaluation and construction
phase services are not included in this scope of work.
INFORMATION AND SERVICES PROVIDED BY THE VILLAGE
Kimley-Horn assumes that all information provided by the Village can be relied upon in the
performance of professional services. The following information shall be provided to Kimley-
Horn and/or the following services will be performed by the Village.
• Record drawings
• Recent Crom documentation on the GST rehabilitation
• Village upfront documents to be used

The Utilities Department (UD or Utilities) recommends approval of an amendment to the original work
authorization to Kimley Horn and Associates (KH) for WM#2 Beach Road Phase 2 Pipe Replacement
Project at a cost of $19,750.
The amendment is needed because after review of the 90% plans, it was found that the previous
direction for the design did not include the current Village standard for meter sets and installation of a
(meter) bypass for multi -family units. The installation of a bypass keeps customers in service during
meter change outs and during other potential repairs.
The additional money for the project will come from the Water Fund, Renewal and Replacement budget
division, Account 401-411-663.632, Architectural and Engineering Services. Funds will come from the
Water Main Replacement Project #5 (Country Club North) CEI Services which had budgeted $50,000 for
CEI services for FY23. However that project has been deferred to a future date due to the significantly
increased cost of capital projects.

AMENDMENT 1 TO ORIGINAL WORK AUTHORIZATION
This Work Authorization is amendment 1 to the original work authorization to perform design
and permitting services for Water Main Replacement Project #2 — Phase 2 Beach Road,
approved and authorized in May 2021 (PO No. 21-000519. It authorizes Kimley-Horn and
Associates, Inc. to perform work set forth herein and is issued pursuant to The Professional
Engineering Services Agreement, between the Village of Tequesta ("Client" or "Village") and
Kimley-Horn and Associates, Inc. ("Kimley-Horn" or "Consultant"), dated May 12, 2016
("Agreement"). All terms and conditions of said Agreement are hereby incorporated and made
part of Amendment 1 of the original Work Authorization.
PROJECT UNDERSTANDING
The Village authorized Kimley-Horn in May 2021 (P.O. No. 21-000519) to prepare design and
permitting services for the replacement for the existing asbestos cement water main from Bridge
Road and US1 east to the northerly line of the Cliveden Condo (south section), then from the
southerly line of the Sea Watch condo, north to the Claridge condo (north section). A total of
6,300LF. This project is phase 2 of water main replacement project #2 in the water pipe
replacement plan. Phase I of Beach Road was completed previously.
The Consultant's original scope was to connect to existing fire lines and water service lines
adjacent to the new proposed water main. After further field investigation and direction from new
Village staff, it was determined that the existing fire lines need to be replaced up to the detector
checks and the water services need to be replaced up to the new meters, along with replacing
the water service piping assembly with above grade assemblies where possible and including a
by-pass. This modification and change in scope will meet the Village's water meter and bypass
standards.
TASK No. 1 SCOPE — DESIGN PLAN REVISIONS
Consultant will attend one (1) meeting with Village staff to review the extent of the design
changes and will conduct three (3) field meetings (one with Village staff), and the others
independently to acquire field measurements and locations/orientation of the new water service
assemblies.
Consultant will revise the plans as required to address the fire line and water service upgrades.
Consultant will prepare an updated bid quantity of material and an updated opinion of probable
construction cost.
Consultant will attend one (1) meeting with Village staff to review the revised design plans.
Consultant will address comments from Village staff to create a final bid set of plans

PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Statutes, CONTRACTOR must keep
and maintain this Agreement and any other records associated therewith and that are associated
with the performance of the work described in the Proposal or Bid. Upon request from the
Village's custodian of public records, CONTRACTOR must provide the Village with copies of
requested records, or allow such records to be inspected or copied, within a reasonable time in
accordance with access and cost requirements of Chapter 119, Florida Statutes. A CONTRACTOR
who fails to provide the public records to the Village, or fails to make them available for
inspection or copying, within a reasonable time may be subject to attorney's fees and costs
pursuant to Sec. 119.0701, Florida Statutes, and other penalties under Sec. 119.10, Florida
Statutes. Further, CONTRACTOR shall ensure that any exempt or confidential records associated
with this Agreement or associated with the performance of the work described in the Proposal
or Bid are not disclosed except as authorized by law for the duration of the Agreement term, and
following completion of the Agreement if the CONTRACTOR does not transfer the records to the
Village. Finally, upon completion of the Agreement, CONTRACTOR shall transfer, at no cost to
the Village, all public records in possession of the CONTRACTOR, or keep and maintain public
records required by the Village. If the CONTRACTOR transfers all public records to the Village
upon completion of the Agreement, the CONTRACTOR shall destroy any duplicate public records
that are exempt or confidential and exempt from public records disclosure requirements. If the
CONTRACTOR keeps and maintains public records upon completion of the Agreement, the
CONTRACTOR shall meet all applicable requirements for retaining public records. Records that
are stored electronically must be provided to the VILLAGE, upon request from the Village's
custodian of public records, in a format that is compatible with the Village's information
technology systems.

This Medical Director Agreement between the Village of Tequesta and Don Tanabe,
M.D. authorizes Dr. Don Tanabe to take on the duties and responsibilities of the Medical
Director for the Village of Tequesta Emergency Medical Service System.
Pursuant to the First Addendum to the Medical Director Agreement Section 2 D, The
Original Agreement Paragraph A II OF Part III was amended to eliminate any automatic
downward adjustment to the medical director's compensation based CPI. This
paragraph was also amended to cap any automatic upward adjustment to the medical
director's compensation based on CPI to four percent (4%).
Attached is a copy of the First Addendum to the Medical Director Agreement and the
May 2023 Bureau of Labor Statistics Consumer Price Index, South Region.
The increase to the FY 23/24 Medical Director Fee is capped at 4% based on the CPI;
Increasing the monthly fee from $1,395.31 to $1,451.12 beginning October 2023.

MEDICAL DIRECTOR AGREEMEN-T
This First Addendum to Medical Director Agreement is made and entered into this
day of October 2020, by and between the Village of Tequesta, Florida, a municipal corporation_
hereinafter called the `-Village' and Don Tanabc. M.D., a Florida licensed physician, hereinafter
called "Medical Director both of whom understand ;:s follows:
WHEREAS. the Village and Medical Director previouslh executed a 'Medical Director
Agreement on October 6, 2003. effective October 6. 200 3. to provide medical director services
for the Village's fire rescue department as required by Sec. 40I 265. Florida .Stututes: and
WHEREAS, the 2003 Medical Director Agreement provides for automatic annual
renewals, and the parties have allowed such annual renewals to occur and desire to continue to
exercise annual renewals on a going formard basis with the amendments contained in this First
Addendum to Medical Director Agreement.
NOW, THEREFORE. in consideration of tip mutual covenants herein contained, the
Village and the Medical Director agree: to continue operating under the 2003 Medical Director
Agreement as amended by this First Addendum to Medical Director Agreement.
SECTION I. RATIFICATION OF 200-4 MEDICAL DIRECTOR AGREEMENT
The ;Medical Director Agreement dated October 6, 200: is hereby ratified by the Village
and the ?Medical Director. All rights. responsibilities. and terms of the 2003, 'Medical Director
Agreement shall remain in full three and effect except as expressly amended by this First
Addendum to Medical Director Agreement.
SECTION 2. AMENDMENTS TO 2003 MEDICAL DIRECTOR AGREEMENT
A. The third WHEREAS clause is amended to refer to "Chapter 04J-1 of the Florida
Administrative Code" and reference to former "Chapter 64L--2" is deleted.
S. Paragraph H of Part 11 is amended to refer to the "Ihpartment of Health" and
reference to the former-Del)artment of Health and Rehabilitation Services" is
deleted.
C. Paragraph M of Part II is amended to refer to all rules of the --Department of I lealth'-
and reference to the formmr '1Xpartment of Health and Rehabilitation Services" is
deleted. This paragraph is also amended to refer to duties enumerated in "Section 64-
JLOW. Florida administrative Code" and reference to duties enumerated in former
'-Section 64E 2.004" is deleted.
D. Paragraph A ii of Part III is amended to eliminate any automatic downward
adjustment to the Medical Director's compensation based on CPT. This paragraph is
also amended to cap any automatic upward adjustment to the 'Medical Director's
compensation based on CPI to four percent (40/6).
E. Part X is amended to provide that venue for any dispute resolution shall be a court of
competent jurisdiction in Palm Beach County, Florida.

Technical Note
The Consumer Price Index for the South region is published monthly. The Consumer Price Index (CPI) is a measure of the average
change in prices over time in a fixed market basket of goods and services. The Bureau of Labor Statistics publishes CPIs for two
population groups: (1) a CPI for All Urban Consumers (CPI-U) which covers approximately 93 percent of the total U.S. population and
(2) a CPI for Urban Wage Earners and Clerical Workers (CPI-W) which covers approximately 29 percent of the total U.S. population.
The CPI-U includes, in addition to wage earners and clerical workers, groups such as professional, managerial, and technical workers,
the self-employed, short-term workers, the unemployed, and retirees and others not in the labor force.
The CPI is based on prices of food, clothing, shelter, fuels, transportation fares, charges for doctors' and dentists' services, drugs, and
the other goods and services that people buy for day-to-day living. Each month, prices are collected in 75 urban areas across the
country from about 6,000 housing units and approximately 22,000 retail establishments -department stores, supermarkets, hospitals,
filling stations, and other types of stores and service establishments. All taxes directly associated with the purchase and use of items
are included in the index.
The index measures price changes from a designated reference date; for most of the CPI-U the reference base is 1982-84 equals 100.
An increase of 7 percent from the reference base, for example, is shown as 107.000. Alternatively, that relationship can also be
expressed as the price of a base period market basket of goods and services rising from $100 to $107. For further details see the CPI

Food
The food index was little changed in May, up 0.1 percent. The food away from home index rose 0.4 percent over the month, while the
food at home index was unchanged.
The food index advanced 7.1 percent for the 12 months ending in May, led by a 6.5-percent increase in the food at home index as all
six major grocery store food group indexes increased over year. The food away from home index also continued to increase over the
past year, up 8.3 percent.
Energy
The energy index declined 2.3 percent in May, led by a 3.6-percent decline in the gasoline index. The electricity and natural gas
indexes also fell over the month, down 0.6 percent and 2.2 percent, respectively.
The energy index fell 12.6 percent for the 12 months ending in May, largely due to a 22.3-percent decrease in the gasoline index. Over
the past year, the natural gas index declined 6.8 percent, while the electricity index increased 5.4 percent.
All items less food and energy
The index for all items less food and energy rose 0.4 percent in May, primarily reflecting a 0.7-percent increase in the shelter index.
Within shelter, owners' equivalent rent rose 0.8 percent over the month and rent of primary residence rose 0.6 percent. The index for
used cars and trucks was also among the notable components to increase in May, up 3.3 percent. Several indexes declined in May, led
by household furnishing and operations (-1.2 percent). The apparel index declined 1.1 percent and the index for medical care services
edged down 0.3 percent in May.
The index for all items less food and energy advanced 6.0 percent for the 12 months ending in May, after increasing 6.3 percent for
the 12-month period ending in April. Several components contributed to the 12-month increase, most notably, shelter (+10.0 percent).
Within shelter, owner's equivalent rent increased 10.1 percent over the past year and rent of primary residence rose 11.2 percent.

PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Statutes, CONTRACTOR must keep
and maintain this Agreement and any other records associated therewith and that are associated
with the performance of the work described in the Proposal or Bid. Upon request from the
Village's custodian of public records, CONTRACTOR must provide the Village with copies of
requested records, or allow such records to be inspected or copied, within a reasonable time in
accordance with access and cost requirements of Chapter 119, Florida Statutes. A CONTRACTOR
who fails to provide the public records to the Village, or fails to make them available for
inspection or copying, within a reasonable time may be subject to attorney's fees and costs
pursuant to Sec. 119.0701, Florida Statutes, and other penalties under Sec. 119.10, Florida
Statutes. Further, CONTRACTOR shall ensure that any exempt or confidential records associated
with this Agreement or associated with the performance of the work described in the Proposal
or Bid are not disclosed except as authorized by law for the duration of the Agreement term, and
following completion of the Agreement if the CONTRACTOR does not transfer the records to the
Village. Finally, upon completion of the Agreement, CONTRACTOR shall transfer, at no cost to
the Village, all public records in possession of the CONTRACTOR, or keep and maintain public
records required by the Village. If the CONTRACTOR transfers all public records to the Village
upon completion of the Agreement, the CONTRACTOR shall destroy any duplicate public records
that are exempt or confidential and exempt from public records disclosure requirements. If the
CONTRACTOR keeps and maintains public records upon completion of the Agreement, the
CONTRACTOR shall meet all applicable requirements for retaining public records. Records that
are stored electronically must be provided to the VILLAGE, upon request from the Village's
custodian of public records, in a format that is compatible with the Village's information
technology systems.

Pursuant to Article XII of the Palm Beach County Charter, the Office of the Inspector General has
jurisdiction to investigate municipal matters, review and audit municipal contracts and other
transactions, and make reports and recommendations to municipal governing bodies based on
such audits, reviews, or investigations. All parties doing business with the Village shall fully
cooperate with the inspector general in the exercise of the inspector general's functions,
authority, and power. The inspector general has the power to take sworn statements, require
the production of records, and to audit, monitor, investigate and inspect the activities of the
Village, as well as contractors and lobbyists of the Village in order to detect, deter, prevent, and
eradicate fraud, waste, mismanagement, misconduct, and abuses.
