HomeMy WebLinkAboutAgreement_General_12/30/1968_ ESCROW AGREEMENT THIS AGREEMENT, made and entered into between THOMAS HAYDN SIMMONS and HELEN LOUISE SIMMONS, his wife, whose post- office address is 3654 N. E. Second Street, Boynton Beach, Florida 33435 (hereinafter referred to as "Simmons") , and THE VILLAGE OF TEQUESTA, FLORIDA, a municipal corporation under the laws of the State of Florida, whose post-office address is Post Office Box • 638, Jupiter, Florida 33458 (hereinafter referred to as "the Village") , and FIRST BANK OF JUPITER-TEQUESTA, a Florida banking corporation organized and existing under the laws of the State of Florida, whose post-office address is Drawer 1486, Jupiter, Florida 33458 (hereinafter referred to as "Escrow Agent") . WITNESSET H: WHEREAS , Simmons have entered into a Purchase and Option Agreement with the Village for a parcel of land in the Northwest Quarter of the Northwest Quarter of Section 30, Township 40 South, Range 43 East, comprising thirty-four and one-quarter (34.25) acres in accordance with that certain sketch attached hereto prepared by Brockway, Owen and Anderson and numbered TMA-2695; and WHEREAS , in accordance with said Purchase and Option Agreement, Simmons have agreed to deposit with the Escrow Agent certain warranty deeds properly executed in accordance with the laws of the State of Florida; and WHEREAS, the Escrow Agent has agreed to and does by these presents consent to act as Escrow Agent in accordance with said Purchase and Option Agreement which is attached to this Escrow Agreement,and made a part hereof. NOW, THEREFORE, in consideration of Lhe mutual covenants reciprocally acknowledged and herein contained, it is herein agreed as follows: 1. The Escrow Agent acknowledges receipt from Simmons of the four warranty deeds covering Plots E, D, C and B referred to in the Agreement annexed hereto. 2. Each of the deeds hereby received have slips attached thereto initialed. by Simmons and the Village identifying the parcels of land referred to in said Agreement. 3. That upon receipt by the Escrow Agent of the moneys and obligations as set forth in paragraph 5 of the Agreement attached hereto upon the deeds set forth therein, the Escrow Agent will deliver to the Village the warranty deed for the plot set forth. 4. Ten days prior to the making of each payment, the Village shall notify the Escrow Agent and Simmons of its election to make such payment and shall at that time order title insurance in accordance with the Agreement attached hereto for the plot to - be conveyed. Upon delivery of the money and obligation as pro= vided in the attached Agreement, the Escrow Agent will forthwith pay from the cash funds delivered the amount necessary to pay for the title insurance and the documentary stamps to be affixed to the warranty deed which is delivered. The balance of the funds and the obligation less any expenses of the Escrow Agent shall be deposited to the account of Simmons . 5. In the event the Village fails to exercise any of the options contained in said Agreement on or before the dates set forth, then the Escrow Agent shall so notify Simmons and the Village and forthwith return the escrowed papers to Simmons. 6. Both Simmons and the Village agree to indemnify and hold the Escrow Agent harmless from any liability as a result of this Agreement and in the event the Escrow Agent becomes in- volved in litigation as a result of this Agreement, to pay a - 2 - J reasonable fee for such Escrow Agent' s attorneys. IN WITNESS WHEREOF, THOMAS HAYDN SIMMONS and HELEN LOUISE SIMMONS , his wife, have hereunto set their hands and seals, and THE VILLAGE OF TEQUESTA, FLORIDA and FIRST BANK OF JUPITER-TEQUESTA have caused this Agreement to be signed and sealed in their respective names by their duly authorized officers all on this 36 ®%---day of December, 1968.
