The Following agenda item is a second amendment to the original license agreement with
Sprint/T-Mobile.
Sprint/T-Mobile leases space on the communication tower at the water treatment plant.
Per the terms of this amendment, the Village of Tequesta consents to T-Mobile/MD7 relocating
three (3) existing antennas on the communication tower at the water treatment plant.
There is no cost to the Village related to this change.

SITE LICENSE SECOND AMENDMENT
THIS SITE LICENSE SECOND AMENDMENT ("SLA Second Amendment") is effective as of
the date of execution by the last party hereto to sign (the "Effective Date") is made and entered into by
and between Md7 Capital Three, LLC, a Delaware limited liability company ("Md7 Capital Three"), and
T-Mobile South LLC, a Delaware limited liability company ("Licensee").
Recitals
The parties hereto recite, declare and agree as follows:
A. This SLA Second Amendment is made pursuant to that certain Master Program Agreement
between T-Mobile USA, Inc., a Delaware corporation and Md7, LLC, a Delaware limited liability
company,dated as of September 19,2008(the"MPA"), and as further amended by that Site License
Amendment dated December 17, 2009.
B. This SLA Second Amendment further amends that certain License Agreement between
Licensee, as successor in interest to Omnipoint Holdings, Inc., a Delaware corporation d/b/a T-Mobile,
and Village of Tequesta, Florida, a municipal corporation, previously referred to as The Village of
Tequesta, a Florida municipal corporation("Owner"), dated December 11, 2003, for the Premises located
at 901 North Old Dixie Highway, Tequesta, FL 33469 ( the"License")as assigned by Owner to Md7
Capital Three pursuant to that certain License Assignment Agreement(Terms and Conditions)dated
November 6, 2009 by and between Owner and Md7 Capital Three.
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained
and other good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged,
Md7 Capital Three and Licensee covenant and agree as follows:
1. Section 1 of the License is hereby amended as follows: as of the Effective Date, Licensee will
have the right to locate three(3)antennas on the tower at the one hundred fourteen foot (114')height
level and to modify its Communications Facility as lescribed and depicted on Exhibit B-1, which are the
construction drawings prepared by Dewberry Engineers Inc.,dated March 8, 2022, thirteen(13)pages, a
copy of which is attached hereto and by this reference incorporated herein, and Md7 Capital Three hereby
consents to and approves of the modifications described and depicted on Exhibit B-1 in all respects.
Exhibit B and Exhibit C to the License are hereby deleted in their entirety and are replaced with Exhibit
BB1. From and after the Effective Date, any references to Exhibit B and Exhibit C to the License shall be
deleted and replaced with references to Exhibit B-1.
2. The parties' hereto notice addresses in the License are deleted in their entirety and are replaced
with the following:

3. Licensee agrees that the relocation of their existing three(3)antennas as set forth above in
Section 1 of this SLA Second Amendment will not adversely affect the operation, service, or signal of the
other tenants/communication providers located on the tower(as defined in the License). In the event
Licensee's such relocation adversely affects any other tenant on the tower, Licensee agrees, at its sole cost
and expense, to return Licensee's relocated three (3)antennas back to their original locations and Tenant
shall indemnify,defend and hold harmless Owner and Licensor from any and all claims, damages, losses,
liabilities,and expenses,arising out of or pertaining to Licensee's interference and Licensee's equipment
relocation to their new location and Licensee's return of Licensee's equipment to their original location.
4. The terms and conditions of the License are incorporated herein by this reference, and
capitalized terms not defined in this SLA Second Amendment will have the meaning ascribed to such
terms in the License. Except as specifically set forth herein, this SLA Second Amendment shall in no
way modify, alter or amend the remaining terms of the License, all of which are ratified by the parties
hereto and shall remain in full force and effect. To the extent there is any conflict between the terms and
conditions of the License and this SLA Second Amendment, the terms and conditions of this SLA Second
Amendment will govern and control.
5. This SLA Second Amendment may be executed in any number of counterparts, each of which
shall be deemed an original, but all of which together shall constitute a single instrument. Signed
electronic or scanned copies of this SLA Second Amendment shall legally bind the parties hereto to the
same extent as original documents.
6. Each of the parties hereto represents and warrants that it has the right, power, legal capacity
and authority to enter into and perform its respective obligations under this SLA Second Amendment.
7. This SLA Second Amendment will be binding on and inure to the benefit of the parties hereto,
their heirs,executors,administrators,successors-in-interest and permitted assigns.
IN WITNESS WHEREOF, the parties hereto have executed this SLA Second Amendment
effective as of the Effective Date.

PUBLIC RECORDS. In accordance with Sec. 119.0701, Florida Statutes, CONTRACTOR must keep
and maintain this Agreement and any other records associated therewith and that are associated
with the performance of the work described in the Proposal or Bid. Upon request from the
Village's custodian of public records, CONTRACTOR must provide the Village with copies of
requested records, or allow such records to be inspected or copied, within a reasonable time in
accordance with access and cost requirements of Chapter 119, Florida Statutes. A CONTRACTOR
who fails to provide the public records to the Village, or fails to make them available for
inspection or copying, within a reasonable time may be subject to attorney's fees and costs
pursuant to Sec. 119.0701, Florida Statutes, and other penalties under Sec. 119.10, Florida
Statutes. Further, CONTRACTOR shall ensure that any exempt or confidential records associated
with this Agreement or associated with the performance of the work described in the Proposal
or Bid are not disclosed except as authorized by law for the duration of the Agreement term, and
following completion of the Agreement if the CONTRACTOR does not transfer the records to the
Village. Finally, upon completion of the Agreement, CONTRACTOR shall transfer, at no cost to
the Village, all public records in possession of the CONTRACTOR, or keep and maintain public
records required by the Village. If the CONTRACTOR transfers all public records to the Village
upon completion of the Agreement, the CONTRACTOR shall destroy any duplicate public records
that are exempt or confidential and exempt from public records disclosure requirements. If the
CONTRACTOR keeps and maintains public records upon completion of the Agreement, the
CONTRACTOR shall meet all applicable requirements for retaining public records. Records that
are stored electronically must be provided to the VILLAGE, upon request from the Village's
custodian of public records, in a format that is compatible with the Village's information
technology systems.

Pursuant to Article XII of the Palm Beach County Charter, the Office of the Inspector General has
jurisdiction to investigate municipal matters, review and audit municipal contracts and other
transactions, and make reports and recommendations to municipal governing bodies based on
such audits, reviews, or investigations. All parties doing business with the Village shall fully
cooperate with the inspector general in the exercise of the inspector general's functions,
authority, and power. The inspector general has the power to take sworn statements, require
the production of records, and to audit, monitor, investigate and inspect the activities of the
Village, as well as contractors and lobbyists of the Village in order to detect, deter, prevent, and
eradicate fraud, waste, mismanagement, misconduct, and abuses.
