Architectural Services For Street Planting within the Right of Way of Beach Road from U.S. Highway One to the Intracoastal Waterway Bridge (Fixed Rate in Addition to Reimbursable Costs) Dear Mr. Bradford: Pursuant to your request , our office is pleased to submit the following proposal for landscape architectural services for the Beach Road landscaping. We understand our office will :prepare planting plans for this right of 'way, meeting the Village of Tequesta and Palm Beach County requirements. This Agreement is made and entered into as of this Twenty Forth day of August, 1989 by the Village of Tequesta (the Client) and george g. gentile & associates, inc.. (Landscape Architect) . 1 . Agreement for Services: The Landscape Architect agrees to provide design and planning services to the Client as more fully described in the Scope of Work, and the Client agrees to compensate the Landscape Architect for those services under the terms of this Agreement . 2 . Scope of Work: The Parties agree that the Scope of Work which the Landscape Architect shall perform for the Client shall be defined as follows: A. The Landscape Architect shall prepare a preliminary landscape planting plan for the subject area referenced above. Said plan shall delineate in general form proposed plantings. Upon approval by the Village of the preliminary plans, the Landscape Architect shall prepare final landscape construction documents and specifications for use by the Village in bidding and construction. Said plans shall be at a scale to be determined by the Landscape Architect and shall delineate in detail plantings including type, size, quantity, spacing and Florida grade. C. The Landscape Architect shall attend meetings as required by the Village to discuss the design aspects of the project. D. Assist the Client in bidding process and review of bids by qualified contractors. E. Additional Services: Upon written authorization, the Landscape Architect shall perform additional services as required. Said services shall include but not be limited to: 1 . Construction contract administration. 3 . Maintenance programming. 3 . Compensation: A. Compensation for services rendered by the Landscape Architect under Scope of Work Item, 2 A-D will be a fixed fee of Two Thousand Four Hundred Dollars ($2 ,400.00) plus reimbursable expenses as described herein. B. Compensation for services rendered by the Landscape Architect under Scope of Work, Item 2 E will be hourly by the following hourly rates: 1 . Principal time at a hourly rate of Ninety Five Dollars ($95.00) an hour. 2 . Project Manager/Sr. Landscape Architect time at a hourly rate of Sixty Five Dollars ($65.00) an hour. 3. Landscape Architect time at a hourly rate of Fifty Five Dollars ($55. 00) an hour. 4 . Technician time at a hourly rate of Forty Five Dollars ($45 .00) an hour. Village of Tequesta. August 24 , 1989 Page Three 5 . Administration time at a hourly rate of Twenty Five Dollars ($25 .00) an hour . 4 . . Reimbursable Expenses: Reimbursable expenses. include actual expenditures made by the Landscape Architect in the.'performance of the Scope of Work for : a) expense of transportation and living expenses in connection with out-of-town travel, authorized by the Client; b) long distance communications; c) fees paid f.or securing approval of authorities having jurisdiction over the subject project; d) renderings and models requested by the Client; .e) postage and handling of drawings and specifications; f) printing and reproductions; g) expense of any additional':, insurance coverage or limits, including professional liability insurance requested by the Client in excess of that normally carried by george g. gentile & associates, inc. h) out .of pocket expenses for materials obtained to perform the services of this Agreement . 5 . Client 's Responsibilities: The Client shall be responsible for the following: A. The Client shall provide full information concerning the Scope. of Work, shall set forth the Client 's objectives, restraints, and criteria. B. The Client shall provide the Landscape Architect with a certified copy of a survey. The Landscape Architect shall rely on the accuracy of this survey in the performance of his work under this Agreement . 6. Payment for Services: The Landscape Architect shall bill the Client for its services and reimbursable costs due under this Agreement at such times as it shall deem proper. All invoices are due and payable upon receipt by. the Client . The Landscape Architect will stop all work per this Agreement on invoices past due thirty-days (30) . Work will not commence until all past due invoices are paid in full. The Landscape Architect assumes no responsibility for damages, either financial, physical or other, as a result of work being stopped. a Village of Tequesta August 24, 1989 Page Four 7 . Termination of Agreement : This Agreement is terminable at any time upon notice of the Client or the Landscape Architect to the other party. Termination of this Agreement, however, shall not relieve the Client of any responsibility for payment for any services performed by the Landscape Architect prior to receipt of the notice of termination. 8. Extent of Agreement: This Agreement represents the entire Agreement between the Client and the Landscape Architect concerning the Scope of Work and may be amended only by written instrument signed by the Client and the Landscape Architect . In all respects, this Agreement shall be governed by the laws of the state of Florida and venue concerning any dispute that may arise under it shall be in Palm Beach County, Florida. 9 . Limits of Liability: The Landscape Architect or his Consultants, Agents, Representatives or Employees shall not be liable to the Client for indirect, special, reliance, incidental, consequential or exemplary damages (other than personal injury damages) arising out of or in connection with the performance of the services for this Agreement beyond the amount of fees paid for such services.
