Staff Report and Recommendations for
Development Review Committee (DRC) and
Site Plan Review (SPR)
Background:
• Applications for Development Review and Site Plan Review have been submitted to our
offices for the Crossings and Clare Bridge. This project is to be combined with Sterling
House I & II to create a campus style effect. The proposed Crossings and Clare Bridge
are located just to the west of the current Sterling House I &II, at the intersection of old
Dixie Highway and Village Boulevard, situated on 9.333 acres of land. The proposed
Crossings facility is a three story, 84 unit, Independent Care Facility and the proposed
Clare Bridge is a one story, 52 unit, Extended Care Facility. The application was
submitted by Captec Engineering, Inc., Captec is the authorized agent for Mr. Gary Van
Brock, agent for beneficiaries and the Sterling House Corporation, developer.
Staff Report and Comments:
A formal meeting of the Development Review Committee was held on Tuesday August
18, 1998 at 2:00 p.m. In attendance representing the Village were Chief Steve Allison,
Michelle Falasz, Tom Hall, Scott Ladd, and Chief Jim Weinand. Staff's review,
comments and requests are outlined below:
Comments by Michelle E. Falasz,Village Planner:
• Environmental Assessment does not address species of special concern for the project
area or in the project area's immediate surroundings. The Environmental Assessment
must include a section addressing this concern and any measures which may need to
be taken.
• Agent noted that there are four or five Gopher Tortoises on site. Please provide
relocation plan or approvals.
• Inconsistent acreage throughout report and plans. Update and correct acreage.
• A more in depth traffic study needs to be conducted. A center left turn lane on
Village Boulevard should be considered in the study. This lane would provide for a left
turn into the Crossings/Clare Bridge and a left turn into Lighthouse Cove (to the
south). A right turn lane from Dixie Highway, into the Crossings/Clare Bridge
should also be looked at. Coordinate this effort with Palm Beach County Traffic
Division.

DRC Review
Comments by Scott D. Ladd, Director of Community Develojment:
• Zoning-in-Progress (ZIP) exists for these uses within the Mixed-Use District (MU).
• The applicant in order for the Village Council to review and approve this project must
seek..a..waiver.to..the ZIP.
• Staff will strongly recommend that the 84 unit Crossings be permitted first, due to
the Villages desire to have an Independent Care Facility prior to any other type of
Assisted Living Facility.
• Need a clearer detail of the Crossings monument style sign. The dimensions are
unclear. (Note: ZIP for signage in the MU district is in effect.)
• Properties will have to be platted as was clone for Sterling House I & II.
• A side setback from the Clare Bridge at the north elevation where the five-foot bump
in the wall line is located is needed.
• All parking spaces are to be double lined. Hard grass areas will need bricks or other
suitable material to outline the spaces. Parking spaces can be nine-foot by eighteen-
foot, with the center to center spacing taken at the midpoint of each double lined
striping.
• Need a soil boring analysis.
• Need a soil density and compaction test for all under footers, under slabs, and under
asphalt paved areas.
• Need a Developers Agreement setting forth any special conditions as a result of the
Village approvals.
Comments by Al Oslund, Stormwater Utility Coordinator:
• All grassed parking areas must have a six inch stabilized base (provided typical
section).
• Existing mitered end section at northeast side of site may not work.
• We generally do not allow breaks in storm pipe without a Manhole.
• • The typical sections on the plans need to show slopes, pavement thickness, subgrade,
etc.
• Property must be platted prior to Certificate of Occupancy is obtained.
Comments by Gary Preston, Director of Public Works &d Recreation:

Comments by Chief James M.Weinand, Fire:
• Please relocate fire hydrants and reorganize hydrants as indicated on plans.
Comments by Chief Stephen J.Allison F? Sit. Riccardi, Police:
• There is approximately 111 thousand square feet of paving (parking lot & sidewalk)
with only fourteen lights (approximately 7.9 thousand square foot per light). This is
not adequate please provide more site lighting. Also, submit the new lighting plan
indicating the updates.
• Please provide information on how many beds are in each facility.
• Traffic: a right-turn lane, northbound Dixie Highway, into the facility should be
provided.
• What type of security is going to be provided for the Clare Bridge facility regarding
egress? Can a system be installed that would allow two (2) codes for ingress, one that
would remain the same for all emergency response personnel.
• Please provide an elevation and electrical plan indicating lighting, cameras, etc.
• Please coordinate the landscaping plan with regard to the site lighting plan. Thus,
giving regard to tree placement versus lighting. (I.e. Laurel Oaks ten-foot to twelve-
foot with a four-foot canopy—proposed lights are fifteen foot above finished grade.)
Staff Recommendation:
All-the-above-comment ,concerns and-necessary changes-have been addressed by the
applicanf and submitted for Site Plan Review. Staff Recommends Approval)

Concerning the above referenced project, the following information is provided in
response to the Development Review Committee comments received by this office on
August 24, 1998.
VILLAGE PLANNER:
COMMENT 1:
Environmental Assessment does not address species of special concern for the
project area or in the project areas immediate surroundings. The Environmental
Assessment must include a section addressing this concern and any measures
which may need to be taken.
RESPONSE:
The Environmental Assessment Report is attached along with the permit to relocate the
Gopher Tortoises northwest into other vegetated areas.

RESPONSE:
See attached permits for details on the relocation of the Gopher Tortoises.

RESPONSE:
The Survey and Site Plan reflect the area of the proposed site is 9.33 acres. The total
site area is 13.75 acres.

COMMENT 4:
A more in depth traffic study needs to be conducted. A center left turn lane on
Village Boulevard should be considered in the study. This lane would provide for
a left turn into the Crossings/Clare Bridge and a left turn into Lighthouse Cove (to
the south). A right turn lane from Dixie a Highway. into the Crossings/Clare
Bridge should also be looked at. Coordinated this effort with Palm Beach County
Traffic Division.
RESPONSE:
The traffic study attached reflects additional information. The turning movements at
these intersections do not warrant any other turn lanes on Village Boulevard_ The past
plans for Lighthouse Cove does warrant a right turn lane into Village Boulevard for
Dixie Highway and is presently being permitted with Palm Beach County.
Given the concerns, we have provided a wider radius at the entrance of Village
Boulevard and uplifted areas higher, roadway and sidewalk, which will allow cars ten
feet in either direction to get off the road safely and still allow other cars to get around
each vehicle.

The turn lane at Dixie Highway into either direction is not warranted. Again, we have
•
provided a larger radius and there is ample room for cars to exit Old Dixie Highway
onto the site without stopping traffic.
DIRECTOR OF COMMUNITY DEVELOPMENT:
COMMENT 1:
Zoning-In-Progress (ZIP) exists for these uses within the Mixed-Use District (MU).
The applicant in order for the Village Council to review and approve this project
must seek a waiver to the ZIP.
RESPONSE:
The Zoning in Progress application is attached as requested in your August 14, 1998
letter.
COMMENT 2:
Staff will strongly recommend that the 84-unit Crossings be permitted first, due
to the Villages desire to have an Independent Care Facility prior to any other type
of Assisted Living Facility.
RESPONSE:
The Zoning in Progress request that the permitting of both buildings together. It is the
applicants intent to build both buildings together whereby utilizing the same
subcontractors for each building. There will be a 3 — 6 month delay between both
buildings being completed altogether. The Crossings building is a much larger facility
and will take longer to build
COMMENT 3: .
Need a clearer detail of the Crossings monument style sign. The dimensions are
unclear. (Note: ZIP for signage in the MU district is in effect)
RESPONSE:
The Crossings monument sign has been revised on sheet 3 of 10.

RESPONSE:
The parking spaces are detailed on sheet 6 of 10 and are double lined. Red brick is
used to outline the parking spaces.

Need a soil boring analysis. •
RESPONSE:
The Soil Boring t Geotechnical Analysis is attached.
COMMENT 8:
Need a soil density and compaction test for all under footers, under slabs, and
under asphalt paved areas.
RESPONSE:
The general notes ( section I; Soil Recommendations and Requirements ) on sheet 9 of
10 depict the soil density and compaction test results. The paving specifications are
also detailed on sheet 9 of 10 (general notes).
COMMENT 9:
Need A Developers Agreement setting forth any special conditions as a result of
the Village approvals.
RESPONSE:
An example Developer's Agreement is attached. It will be modified with conditions as
per request of the Council and CAB approvals.

STORMWATER UTILITY COORDINATOR:
COMMENT 1:
All grassed parking areas must have a six inch stabilized base (provided typical

RESPONSE_
The section cut shown on sheet 6A of 10 depicts a six (6)'inch vertical stabilized base
for the grassed parking area.
COMMENT 2:
Existing.mitered end section at northeast side of site may not work.
RESPOIta
The existing mitered end sections have been removed in the northeast side of the site
and they will be replaced.

We generally do not allow breaks in storm pipe without a Manhole.

The pipe will be constructed into the inlet and mitered ends in the northeast side of the
site will be constructed without bends. There will not be any bends in the storm pipe
without a Manhole.
COMMENT 4:
The typical sections on the plans need to show slopes, pavement thickness,
subgrade, etc.
RESPONSE:
The typical sections on sheet 6A of 10 depict the pavement and slope requirements.

The attached water drawings indicate the Fire Hydrant locations as requested by the
Fire Marshal. In addition the water lines have been relabeled to reflect the PVC and
DIP Water Pipe as requested.

RESPONSE:
The number of beds in each facility is as follows:
Clare Bridge 52 Units 60 Beds •
Crossings 84 Units 100 Beds
COMMENT 3
Traffic: a right-turn lane, northbound Dixie Highway, into the facility should be
provided.
RESPONSE:
The turn lane on Old Dixie Highway is not warranted_ The site will have four (4)
entrances onto public streets. There is no need for tumlanes based on the traffic
report. The Palm Beach County Traffic Division also does not require a turn lane. We
have provided larger radiuses to allow ample room at the Dixie Highway entrance to
allow entry onto the site without disrupting traffic.
COMMENT 4:
What type of security is going to be provided for the Clare Bridge facility
regarding egress? Can a system be installed that would allow two (2) codes for
ingress, one that would remain the same for all emergency response personnel.
RESPONSE:
The Security System will match the existing Sterling House facility. A two code system
is being implemented by the Architect that will remain the same for all emergency
response personnel.
COMMENT 5:
Please provide an elevation and electrical plan indicating lighting, cameras, etc.

The Architect will provide an electrical plan indicating lighting, cameras, etc.

The landscape plan is coordinated to confirm that the lighting will not be hindered by
the landscaping .

Request for"Zoning in Progress" Restriction Amendment
Dear Mr. Ladd:
Concerning the referenced project, we hereby request the approval of a 52-unit Clare
Bridge Extended Care Facility and an 84-unit Crossings Independent Care Facility on
the property behind the existing Sterling House facilities. The proposed buildings will be
CBS construction with similar architecture to the Sterling House facilities. The Sterling
House Corporation/Alternative Living Services is proposing a campus of all the Sterling
Houses, Clare Bridge and Crossings facilities which will all be owned and operated by
one company. The Clare Bridge facility height is one story and the Crossings facility is
three stories.
It is our understanding that the Mixed-Use category has a restriction of a "Zoning in
Progress", which may limit the development of the Clare Bridge building. We hereby
request that this restriction be amended to allow the construction of the Clare Bridge
facility in the Mixed-Use category. It is also our understanding that the Council placed
this type of zoning designation after the completion of the Sterling House of Tequesta I
facility.
It is our opinion that the Clare Bridge facility provides the best use of this property,
which is consistent with the surrounding uses and facilities. It is a very good transitional
use between residential land and the K-Mart site to the east. It is the Sterling House
Corporation's preference that the Council remove this "Zoning in Progress" restriction
and allow the Special Exception, and Site.Plan approval of the Clare Bridge facility at its
earliest convenience.

Relative to your August 14, 1998 letter, Paragraph 3 please note, it is the owners'
intention to begin both buildings at the same time. We hope to use the same sub-
contractors for economic reasons. Because the Crossings Building is bigger we
anticipate that it will be completed three to six (3-6) months after the Clare Bridge
Building. We would hope that the Certificate of Occupancy (CO) would be provided
when each building is complete, to avoid a vacant building for three to six (3-6) months.
. We respectfully request that you amend your recommendations to have the Crossings
Building permitted and the Certificate of Occupancy before the Clare Bridge Building.
We hope the Council recognizes that the existing Sterling House has been a good
neighbor to the residents of the Village of Tequesta and that this fine quality project
provided a benefit to the community. It is our intention to build the Crossing Facility and
Clare Bridge at the same time.

' AGREEMENT FOR SALE AND
PURCHASE OF REAL ESTATE
THIS AGREEMENT FOR SALE AND PURCHASE OF REAL ESTATE (this
"Agreement') is made effective on the date set forth below (the"Effective Date") by and
between FIRST UNION NATIONAL BANK OF FLORIDA, as trustee under trust
agreement No. L.T. 200 dated June 1, 1984 ("Seller"), and STERLING HOUSE
CORPORATION, a Kansas Corporation("Buyer").
RECITALS:
A. Seller is the owner of certain real property located in the Village of
Tequesta, Palm Beach County, Florida, which is more particularly described on Exhibit A
attached hereto, together with any and all improvements thereon, and all rights, benefits,
privileges and appurtenances pertaining thereto (the"Property"), consisting-of 9.29 acres
located at the intersection of Old Dixie Highway and Village Boulevard.
B. Buyer wishes to acquire the property from Seller, and Seller wishes to sell
the property to Buyer, subject to and in accordance with, the terms, conditions and
covenants of this Agreement.
AGREEMENT:
NOW THEREFORE, in consideration of the premises, the terms and
conditions and covenants contained herein and for other valuable consideration, the
receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as
follows:
1. Sale and Purchase. At the Closing (as defined below), subject to the
terms, covenants and conditions of this Agreement, Seller shall sell the Property to Buyer
and Buyer shall purchase the Property from Seller.
2. Purchase Pries. The purchase rice (the"Purchase Price")to be paid for
the Property shall be
payable by Buyer as follows:

A. • Earnest Money. Within seven (7) business daysafter the Effective
Date (as defined below), Buyer-shall deposit in escrow with The Prudential Geisinger
Realt which shall act as escrow agent)the sum of

B. Additional Money. No later than sixty(60)days after the
Effective Date, and provided that Buyer has not elected to terminate this Agreement as

D. Interest on Earnest Money. All installments of Earnest Money shall
be placed in an interest-bearing account. AU earnings on such invested funds shall
belong to the party entitled to receive said funds in accordance with the terms of this
Agreement. --
E. Adjustment to Purchase Price. The Purchase Price is based upon
the assumption that the Property contains 9.29 acres. If the survey of the Property
prepared by Dailey&Associates, Inc. when delivered to Buyer shows that the Property
contains more or less than 9.29 acres, the Purchase Price shall be adjusted accordingly
by adding to, or subtracting from, the Purchase Price a sum equal to the amount of the
variance multiplied by a sum arrived at by dividing the Purchase Price by the number of
assumed acres (9.29)or square feet(404,672,40). Notwithstanding the foregoing
sentence, if the survey shows that the variance between the assumed acreage/square
footage and the actual acreage/square footage is five percent (5%) or more, then Buyer
may, at Buyer's option, terminate this Agreement by written notice to Seller within ten (10)
days of receipt of the Survey.
3. Effective Date. The effective date of this Agreement(the"Effective Date")
shall be the date on which this Agreement is fully signed by all parties hereto.
4. Title Matters and Survey. •
A. Issuancesf Title Insurance Commitment. Within thirty(30) days
after the Effective Date, Seller shall obtain and provide to Buyer a title insurance
commitment (the "Commitment")with copies of the B-II title exceptions referred to therein
and, within thirty days after Closing, an owner's title insurance policy (the"Policy") in an
amount equal to the Purchase Price. Buyer shall reimburse Seller in the event this
Contract closes for the cost of same (to be determined at the promulgated rate
established in the State of Florida for the owner's policy). In the event Buyer requests a
coverage amount in excess of the Purchase Price, the cost of such excess coverage
shall also be paid by Buyer. The Commitment shall be accompanied by legible copies of
all Instruments to which it refers. The Commitment shall be issued through Attorney's
Title Insurance Fund, inc. A copy of the Commitment and instruments shall be delivered
to Seller upon issuance.
.B.= Examination and Approval ofTitis kty Ogyer. Within thirty (30)
days after receipt of the Commitment, copies of the 8-II title exceptions referred to
therein, and the survey, Buyer shall determine, in its solo and absolute discretion,
whether the title to the Property and the survey are satisfactory to Buyer. if title or the
survey is unsatisfactory to Buyer, Buyer shall deliver to Seller written notice of termination
of this Contract within the aforesaid period, whereupon this Contract shall be deemed to
be null and void and the Earnest Money shall be returned to Buyer forthwith. If any
matters first appear in the public records of Palm Beach County after the effective date of
the Commitment which are not described in the Commitment and are not the result of any
action taken by Buyer, and if any such matters render Buyer's title unmarketable ("Title
Defects"), or materially interferes with Buyer's Intended Use (as defined below) of the

Property, then Buyer shall deliver written notice of same to Seller before closing, and
Seller shall have the obligation to cure the Title Defects in accordance with the terms of
Paragraph 1(C) hereof. Marketable title shall be determined according to applicable Title
Standards adopted by authority of The Florida Bar and in accordance with law.
C. Curative Period. Seller shall have thirty (30)days after notice from
Buyer specifying the Title Defects within which to eliminate or cure them. Seller shall use
good faith and diligence to timely eliminate or cure the Title Defects; however, Seller shall
. not be required to initiate legal proceedings to accomplish same. If Seller is not
successful in eliminating or curing the Title Defects within such time, Buyer may:
1. Accept title to the Property as it exists at such time, thereby
waiving all objections to the Title Defects; or
2. Request and receive a return of the Earnest Money, in which
event this Contract shall be terminated and Seller and Buyer shall be released from all
liabilities and obligations hereunder, except as to matters which by the terms of this
Contract specifically survive any termination of this Contract; provided however, Seller
shall have no liability to Buyer whatsoever for any damages or costs incurred by Buyer
relating to this Contract.
The foregoing in this Paragraph 1(C) notwithstanding, if any Title Defect appearing after
the issuance of the Commitment is a lien,judgment or other instrument evidencing an
indebtedness of Seller which affects the title to the Property and can be remedied by the
payment of monies, Seller shall be obligated to satisfy or discharge the same at the time
of Closing.
D. Closing Affidavits. At Closing, Seller shall execute and deliver to
Buyer all affidavits and other documentation reasonably required by its title insurer such
that the Commitment(and the Policy when issued) shall not contain the"standard
exceptions" to coverage approved in the State of Florida for(1) rights or claims of parties
in possession not shown by the public records, (2) encroachments, overlaps, boundary
line disputes, and any other matters which would be disclosed by an accurate survey and
inspection of the remises (except as to all matters disclosed by any survey obtained and
accepted by Buyer), (3) easements or claims of easements not shown by the public
records, and (4)any lien, or right to a lien, for services, labor, or material heretofore or
hereafter furnished, imposed by law and not shown by the public records. The
Commitment(anti the Policy when issued)will contain an exception for taxes for the year
of the Effective Date of the Policy, unless the closing occurs in November or December of
the year of Closing, in which event the exception shall be for the year following the
closing and all subsequent years. Seller shalt also reasonably provide those documents
necessary to delete (i) all requirements listed in Part I of Schedule B of the Commitment
and (ii) the "gap" exception contained in paragraph 1 of Part II of Schedule B of the
Commitment; provided however, Seller shall not be obligated to execute any document
which provides an indemnification of the title insurer.
E. Manner of Conveyance. Seller shall convey the title to the Property
to Buyer by Trustee's Deed (without warranties of title) subject to those matters set forth

herein.
F. Survey. Buyer may, at Buyer's expense and within the time
allowed to deliver and examine the Commitment, but in no event later than thirty (30)
days after the Effective Date, have the Property surveyed and certified by Dailey&
Associates, Inc., a registered Florida surveyor.
5. Contingencies. The obligation of Buyer to purchase the Property is
contingent upon the satisfaction of the following conditions (the 'Contingencies")within
the time periods set forth below:
A. Financing. This Contract is contingent at all times upon Buyer
obtaining financing for Buyer's intended Use of the Property in such amounts and under
such terms as Buyer deems appropriate, in Buyer's sole and absolute discretion. If Buyer
does not notify Seller within sixty(60) days of the Effective Date that this contingency has
failed, then this contingency shall be deemed to be waived. If Buyer does so notify Seller
within said period, then this Contract shall be null and void and the Earnest Money shall
be returned to Buyer, whereupon neither party shall have any further obligations
hereunder.
B. Approval by Board of Directors. For a period of sixty (60)days
after the Effective Date, Buyer may terminate this Contract upon notice to Seller that
Buyer's Board of Directors have not approved this Contract. Upon termination, the
parties shall have no further liability hereunder and the Earnest Money shall be returned
to Buyer.
C. Suitability of Property. For a period of forty-five (45) days after the
Effective Date (the "Feasibility Study Period"), Buyer may terminate this Agreement upon
notice to Seller based on Buyer's decision, in Buyer's sole discretion, that the Property is
not suitable for the successful development and operation of an assisted living facility.
Buyer may conduct, at Buyer's sole expense, such studies, Investigations, environmental
site assessments, soil tests, drainage analyses, and other inspections and tests as Buyer
deems appropriate to satisfy itself as to the suitability of the Property. Seller grants to
Buyer, its agents, contractors and assigns, the right to enter the Property at any time
during the Feasibility Study Period for the purpose of conducting inspections: provided
however, Buyer, its agents, contractors and assigns shall enter the Property at their own
risk. Buyer shall indemnify and hold Seller harmless from losses, damages, costs, claims
and expenses ofany nature, including attomey's fees, and from liability to any person,
arising from Buyer's entry upon the Property, as well as the performance of any and all
studies or any other work authdrized by Buyer. Buyer shall not engage in any activity that
could result in a mechanic's lien being flied against the Property without Seller's prior
written consent.
D. Buyer's Governmental Approvals. Seller acknowledges and
agrees that Buyer has disclosed to the Seller that Buyer Intends to use the Property as an
assisted living facility(the "Buyer's intended Use"). This contract is contingent at all times
upon the Property being properly zoned and otherwise designated by all governmental
agencies having jurisdiction over it so as to allow Buyer's intended Use. Buyer shall

have a period of One Hundred (100) days from the Effective Date within which to obtain
all approvals from all governmental and quasi-governmental agencies attempting to
exercise jurisdiction over the Property for the Buyer's Intended Use of the Property (The
"Governmental Approvals"). Buyer agrees to make application for said Governmental
Approvals and to diligently pursue the Governmental Approvals. In the event that Buyer
is unable to obtain such Governmental Approvals, but has made application therefor and
is diligently pursuing such, Seller shall grant to Buyer two (2)consecutive thirty day
extensions within which to obtain the Governmental Approvals. In the event Buyer is
unable to obtain the Governmental Approvals within the initial 100 day period, and the
sixty days' extension(s) thereof, Buyer shall have the option of either:
1. closing this transaction in accordance with its terms, or
2. terminating this Contract, whereupon the Earnest Money shall
be returned to Buyer and all parties shall be relieved of all
further obligations hereunder.
Buyer retains the absolute right to waive any of the Contingencies set forth in this
Contract which inure to the benefit of Buyer, provided that such waiver Is made In writing
and delivered to Seller on or before the expiration of the time within which any such
contingency or condition Is to be fulfilled.
6. Closing. The closing (the "Closing") of the purchase and sale of the
Property shall occur(i) fifteen (15)days after the date on which all conditions precedent
and all Contingencies are either satisfied or waived by Buyer, or (ii) 175 days after the
Effective Date, whichever is the first to occur. The closing shall occur at the offices of the
attorney for the Seller in Jupiter, Palm Beach County, Florida. Each party will deliver
such documents at Closing as may be necessary or appropriate to consummate the
transaction contemplated herein.
7. Proration of Taxes and Assessments. Real estate taxes shall be
prorated as of the Closing on the basis of the latest available figures.
8. Possession. Seller shall deliver exclusive possession of the Property to
Buyer at Closing.
9. Condition to Seller's Obllaatlon to Close. The obligation of Seller to sell
the Property to Quyer pursuant hereto is contingent upon and subject to (i) Buyer having
tendered to Seller the full Purchase Price, (ii) Buyer having performed fully, and compiled
with, all farms and provisions herein to be performed by Buyer, and (ill) all
representations of Buyer set forth herein being true, correct and complete in all material
respects as of the date of Closing.
10. Conditions to Buyer's Obligation to Close. The obligation of Buyer to
purchase the Property from Seller pursuant hereto is contingent upon and subject to (i)
Seller having performed fully, and complied with, all terms and provisions herein to be
performed by Seiler; and (ii)all representations of Seller set forth herein being true,
correct and complete in all material respects as of the date of Closing.

11. Seller's Representations. Seller represents to Buyer that the following
are true as of the Effective Date, and will be true as of the Closing, and acknowledges
that Buyer is relying upon same in entering into this Agreement:
A. Authority. Seller has taken all necessary action to authorize the
transaction contemplated by this Agreement.
B. No Litigation. Seller has no actual knowledge of any litigation,
investigation, or proceeding pending or threatened against Seller, or the Property,which
would impair or adversely affect Seller's ability to perform its obligations under this
Agreement or under any contract, instrument or document related hereto.
C. Foreign Person. Seller is not a foreign person as such term is
defined in the Internal Revenue Code.
D. No Violations. Seller's execution and delivery of this Agreement.
and any other document required herein, and the consummation of the transactions
contemplated hereby and thereby, do not and will not, result in any violation of, or default
under, any term or provision of any agreement, instrument, mortgage, loan, or similar
document to which Seller is a party, or by which Seller is bound, which would affect the
title to the Property.
E. Environmental. Seller has no actual knowledge that any hazardous
substances, hazardous wastes, pollutants or contaminants are, or have been, used,
deposited, stored, released, disposed of, placed or otherwise located In, on or under the
Property or at any facility operated on the Property at any time. The terms"hazardous
substance(, "pollutants", "contaminants", and "facility" mean any substances, wastes,
pollutants, contaminants or facility now or hereafter Included within those respective
terms under any existing or subsequently enacted or amended federal, state or local
statute, ordinance, code or regulation. If any hazardous waste problems are discovered
by Seller after the date hereof, or Seller receives notice of any violation or claimed
violation of any law, ordinance, rule or regulation relating to hazardous substances,
hazardous wastes, pollutants or contaminants after the date hereof, but prior to the
Closing, Seller shall give prompt written notice thereof to Buyer pror to Closing.
12. Buyer's Representations, Buyer represents to Seller that the following
are true as of the Effective Date, and will be true as of the Closing, and acknowledges
that Seller is relying upon same in entering into this Agreement

validly existing and in good standing under the laws of the State of Kansas.

PRELIMINARY ENVIRONMENTAL SITE ASSESSMENT
CLARE BRIDGE/CROSSINGS OF TEQUESTA
1.00 INTRODUCTION
The following preliminary environmental assessment of the Clare Bridge/Crossings of
• Tequesta Site was conducted by R.L. Weigt Environmental Consultants, Inc. (RLW). The project
site consists of approximately 12.0 acres of land located east of Old Dixie Highway and north of
Village Boulevard. The site is located in Section 30, Township 40S, Range 43E, Tequesta, Palm
Beach County, Florida(Figure 1).
The purpose of this report is to provide the methodologies and findings of a preliminary
scientific environmental review of the Clare Bridge/Crossings of Tequesta project site. This report
addresses the following environmental issues: protected species, wildlife, and vegetative
communities. The report is based on field data collected between 03 and 05 August 1998.
2.00 AGENCY CONTACTS
RLW contacted Federal and State agencies(Appendix A)to request protected species record
sightings for the Clare Bridge/Crossings of Tequesta project site: The agencies contacted are as
follows: Florida Game and Fresh Water Fish Commission (FGFWFC) and U.S. Fish and Wildlife
Service(USFWS). RLW is also coordinating with the State Historic Preservation Officer(SHPO)
for a listing of any historical and/or archaeological sites that may be present within the project area.

3.01 Gopher Tortoise and Other Burrow Commensals
3.01.1 Objective
Conduct a systematic survey to locate gopher tortoises (Gopherus
polyphemus), Florida mouse (Podomys floridanus), eastern indigo snake
(Drymarchon corals couperr), and Florida gopher frogs(Rana areolala) that may be
present within the study area.

Program, Technical Report #5, Florida Game and Fresh Water Fish Commission
(FGFWFC), Tallahassee, Florida, December 1987.
• Biologists conducted parallel transects 10 meters (±32 feet) apart;
• Biologists conducted serpentine search patterns between the parallel
transects;
• All gopher tortoise burrows located will be flagged as either active or
inactive;
• All gopher tortoise burrows located will be assigned an identification
number and recorded;
• Biologists will field locate all gopher tortoise burrows on a 1" =200' scale
Palm Beach County aerial photograph;

• Additional data and notes will be collected by biologists for the
occurrence of the eastern indigo snake, Florida gopher frog, and the
Florida mouse.
3.02 Protected Species/Wildlife Survey
3.02.1 Objective
Conduct a systematic survey for flora and fauna that may occur on-site and
note the presence of any protected species listed in the Official List of Endangered
and Potentially Endangered Fauna and Flora in Florida, 1 June 1994, FGFWFC.
The state lists of animals are maintained by the FGFWFC and categorized as
endangered,threatened and of special concern, and constitutes Florida Administrative
Code Rules 39-27.003, 39-27.004, and 39-27.005, respectively. The state lists of
plants are categorized into endangered, threatened, and commercially exploited, and
are maintained by the Florida Department of Agriculture and Consumer Services
(FDACS). The state plant lists are statutorily designated via the Preservation of
Native Flora of Florida Act (s. 581185-187, Florida Statutes).

Wildlife Service(FWS)and is published in 50 CFR 17.11-12. The list is categorized
into endangered species, threatened species, and candidates for such designations.
3.02.2 Methodology
Following are the methodologies biologists used to conduct the
wildlife/protected species surveys.

3.02.2.1 Pedestrian Transects
• • Biologists conducted pedestrian transects from 03 through 06
August 1998 (Appendix B);
• Biologists conducted morning and evening pedestrian
• transects (Figure 2);
• The transects meandered through areas of suitable habitat;
• Biologists played bird calls of the Florida scrub jay
(Aphelocoma coerulescens)at various stations throughout the
site;
• Biologists recorded and noted sightings, tracks, scat, tree
markings, nests, cavities, and burrows.
3.03 Vegetation Survey(FLUCCS)

To map vegetation on-site according to the Florida Land Use and Cover
Classifications System(FLUCCS).

notice; sh. II be deemed to•be the receipt of the notice as of the date of such Inability to
deliver or re ction or refusal to accept. Any notice to be given by any party hereto may
be given by the counsel for such party.
14. Seller's Remedies. If Buyer breaches any of the terms or provisions of this
Agreement, Seller may, as its exclusive remedy, retain the Earnest Money (together with
all interest thereon) as liquidated damages and as consideration for the acceptance of
this acreernent 2rirj for taking the Property off the market, and not as a penalty. Buyer
. and Seller agree It would be Impractical or extremely difficult to fix Seller's actual
damages if Buyer defaults and that the Earnest Money, as well as the interest accrued
thereon, is a reasonable estimate of Seller's damages in the event Buyer defaulted under
this Agreement.
15. Buyer's Remedies. Except for Seller's failure to eliminate or cure Title
Defects as described in Paragraph 4(C)hereof, in the event that Seller breaches any of
the terms or provisions of this Agreement, or otherwise defaults hereunder, Buyer may do
any one or more of the following; (i)terminate this Agreement by written notice to Seller,
whereupon the Earnest Money and all Interest earned thereon shall be immediately
returned to Buyer, this Agreement shall terminate and thereafterneither party shall.have
any further obligation or liability to the other hereunder; (ii)waive such default and
consummate the transaction contemplated hereby in accordance with the terms hereof;
or(iii) institute all proceedings necessary to require Seller to specifically perform the
terms of this Agreement by conveying the title to the Property to Buyer.
16. Commissions. Buyer shall pay-to Prudential Geisinger Realty,
Inc. Seller shall not be responsible to pay, or otherwise share in the expense of, any
commission due Geisinger Realty.
17. Attorneys' Fees. If either party hereto breaches any provisions of this
Agreement, the breaching party shall pay to the non-breaching party all attorneys'fees
and other costs and expenses incurred by the non-breaching party.
18. Risk of toss: Condemnation. If any damage or destruction to the
Property occurs prior to Closing, or if any condemnation of any of the Property is
proposed prior to Closing, Buyer may, at Buyer's option, terminate this Agreement or may
accept assignment from Seller of all insurance proceeds or any condemnation award and
proceed to close.
19. •Waiver. No delay in exercising any right or remedy shall constitute a
waiver thereof, and no waiver by Seller or Buyer of the breach of any covenant of this
Agreement shall be construed as a waiver of any preceding or succeeding breach of the
same or any other covenant or condition of this Agreement.
20. Time Periodg. In the event the time for performance of any obligation
hereunder expires on a Saturday, Sunday or legal holiday, the time for performance shall
be extended to the next day which Is not a Saturday, Sunday or legal holiday.

4.00 RESULTS
4.01 Gopher Tortoise and Other Burrow Commensals
A total of eight (8) gopher tortoise burrows were located by biologists during the
gopher tortoise and commensal survey. Six (6) burrows were active and two (2) burrows
were inactive. The gopher tortoise population for the project site was estimated using the
following FGFWFC formula:
Est. #gopher tortoises=#active burrows+#inactive burrows x 0.641
The 0.641 factor in the equation is based on data collected and evaluated by the
FGFWFC, and is specific for the South Florida area. The estimated gopher tortoise
population for the project site is five(5). Table 1 depicts the GPS coordinates of the eight
(8) burrows located on-site. Figure 3 depicts the locations of the gopher tortoise burrows.
The Florida gopher frog, a commensal species of the gopher tortoise,was observed
during the survey, however, other commensal species, such as the eastern indigo snake and
Florida mouse may occur on-site. The gopher tortoise, gopher frog and Florida mouse are
designated species of special concern(SSC)by the State of Florida. The eastern indigo snake
is designated as threatened(T)by the State of Florida and the U.S. Fish and Wildlife Service.
These species are protected under regulations set forth in the Wildlife Code of the State of
Florida, Chapter 39 FAC, Rule 39-4.001 and 39-25.002, as well as Chapter 39-27.
Prior to site development, the owner must coordinate with the FGFWFC. The
following five(5)options are available to individuals who wish to conduct activities that may
take tortoises.

GOPHER TORTOISE BURROW LOCATION MAP
1. Avoid developing in the area occupied by tortoises;
2. Avoid individual burrow entrances by a sufficient distance (usually 50') to
assure that the entire burrow is protected.
• 3. Obtain an"incidental take permit"to proceed with activities that may entomb
or kill tortoises, and mitigate for the taking by providing a degree of habitat
protection similar to that provided by DRI developers, as outlined in the
FGFWFC's Gopher Tortoise Habitat Protection Guidelines (Non game
Technical Bulletin #4). These permits will be processed by the Office of
Environmental Services;
4. Relocate those tortoises that would be"taken". This option is generally a less
valid conservation,but would at least remove the individual tortoise from the
path of land clearing. Relocation will be performed as covered in current
relocation guidelines. A conservation easement or other binding assurance
must be obtained on private land receiving tortoises to insure long-term
protection of those individuals moved. Public lands should not be used,
except where Division of Wildlife personnel conclude that stocking is
important to tortoise management on that parcel. Relocation permits are
processed by the Endangered Species Coordinator in Tallahassee.
( 5. In cases where five (5) or fewer tortoises are affected, and some habitat or
open space will exist on-site following construction, tortoises may be captured
by the landowner, or his agents, and released back on the site in an area where
they can move freely. If no tortoise habitat or open space will exist on-site
following construction,the landowner, or his agent, may only pursue options
1 through 4 above. Permits to capture and release tortoises on-site will be
issued by regional Division of Wildlife based on telephone requests (field
verifications may be conducted by FGFWFC personnel).
If options three(3) or four(4) are pursued, a half-acre of land is needed per gopher
tortoise. The estimated gopher tortoise population for the project site is five(5), therefore,
a total of two and 'one-half(2 ' )acres of suitable gopher tortoise habitat is needed either on
or off-site for this project.

4.02 Protected Species/Wildlife Survey
4.02.1 Pedestrian Transects
The results of the Protected Species/Wildlife Survey are represented in Table
2. Biologists noted the occurrence of the Florida scrub jay adjacent to the project
boundaries. No scrub jay's were observed on-site. Scrub jay sightings are located on
Figure 4. Various other mammals, reptiles, birds, and amphibians were located on-
site during the pedestrian transects.
Several listed species were observed by RLW biologists during the wildlife
survey of the project site. Listed species observed on-site include the gopher tortoise
and the Florida gopher frog.
Gopher tortoise burrows were identified throughout the project site(Figure
1
1 3). Gopher tortoise habitat includes well-drained, sandy soils with an abundance of
herbaceous groundcover for foraging. The Florida gopher frog is a commensal
species that occupies gopher tortoise burrows. A Florida gopher frog was observed
inside gopher tortoise burrow number 2.
Florida scrub jays were observed off-site, along the FEC railway and Old
Dixie Highway. The Florida scrub jay has a very specific habitat requirement, which
includes oaks, approximately 3-10 feet tall covering 50-75% of the area, open space
covering .10-30% of the area, and scattered trees with no more than 20% canopy
cover. They avoid wet habitats and closed canopy forests. No scrub jays were
observed on the subject property. Scrub jay habitat no longer exists on-site.

4.02.2 Protected Flora
During the pedestrian survey, biologists did not observe any threatened or

endangered species of plants listed by the Florida Department of Agriculture(FDA).
4.03 Vegetation (FLUCCS)
4.03.1 General
Vegetation associations present on-site were mapped using Level III of the
FLUCCS. The classifications used represent the closest facsimile possible to the
natural community present. The FLUCCS map is depicted in Figure 5.
Classifications depicted on the map are described below. Table 3 estimates the sizes
of each FLUCCS designation.
4.03.1.1 Open Field- 190 (9.76 acres)
This category includes areas of undeveloped land with no canopy
cover. Vegetation includes various grasses and sedges. The majority of
. the site has been disturbed.
4.03.1.2 Sand Pine-413 (2.24 acres)
The sand pine community is dominated by a canopy cover of sand pine
(Pinus clausa). A sparse to dense sub-canopy is dominated by saw
palmetto (Serenoa repens), scrub live oak (Quercus geminata), and
running oak(Quercus pumila). Groundcover in this community is sparse
{ with many open sandy areas. Ground vegetation includes wiregrass
(Aristida stricta), gopher apple(Lucania michauxii), prickly-pear cactus
(Opuntia humifusa), nut rush (Solenia ciliata), and various upland beak
rushes (Rhynchospora spp.).

4.04 Soils,
The United States Department of Agriculture, SCS, has mapped the surficial soil types
within the Clare Bridge/Crossings of Tequesta project site. The resulting soil delineations
were published in the Soil Survey of Palm Beach County Area,Florida,December 1978. SCS
soil types are mapped on Figure 6.
Detailed and complete descriptions of each of these soil communities are presented
in the Palm Beach County Soil Survey, and therefore, are not included herein. However, a
general description of the soils is included in Table 4. This table also represents estimated
area of soil by types, physical properties, and degree of limitation of various soil types
mapped, as excerpted from the SCS published data.
Soil types mapped by the SCS are generally limited to the upper 60 to 72 inches of
the soil profile and are distinguished by several factors. These factors include soil drainage,
topography, presence or absence of restrictive or clayey hardpan type soils, and the depth and
range in fluctuation of the groundwater table associated with each soil type. SCS soil
classifications are considered good early indicators and a reasonable database for a
preliminary evaluation of the suitability of lands for certain uses.

Agreement shall survive the Closing and shall not merge into the deed or other
instrument executed or delivered in,connection with the transaction contemplated hereby.

effective unless in writing and signed by the parties hereto.
23. Further Instruments. Each party, promptly upon the request of the other,
shall execute and have acknowledged and delivered to the other any and all further

provisions of this Agreement and which are not inconsistent with the provisions hereof.

between the parties with regard to the purchase and sale of the Property. All terms and
conditions contained in any other writings previously executed by the parties, and all
other discussions, understandings or agreements regarding the Property and the subject
matter hereof, shall be deemed to be superseded hereby.
25. Inurement. This Agreement shall be binding upon and inure to the benefit
of the permitted successors and assigns, if any, of the respective parties hereto.
26. An licable Law. This Agreement shall be governed by and construed in
accordance with the laws of the State of Florida.
27. Descriptive Headings. The descriptive headings of the sections of this
Agreement are inserted for convenience only and shall not control or affect the meaning
or construction of any provisions hereof.
28. Time of the Essence. Time is of the essence of this Agreement.

Agreement without Seller's prior written consent, except that Buyer may assign at Closing

30. Construction. The parties agree that each party and its counsel have

5.00 CONCLUSIONS
• Eight (8)gopher tortoise burrows were located on-site.
• The Florida mouse and eastern indigo snake were not observed on-site during this
environmental survey; however, habitat may exist on-site.
• The Florida gopher frog, a species of special concern as listed by the State of Florida,
was observed on-site. Gopher frogs can be relocated under a gopher tortoise
relocation permit issued by the FGFWFC.
• One-half(Y2) acre of land is needed as a preserve for each gopher tortoise that is to
be relocated or"taken".
• The Florida scrub jay, listed as Threatened by the State of Florida and Federal
government, was observed on adjacent property.

INTRODUCTION
This traffic statement will assess the traffic impacts associated with the proposed
Alternative Living Services Campus - Clare Bridge / Crossings complex. The
complex will accommodate an 84-unit independent living facility in the Crossings
building and a 52-unit memory-impaired facility in the Clare Bridge building. The
site is located on 9.33 acres in the northwest quadrant of Village Boulevard and
Old Dixie Highway in Tequesta, Florida. Village Boulevard is an east-west
roadway that runs between Dixie Highway (Alt. A1A / SR-811) and US-1 just
south of the Martin County line (see the attached Location Map - Figure 1).
Access to the site is from Village Boulevard and Old Dixie Highway.
TRAFFIC GENERATION
Palm Beach County has published official daily trip generation rates for
residential congregate living facilities in the Impact Fees section of section 10.8
(Fair Share Road Impact Fee) of the Land Development Code. The independent
living facility units (Crossings) are indicated to generate 2.15 trips/dwelling unit
per day, or 181 trips. No rate is indicated for the memory-impaired facility per
unit. For the purpose of this report, the trip generation rate for a nursing home
was used at a rate of 3.68 trips per 1,000 square feet. The Clare Bridge building
is 31,515 square feet. This use results in 116 trips per day being generated for
the project. The total number of daily trips generated by the project is 297 trips.
The traffic assignment estimates that twenty percent (20%) of the trips have
origins or destinations to the north and.eighty percent (80%) of the trips are to
and from the south. Forty percent (40%) are assigned to SR 811 (Old Dixie
Highway) and sixty percent (60%) toward US-1 as shown on the attached
Directional Distribution - Map (Figure 2).
RADIUS OF DEVELOPMENT INFLUENCE
The average number of daily trips is 297 as indicated above; therefore, the radius
of influence for this project is one-half mile as indicated in the criteria with the
County Traffic Performance Standards. The links for analysis for this project are
indicated in Table 1.
EXISTING TRAFFIC / HISTORIC TRAFFIC GROWTH
Table 1 also indicates the existing traffic as provided by Palm Beach County in
the West Palm Beach Urban Area Traffic County Program Report for 1997. The
report also indicates the historic traffic growth rates to be used in the build-out
analysis for this project. The Crossings and Clare Bridge facilities are planned
for completion at the early stage of 1999. The growth rate factors for each of the
roadway links within the radius of influence is also indicated in Table 1.

ASSURED CONSTRUCTION
The Lighthouse Cove Apartments is a recent project that has been approved
within the immediate vicinity and has been included in the analysis as assured
construction within the one half mile radius of influence for this study.
ANALYSIS
In accordance with the Palm Beach County Traffic Performance Standards, the
proposed project was analyzed using both the Test 1 and Test 2 criteria. The
purpose of the tests is to determine if the project will increase the traffic on any of
the affected roadways to a point that any of them would be considered over
capacity. Test 1 analyzes the project during the build-out period. This test only
considers the time period up to the time the project is completed. Test 2
analyzes the project in the future at the model year, which is 2010.

The Roads on Test 2 Network Projected to be Over Capacity with Existing and
Committed Development Traffic Map prepared by the Palm Beach County
Engineering and Public Works Department, Traffic Division does not indicate any
of the affected links to be over capacity. Therefore, the additional traffic
generated by the Crossings and Clare Bridge facilities, as indicated in Table 2,
will not increase the affected link to a point of being over capacity. Acceptable
Levels of Service (LOS) will be provided on the roadway links within the impact
area for this project.

CONCLUSION
Based on the Palm Beach County Trip Generation Rates, the Clare Bridge facility
and the Crossings will generate 297 trips per day. Based on the one-half mile
radius, roadway links as defined by Palm Beach County, acceptable levels of
service will be maintained after the completion of the project.
Two access points will be provided for the project. The weighted average
number of trips counted by the Village of Tequesta Police Department in
December 1997 for Village Boulevard was 4,818 per day in both directions. The
additional trips assigned to this driveway will maintain a LOS "C" or better as well
as Old Dixie Highway north of Village Boulevard. The P.M. Peak Hour driveway
volumes are provided on the attached reduced site plan (Figure 3). As can be
seen, the driveway volumes will not require any additional turn lanes for this
project.
Village Boulevard traffic volumes do not require any improvements or turning
lanes onto Village Boulevard for this project. The enclosed data for peak-hour
trips has been generated for the US-1 and Dixie Highway intersection with
Village Boulevard. Given this data adjustment for the peak season and the
addition of the Lighthouse Cove Project, all turning movements appear to be
adequate. The Westbound Village Boulevard onto southbound Dixie Highway is
the only movement that may need future improvements. This development
contributes less than 1.5% of the volume of peak-hour traffic to this movement.
Upon review of this Traffic Statement by the Palm Beach County Traffic Division,
the applicant may be requested to review other traffic concerns by the Village of
Tequesta and the Palm Beach County Traffic Division.

CONCLUSION:
The above intersection movements do not need improvements, based on the turn lanes and the existing
design of the turn lane proposed on Old Dixie Highway**. However, Village Boulevard's turn lane
westbound onto southbound Old Dixie Highway, if renovated,will show that the Crossings/Clare Bridge
project only contributes 15%of the traffic.

DEVELOPERS AGREEMENT

This Developer's Agreement is entered into as of this—day of
1997 by and between the VILLAGE OF TEQUESTA,FLORIDA,hereinafter referred to as
"Village"and STERLING HOUSE CORPORATION,a Kansas corporation,hereinafter referred
to as"SHC:'
WHEREAS,SHC hes previously acquired and developed property known as
of Tequesta located along Village Boulevard west of U.S.Highway 1 in
Tequesta,Florida(' ),and
WHEREAS,SHC has contracted to purchase acres of land contiguous to
the existing project from r
WHEREAS,SHC has requested the Village to approve construction on the
property of an assisted living facility conteinin, 'residential units and certain related
improvements more particularly set forth on the plans heretofore submitted to the Village,and
WHEREAS,SHC has previously conveyed the T

3. Utility Systems. On or before the issuance of a Certificate of Occupancy
relating to the improvements in .,SHC shall cause the utility improvements required by
the Village to be completed in accordance with plans heretofore submitted to the Village and for
conveyance of such systems as are required to be conveyed by bill of sale to the Village to be
accomplished.
4. Compliance with Conditions if SpecialIgeotion and SitePlan Approval.
SHC shall provide benches for seating which shall be added in the outdoor court yard.
Additionally,all DRC comments contained in Staff Report. --,shall be
addressed by SHC,as set forth in letter of response and agreement fiom CAPTEC Engineering,
• Inc.,dated , .incorporated herein by reference.
5. Miscellaneous Pjovisioeg.
A. Compliance with Legal Requirements. The Village has reviewed
the construction of the proposed facility and renovations and believes the same to be
consistent with its comprehensive plan and land development regulations. Furthermore,
the Village does not believe that the same will cause any detriment to the Village or to its
citizens'public health,safety or welfare. The parties agree and acimowledge that the
failure to address in this Agreement any particular condition,term or restriction shall not
relieve SHC of the necessity of complying with any law governing said required
condition,term or restriction.
B. Recordation of Agreement. The parties agree that this Agreement
shall be recorded in the Public Records of Palm Beach County,Florida within fourteen
(14)days of execution by all the parties.

C. Enforcement. Either party may file an action for specific
performance and/or injunctive relief in the Circuit Court in and for Palm Beach County,
Florida,in order to enforce the terms of this Agreement. Neither party shall be required
to show irreparable harm in order to enforce the terms of this Agreement through
injunctive relief.
D. Binding Effect. This Agreement shall be binding on the successors
in interest to SHC and the Village.
E. Litigation. In the event of any litigation arising hereunder,
jurisdiction and venue shall be in Palm Beach County.Florida,and the prevailing party
shall be entitled to recover reasonable attorneys'fees and costs,including those fees and
costs in appellate proceedings.
F. Complete Agreement. There are no representations,agreements.
arrangements or understandings,oral or written,between the parties relating to the
subject matter of this Agreement which are not ftilly expressed in this Agreement. this
Agreement cannot be changed or terminated orally or in any manner other than by a
written agreement executed by both parties. The above notwithstanding,modifications to
be inclusive,of this Agreement may be authorized by the Village.by necessity of
amending this Agreement,provided however,that said modifications are not otherwise
contrary to any of the teens of this Agreement.
G. Effective Date. The effective date of this Agreement shall be the
last date on which the parties execute this Agreement.

H. Building Permit The parties agree that SHC shall have until January 1.
