SUBJECT: Constitution Park Project
In considering the overall budgetary needs of the Constitution Park
Project for Fiscal Year 1993/94, I requested Brett Nein, ASLA,
Project Manager, Gee & Jenson, to revise the Proposal for
Professional Services - Scope of Services and Preliminary Cost
Estimates - into Phase I and Phase II . The revised Gee & Jenson
Proposal for Professional Services is enclosed for your information
and review.
Phase I of the Project addresses the development of Constitution
Park based on the premise that no bonds will be issued. This
leaves approximately $92, 000 in Recreational Impact Fees in the FY
1992/93 Capital Improvement Project Budget for Phase I .
Phase I includes a boundary and topographic survey, geotechnical
investigation, site inventory and analysis, preparation of a .Master
Site Plan, construction plans and specifications and construction
administration. The actual work entailed includes clearing and
grubbing, construction of a new parking lot ( lighting/landscaping,
etc. ) , irrigation and sodding, and perimeter fencing.
Phase II of the Project addresses the development of the remainder l'
of Constitution Park based on the acquisition of additional
financing via a Bond Issue. Phase II includes the construction of
the major facilities - pedestrian trail/exercise stations, volley �,
ball, basketball, raquetball courts, playground and gazebo - as
well as, landscaping and construction administration. Completion
of Phase II of the Project will transform Constitution Park fronia'
passive park to an active community park.

PLEASE NOTE: Regardless of whether or not bonds are issued in FY
1993/94, additional monies (approximately $50, 000 )
will need to be allocated for completion of Phase I of
the Constitution Park Project_
I feel that breaking the Project into Phase I and Phase II is a
feasible and fiscally sound way to tackle the development of
Constitution Park. Phase I could conceivably be completed by March
1994, if the Village Council approves the Proposal by October 1993 .
Phase II could be developed all at once or incrementally as funds
become available. I am also very comfortable and confident in
dealing with Brett Nein, whom I 've worked with on previous projects
for the Village. For these reasons, I recommend approval of the
Gee & Jenson Proposal for Professional Services for Constitution
Park based upon the Phase I and Phase II aspects of the Project.
Therefore, I would appreciate it if you could schedule the
appropriate Village Council Committee Meeting to review the Gee &
Jenson Proposal for 'Professional Services and the financing for
Constitution Park as soon as possible. And, if the Committee
Members agree, please place the Approval of the Gee & Jenson
Proposal for Professional Services for Constitution Park on the
September 23, 1993, Village Council Meeting Agenda. Thank you.

Revision of May, 1993 Proposal
Gentlemen:
We are pleased to submit the following revised proposal for professional services in
connection with the development of Constitution Park, a ± 4.3 acre site (including the
JTJC Parcel) located north of Dover Road and east of Seabrook Road, in the Village
of Tequesta.
Gee & Jensen Engineers-Architects-Planners, Inc., hereinafter referred to as the
Consultant, proposes to furnish professional services for the Village of Tequesta,
hereinafter referred to as the Client, of the scope outlined below for the fees stipulated
herein. These services will be performed in accordance with Section 2.1 (General
i Consulting Services) of our Continuing Services Agreement between the Village of
Tequesta and Gee & Jenson, dated October 31, 1989.
Scope of Services
The Consultant will perform the following:
PHASE I
TASK 1: Doundaryind Topographic Survey r1
Consultant shall prepare a boundary and topographic survey for the _
parcel in accordance with the applicable provisions of the Florida -
Minimum Technical Standards CH. 21, HI-I-6, G.A.C.

A pen and ink mylar shall be drawn delineating all items/features existing '-,
on-site, the established legal boundaries and corresponding description, l
and inclusive of one foot (1') contours or spot elevations on ap- ; f
proximately a one hundred foot (100') grid or as required to locate
existing features.

TASK 2: Preliminary Ceotechnicalinvestication
The Consultant shall obtain a preliminary geotechnical investigation,
which will be performed to asses the general subsurface conditions of
the site. It shall include hand auger borings up to 6' deep and/or stan-
dard penetration tests up to 30' deep, as necessary, for the Identification
of potential subsurface problems and groundwater Information. Ad-
ditionally, recommendations for structure locations and special foun-
dation/paving requirements will be outlined.
TASK 3: Site Inventory and Analysis
• Utilizing the Boundary and Topographic survey generated, the Consultant
shall visit the site to complete a site inventory and analysis of the exis-
ting features and how they might impact the construction plans for the
site. These conditions Include but are not limited to topography,

drainage (FEMA classification), existing structures, existing traffic cir-
culation, existing vegetation, and surrounding land-use.
TASK 4: Master Site Plan
A Final Master Site Plan shall be prepared based upon the Boundary
and Topographic Survey and the Site Inventory and Analysis. This site
plan shall depict all the proposed improvements shown on our 2/24/93
conceptual plan as well as those that the political agreements reached
between the various Interested parties and the Village of Tequesta will
now permit. Reduced copies of the 24° x 36° original drawing shall be
made available to the Client for Council review/approval and for public
notice advertisement requirements.
TASK 5: Construction Plans & Specifications
Based on the Village approved Master Site Plan, the Consultant shall-
prepare construction plans and corresponding specifications and finishes
for all the elements that are part of Phase t for the Planned Park Devel-
opment. By Including the Village approved standard contract and front-

end bid documents within the specifications booklet, the product(s) of this
task shall result in a biddable construction package, Including the follow-
ing components:

A. Horizontal Control Plan (Layout & Dimensioning).
B. Paving & Grading Plans & Details.
C. Utilities Plan & Details.
D. Stormwater Management Plan & Details.
E. Landscape Plans and Details including fencing, signage and
typical dumpster enclosure screening.
F. Irrigation Plan and Details including well specification if required.
G. Electrical and Lighting Plans Including power delivery to Parking
Lot Fixtures, irrigation welVcontrols, and provisions for future
lighting and electrical requirements.
The Client shall be given the opportunity to review all construction plans at the
following submittal intervals:
30% complete
60% complete
90% complete
TASK 6: Cost Estimates
The Consultant shall prepare detailed preliminary construction cost
estimates for all the park elements depicted in the construction document
package, as indicated above. The estimate will be presented with the
90% construction plans submittal to the Client for review and discussion.
The bidding format may be adjusted to meet Village budgetary limits.
TASK 7: Permitting and Approvals
• The Consultant shall conduct field reviews and take other necessary
actions including preparing applications to submit for permits from
regulatory agencies having jurisdiction over the project, including but not
limited to:
South Florida Water Management District
• Village of Tequesta Community Appearance Board
▪ Village of Tequesta Board of Adjustment

▪ Loxahatchee River Environmental District

TASK 8: Bidding Services
The Consultant shall conduct a pre-bid conference at the site or alternate
location, and furnish sets of bid documents to prospective bidders after
the advertisement has been run. Prospective bidders will be charged
only for tho cost associated with the reproduction of the documents.
During the bidding, consultant shall provide clarifications of the drawings
and specifications in writing as necessary, and prepare, seal, and dis-
seminate Client approved addenda.
The Consultant shall, at the end of the bidding period, attend the public
opening of the bids at Village Hall, assist in reviewing the bids, prepare a
bid tabulation and prepare a letter of recommendation to the Client if
desired. Only the Client shall officially receive the bids at the location
specified in the Advertisement.
TASK 9: Construction Administration
The Consultant shall participate in a pre-construction conference within
the time frame required by the Client. The Consultant shall make
necessary site visit(s), at minimum once a week and not to exceed an
average of 6 hours per week, to observe the work and provide recom-
mendations concerning progress of the work and its general compliance
with contract documents. The Consultant shall review and provide
recommendations for and changes which may be required during
construction and which are within the scope of the project. On the basis
of such on-site observation as the Village's Consultant, Consultant shall
. inform the Client of the progress and quality of work, and shall exercise
best efforts to guard the Client against defects and deficiencies in the
workmanship or delays of the contractor. The Consultant and the Client
• shall review and approve all applications by the contractor for payment.
The Consultant shall determine which type of inspector Is most ap-
propriate for each visit as the project progresses, (e.g., civil engineering 0 '
inspector for parking area, utilities, drainage ponds etc., landscape
architect for general layout, landscaping, recreation, amenities etc., and
architect for structures).

The Consultant shall have authority to reject work which does not con-
form to the Contract Documents. Whenever the Consultant considers it
necessary or advisable for implementation of the intent of the Contract
Documents, the Consultant will have authority to require additional
Inspection or testing of the work in accordance with the provisions of the
Contract Documents, whether or not such work is fabricated, installed or

completed. However, neither this authority of the Consultant nor a
decision made in good faith either to exercise or not to exercise such
authority shall give rise to a duty or responsibility of the Consultant to the
Contractor,,Subcontractors, material and equipment suppliers, their
agents or employees or other persons performing portions of the work.
The Consultant shall provide the Client with written reports within 72
hours after each site visit.

The Consultant shall review and take appropriate action on shop
drawings, requests for substitutions and change orders supplied by the
contractor or the Client for conformance with the design concept of the
project and with the information and requirements given In the contract
documents. This task shall include approval of change order documents
as submitted by the Contractor when appropriate.
The Consultant shall, upon contract final payment, make recommen-
dations on the contractor's interim and final pay estimates and final
quantities of work.
Upon receipt of a written statement from the contractor that work is
substantially complete according to the construction contract documents,
the,Consultant shall conduct with Village representatives a substantial
completion inspection, prepare a "punch list` of items requiring correction
or completion and issue a certificate of substantial completion, if ap-
propriate.
Upon receipt of a written notification from the contractor that all punch list

items have been corrected. the Consultant shall assist Client in conduc-
ting a final inspection to verify corrections after which, a final certificate of
completion shall be issued by Consultant.

The Consultant shall receive and review for completeness as-built
information from the contractor and submit to Client a complete set of
mylar reproducible record drawings on all construction and as-built
Information supplied by the Contractor.
PHASE II
TASK 1: Construction Plans & Specifications
Based on the Village approved Master Site Plan, the Consultant shall
prepare construction plans and corresponding specifications and finishes
for all the elements that are part of Phase II for the Planned Park Devel-
opment. By including the Village approved standard contract and front-
end bid documents within the specifications booklet. the product(s) of this
task shall result in a biddable construction package, including the follow-
ing components:
A. Horizontal Control Plan (Layout & Dimensioning).
B. Paving & Grading Plans & Details.

D. Stormwater Management Plan & Details.
E. Architectural plans and details including prefabricated Gazebo/Sh-
elter Installation, Racquetball/Handball courts, and sports equip-

G. Irrigation Plan and Details covering the modifications required to
accommodate Phase II improvements.
H. Electrical plans and details including power delivery to Gazebo,
Water Fountain (chillers), and provisions for future lighting and
electrical requirements.

The Client shall be given the opportunity to review all construction plans at the

salary expenses.

At No Expense to the Consultant
Furnish at no cost to Consultant, title search and abstract of property, all permit appli-
cation and Governmental inspection fees; cost of data prepared by or services
required of others, such as subsurface explorations, laboratory tests and inspections
of samples, materials and equipment; appropriate professional Interpretations of all of
the foregoing; all of which the Consultant will rely upon in performing services. It Is
agreed and understood that the accuracy and veracity of said information and data
may be relied upon by Consultant without independent verification of the same.
Designate In writing a person to act as the Client's representative with respect to the
services to be performed under this Agreement. Such person shall have complete
authority to transmit instructions, receive Information, interpret and define the Client's
policies and decisions with respect to materials, equipment, elements and systems
pertinent to the Consultant's services.
Time of Performance
PHASE I - TASKS 1 through 6 of the Scope of Services will be completed within 45
calendar days after receipt of Notice to Proceed except for delays
beyond the reasonable control of the Consultant.
PHASE I - TASKS. 7 through 9 of the Scope of Services will be completed in accor-
dance with the Client's reasonably established permitting, bidding and
construction schedule.
PHASE II - TASKS 1 through 5 of the scope of services will be completed under a
schedule established, submitted and approved when the Client chooses
to move forward with Phase II of the project.

In addition to the fees specified above, the Consultant shall be reimbursed for direct
nonsalary expenses, including, but not limited to, data processing, equipment rental,
automobile travel at $0.33 per mile, $0.55 per mile for four-wheel drive and trucks,
long distance telephone, printing and reproduction, plus Florida sales taxes, if ap-
plicable.
We estimate the cost of these reimbursable expenses to be One Thousand Five
Hundred and no/100 Dollars ($1,500.00) for Phase I and Two Thousand Two Hundred
and no/100 Dollars ($2,200.00) for Phase II. It should be emphasized that this
estimate is for budget purposes only and should not be considered a guaranteed
amount.
Invoices for services rendered are prepared monthly and are due and payable within
thirty (30) days from date of the invoice. Past due statements shall Include interest
from the date of invoice at a compound interest rate of one and one half (1-1/2)
percent per month.

Payments which are not received within sixty (60) calendar days from the date of
invoice will be considered sufficient cause for Consultant to discontinue performing
and providing services until payment in full Is received. If Consultant is required to
take action to collect past due invoices, the Client will pay all legal fees and costs.
This contract shall be governed by the laws of the State of Florida, and the appro-
priate venue for any actions arising out of the agreement would be West Palm Beach,
Florida.
If there are items that must be sublet, confirmed, certified or updated, the Consultant
shall, as agent of the Client, order the work with the Client's approval, and the
subcontractor shall bill the Client directly. The Client must make payments in accor-
dance with the terms on the invoice in order not to stop the work. If the Consultant is
directed by the Client to handle the subcontract for the Client, there will be a fifteen
(15) percent charge for handling.
In the event the Consultant is involved in providing services to assist the Client in
applying for and processing applications or permits, the fee for such service will not be
related to final approval or denial. All application or permit fees to agencies, as-
sociated with documents submitted by the Consultant on behalf of the Client, shall be
paid to the agency by the Client.
Resident Project Services
On any project for which construction drawings and specifications were prepared by
the Consultant and a certification of construction is required by a regulatory agency,
the Client shall employ the Consultant to perform resident project services for obser-
vation of the construction work. Unless the Consultant is engaged for resident project
services, they will not be in a position to certify the work to those regulating agencies
having jurisdiction and requiring certification. Project representation may require one
or more full or part-time project representatives, depending upon the requirements of
the project The project representative will endeavor to provide protection for the
Client against observed defects and deficiencies in the work of the Contractor.
However, the furnishing of resident project services does not guarantee the work of
the Contractor, nor assume liability on the part of the Consultant for job safety or the
Contractor's means, methods, techniques, sequences and/or procedures.

Shop QAIyving & S@r ipling Review
When retained by the Client to provide shop drawing and sample review services, as
part of the construction administration phase of a project, the Consultant's responsi-
bilities are limited to review for conformance with general design concept as required
in the contract documents only. Specifically excluded from our services are reviews of
dimensions, quantities, sizes, construction details, completeness of drawings and
means or materials\used in fabrication or installation.
Estimates
Since the Consultant has no control over the cost of labor and materials or over
competitive bidding and market conditions, the estimates of construction cost provided
for herein are for general Information only and are made in accordance with the
applicable standard of care. Accordingly, the Consultant does not guarantee the
accuracy of such estimates when compared to the Contractors' bids or the project
construction cost.
Code and Regulatory Compliance
The Consultant prepares his work product based on known codes and interpretations
and relies on his experience to evaluate their applicability. Input and comments are
often sought from authorities having jurisdiction and in many instances, agreements
are reached which impact the work product. When situations arise such as code revi-
sions, changes in interpretations, changes to agreed upon direction, or work per-
formed before required permits or agency approvals are received, the Consultant will
take appropriate-action subject to the direction of the Client. Services associated with
these situations will be compensated for as additional services.

Acceptance
Acceptance of this proposal may be indicated by the signature of a duly authorized
official of the Client in the space provided below. One signed copy of this proposal
returned to the Consultant will serve as an Agreement between the two parties and as
Notice to Proceed. This contract will be binding on the parties hereto and the parties'
