Bradford, Village Manager Re: Water Department/Public Works Garage Dear Mr. Bradford: We are pleased to submit the following proposal for professional services in connection with the design of,a new Public Works Garage and related site improvements on Village property south of Bridge Road. Gee & Jenson Engineers-Architects-Planners, Inc., hereinafter referred to as the Consultant, proposes to furnish professional services for The Village of Tequesta, hereinafter referred to as the Owner for the scope outlined below for the fees stipulated herein. These services will be performed in accordance with Section 2 and payment will be in accordance with paragraph 4C, of our Ongoing Services Agreement between the Village of Tequesta and Gee & Jenson dated October 31, 1989. Scope of Services Project to include design of a pre-engineered metaVmasonry garage building of approximately 6,120 SF (60' x 20' bays) plus a mezzanine storage over one end bay. Building is to have roll-up garage doors in 4 bays on each side. One end bay to include meter test room, 2 offices, 2 parts rooms, break room,toilets, lockers and showers. Also included is a 200± SF separate storage building for chemicals, etc. The site is approximately one acre (173.76' x 250') in size located 180' south of Bridge Road. Sitework to include vehicle wash pad, site drainage, asphalt paving and vehicle parking, security fencing, landscaping and irrigation. No fueling/fuel storage or emergency generator is included in project scope. - No access road construction or modification to Bridge Road. Site boundary and topographic survey provided by Owner. Geotechnical engineering and report provided by Owner/coordinated by the Consultant. Village of Tequesta Attn: Thomas G. Bradford, Village Manager August 11, 1993 - Page 2 The Consultant will perform the`following: 1. Preliminary Design Phase a. Provide coordination of Geotechnical Engineer hired by the Owner. b. Review program and budget requirements and review understanding of such requirements with the Owner. Provide schedule with sixty (60) days update during design process. c. Based upon mutually agreed upon program and project budget requirements, the Consultant shall prepare for approval by the Owner, preliminary design documents consisting of drawings and other documents illustrating the scale and relationship of project building and site components, and describing the size and character of the project as to architectural, mechanical, electrical and structural systems, materials and such other elements as may be appropriate. d. The Consultant shall submit to the Owner a Statement of Probable Construction Costs based on current area, volume or other unit costs. 2. Final Design/Construction Documents Phase a. Based on the approved Preliminary Design Documents, the Consultant shall prepare, for approval by the Owner, Construction Documents consisting of drawings and specifications setting forth in detail the requirements for the construction of the project. b. The Consultant shall assist the Owner in the preparation of the necessary bidding information, bidding forms, the Conditions of the Contract, and the form of Agreement between the Owner and the Contractor. c. The Consultant shall advise the Owner of any adjustments to previous statement of Probable Construction Cost indicated by changes in requirements or general market conditions. d. The Consultant shall assist the Owner in connection with the Owner's responsibility for filing documents required for the approval of the governmental authorities having jurisdiction over the project. Bidding or Negotiation Phase The Consultant, following the Owner's approval of the Construction Documents and the latest Statement of Probable Construction Cost shall assist the Owner in obtaining bids or negotiated proposals, and assist in awarding and preparing contracts for construction. Attendance at a Pre-Bid Conference is included. Owner will bear cost of bid advertisement and publication. 4. Construction Phase a. The Consultant shall review and process Contractor's submittals such as shop drawings, product data and samples, for the limited purpose of checking for conformance with information given and the design concept expressed in the Contract Documents. b. The Consultant shall visit the site an average of 5 hours per week for a twenty (20) week construction period. This includes field visits by structural, mechanical and electrical engineers and Substantial and Final Inspection (see Attachment 'A'). On the basis of on-site observations, the Consultant shall keep the Owner informed of the progress of the work. c. The Consultant shall select and submit materials/samples/colors for the Owner's approval. d. The Consultant shall provide in-office project management including phone calls, faxes, project correspondence, the equivalent of 1 hour per week for 20 weeks per attached schedule. e'. Based on the Consultant's observations and evaluations of the Contractor's • Application for Payment, the Consultant will review and process the amounts due the Contractor for the Owner's approval. f. The Consultant shall receive and forward to the Owner, for the Owner's review and records, written warranties and related documents required by the Contract Documents and assembled by the Contractor, and shall issue a final Certificate for Payment upon compliance with the requirements of the Contract Documents. it J Village of Tequesta Attn: Thomas G. Bradford, Village Manager August 11, 1993 - Page 4 Items to be Furnished by Owner At No Expense to the Consultant Assist Consultant by furnishing, at no cost to the Consultant, all available pertinent information including site survey, all permit application and governmental inspection fees; and any other data relative to performance of the above services for the project. It is agreed and understood that the accuracy and veracity of said information and data may be relied upon by Consultant without independent verification of the same. Designate in writing a person to act as the Owner's representative with respect to the services to be performed under this Agreement. Such person shall have complete authority to transmit instructions, receive information, interpret and define the Owner's policies and decisions with respect to materials, equipment, elements and systems pertinent to the Consultant's services. Time of Performance Items 1 through 4 of the Scope of Services will be completed as follows: Item 1 and 2 - 45 calendar days Item 3 - 30 calendar days Item 4 - 140 calendar days (except for delays beyond the reasonable control of the Consultant). Fees to be Paid For Items 1 through 4 of the Scope of Services, the Consultant shall be paid a lump sum fee of Forty Five Thousand Two Hundred Forty Dollars ($45,240.00). 1. , Preliminary Design $12,320.00 2. Bradford, Village Manager August 11, 1993. - Page 5 Additional Services The Consultant will provide any additional services for other portions of work and for fees mutually • agreed to by the Owner and the Consultant. Added to this labor fee are normal reimbursables for direct nonsalary expenses as listed in 'Fees to Be Paid'. In addition to the fees specified above, the Consultant shall be reimbursed for direct nonsalary expenses, including, but not limited to, data processing, equipment rental, automobile travel at $0.33 per mile, long distance telephone, subsistence, printing and reproduction, plus Florida , sales taxes, if applicable. Invoices for services rendered are prepared monthly and are due and payable within thirty (30) days from date of the invoice. Payments which are not received within sixty (60) calendar days from the date of invoice will be considered sufficient cause for Consultant to discontinue performing and providing services until payment in full is received. If Consultant is required to take action to collect past due invoices, the Owner will pay all legal fees and costs. Termination This Agreement may be terminated by either party by giving thirty (30) days advance written notice. The Consultant shall be paid for services rendered to the date of termination on the basis of a reasonable estimate of the portion of services completed prior to termination and shall be paid for all reasonable expenses resulting from such termination and for any unpaid reimbursable expenses. /( ��~ I ` 9110 Village of Tequesta Attn: Thomas G. Bradford, Village Manager August 11, 1993 - Page 6 Acceptance Acceptance of this proposal may be indicated by the signature of a duly authorized official of the Owner in the space provided below. One signed copy of this proposal returned to the Consultant will serve as an Agreement between the two parties and as Notice to Proceed. This contract will be binding on the parties hereto and the parties' successors and assigns. Should this proposal not be accepted within a period of sixty (60) days from the above date, it shall become null and void.
