Subject: Engineering Services Agreement for Reverse Osmosis
Well No. 2
Attached for your review and Council approval, you will find two
original proposals from Mr. Bill Reese, of Reese, Macon &
Associates, Inc. , of Lake Worth, Florida, in the amount of
$20, 000 . Execution of this Agreement will allow Mr. Reese to
continue design and permitting of RO Well No. 2 .
The addition of this well proposal does not change Mr. Reese' s
recommendation of a budget allocation of $300, 000 as referenced
in my Memorandum of October 17th concerning the engineering
services agreement Phase 2, of the Reverse Osmosis Treatment
Plant. This is a lump sum fee for design through permitting and
bidding.
Mr. Reese has indicated that on both projects, he will endeavor
to expedite the proposed completion schedule as stated in order
to meet the plant construction commencement target of August
1997.
Funding for this work will be provided by the Water Enterprise
Fund, Retained Earnings Account with a funding balance to be
confirmed. Please place this item on the Village Council Agenda
of November 14, 1996, for review and approval . Mr. Reese will be
in attendance at that meeting to answer any questions or concerns
the Council may have.

Engineering Services
Gentlemen:
We are pleased to submit this proposal for engineering services in connection with engineering
services related to the Village's second Floridan well for the reverse osmosis treatment plant.
REESE, MACON and ASSOCIATES, INC., hereinafter referred to as the Engineer, shall
perform the services as documented below for the Village of Tequesta, hereinafter referred to as
the Client.
SCOPE
The Engineer and Client understand that this work shall be for engineering services related to the
design and permitting of R.O. Well No. 2. Note that the permitting portion of this project, shall
entail acquiring FDEP's approval for temporarily discharging the development/pump test water
from this well and Well No. 1 through the proposed reject main to the point of discharge within
the Jupiter Inlet.
The following specific tasks will be performed by the Engineer:
1. Prepare final well design schematics and specifications.
2. Prepare an updated construction cost estimate based upon the final design.
3. Prepare and submit permit applications to FDEP for the temporary discharge of well
development/pump test water for Well No. 1 and No. 2.
4. Advertise the project, attend bid opening, evaluate the bids and make a recommendation
of award.
5. Prepare contract documents for execution by the Village and successful Contractor.
6. Perform construction contract administration services to include all engineering duties set
forth in the General Conditions and Supplementary General Conditions.
7. Provide a part-time resident project representative.

Engineering Services
The above scope is predicated on the assumption that the Client shall furnish, at no cost to the
Engineer, all available pertinent information including previous reports, plans, specifications,
permits and other data relevant to the performance of the above services for the project.
The following specific information and/or items shall be furnished at no cost to the Engineer:
1. Surveys: topographic, property, boundary and right-of way.
2. Appropriate professional interpretations.
3. Data prepared by or services rendered by others such as subsurface explorations laboratory
tests and inspections of samples.
4. All permit application and government inspection fees.
TIME OF PERFORMANCE
The Engineer will commence work within thirty(30) days of receipt of an executed authorization.
The Engineer acknowledges that the design, permitting and construction is to run commensurate
with the reverse osmosis treatment plant project, except for delays beyond the control of the
Engineer.
FEES
For Scope Items 1 through 5, the Engineer shall be paid a lump sum fee of twenty thousand
dollars ($20,000).
For Scope Items 6 and 7, the fee cannot be fully determined until the specifics of the design are
completed. Therefore, the fee associated with these scope items will be determined forty-five
(45) days prior to a Contractor award.
Invoices for services rendered are issued on a monthly basis and are due within thirty(30) days of
the invoice date. Interest at a compound rate of one and one-half percent per month shall be
charged to any past due statements. Interest shall be computed on past due statements from the
date of the invoice.

COST ESTIMATES
Construction cost estimates are developed from knowledge of market conditions and based on the
experience of the Engineer. However, the Engineer exercises no control over the competitive
bidding process and, therefore, makes no guarantee of the accuracy of the estimate when
compared to previous estimates or actual bids.
TERMINATION
This agreement may be terminated by either party by giving thirty(30) days written notice. The
Engineer shall be paid for all services rendered prior to the termination date.
ACCEPTANCE
Acceptance of this proposal may be indicated by executing this document in the space provided
below. This contract shall be considered void if not executed within thirty(30) days from the
above date. Upon execution of this agreement the Client shall return one copy to the Engineer.
