Bradford, Village Manager / Date: November 7, 1996 / Subject : Resolution Approving a Memorandum to Enter into a Lease and Receipt for Deposit Agreement for Administrative Office Space; Agenda Item As you know, the top priority of the Village Council for the forthcoming year is to implement facilities for the Village office staff, police, fire, and how to go about paying for the same. Recently, the Redevelopment Committee reviewed staff work in this regard and concluded that the only practical way to address this problem is to use an incremental approach to the same. Taxpayers are not going to stand for significant increases in costs. for facility needs yet, the need for additional space is real and immediate. In this regard, it has been proposed that an incremental approach be taken to the problem, namely, that certain functions of the Village relocate from our Village Hall campus to off-site office space in order to provide additional space at these facilities . The costs associated therewith would be incremental in that the increase to the taxpayer would be of little impact yet the benefit to the Village space needs could be significant. Upon review of the office space available in Tequesta, staff is recommending relocation of the Administrative, Finance and Water functions of the Village to the Tequesta Corporate Center (First United Bank Building) on Tequesta Drive. We believe that we have secured a beneficial lease rate and terms that will prove beneficial to the Village. Additionally,, we have received assurances from First United Bank that they will accommodate our desire for customers to pay their water bills in their bank lobby or in the drive-thru teller lanes . This should prove to be a very beneficial proposal for the public we serve. Attached hereto, you will find the Resolution approving the Agreement and, of course, a copy of the lease agreement itself. Likewise, you will also find a copy of a memorandum from the Director of' Finance indicating that said funds are available this . fiscal year to pay the associated start-up costs to enable the Village to make this relocation and to fund the rent payments for the remainder of this fiscal year. The remaining aspects of our facility needs pertaining to a permanent Fire-Rescue facility, renovated Police headquarters and a permanent Village Hall facility will continue to be reviewed by the Redevelopment Committee. In fact, a meeting of this committee is scheduled for November 13 to review the lease agreement and a status report relative to additional future facilities and/or renovations . It is recommended that the Village Council adopt the Resolution No. 3-96/97 authorizing the Village Manager to enter into the Agreement for office space at Tequesta Corporate Center. Kascavelis, Director of Finance Date: November 8, 1996 Subject: Funding for Administrative Offices Lea e A review of the financial position of the General Fund and Water Enterprise Fund as of September 30, 1996, revealed that financial resources are available to provide the funding necessary for the administrative offices lease and associated relocation expenses . A budget amendment will be prepared providing such expenses, to be approved by the Village Council at the December 12 , 1996, Village Council Meeting. The amount' of the amendment, as estimated by Joann Manganiello, is $65, 025, which will be allocated equally between the noted Fund budgets . Respectfully submitted. The parties agree to execute this Memorandum to Lease on or before November 15,1996 and execute a formal Lease Agreement on or before December 1, 1996. 1. Upon execution of the lease, the Lessee may enter the premises to begin redecorating Suite 300 (see below) and bringing in belongings and furniture in Suites 300 and 303. 2. Lessor has agreed to give carpet allowance of$12 per yard and wallpaper allowance of$15.99 per roll toward the redecorating of Suite 300. 3. Lessor will provide labor for painting those walls not wallpapered in Suite 300 and Lessee will provide paint. Lessee agrees no painting necessary in 303. 4. Lessor will install,at its own expense, a sink and cabinet in the former"dark room" of Suite 303. 5. Lessee will, at its own expense, have the option to do the following: a. Install doors to the two entrances of the"storage room" in Suite 300. b. Install up to six ceiling fans in Suite 300. Flush mounted Hunter 52". c. Install a security system in its space. d. Install a satellite dish and antenna, etc. on roof of building. e. Install cabling-appropriate to hook-up security sytem,satellite dish, the antenna, etc. and the Village's computers. f. Lessee will have 24-hour a day, seven days per week access to the space. 8. When finalized, the lease agreement will include the customary remedies for default, application of deposit monies, consent for assignment and any other matters on which the parties shall mutually agree. G. This is a Letter of Intent and this Memorandum shall not have the effect of a lease. The parties' rights hereunder are contingent upon finalization and execution of the lease agreement. The first month's rent in the amount of $3,927.67 shall be fully refundable to the Village, if the Village and the Landlord do not enter into a Lease. H. The Village desires to relocate its Administrative Offices and its Water Department Offices to the First:United Bank Building.located at 250 Tequesta Drive,Tequesta. Florida,.nd In exchange for the consideration set forth herein on the pact of First United Bank, the Village agrees as follows: • 1. The Village will relocate its Administrative Offices slid its Water Department Offices to the First United Bank Building. 2. The Village will open a depository account vritli First United Bank to facilitate the below-described services to be provided by First United Bank. The depository account will maintain a balance sufficient to compensate First United Bank for the below-described services. In exchange for the relocation of the Village's Administrative Offices and Water Department Offices to the First United Bank Building and the establishment of a depository account, First United Bank agrees as follows: • 1. First United Bank will maintain a drop box in which the Village's Water Department customers paying their water bills by check may deposit their payment checks. Village staff will periodically pick up the checks collected in the drop box and credit them to the Village's depository account at First United Bank. 3. First United Bank will set up a procedure and make accommodations whereby Village Water Department customers will be able to pay their water bills at the First United Bank Drive-hi Teller and in the lobby of the First United Bank Building. 4. First United Bank will provide ancillary banking services to the Village free of charge, which services shall include but are not limited to, free employee checking accounts, free Villaw wire transfers. and five direct deposit for the Village's employee 5 \ 1/431\-N4 fit';:. The Village and First United Bank agree and acknowledge that the above described services to be provided by First United Bank arc essential to making the relocation of the Village's Administrative Offices and Water Department Offices agreeable to the Village and the public.
