Subject: Resolution Authorizing Village Manager Facsimile
Signature with First United Bank; Agenda Item
As we move toward consummating the Administrative Offices
'relocation to 250 Tequesta Drive, we must finalize the banking
arrangements with First United Bank. Previously, by separate
Resolution, the Village Council has authorized Village staff to
maintain bank accounts with, among others, First United Bank.
Therefore, what needs to be done at this time is to formally
authorize the Village Manager facsimile signature which appears
on all Tequesta bank account checks . The Village Manager
facsimile signature is registered with the State of Florida as
required by law.
Therefore, in order to finalize our arrangements with First
United Bank and to enable the Village to do banking and make
payments in an efficient manner, we must formalize the
authorization to use the facsimile signature. The attached
Resolution for your consideration meets the, requirements needed
by First United Bank in order to process such bank drafts
utilizing the Village Manager facsimile signature.
It is recommended that the Village Council approve this
Resolution.

RESOLUTION NO. 7-96/97
A RESOLUTION OF THE VILLAGE COUNCIL OF THE
VILLAGE OF TEQUESTA, PALM BEACH COUNTY,
FLORIDA, AUTHORIZING FIRST UNITED BANK TO
ACCEPT THE FACSIMILE SIGNATURE OF THE
VILLAGE MANAGER AFFIXED TO ALL CHECKS,
DRAFTS, NOTES, OR OTHER ORDERS FOR PAYMENT
OF MONEY DRAWN UPON THE APPROPRIATE
ACCOUNTS, ASSUMING COMPLETE AND TOTAL
RESPONSIBILITY FOR ANY AND ALL PAYMENTS MADE
BY THE FIRST UNITED BANK IN RELIANCE UPON
THE FACSIMILE SIGNATURE; INDEMNIFYING AND
HOLDING AND FIRST UNITED BANK HARMLESS FOR
ANY COST, DAMAGE, LOSS OR EXPENSE THE FIRST
UNITED BANK MAY INCUR OR SUFFER RESULTING
FROM THE USE OR MISUSE OF THE FACSIMILE
SIGNATURE; AUTHORIZING THE VILLAGE MANAGER
OR HIS DESIGNEE TO DELIVER TO THE FIRST
UNITED BANK SPECIMENS OF THE FACSIMILE
SIGNATURE AND ESTABLISHING AN EFFECTIVE
DATE.
WHEREAS, the Village Council has previously approved the
First United Bank as a depository for the Village of
Tequesta; and
WHEREAS, the Village Council wishes to formalize a banking
relationship with First United Bank in order to accomodate
its new business activities at 250 Tequesta Drive.
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF TEQUESTA, PALM BEACH COUNTY, FLORIDA, AS FOLLOWS:
Section 1. The foregoing recitals are hereby ratified and
confirmed.
Section 2. First United Bank is authorized and directed to
pay upon proper presentation all checks,. drafts, notes, or
other orders for payment of money drawn on appropriate
accounts with First United Bank bearing and purporting to
bear the facsimile signatures of the Village Manager
regardless of by whom or by what means the actual or
purported facsimile signature thereon may have been affixed
thereto.
Section 3. The Village of Tequesta assumes complete and
total responsibility for any and all payments made by First
United Bank, in reliance upon the actual or purported
facsimile signatures of the Village Manager.
Section 4. The Village of Tequesta agrees to indemnify and
hold the First United Bank harmless for any cost, damage,
loss or expense the First United Bank may incur or suffer
resulting from the use or misuse of the facsimile signature,
including but not limited to.: forged checks, drafts or
other orders for payment of money signed by a facsimile
signature device purporting to bear the signature of the
Village Manager.
Section 5. The Village Manager, or his designee, is
authorized and directed to deliver to the First United Bank
specimens of the facsimile signature of the Village Manager.
Section 6. This Resolution shall take effect upon its
adoption by the Village Council . This Resolution will
continue in full force and effect until written notice of
the ratification thereof shall have been delivered to and
received by the First United Bank at each location where an
account is maintained. Any such notice shall not affect
items in process at the time notice is given.
THE FOREGOING RESOLUTION WAS OFFERED by Councilmember
, who rroved its adoption. The motion was
seconded by Councilmember , and upon being put
to a vote, the vote was as follows :
FOR ADOPTION AGAINST ADOPTION
The Mayor thereupon declared the Resolution duly passed and
adopted this 12th day of December, A.D. , 1996 .
