Subject: Agreement with Zerfas Productions, Inc.
Attached is an agreement to be executed by yourself between Zerfas Productions and
the Village of Tequesta. This agreement allows Zerfas Productions, Inc. to film actual
incidents that we respond to and air footage on the new TV show, "Under Fire." This
show will be aired on Channel 5, Saturday nights, at 7:00 p.m. This production is
similar to the TV show "Cops", but will be structured around fire rescue incidents.
This series was created to serve as a vehicle to educate and enlighten the community;
promote, honor, and show support for fire-rescue services and personnel, and to
strengthen the community awareness. The TV series consists of a series of a brief
introduction of the featured department, a special segment which features a unique
unit/service, followed by videotaped footage of spontaneous 911 emergency calls. In
addition, four Missing Child Alerts are included in the program preceding each break.
These alerts are provided as a public service for the National Center of Missing and
Exploited Children. Viewers, with information, are instructed to call an 800 number or
to contact their local Sheriffs Department. Also, a 30-second public service
announcement is included in each program.. These announcements will highlight the
importance of: CPR Instruction, Smoke Detectors, and Drowning Prevention.
I have asked John C. Randolph, Village Attorney, to review this Agreement for legal
form and sufficiency and am awaiting his response.
If you see appropriate, please place this on the February 13, 1997, Village Council
Agenda. If you have any other questions or concerns, please do not hesitate to ask.

RESOLUTION NO. 10-96/97
A RESOLUTION OF THE VILLAGE COUNCIL OF THE
VILLAGE OF TEQUESTA, PALM BEACH COUNTY,
FLORIDA, APPROVING AN AGREEMENT BETWEEN THE
VILLAGE OF TEQUESTA AND ZERFAS PRODUCTIONS,
INC. , ALLOWING ZERFAS PRODUCTIONS, INC. TO
FILM ACTUAL. TEQUESTA FIRE-RESCUE INCIDENTS
AND TO AIR FOOTAGE ON PUBLIC TELEVISION.

NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF TEQUESTA, PALM BEACH COUNTY, FLORIDA, AS FOLLOWS:
;: Section 1. The Agreement between the Village of Tequesta •
and Zerfas Productions, Inc. , allowing Zerfas Productions,
Inc. to film actual Tequesta Fire-Rescue Incidents and to
�! air footage on public television, attached hereto as Exhibit
"A" and incorporated by reference as part of this
Resolution, is hereby approved and the Village Manager of
the Village of Tequesta is authorized to execute the same on
behalf of the Village of Tequesta.
THE FOREGOING RESOLUTION WAS OFFERED by Councilmember
, who moved its adoption. The motion was seconded
by Councilmember , and upon being put to a vote, the

Agreement
THIS AGREEMENT, entered into this day of
19 , by and between the VILLAGE OF TEQUESTA , a Florida
municipal corporation, and ZERFAS PRODUCTIONS, INC . , a Florida
corporation.
WITNESSET H:
In exchange of the mutual covenants, it is hereby agreed as
follows :
1 . ZERFAS Productions, Inc . , voluntarily and knowingly
executes this release with the express intention of eliminating
any liabilities on behalf of the Village of Tequesta, County of
Palm Beach that may arise during the production of the television
series referred to as "Under Fire . "
2 . ZERFAS Productions, Inc . , shall have authorization to
videotape the Village of Tequesta Fire Department.
3 . ZERFAS Productions, Inc . , hereby acknowledges, agrees to
release, defend, indemnify, and hold the Village of Tequesta and
its employees harmless for any suits or claims arising from
injuries, both mental and physical, including death, that may be
sustained by the production crew or anyone employed by ZERFAS
Productions, Inc. , including its agents, contractors, and
subcontractors, during the videotaping of "Under Fire" or any
person claiming damage or injury as the result to the airing of
the production. It is further understood that this agreement
applies to any heirs ( including spouses) , legal representatives
or successors .
4 . In addition, the Village of Tequesta is hereby released
from liability for any damage sustained to any equipment owned or
leased by ZERFAS Productions, Inc . , its employees or agents which
is used in the production of "Under Fire. "
5 . It is understood by all parties executing this agreement
that all videotaped material will be held by ZERFAS Productions,
Inc. , and will be used solely for the production and promotion of
the "Under Fire" television series .
6 . This Agreement constitutes the full and complete
understanding between the parties hereto., and no other oral
representations have been made. No modifications or change to
this Agreement shall be valid or binding upon the parties unless
in writing executed by parties to be bound thereby.
7 . The Village of Tequesta, by executing this document in
no way intends expressly or implicitly to consent to videotaping
on behalf of any third party .
8 . During the filming and production, ZERFAS Productions,
Inc. , shall maintain at its own expense public liability
insurance coverage in the minimum amount of one million dollars
single limit per occurrence . The public liability insurance
policy shall name the Village of Tequesta as additional insured
which shall be evidenced by the providing of a certificate of
insurance to the Village of Tequesta.
IN WITNESS WHEREOF, the parties hereto have entered into
this Agreement the day and year written above .
