Consider Approval of Wendell Clark and Son Roofing Proposal for the Replacement of the Roof on
the Maintenance and Chlorine Buildings for $50,530
The Village of Tequesta (Tequesta) Utilities Department (UD) recommends approval of a proposal by Wendell
Clark and Son Roofing to replace the roof of the maintenance and chlorine buildings at the water treatment
plant for $50,530. The water treatment facility plant campus is comprised of several buildings, and the roofs of
the maintenance and chlorine buildings exhibited obvious signs of aging and damage last year. As a result, UD
conducted roof inspections, which determined that the roofs had reached the end of their useful life and
needed to be replaced and the estimated cost was included in the FY25 budget. Both buildings had their roofs
replaced in 2005. Ensuring the integrity of these roofs is critical to protecting the equipment and chemicals
stored in these buildings, and the UD recommends replacing them before they become a safety hazard.
The UD obtained quotes from three companies: Wendell Clark and Son Roofing, which provided the lowest
proposal ($50,530); Embick Enterprises, Inc. ($50,800); and Capps Roofing ($51,950). All proposals include a
five (5)-year workmanship warranty, and annual roof inspections will be performed to ensure that the work has
proven effective, and no defects arise. Please see the attached pictures showing the roof condition to be
replaced and the proposal.
The project will be funded through the Water Fund, Building Repair and Maintenance account and the Utility
Services account. The first account had unplanned expenses primarily due to setting up a professional office
for the new deputy director's position, requiring refreshing the maintenance building and bathroom, and
expediting the parts/ equipment storage area to help make room for the new office. Based on historical trends
and current year-to-date expenditures, we estimate we will have a surplus of about $80k in the Utility Services
account, of which we are requesting $26,040.16 to help fund the roof replacement. We recommend proceeding
with Wendell Clark and Son Roofing to ensure the repairs are completed before the upcoming hurricane
season.

dispose of all the roof-related debris.
3.Prep and prime concrete deck with asphalt primer accordingly.
Allow to dry.

1.Dry in Roof Deck and Install 3/4"ISO Board Mechanically
Fastened to wood Deck.
2.Install one(1)layer of Perma Ply base sheet to sheathing with
tin-tags and nails.
3.Install one(1)layer of Dynalastic 180 hot mop smooth modified
membrane,with a Glass base between cap sheet
4.Install Dynalastic 180 FR hot mop granulated modified
membrane cap sheet.
5.Cap sheets installed with 1/4"asphalt bleed at lap's seams.
Back nailed 12"on-center
with horizontal overlaps and end-laps staggered between layers.
(Imbedded loose granules for clean finish.)
5.Install 24GA KYNAR painted custom 9.5"fascia flashing and
Coping.
6.WCAS Will install 3x3 drip-edge over fascia metal if needed

4. EXCLUSIONS.This Contract specifically excludes the following, and the Contractor DISCLAIMS ALL LIABILITY THEREFOR:
a. Gutters,downspouts and roof mounted objects including but not limited to solar panels.
b. Concrete, lightweight,steel,wood,or any other form of deck replacement, other than that specifically noted in the
Scope of Work.
c. Provisions regarding wind mitigation requirements, if required.
d. Mechanical/Electrical/Plumbing/AC Stands and Satellite dishes.
e. Removal of more than one roof, unless specifically included in the Scope of Work.
f. Damage to person or property caused by mold, mildew,fungi,spores,algae, microscopic organisms, hazardous
chemicals, biological agents, or allergens.
g. If the subject property is exposed to windstorms or hurricanes in excess of the designed wind speed,all warranties
provided by the CONTRACTOR, if any,shall be deemed null and void. In addition, if Owner fails to strictly adhere to
the payment terms contained in the contract,the warranty shall also be deemed null and void.
h. Leaks or other damage caused by:
I. Natural disasters including,without limitation,floods, lightning, hurricanes,tropical storms, hail,windstorms,
earthquakes,and/or tornados.
II. Structural failures such as cracks in decks, driveways,walls, partitions,foundations,windows, stoppage of roof
drains or gutters.
III. Changes in original principal usage to which building is put unless approved in advance in writing.
IV. Erection or construction of any additional installation on or through the roof coverings after date of completion.
V. Roof or flashing repairs by others; painting or coating without approval.
VI.Acts of God, strikes, riots,war,civil disturbances,fire,vandalism, or other damage beyond the CONTRACTOR'S
control.
VI I. Dry rot,termites, rodents,or other pests.
Vi l 1. Penetration of the roofing from beneath by rising nails.
IX. Failure of Owner to maintain the roof system and/or damage caused by foot traffic.
X.Tapered roof insulation and/or ponding water.
XI. Latent manufacturing defects of any roofing or flashing materials that affect their performance.
XI I. Damages to the building or its contents, roof insulation, roof deck or other base over which roofing felt is applied.
5. If the CONTRACTOR is delayed at any time in the commencement or progress of the Work by any cause beyond the
control of the CONTRACTOR,the CONTRACTOR shall be entitled to an equitable extension of time to commence and/or
complete the Work. Examples of causes beyond the control of the CONTRACTOR include but are not limited to the
following:
a.Transportation delays, labor disputes,fire,terrorism,epidemics, pandemics,adverse weather conditions including
but not limited to hurricanes or named tropical storms,concealed or unknown conditions, adverse governmental
actions, unavoidable accidents, or circumstances beyond the reasonable control of the CONTRACTOR.
6. In the event it is necessary for either party to file any legal action to enforce the terms and conditions of the Contract,the
prevailing party shall be entitled to recover reasonable attorneys'fees and costs of such action, including any appellate or
bankruptcy action associated therewith.
7.Venue of any legal action arising out of this Contract shall only be in Florida state court in Saint Lucie County, Florida.
8. In the event of a dispute between the parties,the parties agree to attend mediation with a Florida Supreme Court
Certified Mediator pursuant to Florida Statutes Chapter 44 prior to filing any legal action.
9.This Contract shall be binding upon the heirs, legal representatives, successors and assigns of the parties.
