This Participating Addendum will add Buyer as a Participating Entity to purchase brass fittings and accessories from Supplier pursuant to the terms of Annual Supply of Brass Fittings and Accessories ITB No. WH22-047, including its exhibits and amendments, entered into between the City of Boynton Beach and Core &Main LP on October 17, 2022 (the "Contract Agreement"). The terms and conditions of the Agreement shall prevail over any inconsistent terms of Buyer's purchase order or other documents. Additional or different terms and conditions in any way altering or modifying the terms of the Agreement are expressly objected to and shall not be binding upon Supplier. No modification or alteration of the terms of the Agreement shall result by Supplier's shipment of materials following receipt of Buyer's purchase order, or other documents containing additional, conflicting or inconsistent terms. There are no terms, conditions, understandings, or agreements other than those stated in the Agreement, and all prior proposals and negotiations are merged herein. The Agreement is binding on the parties, their successors, and permitted assigns. It is understood and agreed that Buyer will place its own orders, be invoiced by the Supplier and make payments directly to the Supplier in accordance with the terms of the Agreement. It is also mutually understood and agreed that the City of Boynton Beach is not a party to any agreement entered into between Buyer and Supplier and the City of Boynton Beach shall have no obligation with respect to any such agreement.
