Regular Council STAFF MEMO A-1 Meeting: Regular Council - Mar 12 2026 Staff Contact: Allyson Burg Department: Utilities Consider Approval of Change Order No. 2 for the WM #1 Tequesta Drive Water Main Replacement Project, Authorizing Additional Contract Time. SUMMARY: A The Village of Tequesta Utilities Department recommends approval of Change Order No. 2 for WM#1 Tequesta Drive Water Main Replacement requested by Ferreira Construction Co. Inc (Ferreira). During construction, the contractor encountered several unforeseen conditions that delayed the progress of work. These included unusually high rainfall and king tide impacts requiring continuous dewatering operations, as well as conflicts with existing underground utilities, including a Bellsouth manhole and unmarked Florida Power & Light (FPL) duct banks and conduits. In addition, previously unidentified underground conflicts required redesign and relocation of several water main crossings, further impacting the project schedule. Under the contract's general conditions, contractors are entitled to schedule adjustments for delays caused by abnormal weather conditions and third-party utility conflicts that are beyond the contractor's control. These conditions significantly hindered the project schedule and required additional time to complete the remaining work. Change Order No. 2 extends the contract time by 85 calendar days for substantial completion and 82 calendar days for final completion, resulting in a revised substantial completion date of May 7, 2026, and final completion date of June 3, 2026. The total contract price remains unchanged at $2,899,263.40. Ferreira has indicated that they are actively working to reduce the overall project delay by allocating additional crews and resources to accelerate the remaining work. Additionally, Ferreira has agreed to reimburse the Village for the additional inspection and consulting costs incurred by Holtz Consulting Engineers associated with the extended construction schedule, ensuring that the Village will not incur additional costs related to this time extension. Staff and the project engineer, Holtz Consulting Engineers, Inc., have reviewed the request and determined that the extension is justified under the contract provisions. Contractor shall report to Engineer whenever any reference point or property monument is lost or destroyed or requires relocation because of necessary changes in grades or locations, and shall be responsible for the accurate replacement or relocation of such reference points or property monuments by professionally qualified personnel. 4.04 Progress Schedule A. Contractor shall adhere to the Progress Schedule established in accordance with Paragraph 2.05 as it may be adjusted from time to time as provided below. 1. Contractor shall submit to Engineer for acceptance (to the extent indicated in Paragraph 2.05) proposed adjustments in the Progress Schedule that will not result in changing the Contract Times. 2. Proposed adjustments in the Progress Schedule that will change the Contract Times must be submitted in accordance with the requirements of Article 11. B. Contractor shall carry on the Work and adhere to the Progress Schedule during all disputes or disagreements with Owner. No Work will be delayed or postponed pending resolution of any disputes or disagreements, or during any appeal process, except as permitted by Paragraph 16.04, or as Owner and Contractor may otherwise agree in writing. 4.05 Delays in Contractor's Progress A. If Owner, Engineer, or anyone for whom Owner is responsible, delays, disrupts, or interferes with the performance or progress of the Work, then Contractor shall be entitled to an equitable adjustment in Contract Price or Contract Times. B. Contractor shall not be entitled to an adjustment in Contract Price or Contract Times for delay, disruption, or interference caused by or within the control of Contractor. Delay, disruption, and interference attributable to and within the control of a Subcontractor or Supplier shall be deemed to be within the control of Contractor. C. If Contractor's performance or progress is delayed, disrupted, or interfered with by unanticipated causes not the fault of and beyond the control of Owner, Contractor,and those for which they are responsible, then Contractor shall be entitled to an equitable adjustment in Contract Times. Such an adjustment will be Contractor's sole and exclusive remedy for the delays, disruption, and interference described in this paragraph. Causes of delay, disruption, or interference that may give rise to an adjustment in Contract Times under this paragraph include but are not limited to the following: 1. Severe and unavoidable natural catastrophes such as fires, floods, epidemics, and earthquakes; 2. Abnormal weather conditions; 3. Acts or failures to act of third-party utility owners or other third-party entities (other than those third-party utility owners or other third-party entities performing other work at or adjacent to the Site as arranged by or under contract with Owner, as contemplated in Article 8); and 4. As you are aware there have been several hurtles that the team has had to overcome to continue progress on the project, below is a list highlighting some of the issue we have had to overcome: 1) Unseasonably high rainfall. 2) Unanticipated King Tides effects on the underground water table. (Both items have required constant unscheduled dewatering operations) 3) Unforeseen conflicts with Bellsouth manhole. Forcing the need to relocate and to install the new services at an increased depth. 4) Continuous conflicts with unmarked FPL duct banks and conduits requiring additional potholing and slow and careful excavation to avoid damaging existing facilities. 5) Continuous conflicts with unmarked ATT/communications conduits requiring additional potholing and slow and careful excavation to avoid damaging exisitng facilities. All of these items have hindered the timely progression of the project. Since this request extends the overall construction schedule Ferreira Construction agrees to reimburse Holtz Consulting Engineers for the additional inspection and consulting services required to complete the project. At a cost of$2,920.00 per week, with a projected start of February 15th,2026 and with a projected completion of May 7t", 2026. Attached is a detailed schedule highlighting the Tasks that still needs to be completed and the anticipated time to complete.
