THIS FIRST AMENDMENT, made and entered into this 1 day of L(�'e- , 2026, effective immediately,byand between the Village of Tequesta,Florida,a municipal corporation organized and existing in accordance with the taws of the State of Florida, with offices located at 345 Tequesta Drive,Tequesta, Florida 33469, hereinafter referred to as the"Village", and Odyssey Manufacturing Co., a Delaware corporation, authorized to do business within the state of Florida, with offices located at 1484 Massaro Boulevard, Tampa, Florida 33619, hereinafter referred to as the "Contractor" (and collectively the "Parties"), both of whom agree that the current Agreement for Purchase of Sodium Hydroxide (hereinafter the "Agreement"), made and entered into by the Village and the Contractor on the 91h day of November 202$is hereby amended in the following manner: SECTION 1. The original agreement is hereby extended for the first and final renewal term and shalt now expire on June 1 It, 2028. SECTION 2. All Articles and paragraphs of the Agreement which are not specifically mentioned in this Amendment remain in full force and effect. ("Odyssey") is currently supplying the Village of Tequesta 50%sodium hydroxide under a piggyback arrangement with Gainesville Regional Utilities (GRU)for the firm lump sum delivered price of$3.85 per gallon. This is a delivered price,and there are no fuel surcharges, delivery fees or other hidden fees. This contract had expired on June 1,2026, but was recently renewed for another two years and now goes through June 1, 2028. Odyssey agrees to continue to permit the Village of Tequesta to renew the subject contract through June 1,2028. Annie Velez is the point of contact with GRU at 352-393-1282. Enclosure(1) is the piggyback package containing the contract and renewal. As you know,we are selling sodium hydroxide out of our rail terminal in Lantana, Florida less than an hour away. We also have access to three sodium hydroxide barge terminals in Tampa, Florida as a backup. Additionally, we are providing membrane grade caustic and our Lantana facility is NSF-60 certified for sodium hydroxide. We have a backup supply at our Tampa facility which is also NSF-60 certified.
