As a follow up to our telephone conversation of today's date, we are
.g pleased to enclose our proposal to provide legal services to the `Tillage of
Tequesta Public Safety Employees Pension Fund. Accompanying this letter is
a full proposal setting forth the qualifications of the members of the firm
and a description of the services which we perform.
Our fee for all services on an hourly basis is at the rate of $250.00 per
hour. This w®uld apply to all work that we do for the Board of Trustees.
We will guarantee this fee for three years.
Our firm does not charge for faxes, long distance telephone or regular
postage. Copying charges are billed at the rate of $.2a per page anc3
overnight mail coasts are billed as incurred.

The law firm of Robert ~, IClausner, P.A. , is a three lawyer firm
specializing exclusively in the representation of public employee
retirement systems and related employment .law matters. The firm is
composed of three lawyers and four clerical/paraprofessional
employees.

As a result of our substantial involvement on a national level
in public employee retirement matters, we have developed a unique and
' comprehensive research system enabling us to readily access the law
in all 50 states and on the federal level in this unique area of

By limiting our practice to the area of public employee
retirement and related employment issues, we are able to keep a focus
on changing trends in the law that more general practitioners would
consider a luxury.
H. BACKGROUND ®F TIIE FIRM AND INDIVIDUALS AS RSLATBS TO PUBLIC
PENSION LAW
The law firm of Robert D. Klausner, P.A. , is among the highly
regarded in the country in the area of public pension issues.
The firm is frequently called upon. as an educational consultant
by state and local governments throughout the [7nited States on sozr-e
of the newest and most sophisticated issues involving public
retirement systems. The examples of those areas are:
A. Legislative Drafting,
The firm provides services to dozens of public employee
pension plans throughout the United States in the area of plan review
and legislative drafting. ®n both the state and local level,
'~ statutes and ordinances are reviewed for the purposes of maintaining
compliance with current and pending Internal Revenue Code Regulations
affecting public plans, as well as compliance with provisions of
Chapters 112, 175 and 185, Florida Statutes. When benefit changes
occur we prepare all necessary legislative drafts and appear before
the appropriate legislative body to answer questions concerning tY~.osr:

B. Fiduciarv Education.
The primary duty of a pension fund lawyer is to ensure that
the trustees do not do the wrong thing. It is our practice to
prepare for all of the boards of trustees which we represent, trustee
handbooks which explain the general principles of fiduciary
responsibility, as well as more specific principles regarding voting
cr~nflicts, compliance with open meeting laws, conflict of interest
laws, etc. We regularly apprise the boards of trustees through
newsletters, memoranda and other vehicles of changes in the law, both
legislatively and judicially, which impact upon their duties. We
also conduct training workshops to improve the trustees' skills in
conducting disability and other benefit hearings. As a result of our
regular participation and educational programs on a monthly basis,
all of the materials prepared as speaker materials for those programs
are distributed without additional charge to our clients. Our firm
provides its clients, at no cost, an annual pension conference held
in South Florida. This national event draws internationally known
legal and financial experts and is attended by more than 200 trustees
~ and, administrators from throughout the United States.
C. Administrative Rule Making.
It has been our experience that boards of trustees find
themselves in litigation because of inconsistency in the
administration of the fund. Accordingly, we have worked with our
trustee clients in developing rules and regulations f®~° the
administration of the trust fund. The development of these
administrative rules ensures uniformity of procedure and guarantees
the due process rights of persons appearing before the board. They
also serve to help organize and highlight those situations in which
the legislation creating the fund may be vague or incomplete. By
utilizing rule making powers, the board of trustees can help give
definition and more practical application to sometimes vague
legislative language.
L~, Legal Counseling.
In the course of its duties, the board of trustees will toe
celled upon from time to time to interpret various provisions of the
ordinance or statute which governs its conduct. The board will also
be presented with various factual situations which do not lend
themselves to easy interpretation. As a result, counsel to the board
is responsible for issuing legal opinions to assist the trustees in
performing theme function in managing the trust, It is our practice
to maintain an orderly system, of the issuance of legal opinions so
~~ that they can form part of the overall body of law that guides the
trustees, As changes in the law occur, it is our practice to update
those legal opinions to ensure that the subjects which they cover are
in conformance with the current state of the law.
We have done considerable work in advising plans of the
impact of Internal Revenue Code provisions on the plan, including
compliance with Section 401(a) qualification rules and Sections 41~
and 401(a)1°7 limitations. This work is enhanced by our role as
general counsel of the National Conference of Public Employee
Retirement Systems. This role involves us on a daily basis with
issues concerning tax legislation.
~. Litigation.
Despite the best efforts and intentions of the staff and
trustees there will be times when the pension fund finds itself as
either a plaintiff or defendant in a legal action. We have
successfully defended boards of trustees in claims for benefits,
actions regarding under®fundingB securities matters and alleged
failure of p~,an fiduciaries to fulfill their responsibilities to the
trust, The lawyers in the firm have not only substantial state and
federal court trial experience, but regularly argue complex appellate
matters on both the state and federal levels. We pride ourselves on
the vigorous representation of our clients while maintaining close
watch on the substantial costs that are often associated-with.

Robert Klausner is the principal of the firm and has been
practicing in the area of public employee retirement systems since
1977.
Robert Klausner is an honor°s graduate of the University of
Florida and the University of Florida College of Law.
Robert Klausner is a former Assistant City Attorney for the City
of Miami® during which time he was solely responsible for providing
legal services to the city's billion dollar retirement system.
Since 1979, Robert Klausner has been in private practice
representing public employee retirement plans and engaged in
representation in public employee and employment relations issues..
In addition to the active practice of law, Robert Klausner is a
professor of labor and employment relations at 1~Tova University Center
for the Study of Law in Fort Lauderdale, He has been an adjunct
member of the faculty of this ABA accredited law school since 1987.
Robert Klausner's expertise. as an instructor has also been
solicited on the national level. Robert Klausner is a regular and
continuing faculty member on areas involving fiduciary responsibility
and the legal issues involving public employee pension plans for the
International Foundation of Employee Benefit Plans, the National
Conference of Public Employee Retirement Systems, the Public Safety
Officers Benefits Conference, the National Education Association and
the American Arbitraticsxi Association. In addition, Robert K~.a~sn~r
has been retained from time to time to perform educational seminars
f®r both labor and management throughout the United States. Robert
Klausner has been on the faculty of Florida State University and the
Florida i~ivision of .Retirement since 19SO, educating trustees of
Florida's 4~® police and fire retirement plans. Fie has performed
similar educational forums for the Pennsylvania State Teacraers'
Retirement System, the Combined Municipal Pension Plans of the State
of Massachusetts, the Wisconsin State Retirement System, the Missouri
State Retirement System, Texas Public Employee Retirement Systems,
Minnesota Retirement Systems and numerous municipal retirement
systems.
Mr. Klausner is one of the principal authors of Florida's. Public
Employee Retirement Income Security Act, as well as having drafting
legislation for the City of Miami Police and Fire Retirement System,
the City of Miami General Employees' Retirement Plan, the City of
Jacksonville, Florida Police and Fire Retirement System, and dozens
of other plans throughout the United States.
Robert Klausner is a member of Phi Beta Kappa, Phi Kappa Phi and
Florida Blue Key. He is listed in the current edition of The Best
Lawyers in America. Mr. Klausner is rated "AEI", the highest
designation given by the Martindale-Hubbell Lawyer Rating Service.
Mr. Klausner will be working closely with Stuart Kaufman and

general Description of Bidder
Hanson, Perry 85 Jensen, P.A. is a law firm specializing in
employee matters, with an emphasis on municipal pensions. The
firm is incorporated in the State of Florida and has been doing
business since 1991. Prior to that, the Firm's three principals were
with Kaplan & Bloom, P.A. for approximately four years. The firm
has six employees.
The firm, founded in part to provide more specialized service to
public employee benefit funds, now represents fifteen public pension
funds in Florida on a regular basis. The work done for such funds
includes drafting municipal ordinances and special acts of the
legislature, and shepherding the legislation through the appropriate
legislative-body; drafting all contracts for the clients; drafting policies;
advising clients on Sunshine, public records, ethics, and other state
law issues; advising clients on benefits issues, such as disability
applications; attending meetings of the boards and providing
appropriate legal advice to the boards. The firm also handles
litigation where necessary on behalf of the boards it represents. We
successfully resolved extra benefits litigation for the police and fire
pension plans in the City of West Palm Beach, and have also
defended boards on benefits claims. The firm also represents clients
in labor, family and crirriinal law.
The firm of Hanson, Perry 8s Jensen has represented Florida
municipal police and firefighter pension funds .since its founding.
Both Jill Hanson and Bonni Jensen have devoted their legal careers

to employee issues, with a focus on employee benefits, `they take
pride in being pro-active to ensure not only that their clients are in
compliance with the law but that the clients can fulfill their own
fiduciary responsibilities to their participants. Ms. Hanson and Ms.
Jensen believe it is important to respond to clients' needs in a timely
manner, which means, at a minimum to complete tasks by the next
meeting of the Board.
Both have extensive knowledge of defined benefit plans for
Florida municipal police and firefighter retirement systems, based on
their years of work with such systems, as well as on attending
conferences, both as speakers and as participants, on the Florida
municipal police and firefighter retirement systems.
c. Q~.talifications of Pers®nnel Assigned to Contract
Bonni Jensen and Jill Hanson are the two members of the firm
who work with Pension Funds. Bonni S. Jensen will be the primary
attorney assigned as the counsel to the Board of Trustees. Jill
Hanson will be the secondary attorney.
Bonni Jensen has been practicing law in the State of Florida
since September, 199(1. Jill Hanson has been practicing law in the
State of Florida since l]ecember, 1987, and she was admitted to the
practice of law in New York in 1982. Attached are resumes for Ms.
Jensen and Ms. Hanson (Exhibit A).
Bonni Jensen and Jill Hanson both have had extensive formal
and on the job training in the areas of pension and employee benefits
laws and related local, state and federal law. Both are honors
graduates of their law schools; both served on the law review of their
school; both worked as law students for firms specializing in labor
and employee benefits law; both have since law school attended and
conducted courses in employee benefits and related local, state and
federal law.
Ms. Jensen is a 1990 graduate with high honors of Nova Law
School, where she received several awards for academic excellence.
She has been a speaker on extra benefits, DROP plans, fiduciary
responsibility, 457 plans, the role of collective bargaining over
pension issues, Sunshine Law, ethics and financial disclosure laws

at the annual State of Florida Police and Firefighter Pension
Conferences and Trustee Schools. She has also attended many
seminars related to pension fund topics, such as controlling disability
costs in the public sector; the Tax Relief Acts of 1996 and 1997, and
the NAPO and Guns and Hoses conferences. She regularly
participates in the State Division of Retirement conferences and
schools for municipal police and firefighter pension funds. Ms.
Jensen was an active participant in meetings among pension
attorneys and employee groups that led to the recently enacted
changes to Chapter 175 and 185. She assisted in the initial drafting
of those changes. Her involvement also included advising legislative
staff and drafting language to satisfy the divergent interests, This
amendment passed the Florida Legislature overwhelmingly and was
signed into law by Governor Jeb Bush in March, 1999.
Ms. Hanson is a 1981 honors graduate of Rutgers Law School.
As a law student, she received on the job training in pension and
employee benefits law, including ERISA, at the New York City law
firm of Sipser, Weinstock, Harper and Dorn. Ms. Hanson has
participated irx the Lawyers' Coordinating Committee annual
seminars on labor and employment law. She has been a speaker at

Ms. Jensen has been a speaker on extra benefits, DROP playas,
fiduciary responsibility, 457 plans, the role of collective bargaining
over pension issues, Sunshine Law, ethics and financial disclosure
laws at the annual State of Florida Police and Firefighter Pension
Conferences and Trustee Schools. She has also attended many
seminars related to pension fund topics, such as controlling disability
costs in the public sector; the Tax Relief Acts of 1996 and 1997; and
the NAPO and Guns and Hoses conferences. She regularly
participates in the State Division of Retirement conferences and
schools for municipal police and firefighter pension funds. Ms.
Jensen was an active participant in meetings among pension
attorneys and employee groups that led to the recently enacted
changes to Chapter 175 and 185. She assisted in the initial drafting
of those changes.
Ms. Hanson has participated in the Lawyers' Coordinating
Committee annual seminars on labor and employment law. She has
been a speaker at seminars on pension issues, including the Florida

I a. Dourly bates
Hanson, Perry 8s Jensen, P.A. charges $170.00 per hour for
' attorney time for pension fund clients. The firm charges $50.00 per
hour for legal ,assistant time.
b. hosts
In addition to the fees, costs that we pass on to you as a client
include copies @ $.20 per page; transmittal of faxes @ $.20 per page;
postage at the current postal rate, as well as any outside costs that
may be necessary for litigation (such as court reporter fees, service
fees, filing fees). We do not charge the cost of telephone calls. This
Fund will not be charged for local travel.
