A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF TEQUESTA,
PALM BEACH COUNTY, FLORIDA, APPROVING AN EXTENSION OF A
BUILDING INSPECTION SERVICES AGREEMENT BETWEEN HY-BYRD INC.
INSPECTION SERVICES OF LAKE WORTH, FLORIDA AND THE VILLAGE OF
TEQUESTA PROVIDING FOR CONSTRUCTION INSPECTIONS (BUILDING,
ELECTRICAL, MECHANICAL & PLUMBING) FOR THE BUDGETED AMOUNT
OF F ORTY S EVEN T HOUSAND D OLLARS T O ACCOUNT 001-180-531.325 FOR
THE REMAINDER OF FISCAL YEAR 04/05, THAT WILL EXPIRE SEPTEMBER
30, 2005.
Whereas, the Village of Tequesta requires high quality professional building inspection
• services on a regular basis sensitive to community needs and back-up plan review and
building official services on an as needed basis and;
Whereas, HY-BYRD Inc. Inspection services, a Corporation, proposed to provide
inspection services for the Village of Tequesta including inspectors certified to meet the
Municipality's needs for such services;
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF TEQUESTA, PALM BEACH COUNTY, FLORIDA, AS FOLLOWS:
The Building Inspection Service Agreement between HY-BYRD Inc. Inspection Service
of Lake Worth, Florida, providing for Construction Inspections (Building, Electrical,
Mechanical & Plumbing) for the Village of Tequesta, Florida, Attached Hereto as Exhibit
"A" and Incorporated by Reference as Part of the Resolution is Hereby Approved and the

Village Manager is Authorized to Execute the Applicable Agreement on Behalf of the
• Village.

AGREEMENT
This Agreement entered into this 15th day of March 2005, by and between HY-BYRD,
INC., a Florida Corporation with offices located at 511 South East Coast Street, Lake Worth,
Florida 33460, hereinafter referred to as "Inspector" and the VILLAGE OF TEQUESTA, a
Municipal Corporation, with offices located at 250 Tequesta Drive, Tequesta, Florida 33469,
hereinafter referred to as "Village".
SECTION 1
Village and Inspector, in consideration of the mutual covenants contained herein and
other good and valuable consideration, the receipt and value of which is hereby acknowledged
• by both parties, hereby agree as follows:
1. Inspector will perform field inspections for building, mechanical, electrical
and plumbing categories of construction projects. This agreement will
commence on March 15, 2005 and end on September 30, 2005.
2. All inspectors are certified by the State of Florida Department of Business and
Professional Regulation as a Standard Building, Mechanical, Electrical or
Plumbing inspectors (residential and commercial).
3. Inspector services will be provided five days a week (Monday through
Friday).
4. In the absence of the Village's Building official, Inspector will perform plan
reviews and field questions from the public and/or contractors regarding
plans/code questions.
The Village shall have discretionary approval over utilization of Inspector's
employees who assist in performing field inspections for the Village. Each
employee of the Inspector who performs field inspections will be required to
inform the Village of any conflicts of interest which may exist or could hinder
proper performance in accordance with the terms of this Agreement.

6. Inspector shall save, defend, and hold harmless the Village, its officers,
• employees, and representative from any and all claims, causes of actions, or
suits arising from the activities of the Inspector on behalf of the Village.
SECTION 2
1. Field inspection work for all disciplines (building, mechanical, electrical and
plumbing) will be performed at the rate of $900.00 per week.
2. All new single-family developments, multi-family developments, threshold
jobs, and special inspector jobs shall require additional fees. Hy-Byrd, Inc.
can perform these inspections for said projects at the rate of $50.00 per
inspector per discipline. Or, the Village has the option to require the
developer to hire his/her own on-site inspector.
3. For all inspections, which are deemed "emergency inspections" by the
Village, Inspector will be compensated at the rate ofsixty-five dollars
($65.00) per inspection.
4. If required, Building Official duties and plan reviews (as detailed in Section 1
(4)) above will be performed at the rate of $65.00 per hour.
SECTION 3
• 1. Execution of this A Bement is with a clear and definite understanding that the
Village will not solicit to hire nor accept employment of any Hy-Byrd employee
throughout the term of this contract and agrees not to hire any Hy-Byrd employee for
one (1) year following completion of this project.
2. This Agreement is with the understanding that the above listed duties of the
Inspector(s) will be provided by any Hy-Byrd employee who is State certified. Also,
the above quote is inclusive of all costs for insurance, transportation, FICA, workers'
compensation and general liability, identification tags, retention of all State required
licenses, and any other miscellaneous expenses that are employee related.
3. Either party may terminate this Agreement upon ninety (90) days written notice.
4. Termination Notice as required in this Agreement shall be sufficient when sent via
Certified Mail or hand delivered to the parties at the following address:

5. This Agreement constitutes the entire Agreement between the parties. No
modification shall be made to this Agreement unless such modification is in writing,
agreed by both parties, and attached hereto as an addendum to this Agreement.

AGREEMENT

BUILDING INSPECTION SERVICES
This agreement entered into this 14'~ dap March 20(32, by and between HY BYRD-, ING, a Florida
Corporation with offices located at 2521 Donnelly Drive, Lantana, Florida 33462, hereinafter referred to as
`~nspectoi'' and the Village of Tequesta, a Municipal Corporation, with offices located at 250 Tequesta Drive,
utte 300, Tequesta, Florida 33469, hereinafter referred to as "Village".
Village and Inspector, in consideration of the mutual covenants contained herein and other good and valuable
consideration, the receipt and value of which is hereby acknowledged by both parties, hereby agree as follows:
1) Inspector will perform field inspections for Building, Electrical, Plumbing and Mechanical categories
of construction projects as set forth in the Proposal signed by President, Joseph A. Crisafulle on
February 18, 2000 and attached hereto. This Agreement will commence on March 14, 2002 and end
on March 14, 2005.
2) The terms and conditions of this Agreement shall incorporate the terms and conditions as specifically
set forth by the Village of Tequesta's Requests for Proposal (attached hereto as Exhibit A) and the
Inspector's fully executed Proposal thereto submitted to the Village on February 18, 2000 (attached as
Exhibit B). Both parries hereby agree and acknowledge that this Agreement, together with all
insurance documents, all required licenses/certifica.tions and other documents required by the
proposal documents shall constitute the entire Ageement.
3) The Village Manager, or his/her designee, shall have discretionary approval over utilization of
Inspector's employees who assist in performing field inspections for the Village. Each employee of
