(ADR) OF PENNSAUKEN, NEW JERSEY, FOR IMPLEMENTATION OF A GEOGRAPHIC INFORMATION SYSTEM (GIS) IN THE AMOUNT OF $88,497.40 OVER TWO FISCAL YEARS WITH FUNDS FOR FY 1998/1999 BEING APPROPRIATED FROM THE WATER ENTERPRISE FUND, CAPITAL IMPROVEMENT FUND, HAVING A FY 1998/1999 BUDGET ALLOCATION OF $12,500, AND A PROPOSED FY 1999/2000 BUDGET ALLOCATION OF $100,000 SUBJECT TO FUNDS BEING APPROPRIATED AND APPROVED BY THE VILLAGE COUNCIL FOR FY 1999/2000, AND AUTHORIZING THE VILLAGE MANAGER TO EXECUTE THE APPLICABLE CONTRACT ON BEHALF OF THE VILLAGE. The Scope of Services Proposal with Aerial Data Reduction Associates, Inc. Morrison, Utilities Director Date: July 14, 1999 Subject: Resolution No. 46 — 98/99, Approving ADR Inc.'s Scope of Services - Implementation of a Geographic Information System The Village of Tequesta's Utility Department is in the process of creating a Geographic Information System (GIS). This platform will enable all Departments the ability to graphically display and map features of interest for planning and emergency response purposes. In 1991, the Palm Beach County Property Appraiser's Office (PBC) advertised, professionally selected and contracted with Aerial Data Reduction, Inc. (ADR) for the establishment of a countywide GIS (Attachment 1). This effort consists of cooperatively sharing the platform development costs with various municipalities throughout the county. The Village's cost share is executed through Addendum 28 to the Property Appraisers contract with ADR (Attachment 2). Addendum 28 is time sensitive and must • be executed prior to the end of Fiscal Year 1998/1999 in order to take advantage of the cooperative cost share. Upon Village approval of ADR's Service Authorization (Attachment 3), the Addendum will be forwarded for PBC's consent. The project will begin the third week of September 1999. Tequesta's Addendum consists of a total project area of 1,810 acres (Figure 1 — Project Area; orange and yellow shades only) that includes the Village of Tequesta proper (1,195 acres) and a small portion of unincorporated Palm Beach County (615 acres). ADR's scope of services provides for: 1. Photogrammetric Engineering Platform that includes basic disciplinary features such as buildings, property lines, roads, water tanks, fences and drainage /coastline lineaments. 2. Utility Department features including hydrants, valves, meters, back -flow devices, stormwater inlets /catch basins, impervious area. 3. Department of Community Development features including pools, parking lots, docks, piers, boat hoists/lifts. 4. Department of Public Works and Recreation features including parks, playgrounds, sidewalks, bridges and street lights. • The cost for these services are broken down as follows: Task PBC Cost Tequesta Cost Photogrammetric Platform $53,842.50 $37,945.50 (1,810 acres) Utility Department $ 0.00 $ 17,749.00 (1,810 acres) Comm. Nothing in this CONTRACT shall be interpreted to establish any relationship other than that of an independent contractor, between thy, PROPERTY APPRAISER and the CONTRACTOR, its employees, agents, subcontractors, or assigns, during or after the performance of this CONTRACT. 8. This agreement is specific to the parties herein. The CONTRACTOR shall not assign, delegate, or otherwise txansfer its rights and obligations as set forth in this CONTRACT TAithout the prior written consent of the PROPERTY APPRAISER. Nor shall the i CONTRACTOR subcontract for any of the services to be _ performed hereunder without the prior written consent of PROPERTY APPRAISER. 9. The CON'T'RACTOR shall obtain all necessary private, federal, state, local and other governmental approvals, authorizations and permits prior to the commencement of performance of this CONTRACT. 10. The CONTRACTOR shall defend, indemnify, save at d hold the PROPERTY APPRAISER harmless from any and all claims, suits, judgments and liability for death, bodily injury, perso:ial injury or property damage arising directly or indirectly from the Performance of this CONTRACT by CONTRACTOR, its 1 >_mployees, subcontractors or assigns, including legal fees, court costs and • 5 07i16i99 11:24 P.B.CO.PROPERTY APPRAISER 4 561 575 6245 NO.419 P06 other legal expenses. CONTRACTOR acknowledges that it is solely responsible for compliance with the terms Of this CONTRACT and the Contract between the State of Florida, Department of Natural Resources, and the Palm Beach County Property Appraiser, attached and incorporated herein as Exhibit "B ". 11 ' I f either party initiates legal action, including appeals, to enforce this CONTRACT, the prevailing part;,- shall be entitled to recover a reasonable attorney's fee based Upon the fair market value of the services provided. Each party agrees to testify in any action as may be required by Paragraph III H of Exhibit "B ". 12. The CONTRACTOR shall procure and maintain, 1.hrough the terms of this CONTRACT, Worker's Compensation i.nsuranco> up to the limits specified by Florida Statute. The CONTRACTOR shall provide • an insurance certificate demonstrating such coverage . prior to commencement of performance. Notwithstanding the number of employees or any other statutory provisions to the contrary, the Worker's Compensation insurance shall extend to all el ployees of the CONTRACTOR and its subcontractors. The Worker's Compensation insurance policy required by this CONTRACT shall also include Employer's Liability. 13. The CONTRACTOR shall procure and maintain, t- ,rough the term of this CONTRACT, general liability and property damage insurance. This policy shall provide coverage for death, personal injury, bodily injury or property damage that could arise directly or indirectly from the performance of this CONTRACT. Insurance • 6 07/16/99 11:24 P.B.CO.PROPERTY APPRAISER 4 561 575 6245 NO.419 P07 I - Coverage shall have minimum limits of $300,000.00 per occurrence, • combined single limit for bodily injury liability and property damage liability. This shall include the following endorsements: (i) premises and operations; (ii) independent contractorst; (iii) products and completed operations; (iv) Contractual liability; and (v) watercraft endorsement. 14. The CONTRACTOR shall procure and maintain, .hrough the term of this CONTRACT, business automobile liability insurance. Insurance coverage shall have minimum limits of $300,000.00 per occurrence, combine single limit for bodily injury liability and property damage liability. This shall be an "any -auto" type of Policy, including owned, hired, non -owned and employee non- ownership coverage. 15. The CONTRACTOR shall provide insurance certificates as proof of insurance prior to the commencement of performance. All such insurance, excluding Workers Compensation and Professional Liability, shall name the PROPERTY APPRAISER as an additional insured and be written by a financially sound company authorized to do business in the State of Florida. The CONTRACTOR shall notify the PROPERTY APPRAISER at least thirty (30) days prior to cancellation or modification of any insurance policy. 16. The CONTRACTOR shall procure and maintain, for the life of this CONTRACT, Professional Liability insurance. This coverage shall provide coverage against liability for professionaE services • 7 07/16/99 11:24 P.B.CO.PROPERTY APPRAISER 4 561 575 6245 NO.419 Poe and shall remain in force and effect for a minimum of t1ro (Z) years • after the expiration of this CONTRACT. The minimum limits of coverage shall be $500,000.00. 17. The PROPERTY APPRAYSER shall have audit and inspection rights as follows: A. Examination of Costs. The CONTRACTOR sha],1 maintain records of all accounts, invoices for reimbursable expenses, books, accounting procedures and practices and supporting do.umentation for any research or reports for a period of three (3) years from completing performance of this CONTRACT. Such records shall be sufficient to permit a proper pre- and post audit in accordance with generally accepted accounting principles and _o reflect properly all direct and indirect costs of whatever nature claimed to have been incurred and anticipated to be incurred for • performance under this CONTRACT. Such examination shall include inspection at all reasonable times of the CONTRACTOR's facilities or such parts thereof as may be engaged in the performance of this CONTRACT. B. Cost and Pricin D ta: if the CONTRACTOR has submitted cost or pricing data in connection with the pricinj of this CONTRACT or any change or modification thereto, unless such pricing was based on adequate price competition, established 4.atalog or market prices of commercial, items sold in substantial quantities to the general public, or prices set by law or regulation, the PROPERTY APPRAISER shall have the right to examine i11 books, records, documents and other data of the CONTRACTOR related to 07/16/99 11:24 P.B.CO.PROPERTY APPRAISER 4 561 575 6245 NO.419 P09 negotiation, pricing or performance of the CONTRACT change or • modification for the purpose of Evaluating the accuracy, completeness and currency of the cost or pricing data submitted, along with the computations and projections used thf:rein. The CONTRACTOR agrees that the PROPERTY APPRAISER may adjust the consideration for this CONTRACT, including all �hanges or modifications thereto, to exclude any significant sums ly which the consideration was increased due to inaccurate, incomplete or non - current wage rates and other actual unit costs. TI 6e PROPERTY APPRAISER shall make any such adjustment within one year following the termination of this CONTRACT. C. ReDOrts: (i) If the CONTRACTOR is requested to furnish cost information, reports or contract fund status re;)orts as a • result of its performance under this CONTRACT, tie PROPERTY APPRAISER shall have the right to examine the book:., records, documents a n d supporting materials for the purpose of Evaluating (a) the effectiveness of the CONTRACTORI. policies and procedures to produce data compatible with the objectives of the reports and (b) the data reported. (ii) CONTRACTOR acknowledges PROPERTY APPRAISER is responsible for providing services and providing reports ptrsuant to Exhibit "B ", its Contract with the State of Florida, Department of Natural Resources. D. Availability_ (i) The materials described in Paragraphs A, B, C and D above shall be made available to the PROPERTY APPRAISER, the State of Florida, Department of Natural Resources, or their designated agent for inspection at the location where they are kept, upon reasonable prior notice, until the ex,)iration of three (3) years from the date of final payment under this COM%AaT. (ii) If this CONTRACT is completely or partially . erminated, the records relating to the work terminated shall be made available for inspection by the PROPERTY APPRAISER, the State • of Florida, Department of Natural Resources, or its designated agent for a period of three (3) years from the d ate of any resulting settlement. (iii) Records which relate to any litigation, , appeals or settlements of claims arising from performance ender this CONTRACT shall be made available until such litigation, appeals or claims have been disposed of. 18. All original sketches, tracings, drawings, computation details, design calculations, field books and other dociments and plans that result from the CONTRACTOR's services under this CONTRACT will become the property of the PROPERTY APPRAESER. 19. The CONTRACTOR shall allow public access to aA1 project • 10 ' 07/16/99 11:24 P.B.CO.PROPERTY APPRAISER 561 575 6245 NO.419 D11 documents and• materials in accordance with the previsions of • Chapter 119, Florida Statutes. 20. If either party fails to fulfill its obligations under this CONTRACT in a timely and proper manner, the other party shall have the right to terminate this CONTRACT by giving written notice of any deficiency and by allowing the party in defau:.t ten (10) calendar days from receipt of the notice to correct the ieficiency. If the defaulting party fails to correct the deficiency within this time, this CONTRACT shall terminate at the expiration of the ten (10) day time period. 21. The PROPERTY APPRAISER may terminate this CONTRACT with or without cause upon thirty (30) days prior written notice to the CONTRACTOR. In the event of termination, the PROPERTY APPRA113UR shall compensate the CONTRACTOR for all authorized work performed • through the termination date. 22. Pursuant to Section 287.055(6), Florida statttes, the CONTRACTOR warrants that it has not employed or re•:ained any person, other than a bona fide employee working sole:_y for the CONTRACTOR to solicit or secure this CONTRACT; that Lt has not paid or agreed to pay any person, other than a bona fide employee working solely for the CONTRACTOR, any fee, commission, percentage, gift or other consideration contingent upon or resulti from the awarding or making of this CONTRACT. For breach of this provision the PROPERTY APPRAISER may terminate this CONTRAC'r without liability and, in its discretion, deduct or otherwise r.acover the full amount of such fee, commission, percentage, gift or other . lz 07/16/99 11:24 P.B.CO.PROPERTY APPRAISER 4 561 575 6245 NO.419 P12 consideration.• i 23. In accordance with Section 2879055(5)(a), Florida Statutes, the CONTRACTOR, by executing this CONTRACT, certifies to truth -in- negotiation; specifically, that wage rates and other factual unlit costs supporting the consideration aro accurate, complete and current at the time of contracting. The CONTRACTOR agrees that the PROPERTY APPRAISER may adjust the consie eration for this CONTRACT to exclude any significant sums by which the consideration was increased due to inaccurate, incomplete or non- current wage rates and other actual unit costs. T1te PROPERTY APPRAISER shall flake any such adjustment within ono,- (1) year following the termination of this CONTRACT. 24. The CONTRACTOR shall assure that no person shill, on the grounds of race, color, creed, national origin, handica; or sex, be excluded from participation. in or denied the benefits of, or otherwise subjected to discrimination in any activity under this CONTRACT. The CONTRACTOR shall take all measures necessary to effectuate these assurances. 25. Prior to engaging in any discussions with the news media pertaining to this CONTRACT, the CONTRACTOR shall notify the PROPERTY APPRAISER. This includes news releases, media requests for interviews, feature articles, fact sheets oc similar promotional materials. 26. The CONTRACTOR, its employees, subcontractors c assigns, shall comply with all applicable federal, state and local laws and regulations relating to the performance of this CONTRACT. The documents listed below, by this reference, shall become a part of this CONTRACT as though physically attached and any inconsistency between any of these documents shall be resolved by giving preference in the following order: 1. The laws of the State of Florida shall govern all aspects Of this CONTRACT. in the event it is necessary for either party to initiate legal action regarding this CONTRACT venue shalt. be in the Fifteenth Judicial Circuit for claims under state law and in the Southern District of Florida for any claims which are jisticiable in federal court. • 13 07/16/99 11:24 P.B.CO.PROPERTY APPRAISER � 561 575 6245 NO.419 P14 29. The -term of this CONTRACT may be extended olily with the • prior written approval of the PROPERTY APPRAYBER. The i:otal length of this CONTRACT, for the designated total of 201 Poirts and Blue bo submissions, as extended, shall not exceed October 20, 1991. The parties hereto understand that, at the sole option of the PROPERTY APPRAISER, this CONTRACT may be expanded to provide for the positioning of, additional horizontal controls established by GPS at any time either before or after October 20, 1991. Nothing contained herein obligates PROPERTY APPRAISER to contract with CONTRACTOR for additional points. 30. This CONTRACT may be amended only with the prior written approval of the parties. 31. This proposal is subject to authorization to proceed by the Village of Tequesta and the Palm Beach County Appraiser's Office approximately at the same time and is firm for two (2) months from this date, after which time it may be reviewed and revised. It is a pleasant duty for us to express our compliment to the Property Appraiser's Office for the thorough study of the subject for looking into the future and for the concentrated effort to design specifications, which will make available a high quality GIS base not only for the Office's coordinate geometry process, but also for Engineering, Planning, Fire, Police Departments, and last but not least, the Municipal Manager's and Administrative Offices in surrounding communities. After advertised, ADR Inc. Associates was selected in accordance with the guidelines of the Consultant Negotiations Act to establish the geodetic network base and additional control densification by photo- engineering procedure needed for parcel mapping and other good considerations. Since the selection of ADR Inc., a number of successful projects • have been completed as cost sharing efforts for the mutual benefits of the participating entities and ultimately the tax payers.
