AND THE VILLAGE OF TEQUESTA THIS FIRST ADDENDUM TO THE AMENDED EMPLOYMENT AGREEMENT is made and entered into this 5` day of August, 2010, at which time official action was taken by the Village Council of the Village of Tequesta, hereinafter called the "Village" and Michael R. Couzzo, Jr., hereinafter called "the Manager" to be effective immediately, both of whom agree that the current Amended Employment Agreement made and entered into by and between the parties on the 10 day of December 2006, (the "Amended Employment Agreement ") is hereby amended in the following manner by this First Addendum to the Amended Employment Agreement: Section 1 : Section 2. Term is hereby amended to read as follows: SECTION 2: TERM This Agreement, as amended a nd a ll i t a nd prev s hall be f a f (5 yyear- uffiffff - e€€eetive- on The term of the Amended Employment Agreement which commenced on November 14, 2002 to run until November 13, 2007, and which Th fe .(+ °r +i.: Agr-eefnent shall automatic d4y- was automatically renewed for another five (5) year term upon the same terms and conditions raentained herein unless ahanged by agreement of the pagiges run until November 14, 2012 is hereby extended upon the same terms and conditions until December 31, 2017 to coincide with the calendar ,year Any amendments or changes to this Amended Employment Agreement as further amended by this First Addendum shall be in writing and executed by both parties. Nothing in this Amended Employment Agreement shall prevent, limit or otherwise interfere with the right of the Village Council to terminate the services of Michael R. Couzzo, Jr. at the will of the Village Council, without cause, at any time, subject only to the provisions set forth in Section 3 of this Amended Employment Agreement. Nothing in this Amended Employment Agreement shall prevent, limit or otherwise interfere with the right of Michael R. Couzzo, Jr. to resign at any time from his position with the Village, subject to the provisions set forth in Section 3 of this Amended Employment Agreement. Michael R. Couzzo, Jr. agrees to remain in the exclusive employ of the Village and shall not become employed by any other employer unless resignation or termination is effected as hereinafter provided. The prohibition against outside employment shall not be construed to include occasional teaching, writing or consulting performed on Michael R. Couzzo, Jr.'s time off. However, in no event shall Michael R. Couzzo Jr.'s outside employment interfere with or otherwise hinder the performance of his duties as Village Manager or reflect poorly upon the name or reputation of the Village. Section 2 : This First Addendum to the Amended Employment Agreement shall be attached to the Manager's Amended Employment Agreement and shall become a part thereof. All other sections of the Amended Employment Agreement shall remain in full force and effect as set forth in that Amended Employment Agreement and there shall be no changes to the Amended Employment Agreement with the exception of those items specifically set forth in this First Addendum. Further, the parties agree as follows: A. This First Addendum shall be binding upon and shall inure to the benefit of the heirs at law and executors of The Manager. B. If any provision or any portion contained in this First Addendum is held unconstitutional, invalid or unenforceable, the remainder of this First Addendum, or portion thereof, shall be deemed severable, shall not be affected and shall remain in full force and effect. C. For and in consideration of the mutual covenants contained herein and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties hereby agree that this First Addendum shall be attached to the current Amended Employment Agreement, and shall become a part thereof. IN WITNESS WHEREOF, the Village has caused this First Addendum to be signed and executed on its behalf by its Mayor and duly attested by its Village Clerk, and the Manager has signed and executed this Agreement, both in duplicate, the day and year set forth hereinbelow. WHEREAS, the Village of Tequesta has entered into an Employment Agreement with its Village Manager, Michael R. Couzzo, Jr. which has been amended from time to time with the latest amended Agreement being dated December 14, 2006 (the "Agreement "); and WHEREAS, said Agreement provides for additional compensation for the Village Manager based on the past year's performance and is known as "Performance Recognition Compensation" ( "PRC ") according to Section 4 of the Agreement; and WHEREAS, the PRC is solely at the option of the Village Council to be based on performance; and WHEREAS, the Village Council of the Village of Tequesta has carefully reviewed the Village Manager's performance for the past year and hereby finds the PRC is in order due, among other things, to the Manager's ; and WHEREAS, the Village Council of the Village of Tequesta believes that the above - stated accomplishments along with a myriad of other examples of resourceful cost saving measures warrant the award of the PRC and that such an award is in the best interests of the citizens of the Village of Tequesta in order to maintain quality management and ensure stability in the Village. NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF TEQUESTA, PALM BEACH COUNTY, FLORIDA, AS FOLLOWS: Section 1 The PRC as provided for Section 4 of the Village Manager's contract is hereby authorized in the amount of of the Village Manager's 1 base salary. This forbearance will be in effect until October 1, 2010.
