HomeMy WebLinkAboutAgreements_General_07/19/2010 MEMORANDUM OF UNDERSTANDING BACK -UP DATA STORAGE This Memorandum of Understanding is made this day of July, 2010 between the Village of Tequesta, a municipal corporation with offices located at 345 Tequesta Drive, Tequesta, Florida 33469, and the City of Waleska, a municipal corporation with offices located at 8891 Fincher Road, Waleska, Georgia 30183. WHEREAS, the Village of Tequesta has identified a need to have an out of state storage facility for its computer data in the event that a hurricane or other emergency situation damages the Village of Tequesta's on site data; and WHEREAS, Village of Tequesta staff has spoken with staff from the City of Waleska, Georgia regarding the provision of said out of state data storage; and WHEREAS, the City of Waleska is willing and able to provide the Village of Tequesta with a storage facility for Village of Tequesta computer data, under the terms and conditions as set forth in this MOU; and WHEREAS, the Village of Tequesta believes that the use of said storage facility as set forth herein will be in the public interest and will protect the public health, safety and welfare. NOW THEREFORE, based upon the foregoing recitals, the Village of Tequesta, Florida and the City of Waleska, Georgia, agree and understand as follows: 1. The City of Waleska agrees that it has the ability and the physical capacity to serve as a storage site for the Village of Tequesta to store backup copies of its computer data, which will typically consist of 2 to 3 computer tapes. 2. The computer tapes shall be kept at the City of Waleska in a location that is indoors, safe from the elements and secure from unauthorized access or tampering at all times. 3. The Village of Tequesta shall create backup copies of its computer data and shall deliver same to the City of Waleska prior to an impending hurricane or other emergency situation. The method of delivery to the City of Waleska shall be at the sole discretion and cost of the Village of Tequesta. 4. The City of Waleska shall keep the Village of Tequesta backup computer data until such time as the Village of Tequesta requests such computer data be returned. The method of return of said computer data to the Village of Tequesta from the City of Waleska shall be shall be at the sole discretion and cost of the Village of Tequesta. 5. This MOU may be terminated by either party by sending written notice to the other party at the addresses written above. 6. The Village of Tequesta assumes all liability for the storage of its computer data as provided for in this MOU 7. This MOU may be amended by mutual written consent of both parties. Our IT Director, Brad Gomberg and myself have seen the need to send a backup copy of our data outside of Florida, yet close enough for quick retrieval to ensure seamless operations. The Village of Tequesta appreciates your willingness to accept and hold 2 -3 cassettes of important and vital Village data for safekeeping purposes. This approach will provide a secure mechanism for our records should the Village suffer significant damage and allow us to quickly resume daily operations immediately following an emergency. Attached for your approval is a Memorandum of Understanding to accept and hold our cassettes. Please review and let me know if the agreement is acceptable to you and your management team. I look forward to our professional relationship and may stop by in July when I am in the area.
