PROFESSIONAL PLANNING SERVICES AGREEMENT

This Agreement, entered into this day of October, 2010, effective immediately, by
and between NZ Consultants, Inc., a Florida corporation, with offices located at 5500 Military
Trail Suite 22 -263, Jupiter, Florida 33458, hereinafter referred to as the "Consultant ", and the
Village of Tequesta, a municipal corporation, with offices located at 345 Tequesta Drive,
Tequesta, Florida 33469, hereinafter referred to as the "Village ".
WITNESSETH
The Village and the Consultant, in consideration of the mutual covenants contained
herein and for other good and valuable consideration, the receipt and value of which is hereby
acknowledged by both parties, hereby agree as follows:
1. Scone of services: The Village and the Consultant both hereby agree that the
Consultant will provide professional planning services for the Village in accordance with the
terms of this Agreement as well as the Consultant's October 20, 2010 proposal attached hereto as
Exhibit "A ", and in accordance with all applicable federal, state and local laws, rules and
regulations.
2. Independent Contractor: The Consultant will perform required services on an
independent contractor basis and shall be solely responsible for its employees' payroll taxes to
include, but not be limited to Federal Income Withholding Tax, workers' compensation, FICA,
and Federal and State Unemployment taxes. The Consultant is responsible for proper
certification and licensure of all officers and employees and for the provision of benefits,
insurance, etc. for its officers and employees.
3. Compensation: The fee for services provided hereunder shall be an hourly rate
of Seventy Five Dollars ($75.00) per hour in accordance with the Consultant's October 20, 2010
proposal attached hereto as Exhibit "A ". This rate may be re- negotiated by the parties in
conjunction with any annual renewal.

4. Payment: The Consultant shall submit a monthly billing invoice identifying and
itemizing in detail the task(s) completed by each Consultant's staff member, and the amount due
and payable to the Consultant. The Village shall pay the Consultant pursuant to the invoice
normally within thirty (30) days of receipt.
5. Term/Renewal: This Agreement shall be for a term of one year, and shall renew
automatically each year for additional one year terms, unless either party gives notice to
terminate pursuant to paragraph 6 below.
6. Termination: Either party may terminate this Agreement upon thirty (30) days
written notice.
7. Notice: Notice as required in the Agreement documents shall be sufficient when
sent by certified mail or hand delivered to the parties at the following addresses:

8. Public Entities Crimes: As provided in Section 287.132 -133, Florida Statutes,
by entering into this contract or performing any work in furtherance hereof, the Consultant
certifies that it, its affiliates, suppliers, and subcontractors who will perform hereunder, have not
been placed on the convicted vendor list maintained by the State of Florida Department of
Management Services within the 36 months immediately preceding the date hereof. This notice
is required by Section 287.133(3)(a), Florida Statutes.
9. Entire Agreement: This three (3) page document, along with Exhibit A,
constitutes the entire understanding and agreement between the parties; no modification shall be
made to this document unless such modification is in writing, agreed to by both parties and
attached hereto as an addendum to this document.

Ref: NZ Consultants, Inc. Proposal for Professional Consulting Services
Dear Mr. Couzzo:
I am pleased that you have shown interest in retaining NZ Consultants Inc. to perform planning
services for the Village of Tequesta. As the Principal of the firm, I have the experience necessary to
oversee the Village's planning and zoning requirements in a coordinated, efficient and cost effective
manner. NZ Consultants, Inc. has a team of outstanding associates ready and willing to serve the
Village and attend to all its planning, engineering, architecture, landscape architecture, GIS
mapping, graphic and web design needs.
This letter is intended to set forth the nature and scope of the services to be rendered to the Village,
and the amount of the service fees.
1. Nature of Consulting; Services NZ Consultants, Inc_ will provide the following consulting
services to the Village of Tequesta:
■ Annexation strategic plan analysis.
As reflected in my presentation to the Village Council on October 14` I believe that
the creation of a successful annexation strategic plan will demand the participation of a
multidisciplinary team. If you agree, I would engage other members of my professional
team, as needed, to prepare and deliver an outstanding annexation plan to the Village.
■ Identify, research and recommend amendments to Village's Comprehensive Plan and Code.
■ Review building plans for compliance with Village zoning Code.
■ Review and process initial or modified applications for site plan review, special exceptions,
variances and architectural /aesthetic requests.
■ Review with Village Attorney all exhibits on Site Plan Reviews, Variances, Special
Exceptions.
■ Attend and prepare presentations for the Village Council.
• Other planning matters related to the position as desired by the Village.
■ I would personally be present at Village Hall 20 hours weekly.
2. Fees and Costs for Services Should you desired to retain NZ Consultants, Inc. for the above
services, an hourly rate of $75.00 will be charged. NZ Consultants Inc. invoices will be
submitted to you on a monthly basis, and each invoice will be due and payable when rendered.
If exceptional expenses are anticipated to be incurred on behalf of the Village (travel, hotel, etc.)
NZ Consultants Inc. will obtain advance authorization from the Village Manager for
reimbursement of these expenses.

3. Representation of Other Clients NZ Consultants Inc. is bound by rules of planning ethics not to
represent any client if the representation of that client will be directly adverse to the interests of
another client unless each such client consents to such representation after consultation. I do not
believe that any such conflicts would be created by NZ Consultants Inc.'s representation of the
Village of Tequesta as stated herein.
