HomeMy WebLinkAboutResolution_01-95/96_10/12/1995 RESOLUTION NO. 1 - 95/96 A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF TEQUESTA, PALM BEACH COUNTY, FLORIDA, APPROVING A LEASE AGREEMENT WITH THE DICTAPHONE CORPORATION OF ALTAMONTE SPRINGS, FLORIDA, IN THE AMOUNT OF $7,025.06 PER YEAR AND AUTHORIZING THE VILLAGE MANAGER TO EXECUTE THE SAME ON BEHALF OF THE VILLAGE. NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF TEQUESTA, PALM BEACH COUNTY, FLORIDA, AS FOLLOWS: Section 1. The Dictaphone Corporation Lease Agreement for E -911 Recording System Equipment and Maintenance, attached hereto as Exhibit "A" and incorporated by reference as a part of this Resolution, is hereby approved and the Village Manager of the Village of Tequesta is authorized to execute the same on behalf of the Village of Tequesta. THE FOREGOING RESOLUTION WAS OFFERED by Councilmember Burckart , who moved its adoption. The department has requested to purchase via lease agreement, a new E9 -1 -1 recording system to replace the old Dictaphone reel -to -reel machine. The total cost of the machine is $20,452.00 (including trade in), purchased over a period of Five (5) years with payments of $5,092.50. Also paid on yearly bases would be the maintenance contract at $1,932.56. The total requested expenditure is $7,025.06. You shall not assert against assignee in any action brought to recover possession of Equipment or to collect unpaid lease balances or other charges any defense, counterclaim or offset that you may have against us and your liability to assignee shall be immediate and absolute upon assignment. Notwithstanding any such assignment, we warrant that you shall quietly enjoy use of Equipment subject to the terms and conditions of this Lease. Subject to the foregoing, this Lease insures to the benefit of and is binding upon the successors and assigns of the parties hereto. 4. LEASE PAYMENT: TERM. You shall pay the Lease payments shown above, the first of which shall be due 30 days after the lease commencement date, and subsequent payments shall be due on the same day of each month (or other calendar period indicated above) thereafter. Lease payments shall be due whether or not you have received any notice that such payments are due. You acknowledge having been offered the choice of purchasing at the Total Cost set forth on the face page, or leasing on the deferred lease payment schedule specified therein, and have elected to lease. The term of this Lease commences upon the date of written acceptance by us (the "Commitment Date ") and ends upon payment by you of the number of Lease Payments shown above subject however to earlier cancellation or termination as hereinafter provided. S. EQUIPMENT DELIVERY. You shall arrange for delivery of Equipment so that it can be accepted in accordance with Paragraph 10 hereof within ninety days after the date of acceptance of this Lease by us (the "Commitment Date ").
