Village of Tequesta Psychologist Consultant Agreement — Agreement between the Village of Tequesta and Dr. Glenn Caddy, Ph.D, D., P.A. to provide consulting services regarding the pending application for a zoning code text amendment to allow rehabilitation facilities and any subsequent applications for use approval and site plan approval for a rehabilitation facility. 2. FDG Flager Station II LLC Real Estate Lease — Renewing lease for an additional 12 month period commencing Janaury 29, 2011. 3. ComLog Service Extended Warranty Agreement — Providing technical support, software upgrades, replacement parts, etc., effective November 1, 2010 to October 31, 2011. VII.LAGE OF TEQUESTA PSYCHOLOGIST CONSULTANT AGREEMENT �� THIS AGREEMENT, is entered into this��� day of January, 2011, effective immediately, by and between the VII.,LAGE OF TEQUESTA, FLORIDA, a municipal . corporation with offices located at 345 Tequesta Drive, Tequesta, Florida 33469, organized and existing in accordance with the laws of the State of Florida, hereinafter "VILLAGE," and GLENN ROSS CADDY, Ph. D., P.A., whose address is 3101 North Federal Highway, Sui#e 301, Ft. Lauderdale, Florida 33306, hereinafter "CONSULTANT." WITNESSETH i The Village and the Cansultant, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and value of which is hereby aclrnowl�iged by both parties, hereby agree as follows: I 1. Scone of services: The Village and the Consultant both hereby agree to enter into this Agreement whereby the Consultant will provide consulting services for the Village regarding the pending application for a zoning code text amendment to allow rehabilitation facilities, and any subsequent applications for use approval and site plan approval for a rehabilitation facility i which may be submitted to the Village, all as set forth in the scope of services proposal attaahed hereto as Exhibit "A". 2. Indeuendent Contractor. The Consultant will perform requir�d services on an i indopendent contractor basis and shall be solely responsible for its employees' payroll taxes to include, but not be limited to Federal Income Withholding Tax, workers' compensation, FICA, and Federal and State Unemployment taxes. The Consultant is responsible for proper certification and licensure of all officers and employees and for the provision of benefits, insurance, etc. for its officers and employees. 3. Comuensation: The fee for services provided hereunder shall not exceed two � hundred dollars ($200.00) per hour for consulting work and one hundred fifly dollars ($150.00) per hour for travel time, in accordance with Exhibit "A". 4. Pavment: The Village shall pay the Consultant upon receipt of a billing invoice identifying the task(s) completed and accepted. The Village shall pay the Consultant pursuant to Page 1 of 2 the invoice within thirty (30) days of its receipt. 5. Termination: Either party may terminate this Agreement by providing written notice to the other party as specified below. 6. Couzzo Manager, Village of Tequesta 345 Tequesta Drive Village of Tequesta, Florida 33469 Scope of Services Proposal The Village of Tequesta, Tequesta, Fla�ida [the "Village"] wishes to hire the services of consultant, Dr. Glenn Ross Caddy, of Suite 301, 3101 North Federal Highway, Fort lauderdale, Ftorida 33306, ["Consultant"j to advise the Village on the present proposal by GMH Tequesta Holdings, LLC ("Developer'] to introduce an Inpatient �rug a�d Alcohol Abuse Rehabilitation Faciiity to the Village ["Facilit�'j. The consultation may also extend to a second phase, involvi�g the proposed introduction of an Eating Disorders Treatment Program within the Facility, or to other matters for which the Village may determine a need related thereto, from time to time. I Consultant will provide the following specific initial services within this Scope of Services Proposal: I [i] Examine and evaluate the ge�eral proposal fo� the introduction of the Facility to the Village with initial specific reference to issues of uncertainty and/or concern as expressed by a number of Village officials and/or residents. As identified at this point, these matters i�clude but may not be limited to: [i] the broad impact of the proposed facility on the immediate neighborhood adjacent to the � location being proposed for the Facility as well as the larger community. These issues include concerns over the possible impact of the Facility on the immediate neighborhood, including reai estate property values; of image a�d appearance concerns of the property itself; and concerns over possibie safety or security matters attendant to bringing alcohal and substance abusing patients into the tommunity to receive treatment at the Facility. There also may be other concerns identified through the wo�k of the I Consultant that have not yet been identified. And, [2J Examine and evaluate the Developers site plans for the Facility, inciuding but not limited to matte�s related to securiry, privacy, appearance, parking, and also proposals far specific programmatic ', design features relevant to the landscape surrounding the Facility. And, � [3] Examine details of the business plan being proposed and the underlying economic study unde�taken to supp�n the spetific treatment programs to be provided through the Facility. Issues of special interest he�e [presented neither as exhaustive or in no particular o�der of priorityJ will include the age limits and medical status of the patient population, the nature and scope of any proposed on site medical detoxification, matters related j to patient safety, privaty, and fraternization, the philosophy underlying the treatment services being proposed, the levet of "professianalism" required in the staffing, patient staffing ratios being proposed, details of the content of the treatment programming, average stay and duration of care considerations, the financia) modeling plan of the program, plans for the marketing and targeting of the patient population, plans to meet the needs of gene�al and emergency medical services for patients, and the delivery of outpatient services. A�d, [4] Other services as may be agreed upon. ; Consultant's Wo�k Schedule and Fees Consultant will bill the Village on a monthly basis for all services rendered on behalf of �Ilage after 1500 hours on January 21, 2011. These senrices will include in person and telephone consultations as necessary, the review of reco�ds and documents �elated to the proposed project, any research requi�eme�t that may be necessary, the preparation of any reports required [including the preparation of this document] and all other services as �equested or required. �onsultant will undertake this project for Village at a rate of two hu�dred dollars [$200] per hour, or ! part the�eof, for all professional services. To expedite your exercise of this option, we have provided below a place for you to acknowledge exercising this option by returning a signed copy of this letter. If you choose to exercise your option, your Lease will be renewed effective January 30, 2011 and extend through January 29, 2012. Also, in accordance with Section 2, the rental rate for the term immediately preceding the Renewal Term will be increased by 5%; therefore your new annual rental rate for the Renewal Term will be $2,756, plus all sales or use taxes levied by any governmental body for the use or occupancy of the Leased Premises. All other terms and conditions of fhe Lease shall continue to be in effect during the Renewal Term. In anticipation of your renewal, you will be receiving an invoice for the Renewal Term. If you do not intend to exercise your option to renew this Lease, please do not return a copy of this letter and instead please refer to the provisions of Paragraphs 13 and 14 of your Lease which advise you of your obligations and requirements for termination.
