A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
TEQUESTA, PALM BEACH COUNTY, FLORIDA, ENTERING INTO A
LETTER OF AGREEMENT WITH THE LAW FIRM OF COBETT AND
WHITE, P.A.TO PROVIDE LEGAL SERVICES TO THE VILLAGE OF
TEQUESTA.
WHEREAS, during the August 20, 2007 Workshop, Council agreed to place the
Village Legal Services contract out for proposals; and
WHEREAS, the Village of Tequesta held the bid proposal opening on Tuesday,
October 30, 2007 in an open public forum and received six (6) individual proposals and
one (1) joint proposal; and; and
WHEREAS, the Village Council met during two Special Council Meetings
(November 14, 2007 and November 28, 2007) to review the proposals and
interview the shortlisted firms; and
WHEREAS, the Village Council desires to obtain the legal services of a
Village Attorney and as such negotiated the Legal Services Contract for Village
Attorney with Corbett and White, P.A., and more specifically with Trela J. White.
NOW, THEREFORE, BE IT ORDAINED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF TEQUESTA, PALM BEACH COUNTY, FLORIDA, AS FOLLOWS:
Section 1 The Legal Services Letter of Agreement with Corbett and White,
P.A., and more specifically Trela White to serve as the Village Attorney is attached
hereto and marked as Exhibit "A"; and
Section 2 This Resolution shall become effective immediately upon passage.
The foregoing Resolution was offered by Council Member Amero who moved its
adoption. The motion was seconded by Vice-Mayor Watkins and upon being put to a
vote, the vote was as follows:

The Mayor thereupon declared the Resolution duly passed and adopted this 13T" day of

Dear Mayor Humpage and Village Council Members:
May I take this opportunity to thank you sincerely for the confidence you have placed in our
law firm by your unanimous vote on November 28, 2007 to retain Corbett and White, P.A. as your
Village Attorney. We would be pleased to assist the Village of Tequesta by providing legal services
on the following terms.
As stated at the interview, I would personally attend all Village Council meetings and
represent the Village unless vacation or illness should necessitate otherwise. In such case, Keith W.
Davis, Esq. will attend in my place. Additionally, Keith would plan to attend Code Enforcement
hearings and/or other advisory board meetings, as needed and requested by the Village.
Our hourly rate as quoted in our proposal for general representation is $175 per hour and
$195 per hour for litigation and administrative hearings. Prosecution of Code Enforcement cases
will be treated as general work unless either party appeals to the court system at which time the
matter becomes litigation. There will be no charge for telephone communication with the Mayor,
Council Members or the Village Manager.

Actual reimbursable costs expended on behalf of the Village will be included on each
monthly invoice and will include items for which our firm has incurred costs, such as recording
documents, retaining court reporters, sending items by Federal Express or other overnight courier
and West Law charges. There will be no charge for faxes sent or received nor for long distance
telephone charges. There will also be no charge for travel time. Paralegals are not used at our firm;
all work is completed by an attorney.
Invoices for general matters will be fully itemized and rendered on a monthly basis. Invoices
for litigation matters will also be fully itemized and rendered on a monthly basis, but will also be
separated according to the individual matter. Payment is expected within fifteen (15) days ofreceipt
of an invoice.
Corbett and White, P.A. will be pleased to provide legal services for the Village in
accordance with the above-stated terms and conditions. No retainer is necessary since we serve at
your pleasure and we will commence work whenever you so direct us to do so. We look forward
to working with everyone at the Village of Tequesta.
