Beaches Cultural Alliance. As you may know, the Cultural Alliance was
�FA4JAfacArthurCarapus formed in May 2004 and presently has 19 members. Among our members
are 14 north county cultural institutions, including the Lighthouse Center for
�acc�us�cam� the Arts in Tequesta. We are very proud of the fact that other supporters,
�atre outside the immediate cultural community, also have joined our Alliance,
including the Town of Juno Beach; Jupiter-Tequesta-Juno Beach Chamber
B�h�ldrf eSanctuary of Commerce, WJTW Radio, "The Jupiter Courier" and "The Palm Beach

Although we are a new organization, we have been very active. We

groups.
In addition, we are working with "The Jupiter Courier" to develop a
monthly seasonal calendar of cultural events in the newspaper.
Many of those who use, donate to and volunteer for our cultural
facilities, including myself, are Tequesta residents. We believe that our
partnership of local cultural groups and their supporters in government,
business and the media is increasing the visibility of our cultural sectoc and
making it stronger than ever. - � .
Membership dues in the Cultural Alliance are $100 per year.

The Northem Palm Beaches Cultural Alliance, formed in May 2004, brings together a diversity of
arts, culturat and educational institutions, plus their supporters in government and business.
Its members include art museums, performing arts schools, theaters, wildlife organizations, and
historical and entertainment museums, as well as local municipalities{ businesses and the media.
Our mission statement describes our purpose:
"The Northern Palm Beaches Cultural Alliance promotes awareness of, access to and
cooperation among all cultural institutions that are based or significantly present in its region; seeks public
and private help from all interested partr►ers; and develops community appreciation and support of our
cultural sector through programs that reach our diverse population."
Together, we work to identify ways we can help each other in fields such as marketing, fund-
raising and exchanging information, in order to strengthen our growing cultural community.
One objective of the Cultural Alliance is to bring together not only the area's cultural institutions --
including museums, art galleries, theaters and animal facilities -- but also others who want to strengthen
the cultural sector, including businesses, the media, government and individuals.
Membership is open to any group, government, business or individuat that supports our

Board members of the Cultural Alliance include representatives from the FAU Honors College,
Hibel Museum of Art, Lighthouse Center for the Arts, ArtStage, Loxahatchee River Historical Society, Burt
Reynolds and Friends Museum, Maltz Jupiter 7heatre, Palm Beach Community College Eissey Campus
Theatre, '°The Jupiter Courier," WJTW Radio, the Town of Juno Beach and the Jupiter-Tequesta-Juno
Beach Chamber of Commerce.
Other members of the Alliance include the Loggerhead Marinelife Center, Atlanfic Arts, North
County Art Association, Jupiter Art Committee, Busch Wildlife Sanctuary, "The Palm Beach Post" and
Blowing Rocks Music Festival.
Officers are: Roger Suckwalter, chair, fram the FAU Harriet L. Wilkes Honors College Advisory
Board; Linda White, vice chair, the artistic director of ArtStage in Jupiter; Kathy Glover, secretary,

Several projects of the Cultural Alliance have been completed:
1 Varietv Show Fund
ArtStage Inc., a member of the Alliance, in cooperation with other members, produced a variety
talent show on March 13, 2005, at Jupiter High School to raise funds for members that sustained heavy
damage during the two hurricanes that hit our area in September 2004. This included a silent auction, art
sale and performances by local talent, which raised a net amount of $1,800, which was split between the
Busch Wildlife Sanctuary and Loxahatchee River Historieal Society -- organizations that suffered heavy
damage during the hurricanes in September 2004:
2. Website
The Alliance has a website that provides an overview of our organization and links to individual
members' websites. So far, we have links to 12 local groups. To carry this out, we havs obtained the
technical services of a volunteer professional who was recruited by one of our board members.

' 3. Cultural Guide: ,
The Alliance has published a guidebook in brochure format of the cultural organizations and
institutions in the northern Palm Beach County area. The brochure provides information for residents and
visitors about local theaters, museums, art galleries and wildlife attractions. This is intended to build
awareness, audiences, attendees and donors for our member organizations. Distribution includes our
members' venues, real estate offices, banks and other businesses.
4. Bus Tour
In September 2005, the Alliance conducted a bus tour of local cultural locations. We provided
transportation by renting a bus and took local leaders, including government officials, to five local cultural
venue. They included Hibel (the first stop, to include lunch), FAU, ArkStage, the Maltz Jupiter Theatre and
the Marinelife Center.
A tour to other sites (including Lighthouse Center for the Arts, Loxahatchee River Historical Society
Museum, Jupiter Lighthouse grounds, Busch Wildlife Sanctuary and the Eissey Campus Theatre of Palm
Beach Community College) is scheduled March 24, sponsored by "The Jupiter Courier."

At present, our fund-raising program consists of several elements:
1. A startup fee of $75, which was assessed to each member during the early period of the

Cultural Alliance. This covered initial administrative costs.
2. Dues of $100 per year for organizations, businesses and governments, and $50 per year for
- individuals.
3. Grants for specific projects. We received $1,000 from "The Palm Beach Post" for the brochure,
$500 from Procida Tile for the September 2005 bus tour, $600 from "The Jupiter Courier" for the March
2006 bus tour, and $300 from the Town of Juno Beach, as well as other donations of cash and in-kind
services for our projects.
Other grants will be sought after we receive 501 (c)(3) status. We have made initia� contact with
Palm Beach County government concerning this.
Future grants will be sought from cultural support groups such as the Palm Beach County Cultural
Council, the Palm Beach County Tourist Development Council and the Non-Profit Resource Institute,
affiliated with the Community Foundation of Palm Beach and Martin Counties. We have made contacts
with all these organizations.
4. The March 13, 2005, fund-raising performance, silent auction and art sale noted above, which
raised $1,800 to benefit our cultural members, the Busch Wildlife Sanctuary and Loxahatchee River
Historical Society, whose facilities suffered extensive damage during hurricanes Frances and Jeanne in
September 2004. �
We have applied for 501 (c)(3) status.
All of our fund-raising is being done on a volunteer basis by our members, without cost to the
Cultural Alliance.

The Cultural Alliance developed from an Honors College program called Discussion Dinners,
which brings together local residents to explore topics with faculty members. At a dinner on arts and
culture in May 2003, several participants voiced a desire for more cooperation among local cultural
institutions, which face many common issues, and asked for a larger meeting.
As a resuVt, a January 2004 meeting was convened by the Honors College, which was attended by
representatives of 12 cultural, business and government entities. At that meeting, attendees discussed
several ideas for joint projects and decided to hold another meeting. That session, in March 2004, also
hosted by the Honors College, attracted representatives from 17 groups, and the participants voted
unanimously to form a permanent organization.
On May 3, 2004, the Alliance adopted several measures, including a name, mission statement
and membership structure, and elected a board of directors, to formally become a separate group.

BYLAVVS
ARTICLE I: NAME, PURPOSE
Section 1: �
The name of the organization shall be the Northern Palm Beaches Cultural Alliance Inc. �
Section 2:
The Northern Palm Beaches Cultural Alliance Inc. is organized exclusively for charitable purposes, more
specifically to promote awareness of, access to and cooperation among all cultural institutions that are based or
significantly presentt on and su ort of our cultural ector through p ograms that reach our dives e populat on.

ARTICLE II: MEMBERSHIP
Section 1:
Membership shall be open to all entities and individuals that are involved with or wish to promote t e arts
and culture in the communities of the northern Palm Beaches.
Membership categories are as follows: Non-profit cultural organizations; businesses and business
organizations (including for-profit cultural organizations); government and educational institutions; and
generaUindividual members.
Each organization, business, government and institution member and each individual member shall have
one vote.
ARTICLE IIL• ANNUAL MEETING
Section 1: Annual Meeting
The date of the regular annual meeting shall be set by the Board of Directors, which shall also set the time
and place. �
Section 2: Special Meetings
Special meetings of the general membership may be called by the chair or the Executive Committee.
Section 3: Notice
Notice of each meeting shall be given to each voting member, by mai1, not less than ten days before the
meeting.
ARTICLE IV: BOARD OF DIRECTORS
Section 1: Board Role, Size, Committees
The Board is responsible for overall policy and direction of the Alliance, and delegates responsibility for
day-to-day operations to designated officers, members and committees. The Board shall have up to thirty and not
fewer than six members, a majority of which shall represent members that are non-profit cultural institutions. The
Board receives no compensation.
Section 2: Meetings
The Board shall meet at least four times per year, at an agreed upon ti�ne and place. °
Section 3: Board Elections
Election of new directors or election of current directors to another term will occur as the first item of
business at the annual meeting of the corporation. Directors will be elected by a majority vote of the current
" directors in attendance.
The term of any director who is elected between annual meetings will run until the next annual meeting. At
that time, those directors will be eligible for election to a full two-year term.
Section 4: Terms
All Board members shall serve two-year terms, but are eligible for re-election.
Section 5: Quorum
A quorum shall consist of at least 51 percent of the Board members, and must be present before business
can be transacted or motions made or passed.
Section 6: Notice
An official Board meeting requires that each Board member have written or e-mailed notice one week m
advance.

Section 7: Officers and Duties
There shall be four officers of the board, consisting of a Chair, Vice Chair, Secre�ary and Treasurer. Terms
shall be for one year. Their duties are as follows:
The Chair shall convene regularly scheduled Board meetings, and shall preside or arrange for other
members of the Executive Committee to preside at each meeting in the following order: Vice Chair, Secretary and
Treasurer. �
� The Vice Chair will chair committees on special subjects as designated by the Board.
The Secretary shall be responsible for keeping records of Board actions, including overseeing the taking of
minutes at all Board and general membership meetings, sending out meeting announcements, distributing copies of
minutes and the agenda to each Board member, and assuring that corporate records are maintained.
The Treasurer shall make a report at each Board meeting. "The Treasurer shall chair the Finance
Committee, assist in the preparation of the budget, help develop fund-raising plans, and make financial information _
available to Board members and the public.
Section 8: Vacancies
When a vacancy on the Board exists, nominations for new members may be received from present Board
members by the Secretary two weeks in advance of a Board meeting. These nominations shall be sent out to Board
members with the regular Board meeting announcement, to be voted upon at the next Board meeting. These
vacancies will be filled only to the end of the particular Board member's term.
Section 9: Resignation, Termination and Absences
Resignation from the Board must be in writing and received by the Secretary. A Board member shall be
dropped for excess absences from the Board if she/he has three unexcused absences from Board meetings in a year.
A Board member may be removed for other reasons by a three-fourths vote of the remaining directors.
Section 10: Special Meetings
Special meetings of the Board shall be called upon the request of the Chair or one-third of the Board.
Notices of special meetings shall be given at least five business days in advance by telephone, fax or e-mail.
ARTICLE V: COMMITTEES
Section 1: Executive Committee
The four officers, committee chairs and up to three designated board members at large shall serve as the
members of the Executive Committee. Except for the power to amend the Articles of Incorporation and Bylaws, the
Executive Committee shall have all of the powers and authority of the Board of Directors in the intervals between
meetings of the Board of Directors, subject to the direction and control of the Board of Directors.
Section 2: Finance Committee
The Treasurer is chair of the Finance Committee, which includes three other Board members. The Finance
Committee is responsible for developing and reviewing fiscal procedures, a fund-raising plan, and annual budget
with other Board members. The Board must approve the budget and all expenditures must be within the budget.
Any major change in the budget must be approved by the Board or the Executive Committee.
� The fiscal year shall be the calendar year. Annual reports are required to be submitted to the Board
showing income, eacpenditures and pending income. 'The financial records of the organization are public information
and shall be made available to the membership, Board members and the public.
Section 3: Other Committees
The Board may create committees as needed, such as fund-raising, nominating, etc. The Board Chair
appoints all committee chairs.
ARTICLE VI: AMENDMENTS
Section 1:
These Bylaws may be amended when necessary by a two-thirds majority of the Board of Directors.
Proposed amendments must be submitted to the Secretary to be sent out with regular Board announcements.
These Bylaws were approved at a meeting of the Board of Directors of the Northern Palm Beaches Cultural
Alliance on May 27, 2004.
