THIS BILL OF SALE / INDEMNIFICATION AGREEMENT is dated
-1k , 2012, by the Village of Tequesta, a municipal corporation of the
state of horida, whose address is 345 Tequesta Drive, Tequesta, Florida, 33469 (the
"Seller "), and by the Town of Jupiter, a municipal corporation of the state of Florida,
whose address is 210 Military Trail, Jupiter, Florida, 33458 (the "Buyer ").
1. The Seller, in exchange for the sum of Ten and 00/100 Dollars ($10.00) along
with other good and valuable consideration, including the Buyer's
indemnification of the Seller as set forth herein, the receipt and sufficiency of
which is hereby acknowledged, does hereby sell and convey unto the Buyer,
the following:
THE JUPITER TRAIN DEPOT BUILDING (the "Building ")
2. The Seller hereby covenants with the Buyer that the Building is free from all
liens and encumbrances; that the Seller is the lawful owner of the Building;
and that the Seller has good right and lawful authority to sell and convey the
Building. Further, the Seller hereby fully warrants the title to the Building and
will defend the same against the lawful claims of all persons whomsoever.
3. It is agreed and understood that the Building is sold and conveyed to the
Seller in its current "as -is" condition. It is further agreed and understood that 41
the Building is currently located on the Seller's property at - 499, Seabrook n
Road, and that it shall be at the Buyer's sole cost and responsibility to remove
and transport the Building from its current location to a new location of the
Buyer's choosing within the corporate jurisdiction of the Buyer. All expense,
and all risk of damage and /or loss to the Building or to any other property, or
of injury to any person associated with the transportation and relocation of the
Building shall be borne by the Buyer, and the Seller shall have no
responsibility whatsoever in this regard. The Buyer agrees that it shall
indemnify, defend and hold harmless the Seller from any claims or demands
arising from any such damage, loss or injury. This indemnification is not
intended to nor does it waive the protections of sovereign immunity afforded
to the Buyer or Seller pursuant to Ch. 768.28 F.S.
IN WITNESS WHEREOF, the Seller and the Buyer have caused this Bill of Sale /
Indemnification Agreement to be executed as of the day and year first written above.

Enclosed please find an original signed Bill of Sale/Indemnification Agreement for the Jupiter Train
Depot Building.
I have requested a $10.00 check be cut by our Finance Department and will forward the check to you as
soon as I receive it.
