The following memorandum is regarding consideration to purchase an
emergency generator to service the new Village Hall.
Immediately following Hurricane Frances, Electrical Systems, Inc.,
provided support to the Village Square Shopping Center, which
included the utilization of the proposed generator, which at the time
provided electrical power to several businesses within that shopping
center. During this time, Councilman James Humpage, owner of
Electrical Systems, Inc., discussed the possibility of purchasing said
generator from the property owner. During those discussions, a sale
price of $22,500.00 was proposed. The property owner, John Horton,
has agreed to this sale price.
The generator in question is an Alturdyn 90KW Gas Turbine Generator.
The estimated cost for this generator in new condition is significantly
higher than $100,000.00. It has been confirmed by the engineers

assigned to the new Village Hall project that this generator will provide
sufficient power to run the entire Village Hall. Additionally, the
generator was examined by TAW Power Systems, who currently service
and maintain the generator located at the Public Safety facility. The
subsequent inspection determined that the generator is in excellent
working condition, and TAW Power Systems has provided the Village
with a proposal to perform maintenance and repairs comparable to that
of the existing Public Safety generator.
If purchased at the proposed price of $22,500.00, this would be a
significant savings over the estimated cost of purchasing a new
generator. It is subsequently staff s recommendation that Council
approve the purchase, utilizing funds from the existing FF&E Municipal
Center Fund No. 303-331-664.603. The amount of current available
funds in that account for FY 2004/2005 is $166,000.00.
Please note that the purchase will be contingent on acquiring a clean title
search.
Attached is the proposed bill of sale which will be executed if approved.

BILL OF SALE
For the good and valuable consideration of Twenty-Two Thousand, Five Hundred
Dollars ($22,500), the receipt and adequacy of which are hereby acknowledged, John
C. Horton, an individual resident of the State of Florida ("Seller"), does hereby grant,
bargain, transfer, sell, assign, convey and deliver to the Village of Tequesta, a
municipality of the State of Florida ("Buyer"), all right, title and interest in and to that
certain Alturdyn 90KW Gas Turbine Generator (the "Asset"). Seller, for himself, his
successors and assigns, hereby covenants and agrees that, at any time and from time
to time forthwith upon the written request of Buyer, Seller will do, execute, acknowledge
and deliver or cause to be done, executed, acknowledged and delivered, each and all of
such further acts, deeds, assignments, transfers, conveyances, powers of attorney and
assuranees as may be required by Buyer in order to assign, transfer, set over, convey,
assure and confirm unto and vest in Buyer, its successors and assigns, title to the Asset
sold, conveyed, transferred and delivered by this Bill of Sale.
This Bill of Sale is being executed and delivered by Seller at , Florida, as of
November _, 2004.
