Backqround:
In 2001 the City of Greenacres entered into an Interlocal Agreement with the City of Atlantis
to provide Fire Protection and Emergency Medical Services (EMS), for a period of ten (10)
years. With the expiration of the current agreement on September 30, 2012, a new Fire
Protection and Emergency Medical Services agreement was negotiated to continue the
provision of the service.
Analvsis:
Section 163.01 Florida Statutes "Florida Interlocal Cooperation Act of 1969" formed the basis
for negotiating a new agreement that was fair and equitable to both cities based on mutual
benefits. The new agreement has been reformatted, compared to the existing one, to provide
added clarity while basically maintaining the existing levels of service for the provision of fire
protection and EMS services to the City of Atlantis. The agreement outlines the City of
Greenacres' responsibilities in providing the services (as currently provided) and those of the
City ofi Atlantis in routing 911 calls and administering their annual fire hydrant inspection and
testing program. The agreement provides for Atlantis to pay an annual service fee to be paid
monthly. The annual service fee will be adjusted annually, effective October 1 of each year
based on the change in the Consumer Price Index for all urban consumers for the Miami-Fort
Lauderdale area from February to February, or four percent (4%), whichever is greater. The
agreement also provides for an adjustment to the annual service fee by mutual agreement
should unfunded Federal, State or County mandates, or unforeseen events cause an
increase to the City's cost in providing the services. The new agreement has a term of five
(5) years commencing on October 1, 2012, and expiring on September 30, 2017, with a
provision for an automatic renewal for an additional five (5) year period. The new agreement
contains similar provisions in the current agreement regarding termination, disputes,
remedies, enforcement costs, liability, insurance, force majeure, and miscellaneous
provisions.

Financial:
The attached Interlocal Agreement pcavides for a first year payment by the City of Atlantis to
the City of Greenacres of $715,000 which represents a 33% increase over the cost paid for
the current fiscal year. The annual service fee effective October 1, 2012, was based on the
City's cost and overhead for Fire Rescue Services and the number of calls responded to in
the City of Atlantis.
The Agreement also provides the City of Greenacres the authority to charge Atlantis'
customers ambulance transport fees, fire inspection fees, fire plan review fees, and false
alarm fees. Additionally, the City of Atlantis previously enacted an ordinance providing for the
collection of insurance premium taxes pursuant to Chapter 175 Florida Statutes that provides
annual contributions to the City's Public Safety Officers and Firefighter Pension Pfan ofi
approximately $53,000.
Leaal:
The Interlocaf Agreement has been prepared in accordance with all applicable City Code
requirements.

THIS INTERLOCAL AGREEMENT, made and entered into this � day 2012,
by ar�d between the City of Greenacres (hereinafter "Greenacres°), a Fiorida nicipal
corporation, and the City af Atlantis (hereinafter "Atlantis"), a Florida municipal
corporation, for fire prate�tion and emergency medical servic�s.
WITHNESSETH:
WHEREAS, Section 163.01, Florida Statufes, known as the "Florida Interlocal
Cooperation Act of 1969" authorizes local governments ta make the most efficient use
of their pow�rs by enabling tl�em to caoperate with ather localities on a basis ofi mutual
advantage anci thereby to provide services and facilities that will harmonize geographic,
ecanamic, pop�lation, and ather factors infiuencing the needs and development of local
cammunities; and
WHEREAS, Greenacres currently provides flre protectio� and emergency
medical services to Atlantis through an Interlocal Agreerrrent which has been in effect
since October 1, 2002.
WHEREAS, the Interloca{ Agreement expires at 11:59 p.rri. on September 30,
2012, and Atlantis and Greenacres desire to enter into an Interlacal Agreement to
continue the provision of such services; and
WHEREAS, it is deemed mutuatly �dvantageous to �nter into this Interlocal
Agreement:
NOW, THEREFORE, Atlanfiis and Greenacres, in consideration of the terms and
conditions set forth herein and the benefits flowing from each fo the other, do liereby
agree as follows:
SECTION 1. INCORRORATION OF FACTS
The facts set forth above in the preamble to this Agreement are true and correct.
SECTION 2 PURPOSE
a. The purpose of this Agreement is ta establish the Parties' rights and
obligations regarding the pr�visivn of �ire protectian and emergency medicai
services within the municipal limits of Atlantis by Greenacres.
b. This Agreement is simpfy a cantra�t for the provision of services and s�iall
not, in any manner whatsoever, canstitute a transfer of municipal home rule
powers. This Agreement is solely an interlocal agreement to provic�e services
authorized by Chapter 163, Florida Statutes_
SECTION 3. SERVICES Td BE PPOVIDED
a. Greenacres, by mear�s of this Interlocal Agreement, shall �rovide tl�e
personnel and equipmeni necessary to provide fire suppression, emergency
medical services and special operations which indude, but �re �at limited ta,
annual Fire Prevention and Ufe Safety Inspections in all �usinesses, arsan
investigation, Fire Code and LiFe Safety plan review and inspectidn services
fvr building permits �or occupancies and structures other than one and two
family dwellings, and all ather fire/rescue emergency and non-emergency
services induding Advanced Life Support Rescu� S�rvices/Basic Life Support
Rescue Services (AL�/BLS) and ALS and BLS le�e[ 7ransport Services
g�ner�lly pravided by Greenacres' Department of Pubfic Safeiy (hereinafler
ref�rred ta as "Public Safety").
b, (n providing ��rvic�s unde� khis Agreement the closesk, approp�iately staifed
and available vehide(s) will be dispatched to emergencies within Atlantis
c�nsistent witfi the lev�l �f resources available to Greenacres and the level of
service provided to Greenacres' residents. This Interlacal Agreement shall not
be c�nstrued to irnpose any obligation, dury or responsibility whatsoever on
Gre�nacres to provide any specific types, kinds, or numbers of emergency
personnel or apparatus at any fire station c�f Greenacres or ai any emergency
scene within Atlanlis' boundaries at any specific tim�.
c. Greenacres assun�►es no responsibiliti�s for emergency preparedness
planning and program implementation for Atlantis; or site cleanup or product
soil removal resulting from a hazardous m�terial incident within Atlantis.
d. Atlantis, acting through its City Manager, shall oversee and monitor
Greenacres' performance of the servic�s pravided for in this Agreemeni.
Notwithstanding Atl�nfis' ultimate authority and respansibility for the oversight
of services provided hereunder, the rendition of services, st�ndards of
perFormance, discipline of officers and employees, and all ofher matters
incidental ta Greenacres' contro4 of its personnel and the performance of
services, including but not limi#ed to equipment, facilities, agreem�nts far
automatic/mutual aid, and implementation of its policies and procedures, shall
reside solely with Greenacres.

SECTfON 4. GREENACRES RESPONS181LITIE�
a. Greenacres will maintain the stafFing and �quipnient to provide fir� protectian
and emerc�ency medical services within Atlantis �4 hours per day, 365 days
per year throughaul the term of the Agreement.
b. In the pravision of services witl�ir� its jurisdiction and within Atlantis,
Greenacres will provide trained and cerlified personnel at the Firefighter II
level and Emergency Medicaf Technician (EMT� and Paramedic level and
equipment including but not limited to two (2) Class A, ALS Fire Pumpers,
Qne (1) Aerial Fire Engine �nci three (3} AL5/BLS Ambutance Transpori
Vehi�les stationed at the Public Safety complex (Station 1} at 2995 S. Jog �
Road, Greenacres, Florida 33467 and Public S�fety Station 2 at Sfl95
Haverhilf R�ad, Greenacres, �larida 33463_
c. The average response time by Greenacres to emergency incidents within
Atlantis will be eight (8) minutes or less. Re�ponse time is defined as the
interval from call receipt at the 9-1-1 Public Safety Answering Paint (PSAP) to
the arrival af fhe firsi unit.
ci. If due to multiple simultaneou$ calls far sep�rate incidents, fiires, and other
�ut�li� safefy emergencies, Greenacres c�nnot responcl to emergencies within
Atlantis, Greenacres will utilize its Mutuaf Aid Agreements.
e_ Greenacres shall conduct fire prevention and life safety inspections of ali
busin�ss�s located within the municipal boundaries of Atlantis on an annual
basis. Greenacres shall provid@ Fire Code plan r�view and inspection
s�rvices for building perrriits and sl�all �ndeavor to revi�w and return a11 plans
submitted within six (6) days after their receipt. Greenacres shall endeavor to
complete, on a daily basis, all new Fire Code construction inspections
requirect !�y Ailantis' Building Department's permitting pracess if scheduled no
fater than 4:30 p.m. an the day prior to the date of inspection. Contractars
seeking Fire Code P1an Review shal{ be respansible far de{ivery af plans to
Greenacres and far payrnent of all fiees associated with their r�view.
Contractors seeking Fire Cade Inspection services shall schedule inspections
through Greenacres' Fire Marshal office. Gontractors shall be respansible for
the payment of re-inspection fee� in a�cordance with the �ee schedule
adopted by Greenacres.
f. Greenacres shall provide fire/arson investigation services to Ailan#is as part of
this Rgreement thraugh its PubGc Safety personnel to deteRnine cause and
arigin, will respond to subpoenas regarding same, provide testirnony if
needed in code enforcement cases or in any other type of legal proceedings.
Pub(ic Safety personnel will coordinate with At(antis' Police Department on
any subsequent investigatian that requires law enforcement assistance.

g. Gre�nacres shail submit n�anthly and annual reports of the status of activities
of fire rescue services provided, including number and classification of calis,
respa�se times and other �ertinerit activiti�s. The annual report will be
submitted by Janu�ry 20 f��llawn�g the completion of each fiscal year during
the term of this Agreement.
h. Greenacres shail promptly report to the po(ice chiefi of Atlantis any incidents
involving significani property or structural damage, haz�rdous materials
incicients and fatalities.
i. Greenacres will provide community educatian outreacri {�rograms and provide
equipment �nd personnef for up to four (4) annual cammunity events in
Atlantis.
SECTIQN 5_ ATLANTIS RESPC)NSIBILITIES
a. All calls for emergency s�rvices received by Atlat�tis, which require a
respons� by Gre�nacres for fire prQteckion and/or emErgency medical
services, shal( be immediately forwarded to Paltn Beach County Central
Dispatch Center. The Parties her�ta agree that emergency calls for automatic
fire alarms shall continue t� be routed througl� Atlantis' 911 center and then
transferred to Palm Beach Cnunty Central Dispatcl� Center_
b. Atlantis agrees to develop �nd administer an annual fire hydrant inspection
and testing program for all hydrants within Atlantis' municipal limits to ensure
that hydrants operate �ro�erly �nd have the necessary water volume and
pressure for use by Greenacres in providing services under this Agreement.
This program will serve to iden6fy and repair all malfuncfioning hydrants and
shall inciude lubricatian of all extemaf moving parts by Atlantis. Atlanfiis' Water
Utifities Dep��kment sha41 be natified as to all other problems related �n
hydrants and adequate wat�r pressure, which shall be resolved by Aflantis ai
Atlantis' sole expense_ In the event that a hydrant is deemed inoperable,
Atlantis shall immediately natify Greena�res Public Safety Department of its
location and when the hydrant wil! be made operational. Atfantis will provide
Greenacres a map of Atlantis shdwing tl�e location of all fire hydrants used in
providing services under this Agreement_
c. Greenacres' Certificate af Public Convenience and �lecessity (°COPCN°}
includes al[ property wifhin the corporate limits of Atlantis for the delivery of
ALS/BL.S services. Atlantis shall fu(ly suppnrt and take all action necessary to
assist Greenacres to maintain the COPCN from Palm Beach County_

SECTION 6. TERM
a. The term of this Agreement shall be for a five (5) year period commencing at
12:09 a.m. on October 1, 2012 and ex�iring at 11:59 p.�Ti. Sept�mb�r 30,
2017. Ti�ereafter, this Agreement sha{I autom�tically renew For an add'stional
five (5) year period, wift�oul further action af the Parties, unl�ss either Parky
shall notify the other in writing on or be�ore March 1'` of any year prior to fihe
final year af its intent no# to renew. This Agreement shall not b� t�rminated by
eith�r Party, at any time during its term os any renewal thereaf, un(ess either
Party shalf ciefault on any of its maierial obligations and fail to cure said
d�fault in accordance with this Agreement.
SECTiON 7. COST FOR SERVICES
a. In consideration of services pravidecl herein, Atlantis shall p�y Greenacres
during the term of this Agreement an �nnua! service fee which covers the
period of October 1 lhrough September 30_ The �nnual service fee to b� paid
m�nthly in twelve (12} �qual payments sh�ll be due and payable on or befare
the first business clay Qf each monlh. Gr�enacres shall bill Atl�ntis for this
amaunt on or befor� the � 5� day of the preced'+�g month. In ttze event
payment is not made on a timely basis, a late charge at the rale of twelv�
percent (12°/a) per annum shall be added to Atlantis' payments due and owing
ta Greenacres. tnterest shall be ce�mpo►�nded an�l computed daily, based on a
36�-day year, commencing the first ca{endar d�y after the due date. If
paymenk is mare than sixty {60) days delinquent, Greenacres may terminate
this Agreemeni upan fhirty (30) days written na#ice as provided her�in.
b. The Parties hereta agree that the amount of the Annual Service Fee shaN be
adjusted annually effective �ctaber 1 of each sueceeding year of this
Agreement. The adjustment will be based on the percent change as reflected
in the United SCates Department of Labor, Consumer f'rice Index (CPI), for All
Urban Consumers, Alf 11ems, for the Miami-Fort Lauderdafe area, from
February of lhe prior year to February of the current year, or four percent
(4%) whichever is greater. The first such annual adjustrrient shall be applied
to 1he paymeni due October 1, 2013, and based on the change in indices,
frc�m February 2012 to February 2013. tf due to unfunded m�ndates of
Federal, State or county govemment and to address any unforeseen events
or contingencies that increase Greanacres' cost for providing services under
this Agreemeni, the annual service fee shall be adjusted by mutual
agr.eement of the parties in addition to the annual adjustment setfortf� herein.
c. Atlantis agrees fa pay Greenacres during the first year of the Agreement an
annual service fee amaunt of: $715,000_00.

d. The Parties acknowiecige and agree that Greenacres may invoice, caflect,
and ret�in fees from those persons receiving non-emergency fire rescue
services provided within Atlantis' n�uriicipal boundaries,� including, but no!
limited ta fire inspection fees, Fire Code plan review fees, �nd faise alarm
fees for fire calls anly, in accordanc� with the fee schedules ado�ated by
�reenacres. Additionally, Greenacres may inv�ice, coliect and rek�in fees
from businesses r�r contractors whose negligent unlawful or acts cause an
incident resulting in a emergency response.
e_ The Parties hereto acknowledge and agree that Greenacres may invoice,
coliect, and r�tain fees from those p�rsons receiving ALS and BLS tr�nsporl
services in accordance with Greenacres' fee scl�edule, �� it may b� �niended
fram time to time, relating to ALS and BLS transpo�t fees.
SECTION 8. TERMINATIUN
The Agreement may be terminated for goocl cause only in th� evenf of breach
of its terms or in the evenf of the in�bilify of Greenacres to provide the
s�rvices specified herein_ In th� event that either Party desires to terminafe
this Agreement For good cause resulting from the breach of its terms, the
Parry alleging the breach shall give notice to the other Party of its default a�d
grant the other Party a period of one hundred and twenty (120) days to cure
such default. Ifthe def�ull is not curecl within the stated period then the Party
�Ileging the breach shall give notice of its intent to terminate tl�tis Agreement ,
at the �nd of a contract y�ar upon submission to tl7e other Pa�ty_ 5aid notice
shall be in writing and shall be given at least twelve (�2} rrianths priar to th�
end of any twelve (12} rnonth period which commences on October 1 and
terrrtinates on Sepiember 30�' of the subsequent year.
SECTIQN 9. DISPUTES
In the evenf that either Party has a dispufe with respect to the other Parky's
abligatians hereunder, a written notice shall be provided to the respectiv� City
Manager, advising of the disput�d matter. Atlantis' and Greenacres'
respective City Managers shall meef and attempt in good faith to resolve the
disputed matter. In the event that the disputed makter is not resolved to the
satisfaction of Atlantis and Greenacres each party may avail itself to the
reme�ies provided herein.
SECTION 10. REMEDIES
This Agreement shall be construed by and governed by the laws of the State
of Florida. Any and all legal action necessary to enforce this Agr�ement shall
be hetd in Palm Beach County. No remedy herein conferred upon any Party is
int�nded to be exclusive of any other remedy and each and every such

remedy shali be cumulative and shall be in additian to every other remedy
given hereunc�er or now or i�ereafter existing at law or in equity ar by statute
or otherwise. No single or partial exercise by any Party of any right power, or
remedy hereunder shall preclud� any other or further exercise thereof.
SECTION 11. ENFORCEMENT COSTS
Any cost or expenses (including reasonable attorney`s fees) associateci with
the enforcement of tl�e terms and eonditions of this Agreement shall be borne
by tl�e parties hereto, rec�ardless of which party prev�ils.
. SECTION 12. LIABILITY
The Parties ta this Agreement ancl their respective officers and employees
shall nat be deemed to assume any liability for the acts, omissions, or
negligenc� of the other Party or for any ihird Party. Each Party shall be
respansible far i[s own actions, acts, errors omissions niisf�as�nce,
malfeasance, and/or neglig�nce �ccurrinc� in association with the Parties
obligations und�r this Agreement_ Furftierm�re, nathing canfained herein
shall be construe� ��s a waiver af eitf�er Party's sovereign immunity ar the
assumption af liabi(ity in excess of that allowed by law.
SECTION 13. INSURANCE
The Parties h�r�to agree that each will obtain comprehen�iv� General
Liability, Wrongful Acts or Orriissians �nd Automobile Liabifity insurance with
statutory coverage limits, as provided in Section 7G8.28, Flt�rid� Statutes.
Nothing herein shall be canstrued or act as a waiver of either Party's
privifeges or immunities as provided by Section 768.�8, Fforida Statutes.
SECTION 14. NOTICE
_ All notices required to b� given under this Agreement shall be in writing, and
deemed sufficient to each Party when sent by Certified United States Mail,

SE�T{ON 15. FOP.CE MAJEURE
Except as otherwise provided in this Agreement, neither Party shall be
deemed in default or in breach �f this Agreemenf to th� �xteni it is unat�le to
perform due to an event ofi Farce Majeure. For tlie purpose of this Agr�ement,
Force Majeure sl�all mear� and include any act ofi God, accident, fire, la�kouf,
strike or other labor dispute, riot or civil commotian, act of a public enemy,
failure of transportation facilities, enactment, rule, order, or act of government
ar gavernmental instrumentality (whether domestic or interi7ational and
whether federal, state or local, or the intemational equivalent th�reof), failure
of fechnical facilities, or any other caus� of any nature whatsoever beyond the
contral of the applicable Par�y, which was nat avoidable in the exercise of
reasanable care and foresighi.
SEGTION 1G. MISCELLANEOUS PROVISIQNS
a. If any terms or pr�vision af this Int�rl�cal Agreement, or the a�aplication
thereof to any person or circumsfance, shall Lo any extent be field invalid or
unenforceable, the remainder of this Interlocal Agreement, or the application
of such term or provision, to any person or circumstance other than thase as
ta which it is held invalid or unenforceable, shall not be affect�d, and every
other term and provision of this Interlocaf Agreemerit shall be deemed valid
and enforceable to the extent permitted by law.
b. The preparation of this Agreement has been a jaint effort of the Parties, and
the resulting document shaU not, solely as a matter c�f juclicial constraint, be
