F��,��� �� FLAGLER 4601 Touchton Road East � Building 300 � Suite 3200 Jacksonville, FL 32246 December 19, 2012 Mr. Michael Gouzzo Village ofTequesta 345 Tequesta Drive Tequesta, FL 33469 Re: Real Estate Lease (File# 281-1-2a) dated 1/30/2006 by and between FDG Flagler Station II LLC, as Lessor ("Lessor") and Village of Tequesta, as Lessee ("Lessee") Dear Mr. Gouzzo: We are writing to inform you that the terms of the referenced Lease provide you the option to renew the Lease for an additional 12-month period (the "Renewal Term"), provided you notify the Lessor prior to the end of the current term. To expedite your exercise of this option, we have provided below a place for you to acknowledge exercising this option by returning a signed copy of this letter. If you choose to exercise your option, your Lease will be renewed effective lanuary 30, 2013 and extend through January 29, 2014. Also, in accordance with Section 2, the rental rate for the term immediately preceding the Renewal Term will be increased by 5%; therefore your new annual rental rate for the Renewal Term will be $3,039.00, plus all sales or use taxes levied by any governmental body for the use or occupancy of the Leased Premises. All other terms and conditions of the Lease shall continue to be in effect during the Renewal Term. In anticipation of your renewal, you will be receiving an invoice for the Renewal Term. If you do not intend to exercise your option to renew this Lease, please do not return a copy of this letter and instead please refer to the provisions of Paragraphs 13 and 14 of your Lease which advise you of your obligations and requirements for termination. Please return a copy of this letter signed and dated below, acknowledging and exercising your option to renew the Lease, to my attention at the address written above. (Provider) i At the request of, and acting on behalf of the Client, Gleason and Associates, I�c. agrees to provide the following: • Acting in the capacity of a Search Firm, will conduct between 1— 2 Police Chief backgrounds. The purpose of these backgrounds will be to gain information regarding the applicant(s) and his/her related professional experience. • Seek out and obtain any pertinent, job related information regarding the Candidate(s) and his/her background which, if hired, may have an effect on the Client. The information sought will be that which relates to the bona fide, occupational qualifications of the Candidate as they pertain to this position. Any private data reviewed shall be in a manner consistent with state and federal laws. Candidates wiil be asked to review and sign a release waiver allowing the representative from Gleason 8� Associates to obtain information and contact those person(s) who may have knowledge of the Candidate's past work history. • Conduct one, or two Background Profiles at Level # 2 as requested by the Client: � Items included with this O�tion 1. 4 Professional Reference Interviews with written synopsis 2. Completion time shall be approximately fourteen days from beginning of project. Conditions regarding termination of Project prior to completion of any background. The Client shall be charged one-half of the professional fee (per candidate) if: • A Candidate withdraws from consideration at any point once the background has begun, or • The Client cancels the background once it has begun. Conditions regarding termination of Project after completion of background. The full professional fee (per candidate) shall be paid if: • A Candidate withdraws from consideration, or • The Client terminates the project, or • The Client does not make an offer of employment to any Candidate. If the Client requests additional Backgrounds beyond the number of Candidates identified on page 1 and 3 of this document, a mutual agreement shall be reached and an Addendum shall be signed by both parties. It is agreed that Gleason & Associates, Inc. shall be acting in the capacity of an Independe�t Contractor for the Client, and shall be saved harmless from any suits, actions, damages, and/or any liability and expense, including attorney fees, arising from any action not directly related to the specific duties & responsibilities in this Agreement. Expense Policy N/A Pa4e 2 of 3 Professional Fee We,the Vllage of Tequesta, Florida agree to pay Gleason&Associates, Inc., the following professional fee for completion of this project: (Client—please circle Number of Backgrounds requested&initial) One(1)Background-$9,650.00 Two(2)Backgrounds-$3,300.� Gleason and Associates, Inc. requires no payment prior to the beginning of this project. However,the professional fee shall be paid in full no later than 14 days of receipt of Invoice by the Client. PROJECTS WORK AUTHORIZATION NPDES — MS4 Annual Report This Work Authorization authorizes ARCADIS G&M, Inc. to perform the work set forth herein and is issued pursuant to the "Professional Engineering Consulting Services Agreement for Water System and General Utility/Civil Projects" dated November 17, 2005. All terms and conditions of said agreement shall be applicable to this Work Authorization. SCOPE The Engineer understands that.this work authorization shall cover Engineeri.ng Services related to NPDES — MS4 Annual Report. The following specific tasks will be performed by the Engineer. 1. Annual Report creation and coordi.nation with involved agencies. COMPENSATI�N For the services described in Scope Item No. 1 the Engineer shall be paid on a time and materials basis in accordance with the rate schedule in the Agreement of $3,000.00 not to be exceeded without prior authorization. ' For any services that will be sublet, the Engineer sha11 order their services after obtaining the written authorization of the Clien� The Subconha.ctar shall work directly far the Engineer as delineated within the November 17, 2005 agreement.
