RE: Election of Chairman and Secretary; Aqenda Item
The Plan at Section 3,2 states the following: "The Trustee's shall,
by a majority vote, elect a chairman and secretary. The secretary
of the Board shall keep a complete minute book of the actions,
preceding, or hearings of the Board. The trustee shall not receive
any compensation as such, but may receive expenses and per diem as
provided by law."
The role of the chairman is to conduct the Board meetings. Since
Tequesta uses recording secretary services, the secretary elected
by the Board need not keep the minutes. We could, however, by a
motion of the Board, allow that the secretary conduct the Board
meetings in the absence of the chairman.
This is a housekeeping matter that we need to attend to in order to
comply with the guidelines of the Plan.
