L?EADY, P.A., OfCounsel•� TO: Mayor Paterno; Vice Mayor Arena; Council Members Brennan, D'Ambr� and Okun CC: Village Manager Couzzo ' FROM: Village Attorney Davis ' DATE: March 6, 2013 RE: Procedures for Re-Organization Meeting ' I provide you with the following information so that Council action relative to' re-organization (appointments of Mayor and Vice Mayor) will be procedurally correct: ' 1. Pursuant to Sec. 2.06 of the Village Charter, at the March 14, 2013 Village Cou�cil meeting, the Council will appoint one of its members as Mayor and one of its members as Vice Mayor. The term for both appointments is one year. 2. The Mayor presides at all meetings of the Council; executes all instruments �pproved by the Village Council to which the Village is party (certain exceptions apply to this), aiid is recognized by the courts for purposes of military law. The Mayor has no administrative duti�s. 3. The Vice Mayor acts as Mayor during the absence or disability of the Mayor. ' 4. Appointment may either be by nomination or by motion. 5. Any council member may either make a nomination or a motion (the chair must first pass the gavel in order to make either a motion or a nomination). ' 6. If a nomination is made ("I nominate X to serve as Mayor"), a second is neit�er required nor appropriate for the nomination to be on the floor to action. However, the nomin�e would need to accept the nomination. Multiple nominations can be made and accepted. ("I nominate Y to serve as Mayor"), etc. Once all nominations are on the floor, they will be voted on in the order they were made. ("All in favor of X for Mayor, say aye" "All in favor of Y for Mayot, say aye") The nominee that receives the majority of votes will be the Mayor. Each Counci111�ember will cast one vote for one nominee. ' 7. If a motion is made ("I make a motion that X be appointed to serve as Maydr"), a second is required for the motion to be on the floor for action. Only one motion will be on the floor for action at any given time. The motion which receives a second will be voted on prior to any subsequent motions being made. So, if X receives a majority of votes, X will b� Mayor. If not, the motion fails and a subsequent motion or nomination would need to be made. ', As always, feel free to call with any questions. ',
