RESOLUTION NO, 18-13
A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF
TEQUESTA, FLORIDA, AWARDING A CONTRACT TO TLC
DIVERSIFIED, INC., FOR THE NAOCI STORAGE TANK
REPLACEMENT IN THE AMOUNT OF $177,600 AND AUTHORIZING
THE VILLAGE MANAGER TO EXECUTE THE SAME ON BEHALF OF
THE VILLAGE; PROVIDING AN EFFECTIVE DATE; AND FOR ALL
OTHER PURPOSES
WHEREAS, this project was advertised for bid and Arcadis U.S. Inc., the Village's
Engineer's, are recommending that the contract be awarded to TLC Diversified, Inc, ;and
WHEREAS, the Village has budgeted funds in account #401-411-663.671 Misc.
Renewal and Replacement for this project; and
WHEREAS, there is currently $504,140 of budgeted and unencumbered funds available
for this project;
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE
VILLAGE OF TEQUESTA, PALM BEACH COUNTY, FLORIDA, AS FOLLOWS:
Section 1: The Village Council of the Village of Tequesta, Florida, hereby awards
a contract to TLC Diversified, Inc., for the NaOCI Storage Tank Replacement in the
amount of $177,600 and authorizes the Village Manager to execute on behalf of the
Village

On April 19, 2013 we forwarded a letter, attached, requesting
documentation to confirm the low bidder's satisfaction of the stated
qualifications criteria. Their response is attached. Their response, coupled
with the information supplied with the bid appears to confirm satisfaction of
Items 2, 3 and 4 of qualifications requirements. Relative to Item 1 they
offered several comments. The central issue related to whether this bidder
was, in fact, a properly licensed General Contractor for the past 10 years.
Their contention, as generally expressed in their letter, was they had been
since the year 2000, but they could provide no confirmatory documentation
since the IRS only required records retention for 7 years. They also made a
point of noting that the qualifications require the bidder to be in the general
contracting business, as distinct from being a general contractor,
It is unclear to us whether it is possible to legitimately be in the
general contracting business without being a general contractor. In an effort
to resolve (and to address their concern relative to IRS records retention) we
forwarded a letter on April 24, 2013 requesting they provide documentation
that Odyssey Manufacturing Company has been a duly licensed general
contractor for 7 years, together with a statement that they have been a
general contractor for 10 years. Their response, dated April 29, 2013 is
attached and essentially restates the original position and further requests
that the Village waive the requirements if information supplied is determined
to be unacceptable. Our interpretation of the response was that there may
have been inadequate clarity in our requests. As such, we issued a third
letter on May 1, 2013 to directly ask the `general contractor' question. We
also spoke that date with the General Manager of Odyssey Manufacturing
Company to confirm we were properly communicating our request. As of
May 7, 2013 we had received no response. Accordingly on that date we sent
a fourth letter stipulating a response deadline. On May 9, 2103 the response
was received. This response essentially re-stated the previous positions,
requested a requirement waiver (if necessary) and also offered guidance to
us to as to what criteria we should, more appropriately, be considering
relative to our recommendation of award.
At this time we continue to have no documentation to confirm
whether this bidder has been a licensed general contractor for 10 years (or 7
years) except their own assertion to that effect. From a positive perspective
the relevant items related to this bidder are as follows, from our perspective.
1. The low bidder does currently possess a General Contractor
license.
2. The contractor does appear to have significant experience with
similar installations.

3. This contractor appears to have successfully performed work
directly for the plant on different occasions and has a positive
relationship with staff.
4. In accordance with the bid documents we agree that the Village
does have the right to waive the General Contractor
requirement.
5. We have little doubt that the low bidder has the technical
capability and expertise to perform the work.
On the negative side, from our perspective, we recommend the Village
consider and evaluate the following.
1. For reasons we have been unable to determine, this contractor
has made the response to questions related to being a general
contractor extremelv difficult to secure. Even when
accommodation was made relative to 7 years versus 10 years the
responses were not forthright.
2. We are deeply concerned that if simple inquiries (in our opinion)
do not result in forthcoming responses, the administration of the
construction contract and the full compliance with the technical
elements of the plans and specifications may be equally difficult to
secure.
3. A debate can occur as to whether a firm can be in the general
contracting business without being a general contractor. We are
of the opinion that this would not follow a common sense
interpretation and therefore do not believe that it can reasonably
occur.
4. We have not encountered a similar reluctance to directly respond
to similar inquiries from any Contractor and have used similar
criteria for many years.
5. We are aware of one contractor that questioned the 10 year
requirement during the bidding process and declined to bid, at
least in part, because they could not satisfy it.
There is one more item of which the Village needs to be aware in
making an award decision. On May 10, 2013 we visited the plant with the
electrical engineer pursuant to another project. We noted two chemical tanks
being unloaded and placed and inquired accordingly. We were advised that
the tanks were temporary and required due to increased leakage from the

existing tanks. We were unaware of this determination but take no exception
with the conclusion. However, it was also noted the tanks were delivered and
being installed by a crew from the low bidder. We inquired as to cost. It was
reported that the cost is $4,000 but that it would be waived if the low bidder
received the award for the new tanks. This offer was apparently made by the
Odyssey Manufacturing Company General Manager to the plant staff.
Moreover, the provision of temporary tankage acts to alter the construction
sequence set forth in the documents. In essence it could allow the new tanks
to both be installed at the same time, as opposed to sequentially as set forth
in the documents. This in turn would alter pricing for both bidders.
It is our opinion that the offer (which we believe was verbal) to waive
the temporary tankage fee as an enticement to award is, at a minimum,
inappropriate, and as a maximum, much worse.
As a result of the difficulty in securing information relative to the
general contractor requirement and in the interest of time due to the urgency
of this project we requested similar information from the second bidder. Their
response was appropriate and is attached.
In consideration of all of the above we recommend award to the
second low bidder TLC Diversified, Inc. in the amount of their bid
($177,600.00). We further recommend that the Village insist upon paying the
agreed upon temporary tank rental fee to the low bidder. To be clear, the
overriding concern relative to the low bidder is not related to whether we feel
they can perform the work. Rather, it is related to their actions after the bid
and the difficulty of securing suitable confirmatory documentation.

As a follow-up to your letter dai�d April 19, 2013 which we received earlier today, Odyssey offers
the following response to your questions/comments:
• Odyssey has been in the "General Contracting business" installing chemical systems since
2000. Unfortunately, we are only required to maintain IRS records for th ast seven years
and thus have no written records of projects that go back ten years. I member one of the
first sodium hypochlorite tank replacement projects we did was for the City of Marco Island
Utilities (formerly known as Florida Water Services). We replaced nine sodium hypochlorite
tanks in three days at th=ee different locations in the Fall of 2000. Jeff Poteet, current
Utilities Director and State FWPCOA President, was the WWTP Chief Operator then and
would remember this work. He can be reached at 239-389-5181 or e-mail
jpoteet@marcoislandutilities.com. Another series of projects from this period that I
remember was with Tampa Bay Water. We installed a pilot sodium hypochlorite system at
their main Cypress Creek Water Treatment facility in late 2001. In 2002, we installed a
temporary/permanent sodium hypochlorite system at their 70 MGD surface water plant. In
2004, we installed a temporary sodium hypochlorite system ofi the transmission line feeding
the Pinellas County Keller Road WTP to do a month-long chforine burnout. We have done
numerous other projects since then but these all show sodium hypochlorite system "general
contracting business" for at least ten years. Glenn Yaney, former State AWWA President,
was the General Manager of Tampa Bay Water at the time of these projects and can confirm

As a follow-up to your letter dated April 25, 2013 which we received this past Friday, Odyssey offers
the following response to your request for additional information. As you know, the Specification
requires the bidder to be in the "General Contracting business under the present name of the
organization for a minimum of the previous ten (10) years." Your recent letter inquires whether
Odyssey has been a"duly licensed General Contractor in the State of Florida for the past ten years."
As I indicated to you previously, we do not keep business records past seven (7) years nor are we
legally required to do so. In our previous correspondence to you dated April 24, 2012, we provided
documentation that we have been in the "General Contracting Business" installing sodium
hypochlorite tanks (which is the scope of work here) going back at least ten years which is what the
Specification requested:

Further, we have provided with our initial bid written documentation showing we have both a
General Contractor's license and a plumbing contractor's license. We have also provided
documentation that we have installed over ninety sodium hypochlorite tanks in the past five years
around the State of Florida. The actual number is over five hundred tanks if we were to take the
effort to document each one.
In light af our extensive experience installing sodium hypochlorite tanks (which is the scope of work
here), the fact we currently do all of the chemical system maintenance work for the Village of
Tequesta and have been doing so for over five years, and finally we "arguably" meet all of the
Bidder requirements outlined in the Specification, we requ�st you approve us as the low bidder for
the subject bid. If you are unwilling to do so because you feel that we are unable to document to
your satisfaction the requirement to "be in the general contracting business ... for the past ten
years", we would simply request that the Village of Tequesta waive this requirement. The
Spe�ification states that: "At the Owner's sole discretion, portions, or all, of the above criteria may
be waived."

As a follow-up to your letter dated May 1, 2013 which I received this past Monday, Odyssey offers
the following response to your request for additional information. As you know, the Specification
requires the bidder to be in the "General Contracting business under the present name of the
organization for a minimum of the previous ten (10) years." Your recent letter inquires: "What
year/month did Odyssey Manufacturing Company become a licensed general contractor in the State
of Florida?" Additionally, you requested documentation to support the response to this question.
As I indicated to you previously on the phone, we became a contractor eligible to work at a water
and wastewater plants approximately ten years ago based on the hire date of my qualifying
employee. We do not have any documentation to support this claim, however. As I indicated to
you previously, we do not keep business records past seven (7) years nor are we legally required to
do so. I was unable to find any business records relating to your request. Additionally, I was
unable to locate any relevant documentation with respect to our licenses other than a copy of our
current license.
In our previous correspondence to you dated April 24, 2012, we provided documentation that we
have been in the "General Contracting Business" installing sodium hypochlorite tanks (which is the
scope of work here) going back at least ten y�ars which is what the Specification requested:
"I remember one of the first sodium hypochlorite tank replacement projeets we did was for the City
of Marco Island Utilities (formerly known as Florida Water Services). We replaced nine sodium
hypochlorite tanks in three days at three different locations in the Fall of 2000. Jeff Poteet, current
Utilities Director and State FWPCOA President, was the WWTP Chief Operator then and would
remember this work. He can be reached at 239-389-5181 or e-mail
jpoteet@marcoislandutilities.com. Another series of projects from this period that I remember was
with Tampa Bay Water. We installed a pilot sodium hypochlorite system at their main Cypress Creek
Water Treatment facility in late 2001. In 2002, we installed a temporary/permanent sodium
hypochlorite system at their 70 MGD surfaee water plant. In 2004, we installed a temporary sodium

hypochlorite system on the transmission line feeding the Pinellas County Keller Road WTP to do a
month-long chlorine burnout. We have done numerous other projects since then but these all show
sodium hypochlorite system "general contracting business" for at least ten years. Glenn Yaney,
former State AWWA President, was the General Manager of Tampa Bay Water at the time of these

Further, we have provided with our initial bid written documentation showing we have both a
"current" General Contractor's license and a plumbing contractor's license. We have also provided
documentation that we have installed over ninety sodium hypochlorite tanks in the past five years
around the State of Florida. The actual number is over five hundred tanks if we were to take the
effort to document each one.
In light of our extensive experience installing sodium hypochlorite tanks (which is the scope of work
here), the fact we currently do all of the chemical system maintenance work for the Village of
Tequesta and have been doing so for ove.r five years, and finally we "arguably" meet all of the
Bidder requirements outlined in the Specification, we request you approve us as the low bidder for
the subject bid. If you are still unwilling to do so because you feel that we are unable to document
to your satisfaction the requirement to "be in the general contracting business ... for the past ten
years", we would simply request that the Village of Tequesta waive this requirement. The
Specification states that: "At the Owner's sole discretion, portions, or all, of the above criteria may
be waived." This requirement to be in the "general contracting business ...... for at least ten
years" is a unique requirement to this bid only and I have never seen it in any other bid documents
in the past ten years , certainly not for a relatively simple maintenance project such as this one. The
major litmus test you should be considering is whether Odyssey has the requisite experience to
change out two sodium hypochlorite tanks. Since we have successfully changed out more sodium
hypochlorite tanks than all of the contractors in the State of Florida combined in the past ten years
we feel this should suffice. Odyssey is widely acknowledged in the State of Florida as the chemical
system experts and is considered so by the Village of Tequesta as evidenced by the fact we have
done all of their chemical system service work.
