SEC1'�O1V 3. 1'E1t1VIINATIOTOT �]'D SEVEAA�G� PAY In the event Employee is temiinat�d by the V'illla,ge Council before expirat�on ofthe aforesaid term of employment and during such time that Employee is willing and able to perform the duh�s of V'illage 1Vi�.nager, then and in that e�ent the V'�llage agrees to pay E�ployee a lump sum cash payment equal to six (6) rnonths ag�regate salary ("Severance PaymeYrt"), and sh�l c�rn�ue Employee's other benefit� (insurance coverage as set forth in Section 8, until Employee is re-employed and covered by another health insurance pvlicy) provided h�reunder for thie six-month period ° unanediately follo�ng termination. In the eve�nt Employee is re-employed durin� the six-month period i�nanediately . follo�ving teamina�oai, the V'illage's obligation to continue benefits shall ce�..se. Re�ployrnent, however, will not affect Einployee's entrtlernent to t1�e Severance Payment. In the event, however, that Employee is terminated for rea.sons Yelating to moral turpitude, rnalfea.sance or der�liction of duty, then, in tha.t event, the V'�llage shall have no obligation to make the 3everance Pa.yment or continue benefits s�bsequent to termination, except as ma.y be req�ireci by law. The Severance Payment, v�.ca.�ion, sick leave a,�d other accruued benefits referenced in t�ris agr�nent shall serve as liquidated dama.ges and sl�all sea�ve in the place and stea.d of any cla�n Employee may have agaanst the �lilla.ge, its officers or representatives, direc#1y or ind.irectly relating to his tetminarion. All subseqdaent pxov�sions for ar�ual evalua.t�on �rrith pay �crease, if anny, shall be d�ermaYaed by �he V'illage Cou.ncil. Employee shall be en�tled to rec�ive � across-the-board �cre� �ra�ted to other �ployees of the V'allage a�ad his �aaal b�.se sal�y shall be adjusted accordiugly. An a.�ua1 perfort��c� ewalua�on of Employee by the Yallage Council 'as e�couraged for the beaiefit of the Villa�e and Era�plog�ee a,nd pay in�reases, af a.�y, other t�i�.n acr�ss the board iaacr�a,s�.s gra�ted t� other employees as sp�if ed %re�, shall be #ied to �he p�f'ormance evalu�ion. Except as spec°�fxcally prov�ded for in tlus section, the granting of salary increases b�sed on Eanplmyee's perforn��c� ev�.luation is geft exelusively to the tliscreti�n of the V'illage Counc�l. �omus. SECT�'IION 5. i�ACATIOIeT Employee shalfl accurnul�te four (4� weeks of vaca,t�on aainually on Oct�ber° 1 of �.ch fi.scal yea� beginning a,nd r�ttroactive to Oetob�r 1, 2�01. Any lea,ve �aken by Employee in �cess of eigh.ty (80) consecutive ho�rs shall r�quire pri�r appr�val of the �'all�ge Councgl. SEC'1'ION 6. A�J'POlO�O�Iii..� Becaus� employmen� requires �enty-four (24) hotv ada.illability of �. vehicle, �he V'iltage s1�a11 provide an aixtomob�le allowance to Employee ui the amount af $500.00 per month for u�e of the Employee°s personal wehicle. 'I'his figure a��y be reviewed by the V'iliage Council periodi�ally �d adjusted accord�g to the B�ea.0 of Labor Sta.tistics, 5outheast ltegional Offic�, Cons�aaner Pric� �dex. I�x a.ddition to th� above, the Employee sha11 be corrgp�sa.ted at the s�tat�daxd rate approved by th� VilYage Counccdll for offict�1 ve�acl� usage f�r einployer related trgps required of th� V'�lage 3 Agreement betw�eeen Village of Teqnest� and Michael It. Covzzo, Jr. Manager outside Palm Bea.ch/Mattin Co�ty areas, Said mile�ge shall be computed fr�m the mutennost limits of the Palm Bea,ch/Ma,rtin County areas to the final destination point. SEC��1eT 7. PIZOFESSIONAI. DE�L�PIVIEN'I' The V'�llage �rees to provide �mployee the usual and necessary func�ng appli�able £ortra.eel and subsistence necessary for the Employee's professional development and for th� good of the �illage. The V'illage agrees to pay the members�p dues of the International City 1Vlanagers �ssociation, the Florida County and C�ty Managers t�ssociation, and t�ae Pa1m Bea.ch County City 1Vlana.gers Association. V'illage specifically agrees to budget and to pay for the t�avel and subsistence relating to conferences relatin� to �unicipal goverau�aent management tbat �vould be in the bes� intea of the Employee and the Village, pursuant to the applicable travel policies of t.�ie V'illage, if any. Abs�art arfly V'illage travel policy relatave to saa�e, such tra�el aJnd subsister�ce sha1l be xeaso�able as determined by the iTillage. SECTION �. IIITSURAlV� The 'Village agrees to provide hospitalization, Iife, major medical and other rel�.ted °ansurasace for Employee and make avaalabpe such coverage for his dependents �nnd to pay the preinivans thereon in a manner comparab�e to that whach is provided for all �tt�� Village e�ployees. SECTION 9. INDENd1�TII'ICATI011T The Villa,ge sha11 defend, save har�ess and indemnify Employee agaimst any tort, professional liability claim or demand, or other legal action, whether groundless or otherv�nse, arising out of an alleged act or omission occuzring in the perforina,�ce of Employee's duties as V'��ge Nianager as provided by Charter and the Yillage Code of Ordinances and in connection with which Employ� was acting within the scope of his duties as �'illage Manager. The �I'illage Councal reserves the right to select legal coua�sel and control the conduct of lihgation or other adversarial proceedings for which indemnification is provided hereunder, includ°uig s�ng the terms of any settlement of such cla�ms indemnified hereunder, In the event tha.t during the defense or subsequetrt to the conclusion of �ny tort, professional liability or other claim asserted against Emplag�ee or arising from Eanployee's employment with the Village a court of competent jurisdicri�n oa� other fact-finder detea�ani�es tha� Employee's canduct wa� fra�adulent, c�a1 or intentionally tortious, Employee �rees to xeianburse the 5J'�llage for the costs of any defense pro�ided hereund�r. 4 Agreernent bet�veeai Va11�ge of Teque� and Michae� R. JO� REI.t�lT'ED E7�?PEIoTSES The V`a�lage reco�uazes that certain expenses of a non-pers�nal �adlob related na�r�, �uch as �se ofEanployee°s pers�n�..l cell�laa� phone, long dista.nce calls and faxes from hoan�, c�n-line comp�ater t�� for coar�puter I�cated at hc�me, s�f�ava,re, at�enda�c� at local government m��ags, job re�ated publications, m�s, e�c. are necessaa°ily incu� bg� the Er�aplc�ye� � accordance with l�is employyia�ent as Vill�.ge 1l�danager. Therefore, Employee shall receive a g�neral expense allowance of $800.00 p�r month, payable on the first day of each �noa�th, during h�s team of emplayment to cover th�e �nnd simillar expenses. Ernployee shall not be entrtled to reimburs�me�t For any expenses incurred ov�r and above �he $200.00 �1lavved as � expense allow�ce, Entitlement to t�us gen�ral expense allow�.nce sha11 cea.se upon Employee's resignation or ternunation. SEC`i'T�leT 110 ZtETII?,�1V�l�TT T'h� �'�Itage a.grees to �xecut� �l necessary agreements prs�vided by the IYater�aational City Mana�em�rrt Assocnatson-l�etir�nent Coapora�ion (ICMA-IZC) for Employee's cvntt�ued participattan in said ICMA RC Retirement plan. In addrtion to the base salary and other beriefits paad by the V'illage to Employee as described in Section 3 of tlus Agreem�t, the V'illage a�rees to pa,y an amount equal to six percent (6%) ofEmployee°s annual base salary into t�ie ICIVIA RC on Empl�yee's behalf, � equ� prop�rtionate amowrts ea.ch pay period asid to transfer owmership to Eanployee upon Employee's resi�na.tion or d.ischarge. SECTIOleT 13. COI�TFLICTS OF IN3'EREST Employee shall not, withou$ the express prior written approeal of the V'�llage Cotati��, individu�.11y, or as a. pa�tner, joint ve�aturer, o#$�eer, shaxeholder or any �ther similar positaon of any kgnd or nature whatsoever, in,vest or participate in any busaness veaa�re vvluch conducts or int�nnds to conduct business within the corporate limits of the V'lllage, except foa° s�ock ownership ira �ny coam.pany, th� capit� sto�k of �vhich fls publicly held and regularly tra.dled. Except for purc�e of a personal residence, �mployee shall not owaa oa� anvest in any real properiy vFrithan the corg�orate limits �f the V'illage, without prior not%ficat��n ta and advance written �,ppr�val by the V'a�la�e Council, wlu.ch �.pproval ma,y be withheld by the �'illage Council iaa its sole discretion. Lmployee is prec�udeci from enga�ag in any conduct whach creates either an actual or perce�ved cc�nflic�t of �aaterest under applicable federal, state or lo�al law. S�C�ON 14. lY�CELLAle1E0iJS PROVYSIONS 1'his agr�nent constitutes the emire understaxading betwe�x the pari�es regardin� i��aes relating to Employe�'s e�gloyffient with the V'�llage, �.nd supersedes any pri�r agreement or understa�ading, whether ve� or wri�tten, which rnay have existed between the parties. 'This t�greement may not be am�nded except in vvrlt�g and with the express approval of both parties. In the eveffit it should become necessary for either pa�y to init�ate adv�rrsarial proc��d�ags t� enforce the terms of ibis agr�e�t, �he �revailan� party shall be e�titled to recover its reasonable attoaney's fees incurred in such efforts. Venue for a,ny such proc�ding shall be in a�ozu�t of competent jt�rrisd°action in P�.lm Bea.ch County.
