W I T N E 8 8 E T H: WHEREAS, Seller desires to sell and Buyer desires to purchase the property described in Exhibit "A" attached hereto and made a part hereof; (the "Property") and WHEREAS, in consideration of the above conveyance, Buyer has agreed to pay any past due real property taxes that may be owing on the Property. NOW, THEREFORE, in consideration af the above and in consideration of Ten Dollars ($10.00), the adequacy and receipt of which are hereby acknowledged, the parties hereto agree as follows: 1. As part of the consideration for the purchase of the Property described in Exhibit "A" attached hereto and made a part hereof, Buyer agrees to pay any real property taxes that may be due on the property and agrees to indemnify Seller from and against any and all liability that Seller may incur if and when it is determined that real property taxes are owed or are delinquent on the Property. WITNESSETH: WHEREAB, Lessor did enter into that certain Lease Agreement dated May 24, 1977 (the "Lease"); and WHEREAS, Lessor, pursuant to that certain Quit Claim Deed of even date herewith, conveyed all of its interest and title inta that certain property described in Exhibit "A" attached hereto (the "Property"); and WHEREAS, the Property is subject to the Lease between the parties and pursuant to the above referenced conveyance of the Property, the parties desire to terminate the Lease. NOW TBEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the adequacy and receipt of which is hereby acknowledged, the parties agree hereto - as follows: 1.
