1. BACKGROUND
The Engineer understands that this portion of the work shall cover the design, permitting,
bidding assistance and construction administration/observation for a gravity sewer system
for the Colony. The system shall generally follow the conceptual design developed within
the November 2013 Preliminary Engineering Report, Option 3. This option consists of 8-
inch gravity sewer, with a 10-inch gravity sewer along Colony road, sewer services for
each lot, a single lift station with on-site generator and a 6-inch force main from the

locations for dewatering purposes. (Note that the exfiltration trenches will be
strategically placed where possible for use in the drainage system).

e. Construct monitoring wells on-site to monitor water levels during the dewatering
operations per regulatory requirements. The wells are to be abandoned upon
completion of the project.

place.

The Engineer understands that this portion of the work shall cover the design, permitting,
bidding assistance and construction administration/observation for improvements to the
Colony's existing stormwater system, including new stormwater upgrades, catch basins
and exfiltration trenches as a part of the proposed valley gutters. The Engineer shall
calculate the stormwater requirements using two (2) storm events for the Colony's
consideration in determining the level of service for the Colony. The Engineer also

THiS Interlocal Agreement, (hereinafter "Agreement"), is made as of #he ���� °`�� 4/
(date) by and annong Jupiter Inlet Colony, a political subdivision of the State of Plorida, (hereinafter
"TOVI�N"), the Loxahatchee River Environrnental Control District, a special district independent
governmental entif}� exisiing under the laws of Florida, (hereinafter "DISTRICT"), and the Village of
Tequesta a poli#ical subdivision of the State of Florida, {hereinafter "VILLAGE"), each one
constituting a public agency defined in Part I of Chapter l 63, Florida Statutes.
WHEREAS, the Loxahatchee River is a Federally designated wild and scenic River protected by
Federal law, State law, and local law.
WHEREAS, the Jupiter Tnlet Colony is a municipal corporation exis#ing under the laws of the State
of Florida.
WHEREAS, the L.oxahatchee River Environmental Control DisMc# is a multicounty, independent
special district of the State of Florida created by chapter 71-$22, Laws of Florida, with a general
objective of preserving and protecting environmental health and public health throughout the
Laxahatchee River watershed.
WHEREAS, the Village of Tequesta is the provider of potable water to the Town.
WHEREAS, neighborl�ood sewering is an important component of the comprehensive approach
needed to address river water quality, ground water quality, and the health of the community and
natural resources in the Lflxahatchee River Watershed.
NO'VV, THEREFC?RE, in consideration of the mutual covenants, promises, and representations
contained herein, the parties agee as follows:
Section 1. Recitals
The ab�ve recitals are true and conec# and are incorporated herein.
Section 2. Praject ar�d Work to be Completed by the DISTR.ICT:
DISTRICT shall provide design, permitting, construction and administrative services to the Jupiter
lnlet Colony Neig�borhood Rehabilitaxion Proj+ect ("PROJECT"), whieh will include (a) construction
of a gravity sewer system including one on-site lift station, {b) replacemen# of the existing potable
i�+ater sys#em, (c) rehabilitation of and improvements to the existing stor�nwater system, and (d) raa�i

restora�ion. The PROJECT will be more specifically described in a forthcoming set of Bid
Do+cuments.
Section 3. Project Scone:
A. GRAVITY SEVVER SY5TEM. 7'he parties agree that Jupiter Inlet Colany shall have a gavity
sewer s�stem constructed to serve the community, alti�ough a low pressure sewer system will be used
to serve the Jupiter inlet Beach Club. Initially, sewer system costs, including all expenses necessary
or incident to cnrr�pletian of the sewer systern installation (e.g., engineering design, permitting,
eng�neering services during construc#ion, cflnstruction, tssting, and specifically including
restoration), will be borne by the I.oxahatchee River District. LJltimately, 90% Qft�ese costs will be
recovered via a special assessment paid by affected properiy owners or Jupiter Inlet Colony (see
Section 5 below).
B. POTABLE WATER SYSTEM. The parties agee that the Village of Tequesta wili replace
existing potable water mains in Jupiter Inlet Colony as part af the sewering project. 7fie cost of
repIacing th� potable water infrastructure, incl uding all expenses ner,essary or incident to cc3mpletion
af the potable water rehabilitation (e.g., engineering design, permitting, engineering services during
ct�nstruction, construction, testing, and specifically not including restoration), will be borne by the
Village of Tequesta.
C. STORMWATER SYSTEM. The parties agree that Jupiter Inlet Coiany wi]l improve the existing
stormwater system in Jupiter Inlet Colony as part of the sewering project. The cost of improving the
stormwater infrasixucture, including all expenses necessary or incident to completion of the
stozmwater system improvernents (e.g., engineering design, permitting, engineering services during
con�truction, cflnstruction, testing, and specificalty not including restoration), will be borne by
Jttpiter Inlet Colony. However, the parties acknowledge that an exfiltration trench shall be
constructed for disposal af dewatering of the si#e for sewer systam consmuction, in accordance with
the engineering documents and financial terms otherwise set farth in this agreement, and that the
exfiltration trench will be left in piace to provid� future �torm water drainage for the Town.
D. ROAD IMPROVEMENTS. The parties agree that the existing road wiil be restored to a uniform
20 foot width as part of the restaration activities listed in Sectian 3A.
Sectian 4. Responsibilities and Duties:
A. DISTRICT shall execute a single Engineering Services C-�ntract vv�ith ARCADIS LI.S., Inc. The
scope of this contract shall be mutually agreeable to the Disirict, Town, and Village, and shall
encompass the full Project scc►pe. TtjWN and VILLAGE will use their best efforts to provide �vzitten
approval of, or suggesled revisions to, the Engineering Servic�es Contract within thiriy (3U) days of
receipt of ail requireci docwnents. Approval shall not be unreasonabiy withheld. The Engineering
Services Contract shail include Plans and Contra�et Docurnents for the Projeet construction andlor
rehabilitation of gravity sewer, pot.able water, sto�nwater, and road wt�rk, and shall specify c�sts for
District, Town, and Village. The Engineering Services Contract shail rernain below GGNA

thresholds for continuing contracts.
B. DISTRICT shall produce Bid Documents based upon the Plans and Contract Dc�cuments from the
Engine�ering Services Contract, which shall encornpass the full project scc�pe. The DISTRiCT's
standard `front end' bid documents have been reviewed and approved by TOWN �nd VILLAGE, and
are attached as Exhibit A,
C. DISTI�ICT shall execute a single Construction Cantract with the lowest resporisive, responsible
bidder pursuant to the District's F'rocurement Policy. Th� Construction Cfln#ract shall provide
liquidated damages for late completion.
D. DISTRICT shall administer, cc�nstruct, and inspect the P'roje�t in accc�rdar�ce wit� the Bid
Documents.
E. Costs shall be based upon actual contract costs using con#�act unit prices, actual constructed
quantities, antUor equitable pro rata distribution c�f su�ch costs (e.g,, for general conditions,
mobilization, rnaintenance of#raffic, etc). Equitable pro rata distribution shall inean 50% Distric�;
3S°lo Village; ] S'% Town unless otherwise agreed to in writing. Quantities wi11 be measured by the
DISTRICT with concurrence by the TOWN and/or'VILLA+�E.
F. TOWN shall reimburse DIS7CRICT any costs attri�utable to the stormwater �ystem improvements
in accordanee with Sections 4E and 6. VILLA�E shall reimburse DISTRICT any costs attributable
to potable water rehabilitation in a�ecordance with Sections 4E and 6.
G. DISTRICT sha11 require #he contractor to provide a Public Construction Bond in an amoun# equal
to 110% flf the contractor's bid fc�r the Proj+ect and the 'Work.
H. DISTRICT s�iall obtain written approval from the TO�JVl�I and/or VILLAGE in advan+ce of any
change orders that increase #he +cost attributable to the TOWI�1's and/or VILLAGE°s Work to an
�tI14Ullt gI'�c1te1' t11323 S�J�CI�']� in the contracted amaun#. Approva] shall not be unreasonably
wi#hheld. The TOWN and/or �ILLAGE sha11 be responsible fr�r change order costs including any
costs associated with the TOWN'S andlor VILLAGE'S failure to approve change orders in a timely
manner.
I. TUWN and �ILLAGE shall make provision for independent inspection Qf all work related to their
infrastructure prior to Engineer's Certification of Completion, if such inspection is desired by
TOWN or VILi,AGE.
J. Upon receip# of Engineer's Certification of Carapletion,
l) DISTRICT shall cornmence the one { 1) year 1vlaintenance Bond period;
2) DISTRICT shall issue a Bill of Sale for potab3e water system, and VILLAGE shail accept
c�wnership and operation of potable water systenn;

3) DISTRICT issues Bill of Sale for stormvvater system and TtJVU�N shall accept awnership and
operation of stormwater s�stenn;
4) D1STRi�T shall accept ownership and operarion of wastewater system; and
5) DISTRICT will retain responsibility to repair potable wat+e�, stormwater, and wastewater
system defects due tn rnateri.als or workmanship throughout the one {l ) year Maintenance
Bond period.
J. DISTRICT shall require the contractor to provide a Maintenance Bond in the amount eyual to
St�°10 o#' the contrac# pri�e guaranteeing the repair of all darnages due to iinpraper materials or
workrnanship for a period of one (1) year after th�e acceptance of the Work by the District.
K. At the end of the one (1 j year Maintenance Bond period all responsibility for repair and
maintenance sha11 autornatic�lly be transferred to systern owner.
Section 5. Planning and Impiementation
A. The TOWN's approval of this Agreement shall canstitute final approval of extension of the
sewer system wit�.in the corporate limits of Jupiter Inlet C�lony, meeting ti�e requirements of Jupiter
Inl�et Colony �Code of Ordinances and applicable n�les and regulations of TOWN. This final approval
is for the sewer lines and appurtenanc�s in the public highways.
B. TUWN agrees to mfldify their cflmprehensive plan to allow sewers consistent with this
agreement.
C. DISTRiCT will submit plans and meet inforrnally with TO'V�I� Building Depariment staff an
construction plans and reply to reasonable requests. TOWN will issue the permit(s).
D. Based upon the Preliminary Engineering R�port dat�l November 2013, and specifically sheet
D3, TOWN approves the placement of one (1) lift station within TOWAT's Parcel C(Como Parkj,
and DIST'R.ICT agrees to include a backup generator and real time cornmunication system in the lift
station design. DISTRICT will seek to use alterriative comrnunications technology (e.g., telepbone,
wifi) to minimize aesthetic impa�ts to neighboring properties.
E, N�o special exception public hearing or site plan review will be needed for the sewer systerr► in
Jupiter Inlet Colony.
F. TOV4'N and VILLt1GE will employ their best faith efforts, in ct�njunction with DISTRICT's
effart, to avoid unusually restrictive and unnecessarily expensive penmit conditians (e.g., dewatering
perxnit).
G. TOV�? will aid in securing the cooperation of the Beach Club and owners of vacant parcels

within TOWN so that during #he cc�nstruction Project the c�ntractor rnay use a portion of these areas
for storage of equipment and �naterials.
H. TOWP�T grants DI�TRICT permission ta u�e TOWN Stormwater Utility infrastructure, including
drainage inlets and lines to facilitate dewatering during construction, which use may be limited by
t1�e Tt�WN if the dewatering would overload Stormwater LTtility infrastrucfure during severe storr�
and weather c�nditipns. DISTRICT sha.11 obtain a11 applicable permits necessary to utilize the
Town's storm�afer infrastructure fflr dewatering activities and shall be responsible for any
environmental damages caused by the use of the Town's stormwater infrastructure far deu;atering
activities.
I. DISTRICT wi11 require all cc>ntract�rs to conduct their work in a�cordance with the District's
Construction Standards and Technical Specifications provided such specifications ars not in conflict
with this Agreement. For work on the gotable water systern, contractars will be required tv conduct
w�rk in accordance with the �ILLAGE's Coxistruction Standaa provided such specifications are
not in c+�nfli�t with this Agreement. For w4rk on the stomnwater system, contractors will be required
to conduct wc►rk in accordance with the TOWN's' Construction Standards provided such
specifications are not in conflict with this Agr�ent.
J. DISTRICT will provide c+onstruction inforrnation materials to homec,wners prior to start of
construction. This wiil include details of construction, homeowner, cantractor and DISTRICT
responsibili#ies and liabilities, arid a prc�jected tirnetable for construction.
K. DISTitICT will hold a precc�nstruction r�neeting and periodic progress rn�etings as may be
needed.
L. DISTRI�T uvil] provide property owners with the choice of the loc,ation af their r.�nnection point.
1�'I. Cnnstructi4n wil] be permitted within the TOWN Monday through �aturday, 8:00 A.M. to 6:�10
P.M. Construcfiion is not permitted on Sunday Qr legai holidays unless appr�ved in writing �y the
TOVVI�1. Dewatering will be perrnitteti to occur 24 hours per day 7 days per week.
N. DISTRICT will make all reason�ble efforts to begin construction in April, 2{115.
O. DISTR,.ICT's laboratory staff will conduct devwatering #urbidity monitoring during non-holiday
weekdays to rninimize costs.
P. DISTRICT will have the Contractor restore drives, mailboxes, sod, sprinkler systems, and other
irnprovements that are damaged during construction. However, the DISTRICT will not be
responsible to replace personal items or specimen landscape rnaterials in the right-of-way. TOWN
shall b�e responsible #o restc�re drives outside vf th�e right-of-way for all reasons other than contractor
negligenee.
t2. T0�7JN grants DISTRI�T the Permanent Easem�ent(sJ and Tempor Constru�#ion E�ssement(s),

the legal descriptions of which are in Exhibit B attached hereto and mad�e a�art hereof. The TOWN
shall provide the fu11y signed Permanent Easement�sj and Temporary Construction Easement(s) in
recordable farm to the DISTRICT within thirty {30) days of the signing of this Agreemer�t.
Se�ction 6. Payments/Invoicin�; and Iteimbursement
The DISTRICT will invoice the TOWN andJor VILLAGE on a periodic basis during construction of
the Project, The TO"VVN and VILLA�GE agee to provide to DISTRICT reimbursement funding for
docurnented costs for the Project pursuant to cflst respc�nsibilities established in Sect�on 3. Upon
DISTRICT'S submission of acceptable documents needed to substantiate their cosis for the Project,
TOWI andlor VILLAGE will use #:heir best efforts to pravide said funds to DI�TRICT on a
reimbursement basis within thiriy (30) days of receipt qf all required documents. DISTRICT shall
submit all invoices to the TOWN and/or VILLAGE identifying the vvork cornpletetl, including
DISTRICT'S total expendature for the Project, and identifying t.he amount att�ibutable to the work
completed based upon the executed Construcfiion Contract. DISTRICT' shall supply any further
docum�ntation such as copies of paid receipts, canceled checks, invoices and other document�
deemed necessary by the TOWi`T and/or VILLAGE within fourtcen (l 4) calendar days of reyuest by
the TOWN andJor VILLAGE. Invoices received from DISTRICT will be reviewed and approved by
the T4VVI� and/or VILLAGE to insure that expenditures have been madc in confornvty with this
Agreement. Invoices will normally be paid within thirty (30) days following approval.
The Project will be administered by the DISTRICT. Only those casts incun by the DISTRICT
relating to the Prt�ject are eligible for reimbursement by th� T4'VV�I�T and/or VILLAGE pursuant to the
terms and conditions herec,f. In the event the DISTRICT ceases ar suspends the Project for any
reason, the TOWN andlor VILLAGE will reimburse the DISTRICT for the work cornpleted far the
Project; provided, DISTRICT shall cease or suspend the Projec# only in the everit of an act of Gad or
s�ome other unforeseen or catastrophic event.
Section 7. Sewer Assessrnent:
A. DISTRi�T will pay ten percent (10°la) of the total cost of construction, recQnstructior�,
restoratian, labor, materials, acquisition of property rights, surveys, design, engineering and legal
fees, administrative expenses, and a11 other expenses nec�essary or incidental to completion of gravity
sewer installation, ineluding reconstruction and restoration c�f the TOWN'S road and eaisting
swales. The rernaining ninety percent {90%) will be the "Assessrnent" to the properey owners in the
Town in accordance with District Rule 31-11.
B. if the DISTRICT finances the Assessrnent, the combined assessment may be financed over 20
years at a rate not tt� exceed 6.87�%. There will be no pre-payment penalty a.nd no du�-on-sale
clause. T'he Assessmen# will be �n the n�n ad valorem tax bill. However, TOZ�VN may pay offthe
Assessment in full prior ta DISTRiCT cerkif�ing the Assessment to the County T� Colle+ctor.
TOWN in �their sole di�cretion will deternaine Assessment finanee terms for the affected properties.

C. The DISTF.ICT wiil provide a one-t�me credit in the arnount of $54,000.00 towards the
asse�sment amount, at the time the DISTRICT Governing Board ct�nfirms the final Special
Assessment Rull, in consideration of this Interloeal Agreement.
Section 8. Cr�its. Grants, and Fees:
A. Credits
1) DISTRICT will provide a$504 subsidy of the Regional Ct�nnection Charge for all properties
with a building or structure having a certificate of occupancy prior to 1 April 19$1. If
necessary, DI�TRICT will financ+e the remaining bal�nce of the Regional Connecfiifln Charge
fQr individual properties, for t�p to 3 years at �.0% i�nterest.
2) DISTRI�CT witl provide fre� inspections of onsite sewer connections and will waive the
septic dispc►sal fee at the DISTRICT far final pumping of sep#ic tanks during the one year
connection period.
3) TO�N will waive the collection of anypermit or license fee as established by the T'OWN's
Code of CJrdinances in connection with sewer system construction, as TOWI�T's cc�ntribution
to reduce the Assessment costs to af�'ected property owners.
4j DI�TRiCT wi11 deliver, wi#hout charging a delivery fee, the low pressure purn�ing unif and
appurtena�ces necessary to serve the Beach Ciub.
B. DISTRICT has submitted a grant prvpasal, in the amount of $600,000, to the Loxahatchee River
Preservation Tnitiative for neighborhood sewering of TOWN. If funded, grant proceeds will be
evenly divided am�,ng assessed properties, and applied to the +cc»nnection fee during the one year
connection period. If not funded, the lack af funding wil] have nv effect on th� status of #his
agreement.
C. All residential TOWN sewer customers will pay the same quarterly rate fihat DTSTTZICT c�arges
all other sewer c�stomers as established in DISTRICT Rule 31-10.
Section 9. Connection to Sewer:
A. Properly owners wi11 have 12 months to connect to the sewer system after the system has been
declared available by the Heal#h Department, in accordance with Florida Statutes.
Section 1 a. Definitions

"Rehabilitation" is defined as the prflcess of returning an asset (�e.g,, pipe, valve) to a state ofutility,
through repair or alteration, so that the asset is suitable for contemporary use. For example, a
segrnent of stormwater pipe was rehabilitated using a cured in place iiner.

Section 1 l. Access and Audits:
T{�WN, VTLLAGE and DIS'I'RICT shall maintain books, records, �nd documents fo justify a11
charges, expenses and costs incurred under this Agreernent an+d in perfornai�g the Proj+e�t, in
accordance with Generally Accepted Ac+counting Principles (G�AP), as pronnulgafisd by trie
Gt�vernrnent Finance Offic�ers Assaciation from tirne to time. The TOV�N, VIL,LAGE and
DISTRICT shall have acces� to all books, records, and documents as requiret� in this Agree�nent, and
for at least tlu�ee (3) years after c+ompletion of the �'roject. In the event any work is subcontracted by
TC)WN andlor V'ILLAGE, TflWN and/or VILLAGE shall similarly requir� each Contractor and
subcr�ntractor to main#ain and allow access tt� such records for audit pwposes.
5ection �2. Independent Contractor.
TO��'N, ViLLAGE and the DISTRICT are and shalX be, in the Performance ofall work, s�rvic�s azad
activities under this Agreement, Independent Contract�rs and nat emplayees, agents or servants of
the other party. All TOWN andlor VILLAGE employees engaged in the work or services performed
pursuant to this �1lgreement shall at a1l times, and in all places, be subject to TOWN andlor
ti'ILLAGE sole direction, s�pervision, and control. All DISTRICT ernployees engaged in the yvork or
services performed pursuant to this Agreement shall at a11 times, and in a�l pla+ces, be subject to
DISTRiCT's sole direction, supervision, and control. The Parties shall exercise control over the
rneans and manner in which it and its employees perform the work, and in all r+espects the �arties
relationship and the relatianship of its employees to the other party shall be tha# of an Independent
Contractor and not as employees or agents of the other,
The relationship between the parties, and their duties to eac� other, are as set forth in this 1�greement.
1�10 party has the power or authoa7ity to bin� any other party to any promise or representation, except
as s�t forth in this Agreeinent, as executed or arnen+ded.
Section 13. Personnel:
DISTRICT has, or will secur�e at its own expense, all necessary personnel required to p�rform the
services under this Agreement. Such personnel shall nc�# be employees of or have any contractual
relationship with the TOWN and/or VILLAGE. All af the services required herein under shall be
perfflrm+�l b� DISTRICT nr its contractor, and personnei engaged in perfomung the services shall be
fully qualified and, if rer�uired, authorized or permitted under sta#e and local iaw to perform such
services. All of DISTR.ICT'S personnel, Contractois and all s�bcantractars while t�n DISTR�CT
premises will conduct themselves in an acceptable manner and follow acceptable safety and security
procedures..
Section 14. Furthex Litigation and Legal Challen�es
The parties to the Agreement a,gree to dismiss pending litigation and not inifiate new'legal challenges
related ta this sewer project, except that the parties reserve their legai rights to enforce the terms of
this Agreement. A,11 parties a,gree not to pursue future personal litigation against any persons

involved in and arising out of the pending litigati�n. The Parties also agree to actively participate in
the joint defense of this Agreement, if there is a third party legal challenge to its tenns. In addition,
no party will seek reimbursement in court from any pariy to thxs Agreernent for attorney's fees or
costs associated with the joint defense of this Agreement; however, all parties may seek fees or costs
from third parties as other�vise provided by law.
Section ] S. Indemnification:
The TOWN, VILLAGE and DIST�t.ICT recognize their li�bility for certain tc�rtious acts of its agents,
oi�`icers, employees and invitees t� the extent anrl limits provid� in Section 768.28, Florida Statutes.
Tc► the extent permitted by law, the TOLV�T, VILLAGE and DISTRICT sl�all indemnify, defend and
hold the other hannless against any aetions, claims and damages arisi�g out c�f the T(jWN,
VILLAGE and/or DTSTRICT'S negligence in connection with the Project and the use of the funds
provided under this Agreement. The fvregoing indemnification shall not constitute a waiver of
sovereign immunity beyond tl�e limits set forth in Sectian 768.28, Florida Statutes, nor shall the
same be construed to constitut�e an agreemen# by the TOVVIV, VILLAGE or DISTRICT to inde�u�ify
each other for willful t�r intentianal acts of the other. The faregoing indernnification shall swviv�e
terminatzon of this Agreement.
Section l6. Annual Appr�riation:
All provisions of this Agreement calling for the exp�enditure of ad valorem tax money by either the
TOWN, VILLAGE or the DISTRICT are subject to annual budgetary funding and should either Party
involuntarily fail to fund any of their respective obligations pursuant to the Agreement, this
A,greement may be terminated. However, once the Project has been awarded to �tl�e DISTWCT
contractor, it shall be prosecuted to cornpletion and this Agreem+ent shall be binding upou the pa�rties
and neither party shall have the right to terminate the subject Ageement for the reason that the
sufficient fiinds are not available for #he construction ofthe Project.
S+ection 17. Breach and Opportunitv to Cure:
The parties expressly covenant and agree that in the event any party is in default of its obligations
under this Agreemsnt, each party shali have thirty (30) days written notice before exercisir�g any of
its rights.
Secfiion 18. Enforcement Costs:
Ai costs or expenses (including reasz�nable attorney's fe�s) associated with the en�'orcement ofthe
terms and conditions of this Agreement shall be borne by the r�spective parties.
SectiQn 19. Notiae
All notices r.equired to be given under this Agreement shall be in writing, and deerned sufficient
to each party w�en sent by United States Mail, postage prepaid, to the following:

Section 20. Modification and Amendment:
Except as expressly permitted herein to the contrary, no mc�dification, amendment or alterarion in the
terms or conditions contained herein shall be effective unless contained in a written document
executed with the same formality and equality of dignity herewith.
5ection 21. Reme�ies
This Agr�eement shall b� governed by and in accordance with the laws of the State of Florida. Any
legal a�tion nece�sary to enfor�e this Agreement �hall be held in Palm Beach County. No reme�ly
herein conferred upon any party is intended to be exclusive of any other rernedy, and each and every
such remedy shall be cumularive and s�iali be in additian ta every other rernedy given hereunder or
now or hereaf�er existing at law or in e�uity by statute or otherwis�e. No single ar par�ial exercise by
any party of any right, power or rernedy hereunder shall preclude any other or further exercise
thereof.
Section 22. No ��Vaiver
Any waiver by any Party of its rights with respect to a default under this Agreement, ar wit3� respect
to any other matters arising in connection with this Agreement, shall not be deemed a waiver with
respect to any subsequent default or other matter.
�ection 23. J�int Preparation:
The preparation of this Agresment has been a join# effc�rt of the parties, and the resuiting document
shall not, solely as a matter of judicial constraint, be construed rnore strict against one ofthe parties

Section 2�. Equal Op„pa�ity:
'TOWN, VILLAGE and DISTRICT agre� that na perst�n sha11, on the gounds af age, race, color, sex,
national origin, disabiiity, reli,gion, ancestry, maritai status, and faxnilial status, be excluded frarn the
benefits of, or be subjected tv any form of discnimination under any activity carried aut by the
performance a�this Agreement. DISTRICT will ensure that all contracts let for the Projec# pursuant
to the terrns �af this Agreement will contain a similar non-�liscriminafiiQn and �ual oppoz
clause.
Section 25. Ex�ecution:
This Agreement may be executed in two or more counterparts, each of which shall b+� dee�ned an
original, but all of which together shall constitute dne and the sarne instrurnent.

A capy of this Agreer�rient shall be rect>rded with the Pa1m Beach County Clerk of Court.
Section 27. Termination
This Agreement may be terminated by any party to this .Agreernent upon sixty (60) days written
notice to the other party, except as otherwise addressed in this Agreement. However, once the
Construction Contract (S+ection 4C) has been executed by the DTaTRICT Governing Board, �he
Construction Cantract shall be prosecuted to comple#ion and this Agreement shall be binding upon
the parties and no party shall have the right to terminate the subject Agreement.
Section 28. Public Entity Crime Certification:
As provided in F.S. 287.132-133, as rnay be amended from time to tirne, by entering into this
Agreennent or performing any vvt�rk in furtherance hereof, DISTRICT shall have its ccmtract�ors
certify that their �liates, suppliers, subcontractors and consultants who will perform here�nder,
have not been placed an the convicted vendor list maintained by the State of Florida Departrnent of
Management Services within t�irty-six (36) monikhs immediately preceding the date hereof. This
notice is re�uir�d by F.S. 28'7.133 {3)(a).
Sectio.n 29. Severabilitv:
If any section, paragraph, sentence, clause or pravision of this Agreement is for any reason held by a
court of competent jurisdiction to be unconstitutional, inoperative, or void, such holding shall nat
affect the remaining portions of this Agreemen#.

Section 30. Entirety of Ag,reement:

The abligations, rights, and remedies of the Parties hereunder, wluch by their nature survive the
#+errnination of this Agreement or the completion of the Project, shall survive such terna.ina.tion vr
Project completion and inure to the benefit af the Parties.
Sectifln 32. Term
The term of this Agreemen# shall be effective an the date of execution of this Agreement by a11
