SUBJECT: AGREEMENT FOR VOTE PROCESSING EQUIPMENT AND ELECTION
SERVICES BY AND BETWEEN THE SUPERVISOR OF ELECTIONS
The attached agreement with the Palm Beach County Supervisor of Elections Office
(SOE) sets out the terms of the coordinated program including responsibilities of the
municipality and responsibilities of the SOE and respective costs associated with the
agreement. The estimated cost of the agreement is $7,058. Important note: the
agreement does not include petition costs, advertising costs, election assessment fees,
poll worker payroll, or required resident mailings (due to polling location changes).
The above stated cost does not include a run-off election if needed.

THIS AGREEMENT, is made and entered into this day of . 2015,
effective January 1, 2016, by and betwcen the Palm Beach County Supervisor af Electimis, an elected
co�nty officer pursuant to Article VIII, Sec.l(d) of the FTorida Constitution, hereinafter refenred ta as the
"SOE", and the Villsge of Teqae�ta, a municipal corporation, chartered and organized in accordance
. with the laws of the State of Flarida, hereinafter referned to as the "Mnni�e�ipalit�'. .
WI'TNESSETA:
WHLRlCA5, Chapters 97 to 106, Flvrida Sta�des, coastitute the Florida Election Code (the
"Code which applies to municipalities where expressly so stated; and .
� lt�AS, Sec 1003605, Florida SYa�tutes, st�tes that "[fijhe Florida Election Cade, chapters
97-106 shall govem the conduct of a municipality's election in the absence of am appticable special act,
charter, or ardinance provisian"; and .
WHEREAS, the Municipality and tiue SOE desire to worlc together to provic� fot municipal
elections and to allocate c�ta.in responsibilities and expenses between the two parties to ensure that the
provisions of the Code. aze followed during municipal elections; and
WHEREAS, the SOE and the Municipality wish to enter into this Agreement to set out the tenns
of this coosdinat+ed prograzn.
NOW, THEREFORE, in consideration of the mutual covensnts and promises ha+einafter
contained m be kept and perFormed by the parties he�reto, and for the mutual benefit af the Municipality,
rts constituetrts and the SOE, it is ag�eed as follows:
1. PURPOSE:
The purpose of this Agreem�t is to set forth the terms amd canditions under which services will
be provided by the SOE and staff to the Municipality for municipal elections �and to set fort� the
respousibilities of both parties so that there is a clear unders�►ding of the rights and
responsibilities af all parties. Such rights and responsibilities shall apply to the General, Ram-0�
Special and Recourn elections as necessary as we11 as the Post Eledion Aud'nt, unless otherwise
sta#ed hereinbelow. �
2. DATE OF GEIVERAL MUN[C1PAL ELECTION:
The daxe of the Village of Tequesta's Generat Municipal election is Msrch 15, 2016. It is hereby
acknowledged and agreed that if the date listed is the same as most ather m�.micipalities nn March
or November, t�ere will be a cost sharing among municipalities for costs incittred by the SOE.
Such costs shall be allocated on a pro-rata share basis; otheiwise, it is hereby acknowledged and

agreed upon by tbe Municipality that it is ne,sponsible for all costs of the election, incurred by the
offce of tt�e SOE.
3. FEES AND CHARGES TO BE PAID BY THE MiJrTICIPALTI'Y:
The SOE hereby agr�es not W charge municipalities for taxpayer purchasrd equipment aud
supplies; (i.e. voting machines, tables, chairs, etc.) and associated maintenance and contraat fees
related ta �ch equipment in return far wlrich the Municipality hereby agrees �t to charge the
SOE for polling places or poll worker training facilities within its dominion and cornrol.
Examples of muaicipal elections charges related to certain services performed by tlie SOE to be
passed tbrough to the Municipality on a shat+�d pro ra�a basis for all mtmicipelities holding
electio�s on a genaal election day (i.e. 2° Tuesday in March (or March 15 for� 2016 ar
November) are attached here as Exhibit A. All itenns to be paid or reimbursed to ffie SOE will be
paid by the Municipality arit�in thiriy (30) days of receipt of an invaice froan thc SOE with
documentation verifyiag t�e charges,

4. RE3PONSlBILITIES OF BOTS'T'HE MUNICIPALITY AND 1'HE SOE FOR
MUNICII:'AL ELGTIONS: �
A. Nottce sutd Advertisement
, (1) Munidpality
(a) Properly call and advertise the election t�ccording to statutes and charber at its
own expense.
(b) Issue a resolutian a� ord`nrance to the SOE requ�ting that the Snpervisor of
Elections conduct tbe Municipality's election, provide ballot language for any
ballot questions within the resolution if applicable and appoirn at le�ast 3
members of the Municipality's Canvassing Board, which may or may �at include
the SOE, at the SOE's discretion.
(c) Certify that the registered voter information pmve� by the SOE to tlie
municipaiity reflects the proper boundaries of the village and notify ffie SOE of
auy chsnges.
(2) SOE
(a) P►�blish legal notices for Logic and Accuracy testing, abseatee ballot canvass,
P�t Election Audit and news releases on book closing.
B. Qaalifying Candidates aad Petitioa Initiatives
(1) Municipality
(a) Provide q�alifying packets to candidates and accept and proc�ss all qualifyin8
papers and fees.
(b) Collect Name and Pronunciation Guides fi�om the candidaties at the time of
qualifying and sub�nit to SOE.
(c) Respctnd to all candidate inquiries and questians.
(d) Respond to all legal inquiries and ques�ions.

(e) Respond to all me�ia inquiries.
(� Provi� all necessary information and material for petition initiative process.
(2) SOE
(a) Verify si�atutrBS on anY 9��8 P�tions submitted by csadidates aa� for
petition in,itiatives and notify the m�micipality of s�h results upon the close of
the candidate qualifying or petition initia�ive �dlines as applicable.
C. BaUote

(a) Review, amend (if necessary) and approve ballot proof prepared by SOE.
(b) Place an order with the SOE for a sufficient quantity of balla� as applicable.

E. Early Voting — Optional
(1) Manicip�lity
(a) Reimbiuse the SOE for staff ovettime hours due tia weekend and/or evening
hours for early voting.
(b} Pay SOE for early voting supplies.
(c} Contract with, scl�edule and pay poll workers directly.
(d) Deliver voted ballots to SOE daily at a tocation designated by SOE.
(e) Designate emrly voting sites one h�mdc+ed twenty (120) days pria� to each election
and notify SOE in writing of locations. -

chairs if necessary.
(d) Notify SOE of polling locations to be used no later ti�an noon the Friday aft�er the
municipal candidate quatifjring deadline.
(e) Notify the SOE nat less than thirty (30) days prior to the election that a polling
. place will be moved to another site.
( fl Notify voters, as required by law, if their regular polling place is to be
t�emporarily relocated. •

H. Precanct Snpplies
(1) Meticipality
(a) Pay SOE for precinct supplies provided.
(b) Provide a secure place for precinc� clerks to return supplies and voted ballots on
election night.
(c) Pay SOE for the production of precinct registers or for programmung electronic
poll books and related communicaa�t�ion fces.
(d) Pay d'u�ecdy to the 50E's contracted moving compaay to have voting equipment
delivered and picked up from polling place no later than the day before the
election and returned after the election.
(2) SOE
(a) Provide precinct registers or electronic poll books for each polling place location.
(b) Provide master CD compilarion of registered voters for precinct advisors or
provide up to date electronic poll books.
(c) Provide cer�ification of registered voters after book closing.
(d) Prepare equipment, cabinets and routing of votin� equipment delivery.
(e) Provide laptop computer at each polling place or electronic poll books.
( fl Provide CD of voter file databese for each polling place or np to datie clectronic
poll books.

(h) Provide provisional ballot e�velopes and affidavit forms for each polling place.

(a) Cont�ct, contract with and pay poll workers direcdy (using only poll workers
who are currently on the SOE list, or individuals who have successfiilly
completed required training).
(b) Schedule and notify poll wa�kkers of tirainin� classes.
(c) Reimburse SOE f� e�enses incun�ed for deliver aad pick up of equipment to
training locations.
(d) Reimburse SOE for ex�enses incumed in printing iraining material,

d. Election Day Sapport
(1) Mnaicip�fity
(a) Verify t�at all polling places are available to poll workers no later thatt 6:Q0 a.m.
and open frn voting promptty at 7:00 a.m. ott Election Day.
(b) Ensure d�at all polling places rema.in open untii 7:00 p.m. or until all voteis who
are in line to vote at 7:00 p.m. have completed voring.
(c) Reimbw�se SOE for all phone bank costs.
(2) SOE
(a) Provide an additional list of poll workers replace�ments if n�.
(b) Pr�vide technical su�ort persona( as �eded.
(c) Provide phone benk support to respond to poll workeis and voters on Etection
Day.
K. BalMt TabnlatiodConntiu�g of Election Resalts
{1} Muni�pality
(a) Deliver all voted ballots and other necessary election related items to a place
designated by the SOE after the polling places t�ve closed on Election Day.
(b) Deliver a!i voting macbine cartridges to a place designated by the SOE after the
polling places have closed on Election Day.
(c) Reimbwse the SOE for aay staff overtime and crth�r expense in relation to the
tabulation and processing of ballots on Election Day.
(d} Act as a member of canvassing boacd.
(2) SOE
(a) Provide technical staff and required equipment to administer tabulation and
election results.
(b) Assist and act, or appoint a designee to assist and act on the SOE's behal� as a
membar of the Municipality's Canvassing Boend if desired by the municipatity
and agproved by the SOE or act as a member of the Couaty Canvassing Board if
it canvasses the municipality's election, if allovwed by law.
(c) Post-election resuhs on SOE 1NEB site and provide the same to Channe120.
(d) Provide the Municipal clerk wifh uno�'icial election resuhs upon the conclusion
of tabulation and canvassing of ballots cast on Election Day.

5. INDEMNITY:
Each pgrty to 1�►is Agreement shall be liable far its own actions and negligence. To the e�ctent
permitted by law, the Municipality shall indemnify, defend and hold harmless SOE against any
sctions, claims or damages arising out of the Municipality's negli�entice in connection with
performance under this Agreemen� and the SOE sha11 indamnify, c�fend and hold hara�less the
Municipality against atry action�, claims or damages arising out of the negligence of SOE in
connection with its performance under this Agreement The foregoing indemnification shall not
constiiute a waiver of sovereign immunity beyond the limits set forth at Sec. 768.28, Florida
Statutes. In no case shall such limits for the Municip�lity extend beyond �240,000 for any one
person or beyond $300,000 fo� any judgment which, when totaled with all other judgments, arises
out of dre same incident or occurrence. These pmvisians sha11 not be construed to constitute
ag�+eemen�t by either pariy to indemnify the other for such other's nogli.gent, willful or intie�ional
acts or omissions. In the event of liti�ation, trial or appellatie, beta►een the Municipality and the
SOE r�l�g to a municipal election governed by this Agre�ment, or otherwise in connection
with the interpretation or application of this Agreement, the prevailing party sha11 be entitled to
recover its reesonable attorneys' fees and costs from the non prevailing party. Notwithstaading
the above, the Municipality shall defend legal challeages relsting to its municipal election and
shall be fully responsible fa� a111e$al costs including attorneys' fees for such deFense of the
Munici�lity and the SOE. The Municipality shall be responsible for damages, if any, asse,ssed
by virtue of such lawsuit, up to the monetary limits provided for hereinabove wittrout recflurse to
the SOE.
6. In the event of a s�ecial election, the Municipality shall t+eceive the approval of the Superviso� of
Elections for the actual election date no later then 9Q days prior to a special election unless
otherwise provided in law. The expense of arry special election shall iaclu� all actual costs
incurred by the Superviso�r of Elections, including hourly and salaried staffcosts and oth�r related
election expenses as documented
7. TE1tM:
This Ageement shall begin on the effective dste January 1, 2016 and coutinue for a te�m of one
year in order to cover special elections, if any, and may be modified by mutual agrcement of the
Parties. AnY ProPoseci �hanges to this AgReement shall be provided to the municipalities no later
t�an August 1 of the applicable year, or as soon as practicable.
8. CHANGE IN LAW:
In the event any change in law abrog�es or modifies any provisions or applicatians of this
Ag�mem, the parties hereto agree to emter into good faith negotiations and use their best efforts
to neach a mubaally aoceptable modification of this Agc�eement.

9. NOTICES:
All formal notices a�ffecting the provisions of this Agreement may be delivered in person or be
sent by facsimile, r�gistered mail, or by a recogni�ed overnight courier such as FedEx, to the
individual designated below, until such time as either party furnishes the ather parhy. written
instcuctions to contact another individuat.

10. SEVERABILiTY:
ff any clause, sedion, or pmvision of this A�+eement shall be declarad to be unconstihrtional,
invalid or unenforceable for any cause or reasan, ar is abrogated or negated by a change in law,
the same shall be eliminated from this Agreement, and the remainin$ portion of this Agreement
shall be in full force and effect and be valid as if such invalid portions thereof had not been
incorporated herein.
11. By signing this Agreement, t�e Municipality app�+oves t�e Agre�ent as to form and legal
sufficiency and certifies that this Agreement has met alt of the legal requiremeuts of its Municipal
Cheuter and all other related laws.
12. NO MODIFICATIUN EXCEPT IN WRITING:
This is the complete and final agreemem belween the parties. No represen#atiions other than those
set forth herein shall be binding upon the parties. No modification of this Agreement shall be
effective unless submitted in writing and signed by both parties, ar their duly authorized
representatives
