The Village of Tequesta is piggybacking the City of West Palm Beach's competitively bid General Roadway and Miscellaneous Construction Contract. The contract is awarded to DP Development and M&M Paving dba/AIl Counfy Paving. This contract can be utilized by all departments on an as needed basis. Departments will be responsible for obtaining a quote for each project and ensure they follow the Village of Tequesta approval and Procurement Process. Departments must also ensure they verify pricing against the schedule of bid items. Douglas M. SCOPE OF SERVICES: The Village and the Contractor both hereby agree to enter into this Contract whereby the Contractor shall provide labor, materials, equipment and supplies for small roadway and rniscellaneous construction projects, in accordance with the technical specifications and drawings specified in any Work Orders provided by the Village. The Vil- lage and Contractor both agree to enter into this Contract and piggyback the services and pricing described in the October 16, 2015 Construction Contract (Bid No. 14-15-134; Pro- ject: General Roadway and Miscellaneous Construction; Contract No. 1623Q), attached here- ta and incarporated as Exl:ibit A. Services provided by the Contractor to the Village shall be pursuant to the descriptions set-out in page 1, paragraph 1, "Scope Of Work," of ExliibitA. 2. COMPENSATION: In consideration for the above Scope of Services, pricing shall be pursuant to the prices provided in the Schedule of Bid Items (B3) and Substitution Sheet{s) (B4} of EYhibit A. If specific circumstances require additional work ar materials not listed in Schedule of Bid Items and Substitution Sheets (B4) of Exhibit A, then the Parties shall nego- tiate a price that shall be detailed in the Work Order. INSURANCE AND INDEMNIFICATION: The Contractar shaii provide proof of workman's compensation insurance and liability insurance in such amounts as are specified in section GC 13 "Insurance; Indemnification," at pages bQ until 62 of Section 5- General Conditions And Tenns of Exlti6it A and shall name the Village as an "additional insured" an the liability portian of the insurance policy. The Contractor shall at all times indemnify, de- fend and hold harmless the Village, its agents, servants, and employees, from and against any claim, de�nand or cause of action of whatsoever kind or nature, arising out of any error, omis- sion, negligent act, conduct, ar misconduct of the Contractor, its agents, servants, or employ- ees in the performance of services under this Contract. 4, PUBLIC ENTITIES CRIMES ACT: As pravided in sections 287, l32 and 287.133, Florida Stc�tc�es, by entering into this Contract ar performing any work in furtherance hereof, tl�e Contractar certifies that it, its affiliates, suppliers, subcontractors and consultants who will perfarm hereunder, have not been placed on the convicted vendor list maintained by the State af Florida Department of Management Services within thirty-six (3b) months immedi- ately preceding the date hereaf. INSPECTOR GENERAL: Pursuant to Article XIl of the Palm Beach County Charter, the Of�ice of tlle Inspector General has jurisdiction to investigate municipal matters, review and audit municipal contracts and other transactions, and make reports and recommendations ta municipal governing bodies based on such audits, reviews, or investigations. All parties do- ing business with the Village shall fully cooperate with the inspector general in the exercise of the inspector general's functions, authority, and power. The inspector general has the pow- er to take sworn statements, require the praduction of records, and to audit, monitor, investi- gate and inspect the activities of the Village, as well as contractors and Iobbyists of the Vil- lage in order to detect, deter, prevent, and eradicate fraud, waste, mismanagement, misconduct, and abuses. 1 l. PUBLIC RECORDS: In accordance with sectian 119.07Q1, Flof•i�Ia Statt�tes, the Contractor must keep and maintain this Contract and any other records associated therewitll and that are associated with the performanee of the work described in the Scope of Services. Upon request, the Contractor must provide the public with access to such records in accord- ance with access and cost requirernents of chapter 119, Flo,-ida Statc:tes. Further, the Con- tractor shall ensure that any exempt ar confidential records associated with this Contract or associated with the performance of the work described in the Scope of Services are not dis- closed except as authorized by law. Any amendment to a work order is not effective and not authorized until such amendment is fully executed by the Owner. 1.4 A carrtprehensive project shall not be broken into small related segment�projects in order to faN within the limitations of this Contract. Payment for Work Orders shafl be made in accordance with the Generat Conditions of this Contract. CONTRACT TERM. 4.1 Term of Contract. Subject to the termination rights of the Owner, this Contract shall have a term of three {3) years, commencing as of the date of execution by the Owner. The Owner shall execute this Contcact last. 4.2 Renewal. At the sole option of the Owner, this G�ntract may be renewed for up to two addi#ional twelve {12} month periods. Contract renewaf will oniy be effec#ive upon a wriften cantract amendmenk executed by both parties. Renewal terms and conditians for this Contract shatl be unchanged. 5. LIQUIDATED DAMAGES. The actual damages Owner and the public may suffer as a result of the failure to comptete work under a Wark Order within the schaduled time are not asce�tainable at the time of this Cantract. If said work under any Work Urder is not substantially and then fully completed within the #ime estabtished by the Work Order and the General Conditions, as may be adjusted, the Contracfor shal[ be iiable and hereby agrees to pay to the Owner as liquidated damages, and nat as a penafty, a sum per ca(endar day for each and every day or part of a day thereafter that said work remains incampiete. Unless a Wark Order specified othen,vise, Cont�actar shall pay to Owner the sum of Two Hundred �ollars ($200j per calendar day as liquidated damages. 6. CONSTRUCTION BONDtS). If #he estimated amount of any Work Order is $20Q,Q00 or more, #hen prior to the commencement of the work under such Work Order, Contractor shall record a public construction bond, in an amount not less than the totat cost of such Vllork Order, an Owner approved forms, with the Clerk of the Court in the Public Records of Palm Beach County and provide a certified copy of the recorded bond(s} prior to commencing work and submitfa! ofi first invoice, in accordance with the Generai Canditions. The City shall be an obligee under such bond{s). The bond shall incarporate by reference the terms of the Contract Documents in their enti�ety. 7. SPECPAL TERMS. 092415 8. SMALL BUSINESS PROGRAM. 8.1 Comt�liance. Article lX of Chapter 66 of the City of West Palm Beach Code of Qrdinances reiating to the Small Business Program is incorparated in this Contract by this reference. The Contractor agrees to compfy in a!! respects with its commitment to use the certified small businesses identified in Gontractor's 8id in the manner and propo�tions set forth in #he Bid. In #he event that it is impossible or impracticab�e to engage ar procure materials from one or more of the ident�ed ce�tifred small businesses, the Contractor shall so notify the City's Small Business Division pramptly in writing and shall thereafter ensure that that firm or firms are du(y replaced by other certified smatl businesses unless written approval to the conf�ary is granted by the Ciry. 8.2 Records. The Cantractor agrees to maintain in an orderly fashian all relevant records and infarmatior► tha# document its compliance with the Small Business Program and the utilization of anci paymen# to certified small businesses under this Contract; and shal! make said records avaiiable to th� City for inspectian during reasonable business hours. CONTRACTaR'S UNDERSTANDING. 1t is understood and agreed that the Contractor has, by careful examination, satisfied himself as #o the nature and location of the wark, the canformation of the graund, the character, quality and quantity of the materials to be encounte�ed, the character of the equiprr►ent and facilities needed preliminary to and during the prosecution of the work, and the genera{ and local conditions. Execution of this Contract by the Contractar is a representation that the Contractor has visited the site, reviewed any design criteria fumished by Owner, become generally familiar with local conditions under which the Work is to be performed and correlated personal abservations with requirements of the Cantract Dacumenfs. Cantracfor deems both his inspection of #he site and review af information furnished by Owner to be an adequate investigation. Contractor represents that the plans and specifications are consistent, practical, feasible and constructible within the schaduled constructian time. Confractor a�rmatively covenants that Cantractor has observed no defects or discrepancies in the plans, specifications or site and that if during construction any discrepancies, defects, etc_, are discovered by or made known Eo Contractor, Contractor shall immediately communicate same to the Owner. 10. ETHICS. Contractor acknowledges, agrees and corrtmits that it shall comply with all applicable state and city rufes and regulations. 11. CONTRACT DaGUMENTS. Contractor agrees to complete all wark in accordance with the Cantract Documents. The term "Contract" and or "Contract Documents" shail include al1 the terms and canditions and Project requirements contained in this Contract and the fotlowing documents, all of which taken together are incorporated herein and #orm the Contract Documents.
