Chambers, Public Works Superintendent Subject : General Roadway and Miscellaneous Construcrion Contract Date : February 24, 2016 The aftached agenda item addresses the need for a General Roadway and Miscellaneous Construction Contract. The Village of Tequesta is piggybacking the City of West Palm Beach's competitively bid General Roadway and Miscellaneous Construction Contract. The contract is awarded to DP Development and M&M Paving dba/All County Paving. This contract can be utilized by all departments on an as needed basis. Departments will be responsible for obtaining a quote for each project and ensure they follow the Village of Tequesta approval and Procurement Process. DeparEments must also ensure they verify pricing against the schedule of bid items. Douglas M. SCOPE UF SERVICES: The Village and the Contractar both hereby agree to enter into this Contract whereby the Contractor shall pravide labor, materials, equipment and supplies to the Viliage for srnall roadway and miscellaneous construction projects, in accardance with the technical specifications and drawings specified in any Work Orders provided by the Vil- lage. The Vitlage and Cantractar both agree to enter into this Contract and piggyhack the services and pricing described in the Qctaber 1 b, 2015 Construction Contract (Bid No. l4- I1a393 � 15-134; Project: General Roadway and Miscellaneous Construction; Contract No. �6�Z3Q}, attached hereta and incorporated as Exhibit A. Services provided by the Cnntractor to the Village shalI be gursuant to the descriptions set-out in page 1, paragraph l, "Scope Of Work," of Exhibit A. 2. COMPEIYSATIO�N: In cansideration for the above Seope of Services, pricing shall be pursuant ta the prices provided in the Schedule of Bid Items ($3) and Substitution Sheet(s) (B4} of �rhibit A. If specific circumstances require additional work or materials not listed in Schedule of Bid Items and Substitution Sheets {H4) of Exhi6it A, then the Parties shall negd- tiate a price that shall be detailed in the Work Order. CONTRACT FOR GENERAL ROADWAY & MISCELLANEOUS CONSTRUCTION 3. INSURANCE AND INDEMNIFICATION: The Contractor shall provide proof of workman's compensation insurance and liability insurance in such amaunts as are specified in section GC 13 "Insurance; Indemnification," at pages 60 until 62 of Section 5- General Conditions And Terms of Exhibit A and shall name the Vllage as an "additional insured" on the liability portion of the insurance policy. The Contractor shall at all times indemnify, de- fend and hold harmless the Village, its agents, servants, and emplayees, from and against any ciaim, demand or cause of action of whatsoever kind or nature, arising out of any error, omis- sion, negligent act, conduct, or misconduct of the Contractor, its agents, servants, ar employ- ees in the performance af services under this Contract. 4. PUBLIC ENTITIES CRIMES ACT: As provided in sections 287.132 and 287.133, Flof�ida Statues, by entering into this Contract or performing any work in furtherance hereof, the Contractor certifies that it, its affiliates, suppliers, subcontractors and cansultants who will perform hereunder, have nat been placed an the convicted vendor list maintained by the State of Florida Department of Management Services within thirty-six {3b) rnonths immedi- ately preceding the date hereof. This notice is required by section 287.133(3)(a), Florida Statietes. 5. INDEPENDENT CQNTRACTOR: It is specifically understood that the Contractor is an independent contractor and not an employee of the Village. ATTORNEY'S FEES: In the event a dispute arises concerning this Contract, the prevail- ing party shall be awarded attorney's fees, including fees on appeal. 8. CHOICE OF LAW; VENUE: This Contract shall be governed and construed in accord- ance with the laws of the State of Florida, and venue shall be in Palm Beach County should any dispute arise with regard to this Contract. 9. AMENDMENTS & ASSIGNMENTS: This Contract, all Exhibits attached hereto, and required insurance certificates constitute the entire Contract between both Parties, no modifi- cations shall be made #o this Con�ract unless in writing, agreed to by both Parties, and at- tached hereta as an addendum to this Contract. The Contractor shall not transfer or assign the services and provision of gaods calied far in this Contract without prior written consent of the Village. 1 Q. INSPECTOR GENERAL: Pursuant to Article XII of the Palm Beach Caunty Charter, the Office of the Inspector General has jurisdiction to investigate municipal matters, review and audit municipal contracts and ather transactions, and make reports and recommendations to municipal governing bodies based on such audits, reviews, or investigations. All parties do- ing business with the Village shall fully cooperate with the inspector general in the exercise of the inspectar general's functions, authority, and power. The inspector general has the pow- er to take sworn statements, require the production of records, and to audit, monitor, investi- gate and inspect the activities of the Village, as well as contractors and lobbyists of the Vil- lage in order to detect, deter, prevent, and eradicate fraud, waste, mismanagement, misconduct, and abuses. 1 l. PUBLIC RECORDS: In accordance with section 119.07Q1, Floricla Statutes, the Contractor must keep and maintain this Contract and any other records associated therewith and that are associated with the performance of the work described in the Scope af Services. Upon request, the Contractor must provide the public with access to such records in accord- ance with access and cost requirements of chapter 119, Ftoric�a Statutes. Further, the Con- tractor shall ensure that any exempt ar confidential records associated with this Contract or associated with the performance of the work described in the Scope of Services are not dis- closed except as authorized by law. Records that are stored electronically must be transferred to the Village in a format that is compatible with the Village's information technology systems. CONTRACT TERM. 4.1 Term of Contrac#. Subject to the termination rights af the Owner, this Cantract shall have a term of three {3) years, cammencing as of the date of execution by the Owner. The Owner shafl execute this Contract last. 4.2 Renewat. At the sole aption of the Owner, this Gontract may be renewed for up ta two additional twelve {12j month periods. Contract renewai wili only be effective upon a written contrac# amendrnent executed by both parties. Renewal terms and conditions for this Contract sha11 be unchanged. 5. LIQUIDATED DAMAGES. The actual damages Owner and the pubfic may suffer as a resul# of the failure to complete work under a Work Urder within the scheduled time are not ascertainabie at the time of this Contract. If said wo�k under any Work Order is not substantiatly and then fuHy campEeted within the time established by the Wark Order and the General Conditions, as may be adjusted, #he Contractar shal{ be liable and hereby agrees ta pay to the Owner as liquidated damages, and no# as a penalty, a sum per calendar day for each and every day or part of a day thereafter that said work remains incamplete. SMALL BUStNESS PROGRAM. 8.'t Compliance. Article EX of Ghapter 66 vf the Ci#y of West Palm Beach Code of Ordinances reiating fo the Small Business Program is incorporated in this Cantract by this reference. The Contractor agrees to compfy in all respects with its commitment to use the certified small businesses identifisd in Co�tractor's Bid in the manner and proportions set fo�th in the Bid. In the event that it is impossible or impracticable to engage or procure materials from one or mors af the identified ce�tified smal! businesses, the Contractor shall so natify the City's Smal! Business Division promptly in wflting and shall thereaffer ensure that that firm or firms are duly replaced by other certified smaU businesses unless written approval ta the contrary is granted by the City. 8.2 Recards. The Con#ractor agrees to maintain in an o�derly fashion alf �elevant �ecords and infarmation that document its compliance with the Small Br�siness Program and the utilization of and paymen# to certified smalf businesses under this Contract; and shaN make said records available to the City for inspection during reasonabls business hours. Copies af all contrects between the Contractor and firms engaged by it in connection herewith shall be submitted to the City upon the City's request. 9. CONTRACTOR'S UNDERSTANDING. It is understaod and agreed that the Contractar has, by careful examinafion, satisfied himself as to the nature and location of the work, the conformation of the ground, the character, quali#y and quantity of the materials to be encountered, the character of the equiprnent and facilities needed preliminary ta and during the prosecution of the work, and the general and local conditions. Execution pf this Contract by the Contrac#ar is a representation that the Contractor has visited the site, reviewed any design criteria furnished by Owner, become generally familiar with lacal conditions under which the Wark is to be performed and correlated personal observatians with requirements of the Contract Documents. Contractor deems boih his inspectian of the site and review of information furnished by Owner to be an adequate investigation. Contractor represents that #he plans and specifications are consistent, practical, feasible and constructible within the scheduled construction time. Contractor a�rmatively covenants that Gontractor has observed no defects or discrepancies in the plans, specifications or site and that if during canstruction any discrepancies, defects, etc., are discovered by or made known to Contractor, Contractor shall immediately communicate same to the C?wner. 10. ETHIGS. Contractor acknowledges, agrees and commits that it shalt camply with all appiicable state and city rules and regulations. 11. CONTRACT DOCUMENTS.
