Weinand, Fire Chief cc: Village Council Date: February 10, 2016 Re: Interlocal Agreement Between PBC and VOT for Reimbursement of EMS Grant Equipment Execution of the Interlocal Agreement between the Board of County Commissioners, Palm Beach County, and the Village of Tequesta enables Tequesta Fire-Rescue to purchase two (2) of the much needed Lucas CPR Device, with the expense being reimbursed by grant monies in an amount not to exceed Twenty-Four Thousand Two Hundred Dollars ($24,200). The �ucas Device is a chest compression system and a critical component for administering CPR and saving lives. It is respectfully requested this Interlocal Agreement for Reimbursement of EMS Grant Equipment be approved. RESOLUTION NO. 07-16 A RESOLUTION OF THE VILLAGE COUNCIL OF THE VILLAGE OF TEQUESTA, FLORIDA, INCREASING THE GENERAL FUND #001 201512016 BUDGET IN THE AMOUNT OF $24,200.00 BY INCREASING REVENUES AND EXPENDITURES IN THAT AMOUNT TO RECOGNIZE ACCEPTANCE OF THE INTERLOCAL AGREEMENT BETWEEN PALM BEACH COUNTY AND THE VILLAGE OF TEQUESTA FOR THE REIMBUR5EMENT OF EMERGENCY MEDICAL SERVICES GRANT EQUIPMENT IN AN AMOUNT NOT TO EXCEED $24,200.00, GRANT #C4050, AND AUTHORIZING THE VILLAGE MANAGER TO PROCEED IN ACCORDANCE WITH THE VILLAGE'S ADOPTED PROCEDURES; PROVIDING FOR SEVERABILITY; PROVIDING AN EFFECTIVE DATE; AND FOR OTHER PURPOSES. WHEREAS, The Florida Department of Health, Bureau of EMS, has allocated certain funds to the Board of County Commissioners, Palm Beach County, to distribute to eligible EMS providers in Palm Beach County; WHEREAS the Village has entered into an Interlocal Agreement with Palm Beach County for the reimbursement of EMS grant equipment in an amount not to exceed $24,200; and, WHEREAS, This reimbursement grant will enable Tequesta Fire-Rescue to purchase two (2) of the much needed Lucas Devices, a chest compression machine which will aid in life saving and the performance of CPR; and, WHEREAS, by way of Interlocal Agreement the Village will be reimbursed up to $24,200 for this Emergency Medical Services equipment; NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF TEQUESTA, PALM BEACH COUNTY, FLORIDA, AS FOLLOWS: Section 1 Resolution No. 07-16 is hereby approved increasing the General Fund #001 2015/2016 Budget by $24,200 by increasing revenues and expenditures in that amount to recognize the reimbursement of emergency medical services grant; Section 2 This Resolution shall become effective immediately upon passage. AGR.��MCl`dT ("Interlocal Agreement" or "Agreement" or "contract") is made as of the day af , 2016, by and between the Board of County Commissioners, Palm Beach County, a poiitical subdivision of the State of Florida (herein referred to as COUNTY), and the Viflage of Tequesta a municipal corporation of the State of Florida {herein referred to as the VILLAGE), each one constituting a public entity as defined in Part I of Chapter 163, Florida Statutes. �VITNESSETI:I: WHEREAS, Section 163.01, Florida Statutes, known as the "Florida Intertocal Cooperation Act af 1969" authorizes local governments to make the most efficient use of their powers by enabling them to cooperate with other localities on a basis of mutua( advantage and thereby to provide services and facilities that will harmonize geographic, economic, population and other factors influencing the needs and development of locat communities; and WHEREAS, Part I of Chapter 1 b3, Florida Statutes, permits public agencies as defined therein to enter into interlacal agreements with each other to jointly exercise any power, privilege, or authority which such agencies share in common and which each might exercise separately; and WHEREAS, The Department of Health, Bureau of Emergency 1Vledical Services (DOHEMS) is authorized by Chapter 401, Part II, Florida Statutes, to dispense grant funds. Forty-five percent (45%) of these funds are made available to the 67 Boards of County Commissioners (BCCs) throughaut the State to improve and expand pre-hospital Emergency Medical Services (EMS) in their county; and WHEREAS, DOHEIvIS County grants are only awarded to Boards of County Commissioners (BCC), however, each BCC is encouraged to assess its countywide EMS needs and establish priorities before submitting a grant application; and WHEREAS, the COUNTY may reimburse and disburse the State trust funds to licensed emergency medical providers; and WHEREAS, the COUNTY agrees to reimburse the V[LLAGE frorn its FY2015-2016 ElV1S State grant funds for the purchase of 'I'�� ��� C�PCIIRC COIl1�3r Der�ices ("EQUIPMENT" or "EMS equipment") and the VILLAGE agrees to accept said reimbursement under the terms and conditions of the EN1S State grant and this Agreement. N�w, therefore, in consideration of the mutual promises contained herein, COUNTY and VILLAGE agree as folto�vs: ARTI:CLE i — IZECITALS The above recitals are true, correct and incorporated herein. The VILLAGE'S representative/contact manitor during the term of the Agreement shall be Captain dim Trube, whose telephone number is (561) 76$-0553, �RTICL� 3- PAYlVI CN'l' 1`O VIGLAGL The tntal amount to be paid by the COUNTY from its FYZO]5-2016 EMS grant funds for the purchased ENIS Equipment as reimbursement to the VTLLAGE under this Agreement shall not exceed a total amount of twenty four thousand and two hundred dottars ($24,200.00). The VILLAGE shall purchase the EQUIPMEI�iT and submit the required documentation for reimbursement (referenced in Article - 4) to the C011NTY Representative at least ninety (90) days before the expiration of the FY2015-2016 ENiS State Grant. Approved documentation will be processed by the County Finance Deparhnent for payment ta the VILLAGE, ACt'CICLE �- Gl2r-1.NT PI20G12AlVI IZ� UIRLIVLCNTS VILLAG� SHt�.LL A. Comply with general requirements, and conditions af the State Ei�iS County Grant Program. . B. Submit to the COCINTY Representative on or before September 30, 2016 copies of paid receipts, it�voices, or other documentation acceptable to the Palm Beach County Finance Department to estabIish that the purchase of the EQUIPMENT was incurred by the VILLAGE. C.Immediately return the purchased EQUIPI�iENT to the COUNTY, should the VILLAGE cease to operate its pre-hospital emergency medical services during the life of the squipment. D. Submit a training report to the COUNTY'S Division o� Emergency Nlanagement to include a sign in sheet, date, title and contact number of the persons trained for the F.,QUIPIvIENT within 90 days af the effective date of this Agreement. This report shall incl�ide all of the necessary training provided for the EQUIPVIENT and will be the responsibi(ity of the VILLAGE purchasing the �QUIPiVIENT to provide the training. VILLAGE'S failure to satisfactorily complete the training in the timeframe provided shall constitute a breach of contract. As such, COUNTY rnay terminate this Agreement and demand return of the EQUIP�i1ENT. Page 2 af 6 E�R.TICLE 5 — LCABILTTY/INDEMNIFTCATION Each party to this Agreement shall be tiable for its own actions and negligence. To the extent permitted by law, and without waiving sovereign immunity beyond the Iimits set forth at Sec. 768.28, Florida Statutes, the VILLAGE agrees to inderanify, defend and hold harmless the COUNTY against any actions, claims or damages arising out of the VTLLAGE'S use, care and maintenance of the EQUIPNIENT. ART:[CLE G — EILING A copy of this Interlocal Agreement will be filed with the C�erk of Circuit Court in and for Palm Beach County. E1IZTICL� '7 - AVA.ZLAt3ILITI' O�' FUNDS The COIJNTY'S performance and obiigation to pay under this Agreement is contingent upon annual apprapriations from the FY2015-2016 EMS State grant funds. On-going costs for EMS, maintenance and replacement of the EQUIPIv1ENT is the responsibility of the VILLAGE and will not be funded under this grant prograrrt. Such costs remain the responsibility of the VILLAGE. The COUNTY shall have no further obligation to the VILLAGE, or any other person or entity. ARTTCLE 8 — REiViL+'llICS This Interlocal Agreement shall be governed by the laws of the State of Florida. Any legal action necessary to enforce the Interlocal Agreement will be held in Palm Beach County. No remedy herein conferred upon any party is intended to be exclusive af any other remedy, and each and every such remedy shall be cumutative and shall be in addition to every other remedy given hereunder or now or hereafter existing at taw or in equity, by statute or otherwise. No single or partial exercise by any party of any right, power, or remedy hereunder shall preclude any other or further exercise thereof. No provision of this Contract is intended to, or shall be construed to, create any third party beneficiary or to provide any rights to any person or entity not a party to this Contract, including but not limited to any citizen or employees of the COiJNTY andior the VILLAGE. ART:[CL� R -- A.1ti2Cf11tS The VILLAGE shall not pledge the COtJNTY'S credit or make it a guarantar of payment or surety for any Interlocai Agreement, debt, obligation, judgment, lien, or any form of indebtedness. The VILLAGE further warrants and represents that it has no obligation or indebtedness that would impair its ability to fulfil( the terms of this Interlocai Agreement. tIRTCCI:.0 10 - ACCESS AIYll AUDi'CS The COUNTY shall have access to such books, records, and documents as required in this section for the purpose of inspection or audit during normal business hours, at the VILLAGE'S place of business. Page 3 of G Palm Beach County has established the O�ce of the Inspector General in Palm Beach County Code, Section 2-421 - 2-440, as may be amended. T'he Inspector General's authority includes but is not limited to the power to review past, present and proposed County contracts, transactions, accoun#s and records, to require the production of r�ords, and to audit, investigate, monitor, and inspect the activities of the VILLAGE, its officers, agents, employees, and lobbyists 'vn order to ensure compliance with contract requirements and detect corruption and fraud. Failure to cooperate with the Inspector General or interfering with or impeding any investigation shall be in violation of Palm Beach County Code, Section 2-421 - 2-440, and punished pursuant to Section 125.69, Fiorida Statutes, in the same manner as a second degree misdemeanor. ARTICLE 11— NONDISCRIMINATION The �ILLAGE warrants and represents that alt of its employees are treated equally during employment without regard to race, color, religion, disability, sex, age, national origin, ancestxy, marital status, familial sta.tus, sexual arientation, gender identity and expression or genetic information. VILLAGE has submitted to COUNTY a copy of its non-discrimination policy which is consistent with the above, as contained in Resolution R-2014-1421, as amended, or in the alternative, if VILLAGE does not have a written non-discrimination policy, it has acknowledged through a signed statement provided for COiJNTY affirming their non-discriminalion policy conforms to R-2414- 1421, as amend�i. ARTICLE 12- AUTHORITY TO PRACTICE The VILLAGE hereby represents and warrants that it has and will continue to maintain all licenses and approvals required to conduct pre-hospital emergency medical services during the life of the equipment. Proof of such licenses and approvals shalt be submitted to the COUNTY's representative upon request. ARTICLE 13 — SEVERABI]GITY If any term or provision of this Interlocal Agreement, or the application thereof to any person or circumstances shall, to any extent, be held invalid or unenforceabie, the remainder of this Interlocal Agreernent, or the application of such terms or provision, to persons or circumstances other than those as to which it is held invalid or unenforceable, shall not be affected, and every other �erm and provision af this Interlocal Agreement shall be deemed valid and enforceable to the axtent permitted by law. ARTICLE 14 — NOTICE All notices required in this Interlocal Agreement shall be sent by certified mail, return receipt requested, hand delivery or other delivery service requiring signed acceptance. Nane of the provisions, terms and conditions contained in this Interlocal Agreement may be added to, modified, superseded or otherwise altered, except by written instrument executed by the parties hereto. ARTICLE 16 - EXPIRA.TION OF INTERLOCAL AGREEMEN'� This Interlocai Agreement shall automatically expire in five (S) years or upon the expiration of the life of the EQUIPMENT, whichever comes first, in accordance with the State EMS County Grant Program. At such time, the VILLAGE may dispase of said EQUIPMENT as surpius property with no further municipal purpose. ARTICLE 17 - EFFECTIVE DATE This Interlocal Agreement shall become effective when signed by both the COUNTY and the VILLAGE.
