This shalf serve as a Letter aF Agreement between
Village of Tequesta, Florida (Client)
and
Gleason and Associates, Inc. (Provider)
At the request of, and acting on behalf of the Client, Gleason and Associates, Inc. agrees to
provide the following:
• Ading in the capaaty of a Sesrch Firm wi{I canduct one (1) Fire Chief pre-employment
Bacl�qround. The purpase of this background wifl be to gain inforrnation regarding the
idendfied Finalist and his/her related professional experience.
• Seek out and obtain any perfinent, job related ir�formati� regarding the Fin�ist
, and his/her hackground which, if hir�d, may have an effect on the Client. The informaa�ion
saught will be that which relates to the bona fide, occupational qualifications of the Candidate
as they pertain to this position. Any private data reviewed shall be in a manner consistent
with state and federal laws. The Finalist will be asked ta review and sign a release
waiver allowing the representative from Gleason & Associates to obtain inforrnation and
contact those person(s) who may have kn�vledge of the Candidate's past work history.
� Conduct one (1) Background Profile at Level # 2 as requested by the Client:

1. 4 Professional Reference Intecviews with written synopsis
2. Professional em�oyment verification (current & up to six previous)
3. Natiornvide Media, News, and Public Data search
4. Academic and/or Degree confirmation
5. Nationwide Criminal, Civit, Financial Record Search (does not inciude credit score)

The client has requested the background be perfoRned by phone and through on-{ine research.
Completion time shall be no later tl�an twenty-0ne days frorn the date aff'oced to this Agreement.
Conditions regarding termination of Project prior to completion of this background.
The Client shall be charged one-haif of the proFessio�al fee if:
• The Fina{ist withdraws from consideration at any point once the background has begun, or
• The Client cancels the background once it has begun.
Conditions regarding termination of Project after completion of background.
The full professional fee shall be paid if:
• The Finalist withdraws from consideration, or
• The Clierrt terminates the project, or
• The Client dces not make an affer of employment to thg Finalist.
ff the Client requests additional Badcgrounds beyond the number of Candidates identified on
page 1 and 3 of this document, a mutual agreement shall be reached and an Addendum shali be
signed by both parties.
It is agreed that Gleason & Associates, Inc. shall be acting in the capacity of an Independent
Contractor for the Client, and shall be saved harmless from any suits, actions, damages, andJar
any Gability and expense, including attorney fees, arising from any a�tion not directly related to
the specific duties & responsibilities in this Agreement.

Pra�essional Fee
We, the Vllage of Tequesta, Florida agree to pay Gleason & Associates, Inc.,
the foll�ving professional fee for completion aF this project
One (1) Background - $1,7d0.OQ
Gleason and Associates, Inc. requi�es no payment prior to the beginning of this project.
However, the professional fee shatl be paid in full no late� than 14 days of receipt a� Invoice by
the Client.

• For the purpases of facsimile or electronic transmission needs, all signatures whether
original or duplicate shall be considered binding

ADDENDUM
Public Records: In accordance with 5ec. 119.0701, Florida Statutes, the Contractor
must keep and maintain this Agreement and any other records associated therewith and that are
associated with the performance of the work described in the Scope of Services. Upon request,
the Contractor must provide the public with access to such records in accordance with access and
cost requirements of Chapter 119, Florida Statutes. Further, the Contractor shall ensure that any
exempt or confidential records associated with this Agreement or associated with the
performance of the work described in the Scope of Services are not disclosed except as
authorized by law. Finally, the Contractor shall retain the records described in this paragraph
throughout the performance of the work described in the Scope of Services, and at the conclusion
of said work, transfer to the Village, at no cost to the Village, all such records in the possession
of the Contractor and destroy any duplicates thereof. Records that are stored electronically must
be transfened to the Village in a format that is compatible with the Village's information
technology systems.
